1.　契約関係

1. Contractual Relationship

この利用規約（以下「本規約」）は、オランダで設立された非公開有限責任会社であり、Burgerweeshuispad 301, 1076 HR, Amsterdam, the Netherlandsに事務所を有し、アムステルダム商工会議所に 56317441の番号で登録されているUber Portier B.V.（以下「UPBV」）が提供するUber Eatsプラットフォーム（以下「アクセスサービス」）の利用を目的とする世界各国（アメリカ合衆国及びその領土を除く。）の個人である貴殿（以下「貴殿」）によるアプリケーション（Uber Eatsアプリを含む。）、ウェブサイト及びコンテンツ（以下、総称して「本アプリ」）へのアクセス又はその利用に適用されます。

本規約は、Uber Eats Japan合同会社（以下「Eats JP」）が提供するUber Eatsプラットフォーム上での配送サービス（以下「配送サービス」）の依頼にも適用されます。

本規約において、UPBV及びEats JPを総称して「Uber」又は「当社」といい、アクセスサービス及び配送サービスを総称して「本サービス」といいます。

本サービスにアクセスし又はこれを利用する前に、本規約をよくお読み下さい。

貴殿は、本サービスにアクセスし及びこれを利用することにより、本規約に拘束されることに同意することになり、これにより貴殿とUberとの間の契約関係が成立します。本規約に同意しない場合、本サービスにアクセスすることはできません。本規約は、貴殿との従前の合意又は取り決めに明示的に優先します。

特定のイベント、活動又はプロモーション等のポリシーには、補足条件が適用される場合があり、当該補足条件は、適用されるイベント、活動又はプロモーションに関連して貴殿に開示されます。補足条件は、適用されるイベント、活動又はプロモーションを目的として本規約に追加され、かつ本規約の一部とみなされるものとします。適用されるイベント、活動又はプロモーションに関して本規約との間に矛盾がある場合は、補足条件が優先するものとします。

Uberは、本規約及び本サービスに関連するポリシー又は補足条件（コミュニティガイドラインを含む。）を随時変更することができます。変更は、Uberが当該更新後の本規約をこの場所に掲載した場合又は変更若しくは補足条件に関する方針を適用される本サービス上に掲載した時点で有効となります。当該掲載後又は通知期間の満了後（のいずれか遅い日）に貴殿が引き続き本サービスにアクセスし又はこれを利用した場合、貴殿は、修正後の本規約に拘束されることに同意することになります。

「コミュニティガイドライン」とは、https://www.uber.com/legal/ja/document/?name=general-community-guidelines&country=japan&lang=ja又はhttps://www.uber.com/legal/ja/及び/若しくは https://www.uber.com/jp/ja/safety/uber-community-guidelines//からアクセス可能な他のURLに定めるUberのコミュニティガイドライン(Uberの単独の裁量により随時修正されることがある。)をいいます。

当社は、https://www.uber.com/legal/en/document/?name=privacy-notice&country=japan&lang=jaに掲載するUberのプライバシーノーティスに定めるところに従って本サービスに関連して個人情報を収集及び使用します。Uberは、貴殿、マーチャント（後で定義します。）、受取人（後で定義します。）、送り主（後で定義します。）及び/又は配達パートナー（後で定義します。）が関係する苦情、紛争又は衝突が生じ、当該情報又はデータが、苦情、紛争又は衝突を解決するために必要となる場合に、必要な情報（貴殿の連絡先を含む。）を保険金支払業者、規制当局又は保険会社に提供する場合があります。

These Terms of Use ("Terms") govern the access or use by you (“You”), an individual from within any country in the world (excluding the United States and its territories and possessions) of applications (including the Uber Eats App), websites, content (collectively, the “App”) for the purposes of using the Uber Eats platform (the “Access Services”), made available by Uber Portier B.V. (“UPBV”), a private limited liability company established in the Netherlands, having its offices at Mr. Treublaan 7, 1097 DP, Amsterdam, the Netherlands, registered at the Amsterdam Chamber of Commerce under number 56317441.

The Terms also govern the request for Delivery Services on the Uber Eats platform (the “Delivery Services”), which are provided by Uber Eats Japan合同会社 (“Eats JP”). 

In these Terms, UPBV and Eats JP, are collectively referred to as “Uber” or “We”, and, the Access Services and Delivery Services, are collectively referred to as the “Services.”

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

Your access and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and Uber. If you do not agree to these Terms, you may not access the Services. These Terms expressly supersede prior agreements or arrangements with you.

Supplemental terms may apply to govern policies for a particular event, activity or promotion etc., and such supplemental terms will be disclosed to you in connection with the applicable event, activity or promotion. Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable event, activity or promotion. Supplemental terms shall prevail over these Terms in the event of a conflict with respect to the applicable event, activity or promotion.

Uber may amend the Terms, any policies or supplemental terms (including the Community Guidelines) related to the Services from time to time. Amendments will be effective upon Uber’s posting of such updated Terms at this location or posting of the policies for amendments or supplemental terms on the applicable Service. Your continued access or use of the Services after such posting, or after the expiry of the notice period (whichever is later), constitutes your consent to be bound by the Terms, as amended.

“Community Guidelines” means the Uber's community guidelines (which may be modified from time to time by Uber in its sole discretion) as set forth at https://www.uber.com/legal/ja/document/?name=general-community-guidelines&country=japan&lang=en or other URLs accessible from https://www.uber.com/legal/ja/ and/or https://www.uber.com/jp/ja/safety/uber-community-guidelines/.

Our collection and use of personal information in connection with the Services is as provided in Uber’s Privacy Notice located at https://www.uber.com/legal/en/document/?name=privacy-notice&country=japan&lang=ja . Uber may provide to a claims processor, regulator or an insurer any necessary information (including your contact information) if there is a complaint, dispute or conflict, which may involve you, Merchants (as defined below), Recipients (as defined below), Senders (as defined below) and/or a Delivery Partner (as defined below) and such information or data is necessary to resolve the complaint, dispute or conflict.

配送サービス

Delivery Services

• Uber Eatsプラットフォームは、本規約に従い、次の配送サービスを提供します。
• 食事、飲料又はその他の商品（以下「商品」）を注文するための貴殿とマーチャント（以下「マーチャント」）をつなぎ、Eats JP又はマーチャントが貴殿に商品の配送を提供すること（以下「Uber Eatsサービス」）。
• 荷物（内容物及びその梱包用素材を含む。）（以下「荷物」）を、Eats JPが指定の住所に配送すること（以下「Uber Courierサービス」）。
• 貴殿は、UPBVから本アプリへのアクセス権を付与された後に、配送サービスを利用できるようになります。
• Eats JPは、貴殿の商品及び荷物が合理的に可能な限り速やかに配送されるよう努めます。Eats JPは、事前に、配送にかかる時間の目安を提示します。残念ながら、交通及び天気並びにマーチャント又は配達パートナー（後で定義します。）の作為若しくは不作為等の独立要因により、配送サービスの提供が遅延する場合があります。
• 配送サービスは、Uber Eatsアプリを通じて随時通知される指定地域において提供されます（以下「配送サービスエリア」）。Eats JPは、配送サービスエリアにおいて配送サービスが常に利用可能となることを保証しません。
• Eats JPが貴殿に起因しない理由により配送サービスを取り消した場合、貴殿は、支払った金額の返金を受けることができます。
• 配送サービスが貴殿に起因する理由により履行されなかった場合（例えば、Uber Eatsサービスにおいて商品が貴殿に配送された時に貴殿が応答しなかった等）、貴殿は、配送サービス及び商品（適用がある場合）双方について全額の請求を受ける場合があります。
• 本サービスは、Uberが別途の契約において貴殿との間で別段の合意をする場合を除き、貴殿の個人的かつ非商業的な利用のみを目的として提供されます。
• The Uber Eats platform will provide the following Delivery Services in accordance with these Terms:
• Connecting you to merchants (“Merchants”) to order food, beverages, or other items (“Items”) and having Eats JP or Merchants to deliver of the Items to you (“Uber Eats Services”); and
• Having Eats JP deliver packages (both the content and the packaging materials) (“Packages”) to an address designated by you (“Uber Courier Services”)
• Once you have been provided access to the App by UPBV, you may use the Delivery Services.
• Eats JP will endeavor to ensure that your Items and Packages will be delivered as soon as reasonably possible. Eats JP will give you an estimated range of how long the delivery will take. Unfortunately, independent factors such as traffic and weather, as well as the actions or inactions of Merchants or Delivery Partners (as defined below) may cause delays in the provision of Delivery Services.
• Delivery Services are offered in designated regional areas as communicated via the Uber Eats App from time to time (“Delivery Service Area”). Eats JP does not guarantee that the Delivery Services will be available in the Delivery Service Area at all times.
• If Eats JP cancels the Delivery Services for any reason not attributed to you, you will be entitled to a refund for any amounts paid.
• If the Delivery Services fail to be performed for reasons attributed to you (for example, you did not answer when your Items were delivered to you in the Uber Eats Services) you may be charged full price for both the Delivery Services and Items (where applicable).
• The Services are made available solely for your personal, non-commercial use, unless Uber has agreed with you otherwise in a separate agreement.

Uber Eats Services

このセクションは、貴殿がUber Eatsサービスを利用する場合に本規約に定める他の権利又は義務に加えて適用されます。

● 貴殿は、Eats JPを用いた商品の配送を依頼することができ、この場合貴殿は、Eats JPからUber Eatsサービスに関する請求を直接受けることになります。貴殿は、（下記第5条に定めるとおり）本アプリにおいて配送サービスを利用せずに商品を注文することもできます。

● Eats JPは、オンデマンド配送サービスの提供を希望する独立契約者（以下「配達パートナー」）に対して、マーチャントから商品を受け取って貴殿に配送するようにUber Eatsアプリを用いて依頼します。

● マーチャントは、Uberブランドのアプリケーション又はウェブサイトを通じて配送サービスを提供する場合があります（以下「マーチャント配送」）。貴殿は、Uber Eatsアプリにおいて、Eats JPによる配送サービスを利用せずにピックアップ又はマーチャント配送等の注文を行うこともできます。Eats JPは、貴殿の注文がマーチャント配送により実行される時を、貴殿に通知します。疑義を避けるために付言すると、貴殿がマーチャント配送を選択した場合、Uber Eatsサービスには、配送の要素は含まれません。

Eats JPがマーチャントとしてUber Earsアプリを通じて販売する一部の商品（なお、疑義を避けるために付言すると、Eats JPがマーチャントとして貴殿に販売した全ての商品の所有権は、当該商品が貴殿又は貴殿が指定する受取人に引き渡された時点で、貴殿に移転するものとします。）を除き、UPBV、Eats JP及びEats JPの日本における関連会社は、商品の販売者又は製造者ではなく、下記のマーチャントの義務について責任を負いません。

● マーチャントは、貴殿から受けた注文を実行し、許容される品質及び基準で商品を準備し、かつ本アプリ上の情報（メニュー商品及び価格に関する情報を含む。）が正確であることを確保する責任を負います。

● マーチャントは、関係する許認可を取得し、かつ適用法、規則及びガイドライン（日本における商品の準備、取扱い、包装及び安全性に関する要件を含みます。）を遵守しなければなりません。

● マーチャントは、本アプリ及びマーチャント配送において商品を販売する目的のため、関係する当事者（関係する政府当局を含むがこれに限られない。）が要求する適用ある全ての承認、同意又は許可を取得する責任を負います。

This section applies in addition to any other rights or obligations set out in these Terms if you use Uber Eats Services.

• You may request that Items be delivered using Eats JP whereby you will be charged by Eats JP directly for the Uber Eats Services. You may also place orders for Items via the App which do not require the use of Delivery Services (as set out in Article 5 below). 
• Eats JP will request an independent contractor who intends to perform on-demand Delivery Services using the Uber App (a "Delivery Partner") to collect Items from Merchant and deliver such Items to you. 
• In some cases, Merchants may offer Delivery Services via an Uber branded application or website (“Merchant Delivery”). You may also be able to place orders via the Uber Eats App that do not require Delivery Services provided by Eat JP, such as pickup or Merchant Delivery. Eats JP will let you know when your order will be fulfilled by Merchant Delivery. To avoid doubt, the Uber Eats Services do not include the delivery component where you have chosen Merchant Delivery.

With the exception of certain Items sold via the Uber Eats App where Eats JP may act as a Merchant (For the avoidance of doubt, title to all Items sold to you by Eats JP as a Merchant shall pass onto you upon delivery of such Items to you or recipient designated by you), neither UPBV, Eats JP, nor its affiliates in Japan are an Item selling or preparation entity, and are not responsible for the following obligations of Merchants:      

• Merchants are responsible for fulfilling orders they accept from you, preparing items to an acceptable quality and standard, and ensuring their information on the App, including information about menu items and pricing is correct; 
• Merchants must obtain relevant licenses and permits, and comply with applicable laws, regulations and guidelines, including any requirements on Item preparation, handling, packaging and safety in Japan; and
• Merchants are responsible for obtaining all applicable authorizations, consents or permissions required from any relevant parties (including, without limitation, any relevant governmental authorities) for the purpose of the selling of any Items on the App and Merchant Delivery.

Uber Courierサービス

Uber Courier Services

このセクションは、貴殿がUber Courierサービスを利用する場合に本規約に定める他の権利又は義務に加えて適用されます。

• 貴殿は、Eats JPに対して荷物の配送を依頼することができ、この場合貴殿は、Eats JPからUber Courierサービスに関する請求を直接受けることになります。
• 貴殿は、Eats JPが禁止品として定める荷物（以下「禁止品」）を、Uber Courierサービスを用いて配送することを依頼してはなりません。禁止品のリストは、こちらをご覧ください。ただし、Eats JPは、リストされた禁止品を、その裁量により随時追加又は変更することができます。貴殿は、Uber Courierサービスを利用するたびに、貴殿の荷物が禁止品に該当しないことを確認する責任を負います。荷物の配送に関連する地域によっては、追加の禁止品のリストやUber Courierサービスの利用制限が設けられている可能性があります。
• 貴殿は、Uber Courierサービスの利用について、荷物が次のすべての事項を満たすこと確保します。
  • 重量が8キログラム以下であること
  • 体積（高さ、幅、長さを乗じた値）が、四輪配送では79,706立方センチメートル以下、徒歩/自転車/バイク配送では60,750立方センチメートル（45cm x 45cm x 30cm）以下であること
  • 価額が10,000円（税込）以下であること
  • 包装され、密封され、配達に適した状態であること
  • 安全に持ち運べて、車両に無理なく積めること

This section applies in addition to any other rights or obligations set out in these Terms if you use the Uber Courier Services.

• You may request Eats JP to deliver Packages, in which case you will receive a direct invoice from Eats JP for the Uber Courier Services.
• You must not request the delivery of any items that Eats JP has specified as prohibited items (“Prohibited Items”) using Uber Courier. Please see here for a list of Prohibited Items. However, Eats JP may add to or change the list of Prohibited Items at any time at its discretion. You are responsible for ensuring that Packages do not contain any Prohibited Items each time you use the Uber Courier Service. Additional Prohibited Item lists and restrictions on the use of the Uber Courier Services may apply in certain areas related to the delivery of packages.
• You are responsible for ensuring that Packages meet all of the following requirements for use of the Uber Courier Services.
  • The Packages weigh 8 kilograms or less.
  • The Packages have a volume (height, width, length multiplied) of 79,706 cubic centimeters or less for 4 wheels delivery, 60,750 cubic centimeters (45cm x 45cm x 30cm) or less for walker/bicycle/motorbike delivery.
  • The Packages are worth 10,000 yen (including tax) or less.
  • The Packages are packaged, sealed, and in a condition suitable for delivery.
  • ThePackages are safe to handle and able to be loaded onto the vehicle (including bicycles and motorcycles) without difficulty.

3.　アクセスサービスの利用に関する条件

3. Terms Relating to Use of Access Services

貴殿が本規約に従うことを条件として、①UPBVは、貴殿によるアクセスサービスの利用のみに関連して、貴殿の個人デバイス上で本アプリにアクセスしこれを利用するための限定的、非独占的、サブライセンス不能、取消可能かつ譲渡不能なライセンスを無償で貴殿に付与し、また、②UPBVは、アクセスサービスを通じて提供されるコンテンツ、情報及び関連資料にアクセスしこれを利用するための限定的、非独占的、サブライセンス不能、取消可能かつ譲渡不能なライセンスを無償で貴殿に付与します。いずれの場合も、貴殿の個人的かつ非商業的な利用のみを目的としてライセンスを付与するものとします。本規約で明示的に付与されない権利は、UPBV及びそのライセンサーが留保します。

Subject to your compliance with these Terms, (i) UPBV grants you for no consideration a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the App on your personal device solely in connection with your use of the Access Services; and (ii) UPBV grants you for no consideration a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use any content, information and related materials that may be made available through the Access Services, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by UPBV and their licensors.

貴殿は、①アクセスサービスのいずれの部分からも著作権、商標又はその他の財産権表示を削除してはならず、②Uberが明示的に許可する場合を除き、アクセスサービスを複製、変更、派生物の作成、頒布、ライセンス付与、リース、売却、転売、譲渡、公に表示、公に実演、送信、ストリーミング配信、放送又はその他の形で収益化してはならず、③適用法で許容される場合を除き、アクセスサービスを逆コンパイル、リバースエンジニアリング又は逆アセンブルしてはならず、④アクセスサービスのいずれの部分もリンク付け、ミラーリング又はフレーミングしてはならず、⑤アクセスサービスのいずれの部分もスクレイピング、インデックス化、監視又はその他の方法によりデータマイニングする目的でプログラム又はスクリプトを害し又は起動してはならず又はアクセスサービスのいかなる部分の操作及び/又は機能に不当に負担をかけ若しくは妨害してはならず、かつ⑥アクセスサービス又はその関連システム若しくはネットワークのいずれかの部分に不正アクセスし又はこれを害してはなりません。

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Access Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Access Services except as expressly permitted by Uber; (iii) decompile, reverse engineer or disassemble the Access Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Access Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Access Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Access Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Access Services or its related systems or networks.

第三者のサービス及びコンテンツ

Third Party Services and Content.

本アプリは、UPBVが管理しない第三者のサービス及びコンテンツ（広告を含む。）に関連して提供され又はアクセスされる場合があります。貴殿が第三者のサービス又はコンテンツへのリンクをクリックすると、貴殿は当該ウェブサイト、リンク先または第三者たる提供者の利用規約及びプライバシーポリシーに従うこととなります。UPBVは、貴殿がアクセスサービスから去ったこと、又は、貴殿が他のウェブサイト、リンク先若しくは第三者たる提供者の利用規約（プライバシーポリシーを含む。）に従うことについて警告しません。第三者のウェブサイト及び広告の中に含まれるリンクはアクセスサービスの一部ではなく、UPBVにはコントロールできないものであるため、貴殿は、自身のリスクでこれらを利用するものとします。貴殿は、貴殿による当該第三者のサービス及びコンテンツの利用に別の利用規約及びプライバシーポリシーが適用される場合があることを確認します。UPBVは、当該第三者のサービス及びコンテンツを保証せず、いかなる場合も、当該第三者提供者の製品又はサービスに責任を負いません。また、Apple Inc.、Google, Inc.、Microsoft Corporation、他のオペレーティングシステム提供者及び/又はそれらの該当する世界中の子会社及び関連会社は、それぞれ、貴殿がApple iOS、Android、Microsoft Windows又は他のオペレーティングシステムのモバイル端末向けに開発されたアプリケーションを用いて本アプリにアクセスした場合、本規約の第三者受益者となります。かかる第三者受益者は、本規約の当事者ではなく、いかなる形であれ本アプリの提供又はサポートに責任を負いません。貴殿によるかかる端末を用いた本アプリへのアクセスは、適用ある第三者受益者のサービス規約に定める条件の適用を受けます。

The App may be made available or accessed in connection with third party services and content (including advertising) that UPBV does not control. Once you click on a link to third party services or content, you will be subject to the terms and conditions and privacy policy of that website, destination, or third-party service provider. UPBV will not warn you that you have left the Access Services or that you are subject to the terms and conditions (including privacy policies) of another website, destination, or third-party service provider. You use all links in third-party websites and advertisements at your own risk as these are not part of the Access Services and are not controlled by UPBV. You acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content. UPBV  does not endorse such third party services and content and in no event shall UPBV be responsible or liable for any products or services of such third party providers. Additionally, Apple Inc., Google, Inc., Microsoft Corporation or other operating system providers and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to these Terms if you access the App using applications developed for Apple iOS, Android, Microsoft Windows, or other operating system-powered mobile devices, respectively. These third party beneficiaries are not parties to these Terms and are not responsible for the provision or support of the App in any manner. Your access to the App using these devices is subject to the terms set forth in the applicable third party beneficiary’s terms of service.

アクセスサービス及びこれに含まれる全ての権利は、引き続きUPBV又はUPBVのライセンサーの財産です。本規約及び貴殿によるアクセスサービスの利用のいずれも、①上記で付与した限定的ライセンスを除き、アクセスサービスに関連する権利、又は②Uber及びUberのライセンサーの社名、ロゴ、製品名及びサービス名、商標又はサービスマークを何らかの形で使用又は引用するための権利を貴殿に付与するものではありません。

The Access Services and all rights therein are and shall remain UPBV’s property or the property of UPBV ’s licensors. Neither these Terms nor your use of the Access Services conveys or grants to you any rights: (i) in or related to the Access Services except for the limited license granted above; or (ii) to use or reference in any manner  Uber’s company names, logos, product and service names, trademarks or services marks or those of  Uber’s licensors.

4.　貴殿による本サービスの利用

4. Your Use of the Services

貴殿のアカウント

User Accounts

本アプリの大半を利用し以後配送サービスを活用するために、貴殿は、有効な個人ユーザー用Uber Eatsアカウント（以下「本アカウント」）を登録しこれを維持しなければなりません。貴殿は、18歳以上でなければ、日本で本アカウントを取得することはできません。

本アカウント登録の際、貴殿は、氏名、住所、携帯電話番号、年齢、最低1つの有効な支払方法（クレジットカード、デビットカード又は一般に認められた支払パートナーのいずれか）等の一定の個人情報をUberに提出する必要があります。貴殿は、貴殿の本アカウントにおいて正確、完全かつ最新の情報を維持することに同意します。貴殿が正確、完全かつ最新の本アカウント情報を維持しなかった（無効又は期限切れの支払方法を記録している場合を含む。）場合、貴殿は、本サービスへのアクセス又はその利用ができなくなる場合があります。貴殿は、貴殿の本アカウントの下で生じた全ての活動に責任を負うとともに、本アカウントのユーザーネーム及びパスワードを常に安全かつ秘密に保持することに同意します。Uberが書面で別段許可する場合を除き、貴殿は、本アカウントを1つのみ保有することができます。

In order to use most aspects of the App and thereafter utilise the Delivery Services, you must register for and maintain an active personal user Uber Eats account ("Account"). You must be at least 18 years of age to obtain an Account in Japan.

Account registration requires you to submit to Uber certain personal information, such as your name, address, mobile phone number and age, as well as at least one valid payment method (either a credit card or debit card or accepted payment partner). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access or use the Services. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by Uber in writing, you may only possess one Account.

本サービスは、18歳未満の方は利用できません。また、貴殿は、一定の本サービスを受けるために法律上の年齢要件がある場合は、適用法を遵守しなければなりません。貴殿は、自身の本アカウントを第三者に使用させてはなりません。貴殿は、自身の本アカウントを他の個人又は法人に譲渡又はその他の方法で移転してはなりません。貴殿は、本サービスへのアクセス又はその利用に際して、全ての適用法及びコミュニティガイドラインを遵守すること並びに適法な目的（例えば、違法又は危険物質の運送をしてはなりません。）に限り本サービスにアクセスし又はこれを利用できることに同意します。貴殿は、本サービスの利用に際し、配達パートナー又はその他の当事者に対し、妨害、不快、迷惑又は物的損害となる行為を行いません。貴殿は、本サービスにアクセスし又はこれを利用するに当たって身分証明書の提供又はその他の方法による身分確認を求められる場合があり、貴殿は、身分証明書の提供又はその他の方法による身分確認を拒否した場合に、本サービスへのアクセス又はその利用を拒否される場合があることに同意します。

The Services are not available for use by persons under the age of 18.  Further, you must comply with applicable law where there are any legal age requirements to receive certain Services. You may not authorize third parties to use your Account. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws and Community Guidelines when accessing or using the Services, and you may only access or use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Delivery Partner or any other party. In certain instances you may be asked to provide proof of identity or other method of identity verification to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity or other method of identity verification.

貴殿は、本アカウントを作成することにより、Uber又はその関連会社が貴殿による本サービスの利用に関する通常業務の一環として電話又は商用電子メッセージ（電子メール、SNS、プッシュ通知又は自動電話ダイアルシステム（該当する場合）を含む。）により貴殿に連絡する場合があることに同意します。貴殿は、Uber及びその関連会社が実行不可能な場合には商用電子メッセージ（プッシュ通知を含む。）中に配信停止メッセージを入れる必要がないことに同意します。ただし、貴殿は、t.uber.com/unsub-preferenceに記載の指示に従っていつでもUberからの商用電子メッセージの受信を停止することができます。貴殿は、商用電子メッセージの受信停止が貴殿による本サービスの利用に影響する場合があることを確認します。貴殿は、取引メッセージ（配送の領収書及びサポート対応を含む。）の配信を停止することはできません。かかる連絡は、貴殿のエクスペリエンスに重要なものです。

By creating an Account, you agree that Uber or its affiliates may contact you by telephone or commercial electronic messages (including email, SMS, push notifications, or automatic telephone dialing system where applicable) as part of the normal business operation of your use of the Services. You agree that Uber and its affiliates are not required to include an unsubscribe message in commercial electronic messages where it may be impracticable (including for push notifications). However, you may opt-out of receiving commercial electronic messages from Uber at any time by following the directions found at t.uber.com/unsub-preference. You also acknowledge that opting out of receiving commercial electronic messages may impact your use of the Services. You cannot unsubscribe from transactional messages, including trip receipts and support responses. These communications are important for your experience.

貴殿は、本アカウントを作成することにより、Uber、その代表者、子会社及び関連会社がマーケティング等を目的として貴殿のUberアカウントに関連して提供された電話番号のいずれかに宛てて電話又はテキストメッセージ（自動電話ダイヤルシステムを含む。）により貴殿に連絡を取ることができることに同意します。貴殿は、財産、物品又はサービスを購入する条件としてこの同意を提供する必要はないことを了解します。

また貴殿は、メッセージを受信するモバイルデバイスを使用して関連するテキストメッセージの配信を停止する方法に関する指示に従うことにより又はhelp.uber.comに連絡することによりいつでもUberからテキストメッセージの受信を停止できることも了解しているものとします。貴殿が配信停止を選択しなかった場合、Uberは、 https://www.uber.com/legal/ja/document/?name=privacy-notice&country=japan&lang=jaに掲載したプライバシー通知に定めるところに従って貴殿に連絡を取ることができます。

By creating an Account, you agree that Uber and its representatives, subsidiaries, and affiliates may contact you by telephone or text messages (including by an automatic telephone dialing system) at any of the phone numbers provided in connection with your Uber Account, for purposes that include, without limitation, marketing purposes. You understand that you are not required to provide this consent as a condition of purchasing any property, goods or services.

You also understand that you may opt out of receiving text messages from Uber at any time, either by following the directions regarding how to opt out of relevant text messages using the mobile device that is receiving the messages, or by contacting help.uber.com. If you do not choose to opt out, Uber may contact you as outlined in its Privacy Notice, located at https://www.uber.com/legal/ja/document/?name=privacy-notice&country=japan&lang=ja.

Uberは、テキスト、音声及び/又は映像コンテンツ及び情報（本サービスに関連するコメント及びフィードバック、サポート依頼の開始並びにコンペティション及びプロモーションへの参加申込を含む。）（以下「本ユーザーコンテンツ」）を貴殿が本アプリを通じて、随時Uberに提出、アップロード、公表又はその他の方法により提供することを許可する場合があります。貴殿が提供した本ユーザーコンテンツは、引き続き貴殿の財産です。ただし、貴殿は、本ユーザーコンテンツをUberに提供することにより、貴殿に追加で通知したり又は貴殿から同意を得ることなく、かつ貴殿又はその他の個人若しくは法人への支払を要さず、既知の又は今後考案されるあらゆる形式及び配信経路（本サービス及びUberの事業に関連するもの並びに第三者のウェブサイト及びサービス上のものを含む。）により、当該本ユーザーコンテンツを利用、複製、変更、派生物の作成、頒布、公に表示、公に実演及びその他の方法により収益するための全世界的、永久、取消不能、譲渡可能かつロイヤリティフリーのライセンスをサブライセンス権付きでUber及びその関連会社に付与することになります。

貴殿は、①貴殿が全ての本ユーザーコンテンツの唯一かつ独占的な所有者であるか又は上記の定めるとおりに本ユーザーコンテンツに対するライセンスをUberに付与するために必要な全ての権利、ライセンス、同意及び許可を有していること、②本規約で許容される本ユーザーコンテンツ及び貴殿による当該本ユーザーコンテンツの提出、アップロード、公表又はその他の方法による提供並びにUberによる本ユーザーコンテンツの利用がいずれも、第三者の知的財産若しくは財産権又はパブリシティ権若しくはプライバシー権を侵害せず、悪用せず若しくはこれらに抵触せず又は適用法令の違反とはならないことを表明し保証します。

貴殿は、誹謗的、中傷的、悪意に満ちた、暴力的、卑猥、猥褻、違法又はその他の形で不適切であるとUberが単独の裁量により判断する本ユーザーコンテンツを、当該素材が法律で保護されているか否かにかかわらず、提供しないことに同意します。Uberは、貴殿に通知することなくいつでも理由の如何にかかわらず、本ユーザーコンテンツを審査、監視又は削除することができます（ただし、義務ではありません。）。

Uber may permit you from time to time to submit, upload, publish or otherwise make available to Uber through the App textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. However, by providing User Content to Uber, you grant Uber and its affiliates a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Uber’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Uber the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Uber’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Uber in its sole discretion, whether or not such material may be protected by law. Uber may, but shall not be obligated to, review, monitor, or remove User Content, at any time and for any reason, without notice to you.

貴殿は、本サービスの利用に必要なデータネットワークアクセスを取得する責任を負います。貴殿のモバイルネットワークのデータ及びメッセージ送信の料金及び手数料は、貴殿がワイヤレス対応デバイスから本サービスにアクセスし又はこれを利用した場合に適用され、貴殿は、当該料金及び手数料に責任を負うものとします。貴殿は、本サービスへのアクセス及びその利用並びにその更新に必要な互換性のあるハードウェア又はデバイスを取得及び更新する責任を負います。UPBV及びEatsJPはそれぞれ、本アプリ、配送サービス又はその一部が特定のハードウェア又はデバイス上で作動することを保証しません。また、本サービスは、インターネット及び電子通信の利用に固有の不具合及び遅延を生じる場合があります。

You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and any updates thereto. UPBV and Eats JP respectively do not guarantee that the App, Delivery Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

5.1 Uber Eatsサービスの条件

5.1 Uber Eats Services Terms 

このセクションは、貴殿がUber Eatsサービスを利用する場合に本規約に定める他の権利又は義務に加えて適用されます。

This section applies in addition to any other rights or obligations set forth in these Terms when you use the Uber Eats Services.

注文

Orders 

本アプリを通じて注文をすると、貴殿の注文は、関連するマーチャントに送信され処理されます。注文は、マーチャントの商品在庫並びに配達パートナーの配送能力及び受入可能性に左右されます。貴殿が注文した商品の供給に関する契約は、マーチャントが注文を受け付け、当社がその旨を貴殿に通知した時に、貴殿とマーチャントとの間で成立します。貴殿は、貴殿の本アカウントを使用して注文した全ての商品及び関連する配送手数料を支払う責任を負います。

When you place an order through the App, your order will be communicated to and processed by the relevant Merchant. Orders are subject to Merchant’s Item availability and Delivery Partner’s delivery capacity and availability. The contract for the supply of Items you have ordered is formed between you and the Merchant when the Merchant accepts the order and we send you a notification of your order being accepted. You are responsible for paying for all Items ordered using your Account, and related delivery charges. 

誤注文、商品の不足/誤り/破損

Wrong Order, Missing/Inaccurate/Damaged Item

貴殿は、配送された商品が誤注文であるか又は注文の中に商品の不足、誤り若しくは破損があると考える場合は、遅滞なくかつ遅くとも商品の注文完了後7日以内に、本アプリのヘルプページに進んで関連する内容を報告して下さい。この期限を過ぎて届いた情報は、受け付けられません。Eats JPは、問題が分かる写真を請求する場合もあります。Eats JPは、関連する情報を審査し、問題の原因が貴殿にあると信じる合理的な理由がある場合を除き、商品の影響を受けた部分及び注文全体が影響を受けた場合には配送に関して、貴殿が注文時に使用した支払方法と同じ方法（Uberキャッシュによる貴殿の本アカウントへの返金のみが可能であるとEats JPが判断した場合における現金支払は除く。）により返金します。Eats JPは、返金処理を行うに当たり、関連する要因（注文内容、貴殿の本アカウント履歴、配送中に生じた事象並びにマーチャント及び配達パートナーからの情報を含む。）を考慮する場合があります。

If you believe that the Items that were delivered are a wrong order or there are missing, inaccurate or damaged Items in the order, please proceed to the Help page in the App and provide the relevant details without delay and latest within 7 days after completion of the Items orders. Any information received after this deadline will not be accepted. Eats JP may also request a photograph showing the problem.  Eats JP will review the relevant information and unless there is reasonable cause to believe the problem was caused by you, Eats JP will provide a refund using the same method you used to pay for your order (save for cash payment where Eats JP determines refund can only be made via Uber Cash to your Account) in respect of the affected part of the Item; and also in respect of delivery if the whole order was affected.  Prior to processing your refund, Eats JP may take into account relevant factors including the details of the order, your Account history, what happened on delivery and information from the Merchant and Delivery Partner.

Refunds and Exchange of Items

上記の「誤注文、商品の不足/誤り/破損」条項の他、返金及び/又は商品（例えば、食べ物でない商品）の交換には、マーチャントの適用ある返金及び交換ポリシーが適用されます。貴殿は、注文したマーチャントに直接商品を持ち込んで本アプリ上の領収証を提示することができますが、マーチャントは、返金/交換に関してそのポリシーに基づく最終的な決定権を留保します。

Subject to the "Wrong Order, Missing/Inaccurate/Damaged Item" section above, refunds and/or exchange of any Items such as non-food items are subject to the applicable refunds and exchange policies of the Merchant. Although you may bring the Item(s) directly to the Merchant you placed the order from and present the receipt on your App, the Merchant reserves the final discretion on refunds/exchanges based on their policies.

配送及びピックアップ

Delivery and Pick Up

注文の際、貴殿は、配送又はピックアップ（貴殿のエリアで利用可能な場合）を選択することができます。

When you place an order, you may have a choice of delivery or pick-up (if it is available in your city). 

(i)　配送

(i) Delivery

貴殿の注文の上部に表示される配送時間は、予定であり、これには(a)マーチャントが平均的な注文を受け付けて準備するのに通常要する時間及び(b)配達パートナーがピックアップ地点から配送先住所まで移動するのに要するEats JPによる見積もり時間等の要素が含まれます。実際の配送時間は、マーチャントの混雑具合、貴殿の注文量、交通状況、天候及びその他の要因により変動する場合があります。

貴殿の注文が正しい場所に配送されるよう、正確な配送先住所及び連絡先電話番号を本アプリに反映して下さい。注文後（配達パートナーが手配される前）に住所を変更したい場合、新たな住所がマーチャントの配送エリア内にある場合は、Eats JPにて変更することができます。当該場所がマーチャントの配送エリア外にある場合及びマーチャントが商品の準備を開始しかつ/又は配達パートナーが配送中の場合、貴殿は、商品を受け取らずに、商品及び配送の全額の請求を受ける場合があります。

貴殿の注文の配送が遅延し又は到着しない場合及び配送状況が未完了となっている場合、貴殿は、本アカウントにアクセスした上で配達パートナーに直接連絡して注文状況を確認することができます。配達パートナーと連絡がとれない場合及び/又は貴殿の注文が到着していないにもかかわらず配送状況が完了となっている場合は、当社にご連絡の上注文内容をお知らせ下さい。Eats JPは、問題を審査し、問題が貴殿の行為が原因で生じたものではないと判断した場合は、貴殿が注文時に使用した支払方法と同じ方法（Uberキャッシュによる貴殿のアカウントへの返金のみが可能とEats JPが判断した場合における現金支払は除く。）により返金します。

商品及び貴殿の注文に伴う全てのリスクは、注文が貴殿に配送された時に、貴殿に移転するものとします。ただし、注文の実行から商品の引き渡しまでの時間差に鑑み、貴殿は、引き渡しを受ける商品の品質について、マーチャントが準備した時点から重大でない程度の劣化が生じ得ること、及び当該劣化によって発生するリスクについて、了解します。

何らかの理由により、貴殿に対して商品を引き渡すことができなかった場合、Eats JPは、商品を配送先住所（配達パートナーが配送先住所に物理的に到達できない事情がある場合には、Eats JPが合理的に判断する配送先住所の周辺エリアを含みます。このセクションにおいて、以下同じ。）に置くか又は商品を処分することができ、これをもって配送が完了したものとみなされます。この場合において、Eats JPは、Eats JPの故意又は重過失による場合を除き、当該商品に関連して発生した貴殿の損害（盗難、滅失、毀損、劣化等を含み、これらに限られません。）について一切責任を負わないものとします。

また、Eats JPは、上記の事態が生じた場合に、配送先住所に置くことに代えて、マーチャントに商品を返送することがあります。Eats JPは、当該返送について合理的な追加料金を貴殿に請求することができます。

The delivery time displayed at the top of your order is estimated and includes factors such as: (a) the time it typically takes the Merchant to accept and prepare an average order, and (b) the time Eats JP estimate it will take for the Delivery Partner to travel from the pick-up point to the delivery address. Actual delivery time may vary depending on how busy the Merchant is, the size of your order, traffic conditions, weather conditions and other factors.

Please ensure that an accurate delivery address and contact number are reflected in the App for your order to be  delivered to the right location. If you would like to change the address after you have placed an order (before the Delivery Partner has been dispatched), Eats JP may be able to do so if your new address is within the delivery area of the Merchant. If the location is outside of the Merchant’s delivery area, and the Merchant has started Item preparation and/or Delivery Partner is on its way, you may be charged the full amount of the Item and delivery without receiving Item.

If the delivery of your order is late or does not arrive and the delivery status is shown as incomplete, you can access your Account and directly contact the Delivery Partner for an update on the status of the order. If you are unable to contact the Delivery Partner and/or your order did not arrive but the delivery status is shown as completed, please contact us and provide details of the order.  Eats JP will review the issue and if it is found that the issue did not arise due to any of your actions, Eats JP will provide a refund for any payment already made using the same method you used to pay for your order (save for cash payment where Eats JP determines refund can only be made via Uber Cash to your account).

When the order is delivered to you, all risks associated with the Items and your order shall be transferred to you. However, considering the time gap between the placement of the order and the delivery of the Items, you acknowledge that the quality of the Items to be delivered may deteriorate to an immaterial extent from the time the Merchant prepared the Items, and that you assume the risk associated with such deterioration.

If, for any reason, Eats JP is unable to deliver the Items to you, Eats JP may either leave the Items at the delivery address (or, if there are circumstances where the Delivery Partner is physically unable to reach the delivery address, including the area surrounding the delivery address as reasonably determined by Eats JP. The same applies in this section.) or dispose of the goods, and this shall be deemed to constitute completion of delivery. In this case, Eats JP shall not be liable for any damage incurred by you in relation to the Items (including, but not limited to, theft, loss, damage, deterioration, etc.), except in cases of Eats JP’s intentional acts or gross negligence.

In addition, in the event of the above situation occurring, Eats JP may return the Items to the Merchant instead of leaving them at the delivery address. Eats JP may charge you a reasonable additional fee for this return.

貴殿に起因する配送不能

Failed Delivery due to You

貴殿は、配達パートナーが問題なく貴殿に注文を配送できるよう、正確な配送先住所を提供しなければならず、また提供した配送先住所に安全かつ利用可能な通路を確保しなければなりません。配送先住所が不正確であること又は配達パートナーが利用できる通路がないことにより、注文を配送することができない場合、貴殿は、商品及びUber Eatsサービスについて全額の請求を受けることになります。

配達パートナーが配送先住所に到着した時にEats JP及び/又は配達パートナーが貴殿に連絡をとろうと試みたものの、貴殿が提供した住所に配達パートナーが物理的に到着してから10分以内に貴殿が電話又はテキストメッセージに応答しなかった場合にも、配送不能となる場合があります。この場合、配達パートナーは、配送を完了させることができませんが、貴殿は、注文について請求を受けることになります。

You must provide an accurate delivery address and ensure that the delivery address provided by you has safe and available passageways to enable the Delivery Partner to deliver the order to you without problems.  If the delivery address is inaccurate, or there is no such passageway for Delivery Partner to access and Delivery Partner is unable to deliver the order, you would be charged the full amount of the Items and Uber Eats Services. 

Failed delivery may also take place if Eats JP and/or the Delivery Partner tries to contact you when the Delivery Partner arrives at the delivery address but you do not respond to incoming phone calls or text messages within 10 minutes of the Delivery Partner physically reaching your provided address. In this instance, the Delivery Partner is unable to complete the delivery and you will be charged for the order. 

(ii)　ピックアップ

貴殿は、「ピックアップ」注文をした場合、マーチャントが注文を受け付けた時（注文の準備が整う予定時間について）及び注文がピックアップ可能となった時に通知を受け取ります。貴殿の注文をマーチャントが確認した場合、貴殿は、注文について請求を受けることになります。

注文の準備が整う予定時刻に必ずマーチャントから注文をピックアップして下さい。予定時刻までに注文をピックアップしない場合、マーチャントは、当該注文が完了したものとみなす権利を留保します。

If you place a "Pick-up" order you will  be notified when the Merchant accepts the order, the estimated time the order will be ready, and when the order is ready for Pick-up. Once your order is confirmed by the Merchant, you will be charged for the order.

Please ensure that you pick up your order from the Merchant at the scheduled time the order is ready. If order is not picked up by the scheduled time, Merchant reserves the right to deem such order as completed.

Cancellation

(i)　貴殿によるキャンセル

Our cancellation policy depends on your order status and the details of the cancellation policy can be found on https://help.uber.com/ubereats/article/what-is-the-uber-eats-cancellation-policy-?nodeId=78c4c326-15ba-4d6a-9fd2-d8724f525477 (as amended by Uber from time to time).

(ii)　マーチャントによるキャンセル

(ii) Cancellation by Merchants 

マーチャントは、貴殿の注文を受け付けた後、当該商品を提供できないかつ/又は注文を配送する配達パートナーがいないという理由で、貴殿の注文をキャンセルできる場合があります。この場合、Eats JPは、注文がキャンセルされた旨を本アプリを通じて貴殿に通知します。貴殿は、当該キャンセルされた注文について請求を受けず、既に行われた支払については、Eats JPは（Uber Eatsサービスについては自身が、商品についてはマーチャントに代わって）貴殿が注文時に使用した支払方法と同じ方法により返金します。

There may be instances where Merchants may cancel your order after accepting it because such Items are no longer available and/or there are no available Delivery Partners to deliver the order. In such instances, Eats JP will notify you through the App that the order is canceled. You will not be charged for such canceled orders, and Eats JP (by itself, with respect to Uber Eats Services, and on behalf of Merchants, with respect to Items) will refund you for any payment already made using the same method you used to pay for your order.

5.2　Uber Courierサービスの条件

このセクションは、貴殿がUber Courierサービスを利用する場合に本規約に定める他の権利又は義務に加えて適用されます。

This section applies in addition to any other rights or obligations set forth in these Terms when you use the Uber Courier service.

注文

Orders 

貴殿の注文は、配達パートナーの配送能力及び受入可能性に左右されます。Eats JPは、その単独の裁量に基づいて、貴殿の注文の承諾の可否を決定します。貴殿の荷物の配送に関する契約は、Eats JPが注文を承諾した旨を貴殿に通知した時に成立します。

貴殿は、注文時に、荷物の送り主（以下「送り主」）及び荷物の受取人（以下「受取人」）の氏名、住所その他Uber Courierサービスの提供に必要となる情報をEats JPに提供することについて受取人（貴殿が受取人であるときは、送り主）の同意を得ることを確認し、同意します。

貴殿の注文が正しい場所に配送されるよう、正確な住所及び連絡先電話番号を本アプリに反映して下さい。注文後に配送先住所を変更することはできません。。

Your order is subject to the delivery capacity and acceptance of Delivery Partners. Eats JP will decide whether or not to accept your order at its sole discretion. The contract for the delivery of Packages will be formed when Eats JP notifies you that your order has been accepted.

You confirm and agree that you have obtained the consent of the recipients of the Packages (the “Recipients”) (or if you are the Recipients, the consent of the senders of the Package (the “Senders”)) to provide Eats JP with the Recipients'and Senders’ names, addresses and other information necessary for the provision of the Uber Courier Services at the time of ordering.

Please ensure that the correct delivery address and contact phone number are reflected in the App so that your order is delivered to the correct location. The delivery address can not be changed after placing your order.

荷物の破損

Damaged Packages

貴殿は、配送された荷物に破損があると考える場合は、遅滞なくかつ遅くとも配送完了後7日以内に、本アプリのヘルプページに進んで関連する内容を報告して下さい。この期限を過ぎて届いた情報は、受け付けられません。Eats JPは、問題が分かる写真を請求する場合もあります。Eats JPは、関連する情報を審査し、問題の原因が貴殿にあると信じる合理的な理由がある場合を除き、影響を受けた配送に関して、貴殿が注文時に使用した支払方法と同じ方法（Uberキャッシュによる貴殿の本アカウントへの返金のみが可能であるとEats JPが判断した場合における現金支払は除く。）により返金します。Eats JPは、返金処理を行うに当たり、関連する要因（注文内容、貴殿の本アカウント履歴、配送中に生じた事象並びに配達パートナーからの情報を含む。）を考慮する場合があります。

If you believe that the delivered Packages are damaged, please proceed to the Help page in the App and provide the relevant details without delay and latest within 7 days after completion of the delivery. Any information received after this deadline will not be accepted. Eats JP may also request a photograph showing the problem.  Eats JP will review the relevant information and unless there is reasonable cause to believe the problem was caused by you, Eats JP will provide a refund using the same method you used to pay for your order (save for cash payment where Eats JP determines refund can only be made via Uber Cash to your Account) in respect of the affected delivery.  Prior to processing your refund, Eats JP may take into account relevant factors including the details of the order, your Account history, what happened on delivery and information from Delivery Partner.

準備及び梱包

Preparation and Packaging

貴殿は、荷物の準備及び梱包について、以下を確保しなければなりません。

• 荷物が禁止品に該当しないこと
• 荷物の重量、サイズ、及び価額がUberの定めるそれぞれの最大値（上記のとおり）を超えていないこと
• 荷物が適時に集荷できる状態にあること
• 荷物の内容物が注文時の申告と一致していること
• 配送のために適正に梱包されていること（配送中に破損のおそれがない状態であることを含みますが、これに限られません。)

貴殿は、注文が上記事項に準拠していない場合には、Eats JPがUber Courierサービスを提供する義務を負わないこと、及び、Eats JPが荷物の内容物を知っていたか否かに関わらず、本件商品の滅失又は毀損について保証する義務を負わないことを確認し、同意します。

You must ensure the following regarding the preparation and packaging of the Packages.

• The Package does not contain any Prohibited Items
• The weight, size and value of the Packages do not exceed their respective maximum values set by Uber (as stated above)
• The Packages are ready for timely collection
• The contents of the Packages match the order details
• The Packages are properly packaged for delivery (including, but not limited to, being in a condition that does not risk damage during delivery)

You acknowledge and agree that Eats JP is not obliged to provide the Uber Courier services if the order does not comply with the above matters, and that Eats JP is not obliged to guarantee the loss or damage of the Items whether or not Eats JP was aware of the contents of the Packages.

集荷

Collection

貴殿は、配達パートナーが自らの裁量に従い、荷物が本規約に反していることを含む合理的な理由により、集荷を拒絶する権利を有することを確認し、同意します。この場合、貴殿は、Uber Courierサービスについて全額の請求を受けることになります。

本規約に反する荷物（禁止品であること、又は、重量若しくはサイズが制限を超えていることを含みますが、これらに限られません。）が配達パートナーにより集荷された場合、貴殿は、Eats JPにより当該注文がキャンセルされる可能性があることに同意します。この場合、貴殿は、当該荷物の所有権を放棄し、Eats JPによるいかなる処分（当該荷物の破棄、返却を含みますが、これらに限られません。）についても異議を述べず、かつUber Courierサービスについて全額を支払わなければならないことを確認し、同意します。疑義を避けるために付言すると、貴殿は、本規約に反する荷物の配送を依頼しないことを確保しなければならず、Uber及び配達パートナーは、本規約に反する荷物の配送に関する責任の一切を貴殿に対して負いません。

You acknowledge and agree that the Delivery Partner has, at its discretion, the right to refuse to collect Packages for any reasonable reason, including if the Packages are in breach of these Terms. In this case, you will be charged a full amount of the Uber Courier Services.

If Packages that are in breach of these Terms (including, but not limited to, being a Prohibited Item or exceeding the weight or size limit) is collected by the Delivery Partner, you agree that Eats JP may cancel the relevant order. In this case, you confirm and agree that you waive any ownership rights to the relevant Package and do not object to any disposal by Eats JP (including, but not limited to, destruction or return of the relevant package) . For the avoidance of doubt, you must ensure that you do not request the delivery of any packages that are in breach of these Terms, and Uber and the Delivery Partners will have no liability to you in respect of the delivery of any packages that are in breach of these Terms.

貴殿に起因する集荷不能

Failed Collection due to You

貴殿は、配達パートナーが問題なく荷物を集荷できるよう、正確な集荷先住所を提供しなければならず、また提供した集荷先住所に安全かつ利用可能な通路を確保しなければなりません。集荷先住所が不正確であること又は配達パートナーが利用できる通路がないことにより、荷物を集荷することができない場合でも、貴殿は、Uber Courierサービスについて全額の請求を受けることになります。

配達パートナーが集荷先住所に到着した時にEats JP及び/又は配達パートナーが送り主に連絡をとろうと試みたものの、貴殿が提供した住所に配達パートナーが物理的に到着してから10分以内に送り主が電話又はテキストメッセージに応答しなかった場合にも、配送不能となる場合があります。この場合、貴殿はUber Courierサービスについて全額の請求を受けることになります。

You must provide an accurate collection address and ensure that the collection address provided by you has safe and available passageways to enable the Delivery Partner to collect the Packages from the Sender without problems. If the collection address is inaccurate or there is no such passageway for the Delivery Partner to access, and the Delivery Partner is unable to collect the Package, you would be charged a full amount of the Uber Courier Services.

Failed delivery may also take place if Eats JP and/or the Delivery Partner tries to contact the Sender when the Delivery Partner arrives at the collection address but the Sender does not respond to incoming phone calls or text messages within 10 minutes of the Delivery Partner physically reaching your provided address. In this instance, you will be charged a full amount of the Uber Courier Services.

配送

荷物及び配送に伴う全てのリスクは、荷物が受取人に配送された時に、受取人に移転するものとします。

何らかの理由により、受取人に対して荷物を引き渡すことができなかった場合、Eats JPは、荷物を配送先住所（配達パートナーが配送先住所に物理的に到達できない事情がある場合には、Eats JPが合理的に判断する配送先住所の周辺エリアを含みます。このセクションにおいて、以下同じ。）に置くことができ、これをもって配送が完了したものとみなされます。この場合において、Eats JPは、Eats JPの故意又は重過失による場合を除き、当該荷物に関連して発生した貴殿又は受取人の損害（盗難、滅失、毀損、劣化等を含み、これらに限られません。）について一切責任を負わないものとします。

また、Eats JPは、上記の事態が生じた場合に、配送先住所に置くことに代えて、送り主に荷物を返送することがあります。Eats JPは、当該返送について、当初の料金に加えて、合理的な追加料金を貴殿に請求することができます。

All risks associated with the Packages and delivery shall be transferred to the Recipients when the Packages are delivered to you.

If, for any reason, the Packages cannot be delivered to the Recipients, Eats JP may leave the Packages at the delivery address (or, if there are circumstances where the Delivery Partner cannot physically reach the delivery address, the area around the delivery address as reasonably determined by Eats JP. The same applies in this section.), and this shall be deemed to constitute completion of delivery. In this case, Eats JP shall not be liable for any damage (including, but not limited to, theft, loss, damage, deterioration, etc.) incurred by you or the Recipients in relation to the relevant Packages, except in cases of Eats JP’s intentional acts or gross negligence.

In addition, in the event of the above situation occurring, Eats JP may return the Packages to the Sender instead of leaving it at the delivery address. Eats JP may charge you a reasonable additional fee in addition to the original fee for such return, in addition to the original fees.

貴殿に起因する配送不能

貴殿は、配達パートナーが問題なく受取人に注文を配送できるよう、正確な配送先住所を提供しなければならず、また提供した配送先住所に安全かつ利用可能な通路を確保しなければなりません。配送先住所が不正確であること又は配達パートナーが利用できる通路がないことにより、注文を配送することができない場合、貴殿は、Uber Courierサービスについて全額の請求を受けることになります。この場合、配達パートナーは、上記「配送」のセクションに従って、対応します。

You must provide an accurate delivery address and ensure that the delivery address provided by you has safe and available passageways to enable the Delivery Partner to deliver the order to you without problems so that the Delivery Partner can successfully deliver the order to the Recipient. If Delivery Partner is unable to deliver the order due to inaccuracy of the delivery address or there is no such passageway for Delivery Partner to access, you would be charged the full amount of the Uber Courier Services. In this case, the Delivery Partner may handle the delivery in accordance with the “Delivery” section above.

(i)　貴殿によるキャンセル

貴殿は、いつでもUber Courierサービスをキャンセルすることができます。配達パートナーが注文を受諾集した後5分以上経過してからキャンセルした場合には、貴殿は、Uber Courierサービスについて全額の請求を受けることになります。

You may cancel your Uber Courier Services at any time. If you cancel 5 minutes or more after a Delivery Partner accepts your order, you will be charged a full amount of the Uber Courier Services.

(ii)　Eats JPによるキャンセル

(ii) Cancellation by Eats JP

Eats JPは、貴殿の注文を受け付けた後、荷物を配送する配達パートナーがいないという理由で、貴殿の注文をキャンセルできる場合があります。この場合、Eats JPは、注文がキャンセルされた旨を本アプリを通じて貴殿に通知します。貴殿は、当該キャンセルされた注文について請求を受けず、既に行われた支払については、Eats JPは貴殿が注文時に使用した支払方法と同じ方法により返金します。

Eats JP may cancel your order after receiving it on the ground that there is no Delivery Partner available to deliver the Packages. In this case, Eats JP will notify you via the App that your order has been cancelled. You will not be charged for the cancelled order, and Eats JP will refund any payments already made using the same payment method you used to place the order.

6.　支払及び税金

本アプリを通じた各注文に関して、貴殿は、商品の費用（以下「商品価格」）をマーチャントに支払い（適用があるとき）、配送サービスの配送手数料をEats JPに又は注文がマーチャント配送により実行された場合はマーチャントに支払います。注文がマーチャント配送により実行された場合、貴殿は、Eats JPにコネクションサービスに対するサービス料の支払いを求められる場合があります。また、Eats JPは、必要に応じて貴殿に対してその他のサービス料を請求する場合があります（以下、総称して「本手数料」）。配送手数料は、複数の要因（配達パートナーの需要と供給、配送の距離及び時間、変動料金制等）により変動する場合がありますが、貴殿は、本手数料を常に事前に確認することができるため、注文を続行するかどうかを決めることができます。各マーチャントは、本アプリ上で貴殿に提供する商品及び割引の価格（貴殿がマーチャントを訪れた際に見たものから変動する場合があります。）を決定する裁量を有します。

商品価格及びマーチャント配送により実行された注文に関する配送手数料の支払は、Eats JPがマーチャントの収納代行者として処理します。当該方法による本手数料の支払は、貴殿によるマーチャントへの直接の支払と同一視されるものとします。本手数料には、適用される税金が含まれます。貴殿が支払った本手数料は、Eats JPが別段の判断をする場合又は日本の消費者法で義務付けられる場合を除き、確定的かつ返金不能となります。全ての本手数料は、直ちに支払期限が到来し、支払は、貴殿の本アカウントで指定された希望の支払方法によりEats JPが処理します。貴殿は、貴殿の主要本アカウントの支払方法が期限切れ、無効又はその他の形で請求不能と判断された場合に、Eats JPがマーチャントの収納代行者として貴殿の本アカウントの第二希望の支払方法（該当する場合）を使用できることに同意します。これに代えて、貴殿は、適用法令に従い配送時に配達パートナーに支払うことにより、マーチャント及びEats JPに直接現金で支払うことができる場合があります。貴殿は、注文をする前に、本アプリ上で当該現金支払オプションを選択することができます。現金支払の場合、本手数料の回収は、配達パートナーが（マーチャント及びEats JPの）収納代行者として処理します。配達パートナーへの本手数料の現金支払は、貴殿によるマーチャント及びEats JPへの直接の支払と同一視されるものとします。

この支払構造は、提供されたサービス又は商品の全額をマーチャント及びEats JPに補償することを目的としています。Uberは、貴殿の支払の一部をマーチャント、Eats JP又は配達パートナーへのチップに指定しません。貴殿は、任意で配達パートナーへのチップの追加支払をすることができますが、これが義務ではないことを了解し、同意します。配達パートナーへのチップの支払は、Eats JPが配達パートナーの収納代行者として処理します。当該方法によるチップの支払は、貴殿から配達パートナーへの直接の支払と同一視されるものとします。

For each order via the App, you will pay for the cost of the Items (“Item Price”) to the Merchant (where applicable), and a delivery charge for Delivery Services to Eats JP or in the case of orders fulfilled via Merchant Delivery, a delivery charge to the Merchant. In case of orders fulfilled via Merchant Delivery, you may be required to pay a service fee to Eats JP for connection services provided. In addition, Eats JP may charge you other service fees as necessary (collectively the “Charges”). The delivery charge may vary based on several factors (including demand and supply of Delivery Partners, distance and time of delivery, variable fees etc), but you will always see the Charges upfront so you can decide whether you would like to proceed with the order. Each Merchant has the discretion on how much they want to charge for their Items and the offers provided to you on the App, which may vary from what you see when you visit the Merchant. 

Payment for the Item Price and a delivery charge for orders fulfilled via Merchant Delivery is facilitated by Eats JP on behalf of the Merchant as its payment collection agent. Payment of these charges in such a manner shall be considered the same as payment made directly by you to the Merchant. Charges will be inclusive of applicable taxes. Charges paid by you are final and non-refundable, unless otherwise determined by Eats JP or required by the Japan Consumer Law. All Charges are due immediately and payment will be facilitated by Eats JP using the preferred payment method designated in your Account. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Eats JP may, as the Merchant’s payment collection agent, use a secondary payment method in your Account, if available. In some cases, you can alternatively make your payment in cash directly to the Merchant and Eats JP by paying the Delivery Partner at the time of delivery subject to applicable law. You can select such cash payment option on the App before you place your order. In cash payment, collection of Charges may be facilitated by Delivery Partners (on behalf of the Merchant and Eats JP) as the payment collection agent. Cash payment of Charges to Delivery Partners shall be considered the same as payment made directly by you to the Merchant and Eats JP.

This payment structure is intended to fully compensate Merchants or Eats JP for the services or goods provided. Uber does not designate any portion of your payment as a gratuity to Merchants, Eats JP, or Delivery Partners. You understand and agree that, while you are free to voluntarily provide additional payment as a gratuity to any Delivery Partner, you are under no obligation to do so. Payment for the gratuity to Delivery Partners is facilitated by Eats JP on behalf of the Delivery Partners as its payment collection agent. Payment of gratuity in such manner shall be considered the same as payment made directly by you to the Delivery Partners.

プロモーションコード

Promotional Codes.

Eats JPは、プロモーションコード又はクーポンごとに設定する追加規定に従って本アカウントのクレジット又はその他本サービス及びマーチャントが提供する商品に関連する特典又は利益と引き換えることのできるプロモーションコード又はクーポン（以下「本プロモコード」）を作成することができます。貴殿は、本プロモコードは、①アカウントの複製又はその他の不適切な方法により、自ら取得し又は他のユーザーをして取得させてはならないこと、②企図された対象者及び目的のために合法的な方法で使用されなければならないこと、③Eats JPが明示的に許可する場合を除き、いかなる方法であれ複製、売却又は譲渡してはならず、又は公衆に提供（公のフォームに投稿する等）してはならないこと、④Eats JPが理由の如何を問わずいつでもUberの責任負担なしに無効にする場合があること、⑤当該本プロモコード用の規約に従ってのみ使用できること、⑥現金と交換できないこと、並びに⑦使用前に期限切れとなる場合があることに同意します。Eats JPは、本プロモコードの使用又は引き換えが誤り、詐欺、違法又は適用ある本プロモコードの規約若しくは本規約の違反であると合理的に判断し又は考える場合、貴殿又は他のユーザーが本プロモコードの使用により得たクレジット又はその他の特典又は利益を保留し又は差し引く権利を留保します。

Eats JP may create promotional codes or coupons that may be redeemed for Account credit, or other features or benefits related to the Services, and Items provided by a Merchant, subject to any additional terms that Eats JP establishes on a per promotional code or coupon basis ("Promo Codes"). You agree that the Promo Codes: (i) may not be acquired by you or any other user by duplication of accounts or other inappropriate manner; (ii) must be used for the intended audience and purpose, and in a lawful manner; (ⅲ) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by Eats JP ; (iv) may be disabled by Eats JP at any time for any reason without liability of Uber; (v) may only be used pursuant to the specific terms for such Promo Codes; (vi) cannot be exchanged for cash; and (vii) may expire prior to your use. Eats JP reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that Eats JP reasonably determines or believes that the use or redemption of the Promo Codes was in error, fraudulent, illegal, or in violation of the applicable Promo Codes' terms or these Terms.

7.　免責事項、責任制限及び補償

7. Disclaimer; Limitation of Liability; Indemnity

Disclaimer and Limitation of Liability.

Uber（疑義を避けるために付言すると、マーチャントとしてのEats JPを含む。以下同様とする。）が提供するサービス及び商品は、「現状有姿」かつ「利用可能な状態」で提供されます。Uberは、明示、黙示若しくは法定の又は本規約に明示的に規定されない一切の表明及び保証（商品性、特定目的適合性及び非侵害の黙示保証を含む。）否認し、かつサービス、サービスの利用を通じて請求されたサービス若しくは商品の信頼性、適時性、品質、適合性若しくは利用可能性に関して又はサービスが中断せず若しくはエラーがないことに関して表明保証又は保証を行いません。Uberは、マーチャントの品質、適合性、安全性又は能力を保証しません。貴殿は、貴殿によるサービスの利用及びそれに関連して請求されたサービス又は商品に起因する一切のリスクを貴殿のみが負担することに同意します。

The services and goods provided by Uber (including Eats JP as a Merchant for the avoidance of doubt; the same shall apply hereinafter) are provided "as is" and “as available”. Uber disclaims all representations and warranties, express, implied or statutory, not expressly set out in these terms, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement, and makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the services or any services or goods requested through the use of the services, or that the services will be uninterrupted or error-free. Uber does not guarantee the quality, suitability, safety or ability of Merchants. You agree that the entire risk arising out of your use of the services, and any service or Items requested in connection therewith, remains solely with you.

ただし、上記の定めは、Uberの責めに帰すべき事由による債務不履行又は不法行為には適用されません。Uberは、本サービスに関してユーザーに対して責任を負う場合にも、Uberの故意又は重過失による場合を除き、ユーザーに現実に生じた通常かつ直接の損害に限り、かつ、(i) Uber Eatsサービスを利用したユーザーの注文に関しては当該注文の金額を上限とし、(ii) Uber Courierサービスを利用した荷物の配送に関しては1万円を上限とし、責任を負うものとします。

However, the foregoing provision shall not apply in the event of a default or unlawful act for reasons attributable to Uber. Even if Uber is liable to a user for the Services, unless the user has suffered damage as a result of Uber’s intentional acts or gross negligence, Uber shall be liable only for the ordinary and direct damage actually incurred by the user, and only in an amount not exceeding (i) the amount of the order placed by the user using the Uber Eats Services or (ii) 10,000 Yen for the delivery using the Uber Courier Services.

補償

Indemnity.

貴殿は、①貴殿による本サービスの利用若しくは貴殿が本サービスの利用により取得したサービス若しくは商品、②貴殿による本規約の違反、③Uberによる貴殿のユーザーコンテンツの使用、又は④貴殿による第三者（マーチャント、受取人及び/又は配達パートナーを含む。）の権利の侵害に起因又は関連して生じた一切の請求、要求、損失、責任及び費用（以下「損失等」）について、Uber及びその関連会社を補償し免責することに同意します。

本条に基づく貴殿の責任は、Uberが当該損失等に直接起因し又は関与した場合には、その割合に応じて減少するものとします。

You agree to indemnify and hold Uber and its affiliates harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (i) your use of the Services or services or the Items obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) Uber’s use of your User Content; or (iv) your violation of the rights of any third party, including Merchants, the Recipients and/or Delivery Partners ("Losses").

Your liability under this clause shall be reduced proportionately if, and to the extent that, Uber directly caused or contributed to any such Losses.

8.　アカウントの終了

8. Termination of Account 

UPBV若しくはEats JPが合理的に下記を疑う場合、UPBVは、直ちに通知なく、①貴殿による本アプリへのアクセス若しくはその利用を制限し、貴殿による配送サービス若しくはその一部へのアクセス若しくはその利用を制限し、又は②本規約若しくは貴殿による本アプリへのアクセスを終了することができ、また、Eats JPは、直ちに通知なく、貴殿に関して本規約若しくは配送サービスを終了し、又は本サービス若しくはその一部について全面的に提供を停止し若しくはアクセスを拒否することができます。

(1) 貴殿が本規約又はコミュニティガイドラインに違反し又は違反するおそれがある場合

(2) 貴殿が適用法又はUber及びその関連会社の基準及び方針に基づき本サービスにアクセスしこれを利用する資格を有しない又は有しないおそれがある場合

貴殿は、本アプリの「設定－プライバシー設定－アカウント削除」からいつでも理由の如何を問わず本規約を解約することができます。貴殿のアカウントは、貴殿のUberアカウントを削除したときに直ちに無効となり、30日後に永久的に削除されます。Uberは、法律で義務付けられるか又は許容されるところに従ってアカウント削除後一定の情報を保持することができます。

UPBV may either (i) restrict you from accessing or using the App, and Eats JP may restrict you from accessing or using the Delivery Services, or any part of them, or (ii) terminate these Terms or your access to the App, and Eats JP may terminate these Terms or any Delivery Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, immediately and without notice, in circumstances where UPBV or Eats JP reasonably suspects that:

1. you have, or are likely to, breach these Terms or the Community Guidelines; and/or
2. you do not, or are likely not to, qualify, under applicable law or the standards and policies of Uber and its affiliates, to access and use the Services.

You may terminate these Terms at any time, for any reason through the App by going to “Settings-Privacy Settings-Delete Account”. Your account will be immediately deactivated if you delete your Uber account. After 30 days, your account will be permanently deleted. Uber may retain certain information after account deletion as required or permitted by law. 

9.　紛争及び準拠法

9. Disputes and Governing Law

貴殿は、本サービス又は本規約に起因又は広く関連して生じた紛争、対立、請求又は論争（その効力、解釈又は強制可能性を含む。以下「本紛争」）を解決するために複数の手段を利用することができます。Uber又はその関連会社は、貴殿がUPBV、Eats JP又はマーチャント及び/若しくは配達パートナーに関する苦情を申し立てるための苦情処理手続を運営し、Eats JPは、かかる苦情に関連する貴殿への返金（該当する場合）を管理します。Eats JP又はその関連会社は、合理的な方法でこの苦情処理手続を運営します。また、貴殿は、適用ある消費者法に関連して公正取引又は消費者法団体に苦情を申し立てる権利を有します。

本規約に別段定める場合を除き、本規約は、日本の法律のみ（法律の抵触に関する規則を除く。）に準拠し、同法に従って解釈されるものとします。本規約に関連する本紛争が生じた場合、かかる本紛争は、東京地方裁判所に提起するものとします。ただし、いずれの当事者も、当事者らの合意に従って終局的かつ拘束力ある仲裁又はその他の代替的な紛争解決手段を利用することができます。

手続き（当事者らが提出した文書及び準備書面、調停人からの連絡並びに仲裁人による連絡、命令及び裁定を含む。）は、厳に秘密に保持するものとし、相手方当事者の明示的な書面による同意なしに第三者に開示してはなりません。ただし、① 第三者への開示が調停手続又は仲裁手続を行う上で合理的に必要な場合及び② 第三者が本規約に定める秘密保持義務への拘束に無条件で書面で同意した場合はこの限りではありません。

There are a number of mechanisms available to you to resolve any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any "Dispute"). Uber or its affiliates operate a complaints process to allow you to make complaints about UPBV, Eats JP  or Merchants and/or Delivery Partners, and Eats JP also manages refunds (if applicable) to you in relation to those complaints. Eats JP or its affiliates will operate this complaints process in a reasonable manner. In addition, you may have rights to make a complaint to fair trade or consumer law bodies in relation to applicable consumer laws.

Except as otherwise set forth in these Terms, these Terms shall be exclusively governed by and construed in accordance with the laws of Japan, excluding its rules on conflicts of laws. In the event of a Dispute in relation to these Terms, the Dispute shall be filed to the District Court of Tokyo; provided that either party may pursue final and binding arbitration or other alternative dispute resolution as agreed upon by the parties.

Any proceedings, including documents and briefs submitted by the parties, correspondence from a mediator, and correspondence, order and awards issued by an arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation set out in these Terms.

Uberは、本サービスに関する一般通知、貴殿の本アカウントにおける電子メールアドレス宛の電子メール又は貴殿の本アカウントに定める貴殿の住所宛の書面連絡の方法により通知を行うことができます。貴殿は、関連会社であるUber Eats Japan合同会社の事務所（〒106-0032　東京都港区六本木1丁目9番10号）に書面連絡を送付すると同時に、その写しをlegal@uber.com（日本のUberEATSチーム宛）に送信することによりUberに通知を行うことができます。

Uber may give notice by means of a general notice on the Services, electronic mail to your email address in your Account, or by written communication sent to your address as set forth in your Account. You may give notice to Uber by written communication to an office of Uber Eats Japan, Inc., which is an affiliate, at 1-9-10 Roppongi, Minato-ku, Tokyo, 106-0032, with a copy to legal@uber.com (addressed to the Japan Uber EATS team).

全般

General.

貴殿は、Uberの事前の書面による承認なく本規約の全部又は一部を譲渡し又は移転してはなりません。貴殿は、Uberによるが、①子会社若しくは関連会社、②Uberの持分、事業若しくは資産の取得者、又は③合併による承継者への本規約の全部又は一部の譲渡又は移転を承認します。貴殿とUberとの間の契約又は本サービスの利用の結果、貴殿、Uber又は第三者提供者の間に何らの合弁、パートナーシップ、雇用又は代理関係も存在しません。

本規約の条項の全部又は一部がいずれかの法律に基づき違法、無効又は執行不能と判断された場合、当該条項又はその部分は、その限りにおいて本規約の一部を構成するものとはみなされなくなりますが、本規約の他の条項の適法性、有効性及び執行可能性は、何らの影響も受けないものとします。かかる場合、当事者らは、本規約の内容及び目的を考慮の上で、当該違法、無効又は執行不能な条項又はその部分を、適法、有効かつ執行可能であって、違法、無効又は執行不能な条項又はその部分に可能な範囲で類似の効力を有する条項又はその部分に置き換えるものとします。本規約（組み込まれたポリシーを含む。）は対象事項に関する当事者らの完全な合意及び理解を構成し、当該対象事項に関する従前又は同時期の合意又は約束の全てに取って代わりかつ優先するものとします。本規約において、「含む」という用語は、「含むが、これに限らない」という意味を有するものとします。

You may not assign or transfer these Terms in whole or in part without Uber’s prior written approval. You give your approval to Uber for it to assign or transfer these Terms in whole or in part, including to: (i) a subsidiary or affiliate; (ii) an acquirer of Uber’s equity, business or assets; or (iii) a successor by merger. No joint venture, partnership, employment or agency relationship exists between you, Uber or any third party provider as a result of the contract between you and Uber or use of the Services.

If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms, including any incorporated policies, constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. Nothing in this clause limits your rights as a consumer that cannot be excluded under applicable law. In these Terms, the words "including" and “include” mean “including, but not limited to”.

反社会的勢力の排除

Elimination of Anti-Social Forces

貴殿は、貴殿が反社会的勢力（以下で定義する。)ではなく、また反社会的勢力との取引に関与していないことを宣言します。貴殿は、犯罪的及び過激的な要素を含む反社会的勢力との取引に従事してはなりません。貴殿が意図せず反社会的勢力との取引を行った場合、当社は、何らの責任も負わず本規約を直ちに終了することができます。「反社会的勢力」とは、下記の者又は団体を意味します。

(1) 　暴力団、暴力団員、暴力団関係企業、その他これらに準ずる者

(2)　自ら又は第三者を通じて、①暴力的な要求行為、②法的な責任を超えた不当な要求行為、③脅迫的な言動又は暴力を用いる行為、④虚偽の風説を流布し又は偽計を用いて相手方当事者の信用を毀損し又はその業務を妨害する行為、⑤その他上記に準ずる行為を行う者

You declare that you are neither an Anti-Social Force (as defined below) nor involved in any transactions with Anti-Social Forces. You must not engage in any transactions with Anti-Social Forces containing criminal and extremist elements. If you unintentionally engage in a transaction with an Anti-Social Force, Uber may immediately terminate these Terms without any responsibilities. “Anti-Social Forces” means the following persons or organizations:

(1) an organized crime group, an organized crime group member, a company affiliated with an organized crime group or any person analogous to the foregoing; and

(2) a person that, either personally or through a third party, commits any of the following: (i) makes a violent demand; (ii) makes an unjust demand outside the scope of legal liability; (iii) uses threatening language and behavior or violence; (iv) damages the other party’s reputation or obstructs the other party’s business by spreading false rumors or using fraudulent means; or (v) other acts equivalent to any of the foregoing.
