Uber Direct – Merchant Agreement

Order Form – Standard

This order form is entered into pursuant to the General Terms available at [https://www.uber.com/legal/en/document/?name=uber-direct---general-terms&country=great-britain&lang=en-gb] (General Terms) as amended by the Addendum set out in Attachment 1 between the Merchant referenced below (also referred to as “you”), Uber Eats UK Limited, a private limited company established in the United Kingdom, having offices at Fifteenth Floor, Aldgate Tower, 2 Leman Street, London, United Kingdom (“Uber”). This order form replaces all existing order forms between the parties in connection with the Uber Direct Services (if any). Capitalised terms in this order form have the meaning given in the General Terms and Service Terms (as relevant), unless otherwise specified.

These General Terms and Service Terms will apply to you for accessing the Uber Direct Services via an Aggregator Platform. Further, to the extent you are offering any Restricted Items, the Addendum herein will apply to you.

(a) Fees (excluding VAT)

(i) Delivery Fee

Base Fee: £5.00 for the first 1 mile

Distance Fee: £0.75 per incremental 0.5 mile

The Distance Fee component of the Delivery Fee is charged in 0.5 mile increments (rounded up to the nearest 0.5 mile).

All distances are based on predicted routed distances.

(ii) Return Trip Fee

In the event that the Customer is unavailable to accept the delivery and the Courier makes a return trip at the request of the Merchant, the return trip will be charged on the same basis as the original Delivery Fee.

You will also be charged a Cancellation and Wait Time Fee, as stated below and in section 12.2 of the General Terms.

(iii) Other Fees

Cancellation Fee: £2.00 per Order in circumstances where you can cancel an Order after a Courier has been assigned by Uber. If on a monthly basis, you cancel more than 3% of Order requests, then the Cancellation Fee will also become payable, as stated in section 12.2 of the General Terms.

Wait Fee: £0.40 per minute charged to you by Uber in circumstances where a Courier, or multiple Couriers, are required to wait a total of 10 minutes or more from their arrival at the pick-up location to you providing them with the relevant Item(s) for delivery, as stated in section 12.2 of the General Terms.

(b) Delivery Restrictions

The Delivery Restrictions available at https://www.uber.com/en-UK/blog/direct-connect-restrictions-and-guidelines/ will apply to your use of the Delivery Services.

(i) Delivery Area

Requests may only be accepted within a 4 mile Haversine mile radius.

(ii) Proof of Delivery

For meet at door Orders, we recommend that PINCODE is used in the following scenarios:

(i) First time Customers, e.g. based on a unique identifier, email, phone number, or device ID;

(ii) Basket Value >£50; and/or

(iii) If the Customer has requested a refund for one of their past three Orders.

(iv) If PINCODE is used for >40% of Orders on a monthly basis, Uber may impose a charge of £0.50 for each Order where PINCODE is used outside of circumstances described in section 7(A)-(C) of this Order Form.

(iii) Storefront Management

You will maintain a designated, physical store (or "Storefront") at all registered locations during stated business hours. The Storefront must be a commercial premise, zoned and legally permitted for retail operations, and not a private residence. This storefront must have at least one staff member at the location who is ready to process, prepare, and transfer all accepted Uber Direct orders to the Courier to pick up.

Addendum to the General Terms (Service Terms) – Restricted Products

Proof of Delivery

(a) You acknowledge that a Courier Partner may be required to return a Restricted Product to the originating location where it was initially picked up in the event that the supply of the Restricted Product is prohibited by applicable Law (for example, due to the age or sobriety of the recipient). You agree, and must ensure that each Merchant Associate agrees, to accept the return of Restricted Product in these cases and you agree to pay the Cancellation Fee in accordance with section 4 of these terms.

(b) You acknowledge and agree that Courier Partners are responsible for verifying the age and identity of recipients of Restricted Products. Uber shall provide in-app screens and tools for the Courier Partner to help complete recipient identity verifications.

Recipient of Delivery

Unless otherwise agreed in writing with Uber, if you or any Merchant Associate requests Uber to provide Delivery Services for an Order containing Restricted Product(s), you must instruct, and you must ensure that each Merchant Associate instructs, Uber to deliver an Order to the same adult person who placed the Order.

Return Trip Fees

Without limiting section [3] (Fees and Payment) of the General Terms, if a Courier Partner is unable to deliver an Order containing Restricted Product(s) due to an act or omission of the Customer, then you agree to be charged a Return Trip Fee
