Uber Eats Pro Terms and Conditions
Uber Eats Pro (the "Program") is brought to you by Portier, LLC, a Delaware limited liability company, or its respective subsidiaries, licensees and affiliated companies (collectively "Uber Eats," or "we," “us,” or “our,” which is a wholly-owned subsidiary of Uber Technologies, Inc. ("Uber")). These Program Terms (defined below) constitute a legal agreement between you and Uber.
Participation in the Program is subject to these terms and conditions, the U.S. User Terms of Use, our Privacy Notice, and your Platform Access Agreement, which are incorporated herein (collectively, the "Program Terms"). By participating in this Program you are agreeing to these Program Terms.
Uber Eats is a technology company, not a provider of delivery services, as such all rewards offered under the program are offered on an "as available" basis, contingent upon requests from users for delivery services and other contingencies which may impact availability of some rewards at certain times and places.
You understand that all federal, state and local taxes on the Rewards that you accept are your sole responsibility as the Reward recipient. You also understand that Uber Eats may issue an IRS Form 1099 indicating the approximate retail value of certain Rewards to the IRS for tax reporting purposes.
YOU UNDERSTAND THAT YOU ARE NOT REQUIRED TO PARTICIPATE OR ACCEPT ANY OFFERS, WHETHER FROM A THIRD PARTY, UBER EATS, UBER OR ITS AFFILIATES. YOU UNDERSTAND THAT UBER EATS MAY TERMINATE OR MODIFY THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WHAT THE REWARDS ARE, HOW YOU EARN THEM, THE DURATION OF THE PROGRAM) AT ANY TIME IN UBER EAT'S SOLE DISCRETION.
ELIGIBILITY
All participants in the Program are "Program Members." In order to participate in the Program, you must (1) reside in the United States; (2) meet all eligibility requirements to be a delivery person with Uber Eats (“Delivery Person” or “Delivery People”) as set forth by applicable law and Uber Eats; (3) have a Delivery Person account (“Driver account”) in good standing; and (4) have set your home city within the Uber App as one of the participating cities (each, a "Participating City"). All Delivery People in Participating Cities meeting this criteria will be automatically enrolled in the Program. Once you are enrolled in the Program, there is no additional action required to participate in the Program. In select Participating Cities, (i) Drivers who have performed at least 90% of their trips as Uber Eats Trips (defined below) within the past 3-month Uber Pro Program Period (as defined in the Uber Pro terms and conditions) may automatically be switched from the Uber Pro Program and enrolled into this Program, and (ii) Delivery People who have performed at least 20 trips and more than 50% of their trips as Uber Trips within the past 3-month Uber Pro Program Period (as defined in the Uber Pro terms and conditions) may automatically be switched from this Program and enrolled into Uber Pro Program, subject to the Uber Pro terms and conditions.
Your rewards program account ("Program Account") will automatically be linked to your Driver account. You may not share your Program Account or have multiple memberships.
PROGRAM POINTS & PROGRAM PERIODS
You can earn points ("Points") to access the different Tiers (defined below) and the rewards offered in each Tier. You will earn at least 1 Point for every trip you complete as a Delivery Person in the United States. Each such trip, excluding any trips as a driver with Uber (a “Driver”), shall count as an "Uber Eats Trip" for the purposes of this Program. Further, if you are both a Driver and a Delivery Person on one account and are enrolled in the Uber Pro program, all of your “Uber Trips” will count towards the Uber Pro program, subject to the Uber Pro terms and conditions. In select Participating Cities, if you are both a Driver and a Delivery Person on one account and are enrolled in this Program, all of your “Uber Trips” will count towards this Program.
You will earn additional Points when you complete deliveries during peak meal times.

In select Participating Cities (check the Driver App to see the eligible points for a select city), you will also earn the following additional Points:
You will earn 1 Point for every “Uber Trip” you complete, including but not limited to the following trip types: UberX, UberX Share, UberXL, Uber Comfort, UberSelect, UberWAV, Uber Connect, UberBlack, UberSUV, and Uber Direct. Each trip of those trip types will count as one Uber Trip for the purposes of this Program.
You may earn additional Point(s) when you complete an Uber Trip that either begins or ends:
- during the times (displayed in the local time zone) listed in the Eats Pro section of the Uber app under “How to Earn Points” or by contacting Support; or
- in certain areas as displayed in the Eats Pro section of the Uber app under “How to Earn Points” or by contacting Support.
Uber reserves the right to offer additional Points and/or additional Point multipliers to certain Program Members and/or in certain Participating Locations, in its sole discretion, subject to the terms specified a given offer, and subject to modification and cessation at any time. Any such additional Point offerings, additional Point multipliers, and/or adjusted terms will either (i) be made available or applicable to all eligible Program Members in that Participating Location; or (ii) be made available or applicable to a randomized cohort of all eligible Program Members in a Participating Location. Refer to the Uber App for the applicable Program Standards.
PROGRAM TIERS
The Program offers four membership Tiers: Green, Gold, Platinum, and Diamond ("Tiers"). Tiers unlock access to certain rewards ("Rewards") offered by Uber Eats and/or third parties. Each successive Tier includes its own Rewards as well as the Rewards of the preceding Tiers.
The Points you earn in one Program Period will determine your Tier in the next Program Period. Tiers are not permanent and must be earned for every Program Period.
You earn Points in a fixed one month period. The fixed one month period (each a "Program Period") shall begin at 12:00:00 am at the first of the month and end at 11:59:59 on the last day of the month. The Program may discontinue at any time, in Uber Eat’s sole discretion.
Points expire and reset to zero at the end of every Program Period. They do not carry over to the next Program Period. Points will count in the Program Period in which Uber Eats processes the point (which may be the next Program Period). You will not earn any Points for taking rides as a rider or any delivery requests you submit on Uber Eats. Points have no cash value and are used solely to determine your Program Tier. Points may be revoked if a delivery, for which Points were earned, is refunded or if Uber Eats believes, in its sole discretion, that Points were earned through or in connection with any fraud, abuse of the platform, or in violation of Uber Eat's U.S. User Terms of Use, the Community Guidelines, or your Platform Access Agreement.
The number of Points and the eligibility criteria necessary to reach each Tier may vary by Participating Location. See the applicable Points and Program Standards for the Gold, Platinum, and Diamond Tiers for your Participating Location in the Uber Eats Pro page of the App.
To obtain the Gold, Platinum or Diamond Tiers, in addition to the required number of Points for your Participating Location, you must also have at the beginning of the Program Period: (1) a satisfaction rating of 95% or higher; and 2) no greater than a 5% cancellation rate (number of requests canceled over the last 100 accepted requests).

You can move to a higher Tier during the current Program Period if you meet the Points and requirements described above. In that case, you will automatically be moved to the next Tier and you will stay in that Tier for the current Program Period and the next Program Period, provided that you meet the Program Standards).
Once you obtain a higher Tier, you may be able to immediately access some Rewards for the higher Tier, but not all Rewards may be available immediately.
PROGRAM STANDARDS & MAINTAINING YOUR TIER
In order to maintain your Gold, Platinum, or Diamond Tier status during the entire applicable Program Period, you must maintain, at all times (1) a minimum satisfaction rating of 90%, except where otherwise noted in Table 1 below for certain Participating Locations; (2) no greater than a 10% cancellation rate, except where otherwise noted in Table 2 below for certain Participating Locations, and (3) a minimum acceptance rating (calculated taking the number of requests you accepted over the last 100 exclusive Delivery and Rides requests received) as specified in Table 3 in certain Participating Locations (collectively, “Program Standards”).

If you fail to meet the Program Standards, you will be moved to Green Tier. You will lose access to Rewards available only to higher Tiers, but will maintain access to Green Tier Rewards as long as you remain in the Uber Eats Pro program. Your former Tier can be reinstated if all Program Standards are met during the current Program Period.
HOW TO VIEW POINTS BALANCES
You can view your current Points balances within the settings of your Driver App. Any errors or omissions on transactions posted to your Program Account must be reported within one month by contacting Uber Eats as noted in the Contact Us section below. Failure to supply necessary documentation may result in an inability to award Points. For verification, you should retain all receipts and documentation until your Points are credited to your Program Account.
In the event of an outage of the Uber Eats systems, your Points may be delayed in displaying in your Program Account. Additionally, if the outage occurs near the end of a Program Period, it is possible the Points will not be applied until the next Program Period.
ACCOUNT TERMINATION
Uber may suspend, revoke, or terminate your Program Account at any time for any reason. If your Program membership is terminated, all Points associated with your Program Membership and any Rewards may be forfeited immediately upon termination, in accordance with the terms of the specific Reward, as detailed below. If your Program membership is terminated due to fraudulent activity or noncompliance with these Program Terms, in addition to forfeiting all Points and Rewards associated with your Program Membership immediately, you cannot participate in or rejoin the Program.
PROGRAM CHANGES AND PROGRAM TERMINATION
We reserve the right to modify, suspend or discontinue the Program, or any part thereof, at any time without notice and without further obligations to you or any other Program Members, including, but not limited to modifications which: a) govern how Points are earned on and after the date of change; b) change the number of Points required to access a Tier; c) the specific Rewards provided in each Tier; and/or d) any other requirements necessary to obtain Rewards within a Tier. No Points will be earned after the effective date of termination. Unless stated or provided for otherwise, any and all changes and/or amendments to these Program Terms will become binding upon all Program Members immediately.
TRANSFER OF RIGHTS
Uber Eats’ rights and obligations under the Program may be assigned or transferred by Uber Eats to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity.
INTERPRETATION OF PROGRAM TERMS
All interpretations of these Program Terms will be at Uber Eats's sole discretion and Uber Eat's decisions will be final.

The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions or errors of the Program, its features or any Rewards. We may modify, suspend, or discontinue the Program or any feature at any time without notice. The Program and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our partners and third party Rewards providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
REWARDS DETAILS AND ADDITIONAL TERMS
Rewards are privileges granted to you. Rewards are granted at the discretion of Uber Eats, may change or be canceled at any time, are not redeemable for Points and have no cash value. Rewards may also only be available in certain Participating Locations and to some Program Members. Rewards may not be exclusive to the Program and may be made available under separate terms. Certain Reward details, terms and limitations may be found below. In select Participating Cities, if you are both a Driver and a Delivery Person on one account and are enrolled in this Program, you may also be granted additional rewards provided under the Uber Pro Program. Additional Rewards may be offered and communicated to Program Members via email or other forms of communication from time to time without being added to the Program Terms. All Rewards may be modified or discontinued at any time in Uber’s sole discretion.
Rewards provided by third parties may require additional action by you, including, without limitation, agreeing to additional terms or creating an account with such third party. Delivery People are responsible for all taxes that may be owed in the receipt of Rewards. Uber Eats is not responsible for the products or services offered by third parties.
To ensure the success of the Program, Uber Eats may collect information on such third party Rewards-based transactions for information and reporting purposes, in each case pursuant to the terms agreed to by the third party Reward provider and the Program Member.
THE FOLLOWING LIST INCLUDES DETAILS ON THE CURRENT OFFERS IN THE UBER EATS PRO PROGRAM PROVIDED BY PARTICIPATING PARTNERS IN THE UBER EATS PRO PROGRAM OR UBER. PLEASE NOTE THAT OFFERS FROM EXTERNAL PARTICIPATING PARTNERS, INCLUDING BUT NOT LIMITED TO THE QUALIFICATIONS FOR ACCESSING THE REWARDS, AS WELL AS THE IDENTITIES OF THE PARTNERS THEMSELVES, ARE SUBJECT TO CHANGE AT ANY TIME IN UBER'S DISCRETION.
Cash Back on Gas with Uber Pro Card
Who is Eligible: All Delivery People in the Uber Eats Pro Program are eligible to apply for the Uber Pro Card.
Details: Cash Back on Gas Reward requires the successful application and opt-in to the terms of the Uber Pro Card (see terms and conditions here - https://www.branchapp.com/upc/rewards). This means Delivery People must (i) maintain an active card; (ii) opt in and remain opted in to the Uber Pro Card reward program (an "Active Uber Pro Card Holder"); and (iii) use the Uber Pro Card as Payment for the transaction (this means you are required to select Credit at the pump). Claim Upside rewards straight from the Driver app to get additional cash back deposited straight to your Uber Pro Card. If you are an Android user and do not see the rewards map, this reward may not be available to you yet. For those who see the rewards map, Upside will verify gas purchases and secure additional gas cash back rewards. Upside will use the first 6 and last 4 digits of your Uber Pro Card to automatically enroll your card for Upside deals that can be claimed in the Driver app. See Upside terms of service and privacy policy.

Tuition Coverage at ASU
Who is Eligible: Delivery People in the Gold, Platinum or Diamond Tier who completed 1,000 lifetime Uber Eats Trips and redeemed this Reward prior to May 1, 2023; otherwise, beginning May 1, 2023, Delivery People in the Gold, Platinum or Diamond Tier who have completed 2,000 lifetime Uber Eats Trips. Delivery People remain eligible for this Reward for as long as they maintain Gold, Platinum or Diamond status, and for an additional 3 month grace period if they move to the Green Tier. Previously eligible Delivery People can regain eligibility by requalifying for Gold, Platinum or Diamond status and meeting any other required criteria.
Details: This Reward may be used by the Program Member, or a Program Member can choose to pass the Reward onto an eligible family member (defined as spouse or domestic partner, child, sibling, parent, legal guardian or dependent).
To be eligible for the 100% tuition coverage described below, Delivery People, or their designated family member (each an "Eligible Enrollee" ), must complete and submit to Arizona State University online (together with the Board of Regents for Arizona State University, "ASU") a Free Application for Federal Student Aid ("FAFSA"), and complete all required documentation as requested by ASU to determine aid eligibility.
Uber Eats may issue an IRS Form 1099 indicating the approximate retail value of this Reward to the IRS for tax reporting purposes.
This Reward enables Eligible Enrollees to apply to ASU and enroll in (1) one of the fully online undergraduate degree programs, certificate programs, or the Earned Admission (pathway) track available at ASU, (2) Online English as a Second Language ("ESL") Certificate, or (3) continuing and professional education ("CPE") courses, for which a FAFSA is not required (together, the "Education Program"), with 100% tuition coverage, as described below.
The 100% tuition coverage applies to the following fees:
- "Tuition Fees" means Base Tuition plus Program Fees and Student Fees.
- "Base Tuition" means the list price for ASU online baccalaureate degree and non-degree courses, certificates, CPE and Earned Admission pathway courses, as determined by ASU annually. Degree program Base Tuition is posted online at https://catalog.asu.edu/tuitionandfees/ (website location subject to change). To the extent that an Eligible Enrollee qualifies for scholarships, grants or other financial aid related to their enrollment in the Education Program, the value of such scholarships, grants, and/or other financial aid shall be deducted from the list price when calculating this Base Tuition amount.
- "Student Fees" means admissions, technology, financial aid trust, pathway, verification and other fees charged to students and learners, as determined by ASU annually. Student Fees for degree programs are posted online at https://catalog.asu.edu/tuitionandfees/ (website location subject to change).
- "Program Fees" means additional tuition list price fees (also referred to as program tuition or differential tuition, and other similar college or departmental fees) charged by ASU in addition to Base Tuition for certain ASU Online degree programs, as determined by ASU annually. Program Fees are posted online at https://catalog.asu.edu/tuitionandfees/ (website location subject to change).
Note that Eligible Enrollees are responsible for the cost of textbooks, taxes associated with this Reward, and any computers or technology services (e.g., a reliable internet connection and course-related software requirements) they may need. A computer or laptop is essential in order to be successful with online courses.
THE ENROLLMENT DESCRIBED ABOVE DEPENDS UPON THE ELIGIBLE ENROLLEE GAINING ADMISSION INTO THE EDUCATION PROGRAM. SUCH ADMISSION IS NOT ASSURED. ADMISSIONS DECISIONS WILL BE MADE BY ASU IN ASU'S SOLE DISCRETION.
The lifetime value of this education Reward is capped at 135 enrolled credit hours for ASU Online (i.e., degree program) and $3,000 for Continuing Professional Education, ESL and Earned Admission (amount is post-scholarship, post-financial aid. Caps are tied to an individual Program Member and do not reset if transferred (i.e., to an eligible family member) or if the student switches between programs. The Reward may be transferred to an eligible family member a maximum of two times.
CarAdvise: Car Maintenance Services
Who is Eligible: All Delivery People in the Uber Eats Pro Program are eligible for this Reward, as long as a) they have completed 25 lifetime Uber Eats trips and b) have signed up for CarAdvise (terms here- https://app.caradvise.com/#/uber) via their Driver account. In some cases, this Reward may also require acceptance to additional terms and conditions of a third party supplier.
Details: CarAdvise membership provides discounted pricing on certain car maintenance services, displayed within the CarAdvise platform, based off of regular retail pricing, which is subject to change without notice and varies by location. Prices displayed in the CarAdvise platform are also subject to applicable state and local taxes. Depending on your selected service, CarAdvise will provide a retail price, which is an example of what you can reasonably expect to pay for that service in your geographic area. Who is Eligible: Delivery People in the Gold, Platinum or Diamond tiers. To qualify for this Reward, a Delivery Person must be in the Gold, Platinum or Diamond Tier and sign up on the Urgent.ly website for Uber Eats Delivery People, here https://uberapp.urgent.ly/ in order to redeem the Reward.
