Pro Delivery Partner Program Terms and Conditions
The Pro Delivery Partner Program (the "Program") is brought to you by Uber Portier Taiwan Co. Ltd (“Portier Taiwan” or “Uber Eats”), its licensees and affiliated companies. These Program Terms (defined below) constitute a legal agreement between you (an independent delivery partner) and Portier Taiwan.
Uber Portier B.V. provides mobile applications (applicable Uber Eats App) connecting (i) consumers to merchants to order food, beverages, groceries and other items (“Items”) from Merchant, to Portier Taiwan to request for delivery of Items from merchants, and (ii) independent delivery partners with Portier Taiwan who holds a logistics licence to receive delivery dispatch requests. These delivery partners are independent contractors of Portier Taiwan. By being an independent delivery partner of Portier Taiwan, you are eligible to participate in this Program (subject to the eligibility requirements below). Participation in the Program is also subject to the agreements or terms between you and Portier Taiwan and/or its affiliates (where applicable), the Community Guidelines, Uber’s Privacy Notice, and any other terms, conditions or policies which may be applicable from time to time (collectively, the "Program Terms"). By participating in this Program you are agreeing to these Program Terms.
YOU UNDERSTAND THAT YOU ARE NOT REQUIRED TO PARTICIPATE OR ACCEPT ANY OFFERS, WHETHER FROM A THIRD PARTY, PORTIER TAIWANOR EACH OF THEIR RESPECTIVE AFFILIATES. YOU UNDERSTAND THAT PORTIER TAIWAN MAY TERMINATE OR MODIFY THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WHAT THE REWARDS ARE, HOW YOU EARN THEM, THE DURATION OF THE PROGRAM) AT ANY TIME IN PORTIER TAIWAN’S SOLE DISCRETION.
ELIGIBILITY
All participants in the Program are "Program Members." In order to participate in the Program, you must:
(1) reside in the Taiwan;
(2) have met and continue to meet all eligibility requirements to be a delivery partner as set by applicable law and as specified by Portier Taiwan from to time;
(3) have an Uber Eats Delivery Partner account in good standing;
(4) have current and valid Uber Eats App for Delivery Partners (for avoidance of doubt, which is solely provided by Uber Portier B.V. to Delivery Partner) in Taiwan; and
(5) have not opted out from participating in the Program in accordance with these terms.
Your rewards program account ("Program Account") will automatically be linked to your Uber Eats Delivery Partner account. You may not share your Program Account or have multiple memberships.
HOW YOUR TIER IS DETERMINED
You must earn points ("Points") to access the different Tiers (defined below) and the rewards offered in each Tier. You will earn at least 1 Point for every trip you complete as a delivery partner. Each such trip as a delivery partner on your Uber Eats Delivery Partner account shall count as an "Uber Eats Trip" for the purposes of this Program.
You will earn additional Points when you complete deliveries during peak meal times as specified below.

You earn Points in a fixed one month period. Each fixed one month period (each a "Program Period") shall begin at 12:00:00 am at the first of the month and end at 11:59:59 pm on the last day of the month. The Program may discontinue at any time, in Portier Taiwan’s sole discretion.
Points expire and reset to zero at the end of every Program Period. They do not carry over to the next Program Period. Points will count in the Program Period in which Portier Taiwan processes the Points (which may be the next Program Period). You will not earn any Points for taking rides as a rider or orders you submit on Uber Eats App. Points have no cash value and are used solely to determine your Program Tier. Points may be revoked if a delivery, for which Points were earned, is refunded or if Portier Taiwan believes, in its sole discretion, that Points were earned through or in connection with any fraud, abuse of the platform, or in violation of any of the Program Terms.
A Program Members' Tier status shall be determined by: (1) the Points earned in the previous Period (for the purposes of determining your Tier status for the next Period); (2) the Points earned in the current period (to the extent you reach the Points requirement for the next Tier within the current period as explained below); (3) satisfaction rating of 95% or higher (for the purposes of advancing to Gold, Platinum and Diamond Tiers); and (4) for Gold, Platinum and Diamond Tiers, meeting the Minimum Quality Standard as described below. If a Program Member has completed less than 100 trips, the satisfaction rating is based on the average satisfaction rating of all rated deliveries.
PROGRAM TIERS AND WINDOWS
The Program offers four membership Tiers: Partner, Gold, Platinum, Diamond ("Tiers"). Tiers unlock access to certain rewards ("Rewards") . Each successive Tier includes its own Rewards as well as the Rewards of the preceding Tiers.
The Points you earn in one Program Period, will determine your Tier in the next Program Period. Tiers are not permanent and must be earned for every Program Period.
IN ADDITION TO THE POINTS THRESHOLD OUTLINED BELOW, YOU MUST ALSO HAVE AT LEAST A SATISFACTION RATING OF 95% OR HIGHER TO REACH THE GOLD, PLATINUM AND DIAMOND TIERS.

You can move to a higher Tier during the current Program Period if you meet the Points and rating requirements described above. In that case, you will automatically be moved to the next Tier and you will stay in that Tier for the current Program Period and the next Program Period. For example, if you earn at least 1000 Points and have the required satisfaction rating (95% or greater), you will have earned the Diamond Tier for the remainder of that month and for the next month, provided that you maintain at least a 90% satisfaction rating from merchants and consumers (the “Minimum Quality Standard”) for the duration of the relevant Program Periods, as explained below.
Once you obtain a higher Tier, you may be able to immediately access some Rewards for the higher Tier, but not all Rewards may be available immediately.
MAINTAINING YOUR TIER
Satisfaction rates are based on the thumbs-up feedback from consumers and merchants after a delivery. In order to unlock the Gold, Platinum and Diamond Tiers, you must have at least a 95% satisfaction rating from merchants and consumers.
If you fall below a 90% satisfaction rating (ie the Minimum Quality Standard), you will automatically move to the Partner Tier and lose access to the corresponding Rewards from the Gold, Platinum and/or Diamond Tier, until you reach a minimum satisfaction rating of 90% again.
HOW TO VIEW POINTS BALANCES
You can view your current Points balances within the settings of your Uber Eats Delivery Partner App. Any errors or omissions on transactions posted to your Program Account must be reported within one month by contacting Portier Taiwan as noted in the “Contact Us” section below. Failure to supply necessary documentation may result in an inability to award Points. For verification, you should retain all receipts and documentation until your Points are credited to your Program Account.
In the event of any dispute, Portier Taiwan shall have sole discretion in decisions relating to the credit of Points relating to your Program Account, but will act reasonably in doing so.
In the event of an outage of the Uber Eats systems, your Points may be delayed in displaying in your Program Account. Additionally, if the outage occurs near the end of a Program Period, it is possible the Points will not be applied until the next Program Period.
ACCOUNT TERMINATION
Participation in the Program is a privilege granted to Portier Taiwan’s independent delivery partners, and as such can be suspended, revoked, or terminated at any time by us for any reason. If your Program membership is terminated, all Points associated with your Program membership and any Rewards may be forfeited immediately upon termination, in accordance with the terms of the specific Reward, as detailed below. If your Program membership is terminated due to fraudulent activity or non-compliance with any Program Terms, in addition to forfeiting all Points and Rewards associated with your Program membership immediately, you cannot participate in or rejoin the Program.
PROGRAM CHANGES AND PROGRAM TERMINATION
We reserve the right to change or terminate the Program, or any part thereof, at any time without notice and without further obligations to you or any other Program Members, including, but not limited modifications which: (a) govern how Points are earned on and after the date of change; (b) change the number of Points required to access a Tier; (c) the specific Rewards provided in each Tier; or (d) any other requirements necessary to obtain Rewards within a Tier. No Points will be earned after the effective date of termination. Furthermore, the terms and conditions of each specific Reward offered by third party Rewards providers are subject to change by such third party Rewards providers without further notice.
If your Program Account is terminated, you will no longer be a Program Member and all Points earned during the relevant Program Period will be forfeited immediately.
Any and all changes and/or amendments to these Program Terms will become binding upon all members immediately.
OPT OUT
You may opt-out of the Program at any time and for any reason. To opt-out of the Program, you will need to contact Uber Support and make this request. You can contact Uber Support via the “Help” section of the app, or at https://help.uber.com/. Your opt-out request will be processed within 7 calendar days.
After your opt-out request has been processed: (a) your Program Account will be deactivated; (b) you will forfeit your current Points balance; and (c) you will not be able to access any Rewards.
You can opt back into the Program thereafter, provided that the Program is still in place and that you meet the eligibility requirements.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the Republic of China, excluding its rules on conflicts of laws.
In the event of any dispute, conflict or controversy, howsoever arising out of or broadly in connection with this Agreement (the “Dispute”), please contact Uber Support via the “Help” section of the app where you can message us, or at https://help.uber.com/. We will act reasonably and attempt to resolve the Dispute. If the Dispute remains unsolved after the completion of the foregoing process, you agree to submit to the jurisdiction of the Taipei District Court of the Republic of China for the purpose of resolving such Dispute. Pending the resolution of the dispute in accordance with the foregoing, the parties shall continue to comply with these Terms despite the existence of any Dispute.
TRANSFER OF RIGHTS
Portier Taiwan’s rights and obligations under the Program may be assigned or transferred by Portier Taiwan to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity.
INTERPRETATION OF PROGRAM TERMS
All interpretations of these Program Terms will be at Portier Taiwan;s sole discretion and Portier Taiwan’s decision will be final.
DISCLAIMER
The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions or errors of the Program, its features or any Rewards. We may modify, suspend, or discontinue the Program or any feature at any time without notice. The Program and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our partners and third party Rewards providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
REWARDS DETAILS AND ADDITIONAL TERMS
Rewards are privileges granted to you. Rewards are granted at the discretion of Portier Taiwan, may change or be canceled at any time, are not redeemable for Points and have no cash value. Reward details, terms and limitations may be found below. Rewards provided by third parties may require additional action by you, including, without limitation, agreeing to additional terms and conditions or creating an account with such third party. Delivery partners are responsible for all taxes that may be owed in the receipt of Rewards. Portier Taiwan is not responsible for the products or services offered by third parties. Further details regarding any terms and conditions of each specific reward will be available in your Uber Eats Delivery Partner App.
To ensure the success of the Program, Portier Taiwan may collect information on such third party Rewards-based transactions for information and reporting purposes, in each case pursuant to the terms agreed to by the third party Reward provider and the Program Member.
