Terms and Conditions (the “Terms”)
READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING. YOU WILL BE DEEMED TO HAVE ACCEPTED THESE TERMS AND CONDITIONS AND AGREED TO BE BOUND BY THEM BY ACCEPTING A NOMINATION AND PARTICIPATING IN THE AWARDS. AMONG OTHER THINGS, THESE TERMS AND CONDITIONS INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES.
Uber Eats UK Limited of First Floor, Aldgate Tower, 2 Leman Street, London, United Kingdom, E1 8FA is the promoter of the Awards (the “Promoter”). When we use the term “we” or “our” in these terms and conditions, we are referring to Uber Eats UK Limited When we use the term “you” in these terms and conditions, we are referring to you, the Merchant that participates in the Awards.
1. Eligibility and Participation:
a. The following terms and conditions shall exclusively apply to the Uber Eats Restaurant Awards 2023 and “Restaurant of the Year” prize (the “Awards”) within the United Kingdom and Republic of Ireland, unless otherwise specified in the Awards marketing.
b. Participation in the Awards is open to eligible merchants that have at least one restaurant available to receive orders from customers on the Uber Eats App (“Merchant”), subject to Section 1c. and Section1 d.
c. In order to be eligible to participate in the Awards the Awards and/or win the “Restaurant of the Year” prize (the “Prize”), the Merchant must:
i. be resident or incorporated in the U.K. or Republic of Ireland and have restaurants located in the UK and/or Republic of Ireland available on the Uber Eats App;
ii. have an active merchant account with Uber Eats;
iii. be compliant with the terms of the agreement between the relevant Merchant and Uber Eats (including the Merchant Terms);
iv. be nominated via the ubereatsawards.com website; and
v. have completed a minimum of 10 deliveries on Uber Eats.
d. Merchants will not be eligible to participate in the Awards and/or win the Prize if:
i. the Merchant is an employee of the Promoter, the Merchant has a family member that is employed by the Promoter, or the Merchant or a Merchant’s family member is an agent or third party directly associated with the administration of the Awards or the Prize;
ii. the Merchant owns or controls (whether directly or indirectly) more than 4 physical restaurant locations from which customers can place orders via the Uber Eats App;
iii. the Merchant is not independently owned and operated; and iv. the Merchant operates its restaurant or restaurants in the capacity of franchisee or licensee.
2. Awards Period and notification:
a. The Awards will open on May 16 2023 at 00:01 and shall close when the Prize has been awarded to the winning Merchant (the “Awards Period”)
b. The one (1) winner of the Prize shall be notified via phone within 5 business days of the Awards Period coming to a close.
c. If the Promoter cannot reach the winner by EMAIL and/or PHONE by 20 August 2023, or the winner refuses the Prize, then the Prize will be forfeited and a replacement winner will be notified by 10 September 2023.
d.The Prize shall be awarded to the winner within 30 days upon receipt of any additional details required to transfer the Prize to the winner. The Prize will be awarded in the form of bank transfer to the Merchant’s Uber Eats registered bank account. To the extent that Merchant is based in the Republic of Ireland the value of the Prize will be exchanged into Euros on the date of bank transfer
e. The Prize shall be awarded to the winner within 30 days upon receipt of any additional details required to transfer the Prize to the winner. The Prize will be awarded in the form of bank transfer to the Merchant’s Uber Eats registered bank account.e. The Prize is conditional upon the winner continuing to use the Uber Eats App in a substantially similar manner for the 12 month period following its receipt of the Prize. If, within this 12 months period, the winner terminates its agreement with the Promoter, or otherwise discontinues using the Uber Eats App in the manner in which it had been using the Uber Eats App prior to its receipt of the Prize, the Promoter shall be entitled to require reimbursement of the Prize in full.
3. Awards Details:
a. The Merchants that meet the eligibility criteria set out in Section 1, are nominated via the ubereatsawards.com site and shortlisted will be requested to accept their nomination. Once the Merchant accepts their nomination, they will be enrolled in a public vote.
b. The public voting will take place via ubereatsawards.com where the 10 Merchants who receive the most votes will be invited to a judging day held on October 4, 2023 in London.
c. On 5 October 2023, invited Merchants will meet a panel of judges and be required to prepare 2 dishes for the judges to taste.
d. The judges will independently award each merchant a score out of 100, and the Merchant with this highest score will win the Prize. e. The winner who accepts the Prize may be asked if they would like to participate in publicity related to the Awards, which may include the publication of their name and photograph in any media.
f. The Promoter may need to provide the winner’s information and details of the winning entry to the Advertising Standards Authority on request. g. Personal data supplied during the course of the Awards will only be processed as set out in the Promoter’s Privacy Policy.
4. General:
a. Merchants shall be responsible for funding all costs and expenses required in order to participate in the Awards, including (but not limited to) travel and accommodation expenses.
b. The Promoter does not assume any responsibility for any typographical or other error in the administration of the Awards.
c. The decision of the Promoter regarding any aspect of the Awards is final and binding and no correspondence will be entered into about it. d. Third party terms and conditions may apply to any part of the Awards where applicable.
e. Participants are deemed to have accepted and agreed to be bound by these Terms upon participation in the Awards. The Promoters reserve the right to refuse participation in the Awards to anyone in breach of these Terms.
f. Insofar as is permitted by law, the Promoter will not (and nor will the Promoter’s agents or distributors), in any circumstances be responsible or liable to compensate any party, accept any liability to any party (whether direct, indirect, special, incidental, exemplary, punitive or consequential) for any loss, damage, personal injury or death arising out of or in connection with a party’s participation in the Awards whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not the Promoter (or its affiliates) has been advised of the possibility of such loss, damage, personal injury or death. Statutory rights are not affected. Any liability of the Promoter’s arising in
connection with the Awards shall be several and the Promoter shall not accept joint and several liability in connection with the Awards. g. The Promoter reserves the right to modify and amend these Terms and Conditions from time to time during the Awards period.
h. The invalidity or unenforceability of any provision, or part thereof, of these Terms will not affect the validity or enforceability of any other provision or part thereof. In the event that any provision, or part thereof, of these Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions, or parts thereof, will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Promoter’s failure to enforce any term of these Terms will not constitute a waiver of that term or any other provision of these Terms.
i. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in the Awards–related materials and these Terms, these Terms shall prevail, govern and control and the discrepancy will be resolved in Promoter’s sole and absolute discretion.
j. These terms and conditions shall be governed by English law, and we agree with you that we shall each submit to the non-exclusive jurisdiction of the courts of England and Wales.
