Uber Technologies, Inc. (“Uber”) is sponsoring the Uber Earner x Miami HEAT Ticket Sweepstakes (the “Sweepstakes”). The Sweepstakes is subject to these official rules (the “Official Rules”), and by participating, you (“Entrant”) agree to be bound by them and the decisions of Uber and Administrator (as defined below), which are final and binding in all respects.

NO PURCHASE OR UBER TRIP NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE OR UBER TRIP WILL NOT IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW OR RESTRICTED BY LAW. SWEEPSTAKES IS NOT OPEN TO THE GENERAL PUBLIC.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the United States, who: (i) have an active driver account on the Uber – Driver: Drive & Deliver App as of April 7, 2024 in good standing; (ii) have set their home city within the Uber – Driver: Drive & Deliver App as Miami, FL (as outlined at (https://www.uber.com/global/en/cities/miami/); and (iii) are at least eighteen (18) years of age at the time of participation. Entrants must meet all driver requirements as set forth at (https://www.uber.com/us/en/drive/) prior to the start of the Sweepstakes Period (as defined below). Employees, officers, directors, agents and representatives, and the immediate family members of such individuals (i.e., parent, spouse, siblings, children, grandparents, step parents, step children and step siblings, and their respective spouses, and those living in the same household, whether or not related) of Uber, Administrator (as defined below), the Miami Heat Limited Partnership and Basketball Properties, Ltd., each d/b/a The HEAT Group (together, the “HEAT”), the National Basketball Association and its Member Teams (including the Miami HEAT), NBA Properties, Inc., NBA Media Ventures, LLC, NBA TV, LLC, and NBA Enterprises, LLC (collectively, “NBA Entities”), or any of their affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising and promotion agencies, webmasters and any company involved in the creation, design, execution, production, or fulfillment of the Sweepstakes (collectively, the “Sweepstakes Entities”) are not eligible to enter or win. Additionally, individuals who are employed by any local, state, or federal government office or agency, elected officials and individuals listed on the OFAC Specially Designated Nationals and Blocked Persons (SDN) List are not eligible to enter or win. Offered only in Miami, FL. VOID OUTSIDE OF MIAMI, FL AND WHERE PROHIBITED. The Sweepstakes is subject to all applicable federal, state, and local rules, laws, and regulations.

SWEEPSTAKES PERIOD: The Sweepstakes will begin 12:00:01 A.M. Eastern Time (“ET”) on April 8, 2024 and end at 11:59 P.M. ET on April 10, 2024 (“Sweepstakes Period”). The Sweepstakes Period will be comprised of three (3) separate and distinct entry periods (each, an “Entry Period” and collectively, “Entry Periods”) as set forth in the chart below. No entries will be accepted after April 10, 2024 at 11:59 P.M. ET. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

HOW TO ENTER: During the Sweepstakes Period, there are two (2) ways to enter the Sweepstakes:

Method #1 – Complete one (1) Uber Trip: Complete one (1) eligible Uber Trip (as defined below) on the Uber – Driver: Drive & Deliver platform during the Sweepstakes Period to receive one (1) entry into the Sweepstakes. Limit of one (1) entry (one [1] trip) per person, associated with the Uber – Driver: Drive & Deliver account per day. To receive an entry via this method, a trip must be accepted from the Uber – Driver: Drive & Deliver app in the normal course of business, successfully completed by dropping off the passenger at their location (canceled trips are not eligible), and completed within the Miami, FL area during the Sweepstakes Period (“Trip”). (The length of the Trip will not affect one’s ability to enter the Sweepstakes provided that it has been successfully completed.) To be entered for a chance to win the prize (“Prize”) available for a given Entry Period, the Trip must have been successfully completed during that Entry Period (as defined in Rule 2 above). Should a Trip occur over two (2) days, the entry will count only for the day in which the Trip was successfully completed.

Method #2 – Free Alternate Method of Entry Form (“AMOE”): To enter the Sweepstakes without completing a trip, visit https://forms.gle/74upkguaYDRpvJmG8. Complete the entry form in its entirety including your full name, phone number, and email address (associated with your Uber – Driver: Drive & Deliver account) and check the box acknowledging that you have read and agree to these Official Rules. Click the “Submit” button on the website to receive one (1) entry. Proof of entering information at the website is not considered proof of delivery to or receipt by Sponsor of such entry. Receipt of entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor as to eligibility of entry. To be entered for a chance to win the Prize available for a given Entry Period, the completed entry form must have been received during that Entry Period (as defined in Rule 2 above).

Limit one (1) entry per individual, per email address and/or driver account per Entry Period. Maximum three (3) entries throughout the Sweepstakes Period.

All entries must be received no later than the end of the Entry Period (subject to the daily entry deadlines set forth above) to be considered. Multiple Entrants are not permitted to share the same email address or Uber – Driver: Drive & Deliver account. Any entries that result from or are associated with unlawful behavior will be disqualified from the Sweepstakes. Uber/Administrator in their sole discretion will decide whether a given entry satisfies the criteria for entry in the Sweepstakes. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, accounts, identities, registrations and logins, or any other methods will void that Entrant’s entries and that Entrant may be disqualified. Such actions may also result in the imposition of disciplinary sanctions as per Uber’s company policies. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Entrant, the authorized account holder of the email address associated with the driver account used for entry (for entries made via Method #1) or the authorized account holder of the email address listed on the entry form (for entries made via Method #2), as applicable, will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the entry. Each potential Winner may be required to show proof of being the authorized account holder. Uber will make the final determination of identity of Entrants in its sole discretion. All entries submitted in compliance with these Official Rules and not disqualified or void are considered “Eligible Entries.” All entries are the property of Uber and will not be acknowledged or returned.

Message and data rates may apply to use of mobile device for entry. Be sure to check your wireless carrier’s pricing plan before participating. Wireless internet access may not be available in all areas.

RANDOM DRAWINGS/SELECTION OF WINNERS/ODDS: Potential winners will be randomly selected from among all Eligible Entries received for each given Entry Period on or about the dates stated in the table in Section 2 above. All non-winning eligible entries from each Entry Period will not be carried over into the remaining Entry Period drawings, as applicable.

Odds of winning depend on the number of Eligible Entries received for the applicable Entry Period.

All random drawings will be conducted by Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Sweepstakes.

WINNER NOTIFICATION: Potential winners will be notified by Sponsor via e-mail (if potential winner entered via Uber – Driver: Drive & Deliver, via the e-mail currently on file with Sponsor for the corresponding Uber – Driver: Drive & Deliver account; if potential winner enters via AMOE, via the e-mail provided on the entry form) and/or in-app notification (each a “Notification”) on or about the applicable drawing date. Sponsor and Sweepstakes Entities disclaim any liability due to Notification not being timely received (or received at all) by potential winner regardless of cause. The Notification may request that the potential winner provide the Sponsor with specific personal information (e.g., full name, e-mail address associated with their Uber account and ticketing app email [if applicable]). Failure to respond to the Notification within forty-eight (48) hours after transmission to the potential winner or return of the e-mail notification as undeliverable after two (2) attempts may result in disqualification and award of the Prize to an alternate winner. If Sponsor is not able to contact the potential winner or if the potential winner doesn’t not reply to the Notification within the forty-eight (48) hour period, it may result in disqualification and the Prize will be awarded to an alternate winner (time permitting). Potential winners will have the option to decline the Prize for any reason whatsoever, in which case such potential winner will be disqualified and the Prize will be awarded to an alternate Winner (time permitting). If Notification is returned as non-deliverable, if potential Winner is found to be ineligible or otherwise not in compliance with these Official Rules, or if potential Winner does not accept the Prize for any reason, Prize will be forfeited and potential Winner may be disqualified. If a potential Winner is disqualified for any reason, an alternate potential Winner will be selected from among all remaining eligible entries received for the applicable drawing (time permitting).

Provided that each potential Winner is in compliance with the Official Rules and after having successfully proven eligibility, they will be officially confirmed as a Winner (“Winner”, collectively “Winners”). Uber expressly reserves the right to delay the announcement of the Winners for any reason it deems necessary. By entering or accepting any Prize, Winners allow Uber to use the Winner’s entry, name, photograph, likeness, voice, opinions, Prize information, biographical information, hometown and state/province for publicity and promotional purposes without further compensation or notice where permitted by law. Except where prohibited, participation in the Sweepstakes constitutes an Entrant’s consent to Uber’s use of Entrant’s entry, name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes in any media without payment or consideration or notice. To the extent that the preceding is inconsistent with Uber’s agreement with driver, the driver agreement will prevail, govern and control.

Uber expressly reserves the right to delay the announcement of the Winner(s) for any reason it deems necessary. Additionally, Uber and the Sweepstakes Entities reserve the right to make a public announcement, announcing the Winners on either the Uber or Uber Eats website, through the Uber or Uber Eats App, or in any manner (including, without limitation, social media (e.g., Facebook, Instagram or X [formerly Twitter]), which they deem appropriate.

PRIZES/APPROXIMATE RETAIL VALUES (“ARV”):

Entry Period 1 Prize (Eleven [11] Prizes): Each Winner will receive lower bowl tickets for Winner and one (1) guest to attend the Miami HEAT regular season game against Dallas, currently scheduled to take place on Wednesday, April 10, 2024 at 7:30 P.M. ET, at the Kaseya Center (located at 601 Biscayne Boulevard, Miami, FL 33132), subject to availability and restrictions per Section 7 below. ARV: up to $535.00 each.

Entry Period 2 Prize (Twelve [12] Prizes): Each Winner will receive lower bowl tickets for Winner and one (1) guest to attend the Miami HEAT regular season game against Toronto, currently scheduled to take place on Friday, April 12, 2024 at 8:00 P.M. ET, at the Kaseya Center (located at 601 Biscayne Boulevard, Miami, FL 33132), subject to availability and restrictions per Section 7 below. ARV: up to $588.50 each.

Entry Period 3 Prize (Eleven [11] Prizes): Each Winner will receive lower bowl tickets for Winner and one (1) guest to attend the Miami HEAT regular season game against Toronto, currently scheduled to take place on Sunday, April 14, 2024 at 1:00 P.M. ET, at the Kaseya Center (located at 601 Biscayne Boulevard, Miami, FL 33132), subject to availability and restrictions per Section 7 below. ARV: up to $567.10 each.

ADDITIONAL PRIZE RESTRICTIONS:
Limit one (1) Prize per person/household. Prize(s) returned as undeliverable may be forfeited. Winner should check their SPAM or “Junk” email folder for communication including Prize.

Specific seat location at game in lower bowl of Kaseya Center is of Sponsor’s and HEAT’S sole determination. Ticket privileges are provided to Winner and guest pursuant to a revocable, nontransferable license that is personal to Winner/guest and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. The actual value of each Prize awarded may vary depending on a number of factors, including date of game and seat location. Therefore, the actual value of the Prize awarded may be lower or higher at the time it is fulfilled. If the actual value of the Prize is less than the stated approximated retail value, the difference will not be awarded.

Ticket redemption may require a mobile ticketing app and is subject to terms and conditions as stated thereon and provided via such mobile ticketing platform. Winner may be required to provide a valid email address, download the applicable mobile ticketing app to their mobile device, and present tickets at the arena via mobile device. Data rates may apply. Winner is solely responsible for any such wireless or data charges associated with such use, including the downloading and use of mobile ticket app. Attending the Miami HEAT game constitutes agreement of Winner/guest (if guest is a minor in their jurisdiction of residence, their parent/legal guardian) to the terms and conditions of such tickets, including, without limitation, eligibility requirements for ticket holders to attend, compliance with all applicable laws and regulations, and venue policies of Kaseya Center in effect at the time of the game. Miami HEAT and/or Kaseya Center may revoke ticket privileges or admission to game at any time for, amongst other things, failure of the holder to conduct themselves in accordance with HEAT’s and/or NBA’s Fan Code of Conduct while at Kaseya Center at any time before, after or during a Miami HEAT home game or if Winner or guest is determined to be intoxicated, to pose a safety risk to themself or others, to violate any applicable law or venue policy (including but not limited to those designed to prevent the spread of COVID-19/Coronavirus, such as, mask-wearing, social distancing, providing proof of negative COVID-19/Coronavirus test and/or providing proof of vaccination against COVID-19/Coronavirus), or engages in any conduct that brings Sponsor, the Miami HEAT, the NBA and/or Kaseya Center into disrepute.

Winner and guest must follow all instructions of Sponsor/HEAT. Failure to do so may result in forfeiture of the Prize. Should Winner and/or guest fail to adhere to any such instructions or engage in unruly, obnoxious, illegal, threatening, or otherwise inappropriate behavior (as determined by Sponsor/HEAT in their sole discretion), Sponsor/HEAT reserve the right, without further notice or warning, to terminate Prize early, and send Winner and/or Winner’s guest home and/or take other actions as Sponsor/HEAT deem appropriate in their sole discretion without any liability or other obligation to Winner or guest. Inappropriate behavior includes but is not limited to the failure of Winner or guest to comply with governmental mandates, HEAT/Kaseya Center or NBA rules, requirements or policies.

In the event the Winner is able to accept the Prize, but the game does not or cannot take place as scheduled, or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, location changes, an event of force majeure, or for any other reason, Sponsor will have no further obligation to the Winner.

NOTWITHSTANDING THE FOREGOING, IT IS ALSO POSSIBLE THAT THE COVID-19/CORONAVIRUS PANDEMIC DIRECTLY OR INDIRECTLY MAY COMPEL HEAT OR NATIONAL BASKETBALL ASSOCIATION AND ITS MEMBER TEAMS (INCLUDING HEAT) TO DELAY/POSTPONE INDEFINITELY (OR FOR A SIGNIFICANT PERIOD) OR EVEN CANCEL ALTOGETHER A GAME. IN SUCH CASE (WITH A SIGNIFICANT DELAY BEING DETERMINED BY SPONSOR IN ITS SOLE DISCRETION), SPONSOR’S AND HEAT’S LIABILITY SHALL BE LIMITED TO AWARD A PRIZE IN LIEU OF A GAME IN ITS SOLE CHOOSING AND/OR THE TERMS OF THE TICKETS SHALL GOVERN, AS DETERMINED BY SPONSOR AND/OR HEAT.

National Basketball Association and its Member Teams (including HEAT) are not responsible for administering this Sweepstakes or selecting the Winners. Prizes are not redeemable for cash or transferable. No substitutions allowed, except as set forth in these Rules and at Sponsor/HEAT’s sole discretion, a Prize of comparable or equal value will be provided. Prizes are awarded “as is” with no warranty or guarantee by Sponsor or HEAT. Federal, state and local taxes as well as all other costs and expenses associated with Prize acceptance and use not specified herein as being provided are the sole responsibility of the Winner (the preceding includes but is not limited to travel to and from Kaseya Center and parking thereat to attend the applicable Miami HEAT game).

Conditions of Participation: By submitting an entry for this Sweepstakes, you agree to abide by these rules and any decision Uber and/or Administrator makes regarding this Sweepstakes, in their sole discretion. Uber reserves the right to disqualify and prosecute to the fullest extent permitted by law any entrant or Winner who, in Uber’s reasonable suspicion, tampers with Uber or any Uber partner site, the entry process, intentionally submits more than a single entry per week, violates these rules, or acts in an unsportsmanlike or disruptive manner. Such actions may also result in the imposition of disciplinary sanctions as per Uber’s company policies. Uber or their designee may fulfill the Prize to the Winners, and Uber may share your information with a third party for Prize fulfillment purposes. Uber’s/Administrator’s failure to enforce any provision of these Official Rules in a given instance is NOT a waiver of such provision.

Disclaimer, Release and Limit of Liability: UBER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR YOUR PARTICIPATION IN THE SWEEPSTAKES. BY ENTERING THE SWEEPSTAKES OR RECEIPT OF ANY PRIZE, EACH ENTRANT AGREES TO WAIVE ALL CLAIMS AGAINST, AND DEFEND, INDEMNIFY, RELEASE AND HOLD HARMLESS SWEEPSTAKES ENTITIES, AND EACH OF THEIR SUBSIDIARIES, DIRECT AND INDIRECT AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/SWEEPSTAKES AGENCIES, AND PRIZE SUPPLIERS, AND EACH OF THEIR RESPECTIVE PARENT COMPANIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, NEGLIGENCE, GROSS NEGLIGENCE OR OTHER TORTIOUS CONDUCT, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THE SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE SWEEPSTAKES; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE SWEEPSTAKES; (4) TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE SWEEPSTAKES OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. If for any reason an Entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the Sweepstakes, provided that if it is not possible to award another entry, for any reason, Uber shall not have any liability for same. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond any Released Party’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries or otherwise), Sponsor/Administrator reserve the right, in their sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award Prize(s) for affected drawing(s) by means of a random drawing from among all non-suspect online/App eligible entries received for affected drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor/Administrator as well as all eligible AMOE entries received for affected drawing(s) or otherwise in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor/Administrator in their sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on Uber’s website and will be posted in app.

Privacy and Use of Sweepstakes Information: All information submitted by Entrants and collected by Uber in connection with Entrant’s entry will be subject to and will be treated in a manner consistent with Uber’s website Terms and Conditions accessible at: https://www.uber.com/legal/en/document/?name=general-terms-of-use&country=united-states&lang=en (United States) and Uber’s User Privacy Policy available at: https://www.uber.com/legal/en/document/?name=privacy-notice&country=united-states&lang=en. By participating in the Sweepstakes, Entrant hereby agrees that Uber may collect and use their personal information submitted with the entry, and acknowledges that they have read and accepted Uber’s User Privacy Policy (as applicable). Among other things, the information Entrants provide may be used for sending Entrants company updates and announcements about Uber and its products and/or services in accordance with applicable law.

Binding Arbitration: THE ARBITRATION AGREEMENT CONTAINED IN UBER’S TERMS OF USE WILL GOVERN ANY DISPUTES, CONTROVERSY OR CLAIM(S) ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR ANY PRIZE AWARDED.

Governing Law: All federal, state and local laws and regulations apply. Void outside of Miami, FL and where prohibited by law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Uber in connection with the Sweepstakes, shall be governed by, and construed in accordance with, New York State law without giving effect to any choice of law or conflict of laws rules (whether of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than New York.

Accessibility of Official Rules and Winners List: A copy of the Official Rules is available via https://www.uber.com/blog/uber-earner-x-miami-heat-ticket-sweepstakes-official-rules. Where required by law, Uber will provide the names of Winners of a Sweepstakes to those who request it. For the names of Winners: (i) send a self-addressed, stamped envelope postmarked to Uber, LLC, 1515 3rd Street, San Francisco, CA 94158 U.S.A., Attn: Winner List; and (ii) write the name of the Sweepstakes on the lower left-hand corner of the envelope. All requests for the names of the Winners must be received within two (2) weeks of the end of the Sweepstakes Period (i.e., April 30, 2024).
