Uber Central Product Addendum to the Uber for Business General Terms and Conditions - Taiwan (R.O.C)
本優步企業版一般條款與細則 (下稱「一般條款」) 之 Uber Central 產品附錄 (下稱「產品附錄」) 係由本註冊頁面所示之公司 (下稱「貴公司」) 與優步福爾摩沙股份有限公司 (一家依台灣 (中華民國) 法律成立的股份有限公司,公司統一編號為 83118125、註冊地址為台灣 (中華民國) 台北市松山區復興北路 367 號 8樓 (下稱「Uber」),共同簽署。本協議中使用卻未定義的英文大寫之定義名詞,其定義應與一般條款中相同。若一般條款與本產品附錄的條款有任何牴觸,應以本產品附錄的條款為準。本產品附錄規定了貴公司可利用控制台啟用 Uber Central 的條款。貴公司使用 Uber Central 時須遵守本產品附錄的規定,且附錄規定可能根據一般條款的規定由 Uber 修改或更新。
This Uber Central Product Addendum (the “Product Addendum”) to the Uber for Business General Terms and Conditions (the “General Terms”) is entered into by and between the company identified within this sign-up page (“Company”) and Uber Formosa Co. Ltd., a private limited liability company incorporated under the laws of Taiwan (R.O.C) with a company registration number of 83118125 and registered address of 8F., No. 367, Fuxing N. Rd., Songshan Dist., Taipei City 105, Taiwan (R.O.C.) (“Uber”). Undefined, capitalised terms used herein shall have the meaning ascribed to them in the General Terms. In the event of any conflict between the terms of the General Terms and this Product Addendum, the terms of this Product Addendum shall govern. This Product Addendum sets forth the terms under which a Company may utilise the Dashboard to enable Uber Central. Company’s use of Uber Central is subject to this Product Addendum, as may be modified or updated by Uber as set forth in the General Terms.
1.定義
1. Definitions.
只有用於本產品附錄時,以下術語定義如後述:
The following terms, as may be used only in this Product Addendum, shall have the meanings set forth below:
1.1.「有效使用者」係指擁有 Uber 服務的有效 Uber 個人帳戶之個人,建立此有效個人帳戶需要 (i) 向 Uber註冊,(ii) 同意最終使用者條款。
1.1. “Active User” means an individual with an active personal Uber user account for the Uber Services, the creation of which requires (i) registering with Uber, (ii) and accepting the End User Terms.
1.2. 「Central 使用者」係指有效使用者或賓客使用者。
1.2. “Central User” means an Active User or Guest User.
1.3. 「Central 使用者資料」應具有第 2.2 條所載之涵義。
1.3. “Central User Data” shall have the meaning as set forth in section 2.2.
1.4. 「賓客使用者」是指非有效使用者之個人。
1.4. “Guest User” means an individual who is not an Active User.
1.5「服務提供者」係指被授權得提供Uber Central產品之服務之任何獨立第三方服務提供者(包含第三方運輸服務供應商及外送員)。
1.5 “Service Providers” means any independent third party service providers that are authorised to provide services in connection with the Uber Central product, including third party transportation providers and delivery partners.
1.6.「Uber Central」係指與 Uber 科技平台系統相關的優步企業版產品,可讓貴公司使用 Uber Central 產品代表貴公司之客戶、顧客或其他被授權之個人向獨立第三方服務供應商預約搭乘。
1.6. “Uber Central” means the Uber for Business product that, in connection with Uber technology platform systems, enables Company to request rides or deliveries on behalf of Company’s customers, clients, or other authorised individuals from independent third party service providers using the Uber Central product.
1.7「Uber 優快送」係指一與 Uber 科技平台系統相關之功能,使貴公司得使用 Uber Central 產品代公司客戶、顧客或其他被授權之個人向服務提供者要求包裹運送。
1.7 “Uber Courier” means the feature that, in connection with Uber technology platform systems, enables Company to request package deliveries on behalf of Company’s customers, clients, or other authorised individuals from Service Providers using the Uber Central product.
2.為貴公司提供服務
2. Provision of Services to Company.
2.1.使用服務
2.1. Access to Services.
簽署本產品附錄後,Uber 會盡商業上合理的努力,促使 Uber 關係企業讓貴公司能夠透過控制台使用 Uber Central。除了一般條款中說明的控制台功能外,控制台也可讓貴公司 (a) 代表 Central 使用者預約搭乘,以及 (b) 查看列出每月代表 Central 使用者預約行程的帳單明細。貴公司明確承認並同意 (a) 提供給 Central 使用者的任何及所有運輸服務,皆不是由 Uber 及/或其關係企業、亦不是由貴公司,而是由獨立第三方運輸服務供應商所提供,並且 (b) 貴公司僅以 Central 使用者的代理人身份,代表他們處理運輸服務的要求。貴公司瞭解,任何使用每月結帳功能的管理員都會向貴公司帳戶收取使用者費用,而非向相關 Central 使用者的個人帳戶或信用卡收取 。
Upon execution of this Product Addendum, Uber will use commercially reasonable efforts to procure Uber Affiliates to enable Company to access Uber Central via the Dashboard. In addition to the Dashboard features described in the General Terms, the Dashboard will enable Company to (a) request rides or deliveries on behalf of Central Users, and (b) view a monthly statement setting forth trips requested on behalf of Central Users. Company expressly acknowledges and agrees that (a) any and all transportation services provided to Central Users are provided neither by Uber and/or its Affiliates nor by Company, but by independent third-party transportation providers, and (b) Company is acting solely as an administrative agent of Central Users to relay requests for transportation services on behalf of Central Users. Company acknowledges that any Administrator utilizing Monthly Billing will incur User Charges to the account of Company, and not to the applicable Central User's personal account or credit card.
2.2.有效使用者以及賓客使用者
2.2. Active Users; Guest Users.
2.2.1. 代表任何 Central 使用者要求使用 Uber 服務前,貴公司應取得並向 Uber 提交此 Central 使用者的下列資訊:(i) 名字和姓氏,(ii) 有效電話號碼;(iii) 上下車地點;和 (iv) 上車時間和其他可選行程相關資料 (例如帳單代碼,房號,行程目的和傳送給駕駛的訊息) (下稱「Central 使用者資料」),允許 Uber 確認該 Central 使用者是否為有效使用者或賓客使用者。貴公司應確保提供給 Uber 的所有資料皆準確且完整,對於貴公司提供不準確或不完整的資料,Uber 對貴公司、任何 Central 使用者或任何人概不負責。
2.2.1. Prior to requesting the Uber Service on behalf of any Central User, Company shall obtain from the Central User and submit to Uber the following information with respect to such Central User: (i) first and last name, (ii) active telephone number; (iii) pick-up and drop-off location; and (iv) pick-up time and other optional trip related data (e.g. billing code, room number, trip purpose, and message to driver) (“Central User Data”), in order to permit Uber to confirm whether such Central User is an Active User or a Guest User. Company shall ensure that all data provided to Uber is accurate and complete, and Uber shall not be liable to Company, any Central User or any other party with respect to inaccurate or incomplete data supplied by Company.
2.2.2. 貴公司應全權負責聯絡並協助聯繫貴公司要求提供 Uber 服務的任何賓客。Uber 不負責依據本產品附錄聯絡或透過訊息聯繫任何不屬於 Central 使用者之人。
2.2.2. Company shall be solely responsible for contacting, or facilitating contact with, any Guest User for whom Company requests the Uber Services. Uber shall have no responsibility for contacting or providing messaging of any sort pursuant to this Product Addendum to any individual who is not a Central User.
2.2.3. 貴公司瞭解,任何 Central 使用者可能因未來或過去違反最終使用者條款或可於 https://www.uber.com/legal/general-community-guidelines/taiwan/en/ 參閱且內容可能不時更新的 Uber 社群準則 (下稱「違規」),而遭到暫時停用或禁止使用 Uber 服務,而 Uber 及/或其關係企業對無法使用 Uber 服務的 Central 使用者概不承擔任何義務或責任。
2.2.3. Company acknowledges that any Central User may be suspended or banned from use of the Uber Services due to future or past violations of the End User Terms or Uber’s Community Guidelines available at https://www.uber.com/legal/general-community-guidelines/taiwan/en/, as may be updated from time to time ("Violations"), and that Uber and/or its Affiliates shall have no obligation or liability related to a Central User that is unable to utilize the Uber Services.
2.3.限制
2.3. Restrictions.
貴公司同意只能依據本產品附錄、一般條款和最終使用者條款規定使用 Uber 服務和 Uber App 或 Uber Eats App,並應促使各授權使用者亦為之;然而,有關 Uber 服務採用 Central結帳之貴公司或任何 Central 授權使用者,若本產品附錄、一般條款和最終使用者條款之間互相牴觸時,應依序適用本產品附錄條款、一般條款、最終使用者條款。對於違反本產品附錄,一般條款或最終使用者條款的行為,Uber 及其關係企業保留權利,得暫停貴公司或任何管理員使用 Uber Central 和企業帳戶的權限。貴公司不得向授權使用者或使用優步企業版 Central 或 Uber 服務之相關第三方收取任何額外費用。
Company agrees to, and to cause all Central Users to, use the Uber Service and Uber App or Uber Eats App solely as set forth in this Product Addendum, the General Terms, and the End User Terms; provided, however, that in the event of a conflict between this Product Addendum, the General Terms and the End User Terms with respect to Company or any authorised Central User or an Administrator employing Central Billing with the Uber Service, the terms of this Product Addendum shall control, followed by the General Terms, then the End User Terms. Uber and its Affiliates reserves the right to suspend Company’s use or any Administrator’s use of Uber Central and the Corporate Account for violations of this Product Addendum, the General Terms or the End User Terms. Company shall not impose any additional fees or charges on an authorised User or to any other third party related to use of the U4B Central or the Uber Service.
3. UBER COURIER TERMS
3.Uber 優快送條款
3.1. Uber Courier Acknowledgments.
3.1. 對 Uber 優快送條款之確認。
3.1.1. Company acknowledges that the availability of and Company’s access to Uber Courier is at Uber’s sole discretion and Uber may cease offering Uber Courier to Company at any time and for any reason. The Company acknowledges and agrees that its use of Uber Courier shall be governed by the Courier Terms and Conditions which can be found at https://www.uber.com/legal/zh-tw/document/?name=courier-terms-and-conditions&country=taiwan&lang=zh-tw. For the purposes of the Courier Terms and Conditions, references to “you” shall mean the Company.
3.1.1. 貴公司確認,Uber 優快送的可用性及貴公司是否可使用此服務是由 Uber 自行決定,且 Uber 得隨時基於任何理由停止向貴公司提供 Uber 優快送。貴公司確認並同意,其使用 Uber 優快送應受優快送條款與條件之拘束。於優快送條款與條件中,「您」一詞均指公司。
3.1.2. COMPANY ACKNOWLEDGES THAT COMPANY’S ABILITY TO OBTAIN DELIVERY SERVICES THROUGH THE USE OF UBER COURIER DOES NOT ESTABLISH UBER AS A PROVIDER OF TRANSPORTATION, LOGISTICS OR DELIVERY SERVICES OR AS A TRANSPORTATION CARRIER AND THAT ALL SUCH TRANSPORTATION OR LOGISTICS OR DELIVERY SERVICES ARE PROVIDED BY SERVICE PROVIDERS WHO ARE NOT EMPLOYED BY UBER OR ANY OF ITS AFFILIATES.
3.1.2. 貴公司確認,貴公司得透過使用 Uber 優快送獲得外送服務並不代表 UBER 為運輸、物流或外送服務的供應商,或運輸承運人,且所有此類運輸、物流或外送服務均由並非受僱於 UBER 或其任何附屬公司之服務提供者提供。
3.1.3. Company acknowledges that Uber will have no liability to Company for any loss, damage, non-delivery, or delay in the delivery of items requested by Company for delivery, or any unexpected issues or changes made by Uber to Uber Courier in its discretion that could arise during Company’s use of Uber Courier. Uber does not take title to any items that are requested for delivery through Uber Courier. Company agrees that no bailment is created by Company’s use of Uber Courier, and Uber is not a bailee of goods.
3.1.3.貴公司確認,對於公司所要求送達的物品在送達過程中發生的任何損失、損害、未送達或延遲,或於公司使用Uber 優快送時可能發生之任何突發問題或Uber自行決定對 Uber 優快送所作之變更,Uber 均不對公司承擔任何責任。Uber 不會取得通過 Uber 優快送要求外送的任何物品之所有權。貴公司同意,貴公司使用 Uber 優快送不會成立寄託關係,且 Uber 不是貨物的受託保管人。
3.2. Central Users and Uber Courier. Prior to requesting a delivery through Uber Courier, Company shall collect and submit to Uber information about the primary third party sender(s) and/or recipient(s) of the items, including first and last name and active telephone number, in accordance with Section 2, and such individual(s) will be considered Central User(s).
3.2.Central 使用者和 Uber 優快送。透過 Uber 優快送要求外送前,貴公司應根據第2條之規定蒐集並向 Uber 提交物品的主要第三方寄件人和/或收件人的資訊(包括姓名、有效電話號碼),此類個人將被視為Central 使用者。
3.3. Company agrees to instruct the applicable personnel or Central Users at the pickup and dropoff locations to meet the Service Provider at their vehicle and load or unload the items from the vehicle. Company agrees that it is responsible for communicating with applicable personnel or Central Users at the pickup and dropoff locations to inform them of the Service Provider’s arrival in order to facilitate timely pickups and dropoffs.
3.3.貴公司同意指示取件和送件地點旳相關人員或 Central 使用者在服務提供者的車輛處碰面,並從車輛上裝卸物品。貴公司同意負責與取件和送件地點的相關人員或 Central 使用者溝通,通知他們服務提供者已抵達,以便及時取件及送件。
3.4. As between Uber and Company, Company will be responsible for all support to third party senders and recipients, including resolving any disputes or concerns from Central Users or designated recipients related to deliveries requested via use of Uber Courier.
3.4.在 Uber 與貴公司之間,貴公司將負責為第三方寄件人和收件人提供所有支援,包括解決Central 使用者或指定收件人所提出的,與使用 Uber 優快送要求外送有關的任何爭議或疑慮。
4.費用與付款
4. Fees and Payments
4.1.服務費與使用者費用
4.1. Service Fees and User Charges.
4.1.1. 貴公司使用 Uber Central 應支付月費 (下稱「服務費」),服務費應與建立帳戶時所設定之金額相等,或,Uber 提前至少三十 (30) 日書面通知將向貴公司收費的金額。
4.1.1. Company will pay a monthly fee for the use of Uber Central (a “Service Fee”), which shall equal the amount set forth during the account creation or as otherwise assessed by Uber after providing at least thirty (30) days’ prior written notice of such fee to Company.
4.1.2. 公司應向 Uber 支付為使用 Uber Central 而須收取的所有使用費費用。除非貴公司適用每月結帳而應根據一般條款第 5 條支付使用者費用,否則此類使用者費用應透過與企業帳戶相關之付款卡支付。
4.1.2. Company shall pay all User Charges Uber assesses to Company for its use of Uber Central. Such User Charges shall be paid for through the payment card associated with the Company Account, unless Company participates in Monthly Billing, in which case Company shall pay such User Charges in accordance with Section 5 of the General Terms.
4.2.帳單選項
4.2. Billing Options.
4.2.1.根據一般條款第 5 條,Uber 可自行判斷選擇符合資格的公司加入每月結帳。
4.2.1. Pursuant to Section 5 of the General Terms, Uber may, in its sole discretion, elect to qualify to participate in Monthly Billing.
3.2.2. 若公司未加入每月結帳:(i) 基於本產品附錄而產生的使用者費用,應透過與企業帳戶相關的付款卡支付,以及 (ii) Uber 應向公司收取於不適用每月結帳之期間,各日曆月產生的服務費 (各稱「服務費發票」)。貴公司應於收到各服務費發票後三十 (30) 天內,結清各服務費發票所載之服務費。
4.2.2. If Company does not participate in Monthly Billing: (i) User Charges incurred in connection with this Product Addendum shall be paid through the payment card associated with the Corporate Account, and (ii) Uber shall charge Company for Service Fees incurred during each calendar month of the Term in which Monthly Billing was not utilised (each a “Service Fee Invoice”). All fees under each Service Fee Invoice shall be paid in full by Company within thirty (30) days of receipt of such Service Fee Invoice.
4.3.不付款
4.3. Nonpayment.
若於到期日尚未付清任何每月帳單明細,Uber 保留權利得立即從貴公司卡片扣款。若貴公司未結清每月帳單明細 (如適用)、企業帳戶中的公司信用卡無效,或公司卡遭到拒絕交易而產生任何未支付款項時,Uber保留權利得立即暫停貴公司帳戶以及暫停部分或全部的每月結帳。此外,若未支付所述之任何相關費用,Uber 及/或其關係企業進一步保留權利得依據適用之法律 (包括向相關信用報告機構通報該公司) 尋求任何及所有可用救濟措施。逾期費用完全結清後,Uber 得自行決定是否恢復企業帳戶。所有逾期帳款應從原到期日起至實際付款日為止,按照每月 3% 或依法律允許的最高利率,累計利息 (單利)。
Uber reserves the right to immediately charge the Company card in the event that any Monthly Statement has not been paid as of the applicable due date. Uber reserves the right to immediately suspend Company's account and suspend any or all Monthly Billing in the event of any unpaid fees by Company due to past due Monthly Statements (as applicable), an invalid credit Company card on the Corporate Account, or a rejected Company card transaction. Uber further reserves the right to pursue any and all remedies available to it under applicable law, including reporting Company to applicable credit reporting agencies, in the event of any unpaid fees hereunder. Reestablishing the Corporate Account after full payment of late fees shall be at Uber's sole discretion. All late payments shall accrue simple interest on the sum due from the date such payment was originally due until the date of actual payment, at 3% per month or the maximum allowed by applicable law.
5.隱私權與資料安全
5. Privacy and Data Security.
5.1 合法性
5.1 Lawfulness.
貴公司同意依適用法律處理個人資料通知,以及於必要時獲得各 Central 使用者同意:(i) 向 Uber 提供 Central 使用者資料 (ii) 讓 Uber 向貴公司提供即時行程狀態、向公司企業帳戶收費之行程的詳細資訊,(iii) 接收來自 Uber 的簡訊、自動撥號來電和電子郵件,並且讓 Uber 以其他方式聯絡各 Central 使用者以提供 Uber 服務,或依據一般條款及本產品附錄提供任何通訊內容。
Company agrees to inform, and have an applicable legal basis to Process Personal Data, and, where necessary, obtain consent from each Central User: (i) to provide Central User Data to Uber (ii) for Uber to provide Company with detailed information on, and real-time trip status of, the rides or deliveries charged to Company's Corporate Account, (iii) to receive SMS messages, automated calls and emails from Uber, and for Uber to otherwise contact each Central User for the purpose of providing the Uber Service or to provide any communications pursuant to the General Terms and this Product Addendum.
5.2.限制
5.2. Restrictions.
Uber 僅可為本產品附錄及一般條款中所述目的處理 Central 使用者資料。
Uber shall Process the Central User Data solely for the purposes described in this Product Addendum and in the General Terms.
5.3.損害
5.3. Damages.
因貴公司違反本隱私權和資料安全條款所造成之損害,不受一般條款規定之責任限制所規範。
Damages arising from Company’s breach of this “Privacy and Data Security” section shall not be subject to the limits of liability set forth in the General Terms.
6.終止之效力
6. Effect of Termination.
本協議終止後,本產品附錄中所有未清償款項之付款義務以及本附錄第 1、3、5 和 6 條規定仍持續有效。
All outstanding payment obligations and Sections 1, 4, 6 and 7 of this Product Addendum shall survive the termination of this Agreement.
7.保證
7. Warranty.
除一般條款所載之保證外,貴公司亦聲明並保證貴公司已自 Central 使用者取得權利、許可及充分法律同意,得以:(a) 接收 Uber 傳送 與Uber Central 與 Uber 服務相關之簡訊和自動撥號來電,以及 (b) 讓 Uber 向貴公司提供詳細的行程資訊,包括即時行程狀態、透過公司帳戶扣款的行程。貴公司瞭解其可選擇使用控制台為賓客使用者預約 Uber 服務,並代表賓客使用者使用每月結帳功能。此類選擇皆由貴公司全權決定,且除貴公司依據一般條款所負之賠償義務外,貴公司亦應賠償、辯護並保障 Uber、其關係企業和其董事、主管、員工與代理人免於因任何賓客使用 Uber 服務導致任何第三方求償所產生的索賠、損害、損失或費用 (含合理的律師費)。因貴公司違反本保證條款所造成之損害,不受一般條款所載之責任限制所規範。
In addition to the warranties set forth in the General Terms, Company represents and warrants that Company has obtained rights, permission and legally adequate consent from Central Users (a) to receive SMS messages and automated calls from Uber in connection with Uber Central and the Uber Service, and (b) for Uber to provide Company with detailed trip information, including real-time trip status, for the rides or deliveries charged to Company’s account. Company acknowledges that it may elect to utilise the Dashboard to request the Uber Service for, and provide access to Monthly Billing on behalf of, Guest Users. Any such election is at Company's sole discretion, and, in addition to Company’s indemnity obligations under the General Terms, Company therefore will indemnify, defend and hold harmless Uber, its Affiliates and their directors, officers, employees and agents against all claims, damages, losses and expenses (including reasonable attorney's fees) with respect to any third party claim arising out of or related to the use of the Uber Service by any Guest User. Damages arising from Company’s breach of this “Warranty” section shall not be subject to the limits of liability set forth in the General Terms.
About
