This Promotional Program Addendum (“Promotional Addendum”) adds additional terms and conditions which will govern Merchant’s (“you” or “your”) use of the Promotion Tools (as defined below) and your ability to offer Promotions (as defined below) to your Customers through the Uber Eats Platform. The Promotional Addendum is governed by the terms and conditions of your Uber Eats Master Framework Agreement(with all addenda and as amended, the “Agreement”) with Uber Portier Taiwan Co. Ltd (“Portier Taiwan”) and Uber Portier B.V. (“Uber Portier”) and, together with the terms of the Agreement, shall constitute a separate, enforceable agreement between Portier Taiwan, Uber Portier and you. In the event of any conflict between the Promotional Addendum and the Agreement, the terms of the Promotional Addendum shall govern with respect to the subject matter herein. Subject to the foregoing, undefined, capitalized terms in the Promotional Addendum will have the meaning set forth in the Agreement.

1. Promotional Program and Promotions.
Subject to the terms and conditions of the Agreement and any other guidelines or eligibility criteria for Promotions that Portier Taiwan may make available from time to time, Uber Portier hereby authorizes Merchant to use Uber Portier’s proprietary, automated tools (“Promotion Tools”) to feature short-term Merchant offers that are designed and/or fulfilled by the Merchant to stimulate customer demand, including, without limitation, discounts and special offers, and displayed to Customers (“Promotions”). Promotions may be (i) fully funded by the Merchant whereby the cost of the Promotion are 100% funded by the Merchant at its own costs and expense (“Fully Merchant Funded Promotions”) or (ii) jointly funded by Merchant and Portier Taiwan, whereby the cost of the Promotion are co-funded by both parties (“Co-Funded Promotions”). Merchant authorizes Portier Taiwan or its affiliates to use automated tools to feature Promotions (as defined herein) within the Uber Eats App. All Promotions shall be subject to Portier Taiwan’s prior written approval. Merchant and Portier Taiwan may, from time to time, agree on additional terms and conditions that apply to the provision of certain Promotions and the relevant cost of the Promotion. Merchant must identify a start date, end date, and budget for each Promotion. Merchant is responsible for providing to Portier Taiwan, at the Merchant’s sole cost and expense, all suitable material including artwork of the Merchant’s trademarks and trade names in a format and within deadlines specified by Portier Taiwan (“Merchant Materials”) for such to be reproduced for the fulfilment of the Promotion. Subject to Marketplace functionality, Portier Taiwan may provide enhanced promotional placement or other visual treatment for the Promotions through the start and end date identified by Merchant. Merchant acknowledges that the time period of enhanced promotional placement for a Promotion may vary due to a number of factors including but not limited to Merchant’s budget for a particular Promotion, the start and end date for a Promotion identified by Merchant, and Marketplace functionality.

2. Your Responsibilities.
You are solely responsible for fulfilling the terms of the Promotions offered by you to your Customers. You represent and warrant that you will run your Promotions in accordance with applicable laws and that you have all necessary rights, licenses, consents and permissions to run your Promotions (including but not limited to the rights to provide information or creative materials to Uber Portier and Portier Taiwan about your Promotion). You will not use the Promotions to make charitable donations. For the avoidance of doubt, your Promotions include Merchant-Funded Promotions and Co-Funded Promotions.

3. Reporting.
Portier Taiwan will provide you with reasonable information regarding your Promotions, which may include the amount you have spent on Promotions and the number of Items sold in connection with Promotions. You acknowledge, agree and expressly authorize Portier Taiwan to highlight Promotions and/or the results of Promotions in its own marketing materials at Portier Taiwan’s sole discretion.

4. Service Fees and Promotion Costs.
The Service Fee will be calculated on the basis of this Addendum.
- For Fully Merchant Funded Promotions, Portier Taiwan will charge you a Service Fee based on the Post Merchant Funded Promotion Price of your Items. “Post Merchant Funded Promotion Price” refers to the discounted Retail Price of the Items considering the applicable Promotion that is funded by the Merchant.
- For Co-Funded Promotions, Portier Taiwan will charge you a Service Fee based on the Post Merchant Funded Promotion Price. You shall provide government uniform invoices to Portier Taiwan for Portier Taiwan to pay its undisputed proportion of the cost of the Promotions to you subject to Portier Taiwan’s receipt of such government uniform invoices from you; incomplete or ineligible invoices (including government uniform invoices) from you will not be paid until all requested information have been received by Portier Taiwan. For the avoidance of doubt, payment of any proportion of the costs of the Promotion to you by Portier Taiwan prior to receipt of the relevant government uniform invoice shall not be deemed as a waiver or release of your obligation to provide government uniform invoice on each instance, and you will assume any and all liability arising out of your failure to provide government uniform invoice to Portier Taiwan.
- You acknowledge that you are solely responsible for your agreed amount or proportion of the cost of the Promotion (that is, for Fully Merchant Funded Promotions, 100% of the cost of the Promotion and, for Co-Funded Promotions, your agreed proportion of the cost of the Promotion). If you are paid for an Item, you are responsible for the Service Fee and your agreed amount or proportion of the cost of the Promotion and Portier Taiwan may deduct such amounts from your Item Revenue. Any fees and/or charges shall be inclusive of VAT, if applicable.

5. Term.
This Addendum will continue for a period of one (1) year from the Addendum Effective Date (“Initial Term”) and shall automatically renew for successive one (1) year periods (each, a “Renewal Term” and together with the Initial Term, the “Term”). Uber Portier or Portier Taiwan may terminate or change the terms of this Addendum at any time upon written notice (by email is sufficient). Unless agreed to by each party in writing, the termination of this Addendum shall not terminate the Agreement or any other addenda thereto, if any

4. Service Fees, Promotion Costs and Offer Redemption Fee.
(1) The Service Fee will be calculated on the basis of this Addendum.
(a) For Fully Merchant Funded Promotions, Portier Taiwan will charge you a Service Fee based on the Post Merchant Funded Promotion Price of your Items. “Post Merchant Funded Promotion Price” refers to the discounted Retail Price of the Items considering the applicable Promotion that is funded by the Merchant.
(b) For Co-Funded Promotions, Portier Taiwan will charge you a Service Fee based on the Post Merchant Funded Promotion Price. If you are paid for an Item, you are responsible for the Service Fee and your agreed amount or proportion of the cost of the Promotion and Portier Taiwan may deduct such amounts from your Item Revenue. Any fees and/or charges shall be inclusive of VAT, if applicable.
(2) Offer Redemption Fees
(a) You acknowledge that Portier Taiwan and/or its affiliates may charge fees for each Order where a Promotion (other than a Promotion that is fully funded by Portier Taiwan) is redeemed (“Offer Redemption Fees”). Portier Taiwan and/or its affiliates may charge different rates for different types of Promotions. For the avoidance of doubt, with respect to both Fully Merchant Funded Promotions and Co-Funded Promotions, you are solely responsible for payment of the Offer Redemption Fee.
(b) Offer Redemption Fees are fixed and charged per redemption at the rate advised at the time of Promotion creation (e.g. on the Promotion Tools). You understand that third parties may redeem Promotions for unintended purposes, and you acknowledge and agree that you may still be charged for such redemptions.
(c) Portier Taiwan and/or its affiliates will charge the Offer Redemption Fees. You agree that unless otherwise agreed in writing, Portier Taiwan and/or its affiliates will deduct the Offer Redemption Fees from any payment due to you, such as a deduction from the remittance of Item Revenue collected on your behalf. Further, Portier Taiwan and/or its affiliates may continue to deduct such Offer Redemption Fees from following payouts until such time when the Offer Redemption Fees are paid in full. If agreed in writing, Portier Taiwan and/or its affiliates may invoice you in arrears for the amount of the Offer Redemption Fees, which shall be due and payable within thirty (30) days of your receipt of such invoice. In both instances, collection of the Offer Redemption Fees will take place after the redemption of a Promotion. Subject to the foregoing, Portier Taiwan and/or its affiliates reserve the right to set a maximum spend threshold or suspend your access to the Promotion Tools until the Offer Redemption Fees are paid in full. Portier Taiwan and/or its affiliates further reserve the right to seek reimbursement from you by any lawful collection methods available.
(d) Portier Taiwan and/or its affiliates reserves the right to offer discounts to fully or partially fund the Offer Redemption Fees, which may be subject to a limited time period or other restrictions, at its sole discretion.
(e) Any disputes about Offer Redemption Fees must be submitted to Portier Taiwan and/or its affiliates in writing within 14 days of the date you incurred such charge, otherwise you waive such dispute and such charge will be final and not subject to challenge.
(f) Offer Redemption Fees shall be exclusive of VAT.

(a) 對於完全由商家出資的推廣活動，優食台灣會根據您的商品的折實商家出資推廣價格向您收取服務費。「折實商家出資推廣價格」是指商品在套用適用的商家有出資的推廣活動後的商品折扣零售價。
(b) 對於共同出資的推廣活動，優食台灣將根據折實商家出資推廣價格向您收取服務費。您應出具政府統一發票與優食台灣，以便優食台灣向您支付其無爭議的推廣活動的費用比例，前提是優食台灣從您那裡收到此類政府統一發票；在優食台灣收到所有要求的資訊之前，優食台灣不會向您支付不完整或不合格的發票（包括政府統一發票）。為免生疑問，若優食台灣在收到相關政府統一發票之前向您支付任何比例的推廣活動的費用，不應被視為優食台灣放棄或免除您每一提供政府統一發票的義務，並且您將承擔因您未能向優食台灣提供政府統一發票而產生的任何及所有責任。
(c) 您知悉您就商定的推廣活動的費用金額或比例全權負責，意即對於完全由商家出資的推廣活動，您負擔100%的推廣活動的費用；而對於共同出資的推廣活動，您負擔商定的推廣活動的費用比例。如果您因商品而收費，則您需要承擔服務費和您同意的推廣活動的費用的金額或比例，而且優食台灣可以從您的商品收入中扣除這些費用。任何費用和/或收費均應包含增值稅（如適用）。
(2) 行銷優惠兌換費用。
(a) 您確認優食台灣和／或其關係企業得就每一筆有兌換推廣活動（惟完全由優食台灣出資的推廣活動除外）之訂單收取費用（下稱「行銷優惠兌換費用」）。優食台灣和／或其關係企業得就不同類型之推廣活動收取不同費率。為免生疑義，無論係完全由商家出資的推廣活動或共同出資的推廣活動，您應自行負擔行銷優惠兌換費用。
(b) 行銷優惠兌換費用為固定費用，並依每次兌換收取，費率標準以建立推廣活動時（例如於推廣工具上）所通知之費率為準。您理解第三方可能會基於非預期之目的兌換推廣活動，您確認並同意即使發生該等兌換情形，您仍可能須支付該等行銷優惠兌換費用。
(c) 行銷優惠兌換費用將由優食台灣和／或其關係企業收取。您同意，除另有書面約定外，優食台灣和／或其關係企業得自任何應支付予您的款項中扣除行銷優惠兌換費用，例如自代您收取之商品收益款項中扣除；此外，優食台灣和／或其關係企業亦得持續自後續應支付予您的款項中扣除行銷優惠兌換費用，直至該行銷優惠兌換費用全數支付完畢為止。若經書面同意，優食台灣和／或其關係企業得就行銷優惠兌換費用金額向您事後開立發票，您應於收到該等發票後三十（30）日內支付。在前述兩種情況下，行銷優惠兌換費用均於推廣活動被兌換後收取。基於前述，優食台灣和／或其關係企業保留設定最高費用支出門檻的權利，或於行銷優惠兌換費用全數支付前，暫停您對推廣工具之使用權限。優食台灣和／或其關係企業並保留得以任何合法之收款方式向您請求支付款項之權利。
(d) 優食台灣和／或其關係企業保留其自行決定提供全額或部分行銷優惠兌換費用折扣之權利，且該折扣得受限於一定期間或其他條件。
(e) 任何關於行銷優惠兌換費用之疑義，您須於該等費用產生之日起十四（14）日內，以書面方式提交予優食台灣和／或其關係企業，否則您視為放棄主張該等疑義之權利，且該等費用即最終確定並不得再行爭執。
(f) 行銷優惠兌換費用不包含增值稅。
5. Term.
This Addendum will continue for a period of one (1) year from the Addendum Effective Date (“Initial Term”) and shall automatically renew for successive one (1) year periods (each, a “Renewal Term” and together with the Initial Term, the “Term”). Uber Portier or Portier Taiwan may terminate or change the terms of this Addendum at any time upon written notice (by email is sufficient). Unless agreed to by each party in writing, the termination of this Addendum shall not terminate the Agreement or any other addenda thereto, if any.

本附錄自附錄生效日期起計一 (1) 年期間 (下稱「首次期限」)持續有效，並其後每一(1)年自動續約 (以下稱「續約期限」，連同首次期限，統稱「期限」)。Uber Portier 或優食台灣得隨時以書面方式 (電子郵件亦可) 終止或更改本附錄的條款。 除非各方以書面方式同意，否則本附錄的終止不會終止協議或任何其他相關的附加條文 (如有)。
