DEFINITIONS

The following terms have the respective meanings given to them below:
以下の用語は、それぞれ、それらに付与された以下の意味を有します。
“Affiliates” means an entity that owns or controls, is owned or controlled by or is or under common control or ownership of a party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.
「関連会社」とは、ある当事者を所有若しくは支配し、これに所有若しくは支配され、又はこれと共通の支配権若しくは所有権の下にある事業体を意味します。支配とは、議決権保有株式の所有権、契約又はその他の方法の如何を問わず、事業体の経営及び方針を指揮し又は指揮させる権限の直接又は間接的な所有と定義されます。
“Content” means customized data, text, and information that You create, submit for approval, and display for Followers on the Uber Eats App.
「コンテンツ」とは、貴店がUber Eatsアプリ上で作成し、承認のために提出し、かつフォロワーに向けて表示するカスタマイズされたデータ、テキスト及び情報を意味します。
“Content Creation Tool” means a website, application and/or other technology interface, made available by Uber Portier to You, for no charge, that allows You to create, submit for approval and display Content. The Content Creation Tool is an Uber Tool as defined in the Uber Eats Agreement.
「コンテンツ作成ツール」とは、Uber Portierが貴店に無償で提供するウェブサイト、アプリケーション及び/又はその他の技術インターフェースを意味し、これにより貴店は、コンテンツを作成し、承認のために提出し、かつ表示することができます。コンテンツ作成ツールは、Uber Eats契約においてUberツールと定義されるものです。
“Community Guidelines” means the applicable Community Guidelines, currently available at https://www.uber.com/legal.
「コミュニティガイドライン」とは、現在https://www.uber.com/legalで入手可能な、適用されるコミュニティガイドラインを意味します。
“Followers” means users of the Uber Eats App who added You to their list of favorite merchants on the Uber Eats App.
「フォロワー」とは、Uber Eatsアプリ上で貴店をお気に入りマーチャントリストに追加したUber Eatsアプリのユーザーを意味します。
“Uber Eats Agreement” means the agreement executed by You to access the services provided by Uber Portier and Uber Eats Japan, including but not limited to displaying You in the Uber Eats App.
「Uber Eats契約」とは、Uber Portier及びUber Eats Japanが提供するサービスにアクセスするために貴店が締結した契約を意味し、貴店をUber Eatsアプリ内で表示することを含みますが、これに限られません。
“Uber Eats App” means a website, application or other technology interface made available by Uber Portier and/or its Affiliates to its users, that allows them to buy products from merchants and/or request the provision of delivery services.
「Uber Eatsアプリ」とは、Uber Portier及び/又はその関連会社が自己のユーザーに提供するウェブサイト、アプリケーション又はその他の技術インターフェースを意味し、これによりユーザーは、マーチャントから商品を購入し、かつ/又は配送サービスの提供をリクエストすることができます。
“Uber Eats Japan” means Uber Eats Japan, Inc.
「Uber Eats Japan」とは、Uber Eats Japan合同会社を意味します。
“Uber Portier” means Uber Portier B.V.
「Uber Portier」とは、Uber Portier B.V.を意味します。
These terms and conditions (“Terms”) govern the requirements of the Content that merchants of the Uber Eats App (“You”) create using the Content Creation Tool.
これらの諸条件（以下「本条件」）は、Uber Eatsアプリのマーチャント（以下「貴店」）がコンテンツ作成ツールを使用して作成するコンテンツの要件を定めるものです。
1.Content.
コンテンツ
a. General. You are the owner of the Content. Neither Uber Portier nor Uber Eats Japan takes ownership, endorsement or responsibility over the Content. You acknowledge and agree that Content must comply with applicable laws and regulations, these Terms, the Uber Eats Agreement, the Community Guidelines, and any Content creation guidelines and/or policies published on the Uber website from time to time.
一般 貴店は、コンテンツの所有者です。Uber Portier及びUber Eats Japanはいずれも、コンテンツの所有権を取得せず、保証をせず又は責任を負いません。貴店は、コンテンツが適用法令、本条件、Uber Eats契約、コミュニティガイドライン、コンテンツ作成ガイドライン及び/又はUberのウェブサイト上で随時公表される方針を遵守しなければならないことを認め、これに同意します。
b. Creation request. Uber Eats Japan reserves the right to review, approve and/or reject Content before it is displayed in the Uber Eats App. You can submit Content for Uber Eats Japan’s review through the Content Creation Tool. Uber Eats Japan will use best efforts to provide You with information about the reasons that led to the rejection of your Content creation request as the case may be. If the Content creation request is approved, Content will be displayed in the Uber Eats App in accordance with these Terms. Uber Eats Japan and its Affiliates have the right to combine your Content with Content created by either users of the Uber Eats App or other merchants of the Uber Eats App to improve the experience of Followers.
作成リクエスト Uber Eats Japanは、コンテンツがUber Eatsアプリ内に表示される前にこれを審査、承認及び/又は拒否する権利を留保します。貴店は、Uber Eats Japanによる審査のために、コンテンツ作成ツールを介してコンテンツを提出することができます。Uber Eats Japanは、貴店のコンテンツ作成リクエストが拒否された場合には、貴店のコンテンツ作成リクエストが拒否されるに至った理由に関する情報を貴店に提供するよう最大限の努力を尽くします。コンテンツ作成リクエストが承認された場合、コンテンツは、本条件に従ってUber Eatsアプリ内で表示されます。Uber Eats Japan及びその関連会社は、フォロワーのエクスペリエンスを向上させるため、貴店のコンテンツとUber Eatsアプリの他のマーチャントが作成したコンテンツを組み合わせる権利を有します。
c. Moderation and restrictions. Uber Eats Japan reserves the right to reject, and will not display, Content that negatively affects the Uber and Uber Eats brands, promotes competitors of Uber Portier or Uber Eats Japan, is derogatory, illegal, inflammatory, false, inaccurate, misleading, or that in Uber Eats Japan’s discretion violates applicable laws or regulations. Uber Eats Japan reserves the right to take down the Content at any time and for any reason at its sole discretion. You acknowledge and agree that Uber Eats Japan may impose restrictions on the frequency and quantity of Content that You can display in the Uber Eats App.
管理及び制限 Uber Eats Japanは、Uber及びUber Eatsブランドに悪影響を及ぼすコンテンツ、Uber Portier又はUber Eats Japanの競合相手を宣伝するコンテンツ、中傷的、違法、扇情的、虚偽、不正確、誤解を招くコンテンツ、又はUber Eats Japanが適用法令に違反していると判断したコンテンツを拒否する権利を留保し、かつこれらを表示しません。Uber Eats Japanは、その単独の裁量により理由の如何を問わずいつでもコンテンツを削除する権利を留保します。貴店は、Uber Eats Japanが、貴店がUber Eatsアプリ内でコンテンツを表示することができる頻度及び数量に対して制限を課すことができることを認め、これに同意します。
d. Consent for programmatic and user-created content. By agreeing to these Terms, you provide your consent for Uber Eats Japan to (i) create and post programmatic content on your behalf (programmatic content includes but is not limited to your offers, menu items, and factual statements), and (ii) introduce functionality allowing users of the Uber Eats App to create content relating to your menu items on the Uber Eats App.
プログラマティック及びユーザー作成コンテンツへの同意 貴店は、本条件に同意することにより、Uber Eats Japanが、(i)貴店に代わってプログラマティックコンテンツを作成及び掲載すること(プログラマティックコンテンツには、貴店のオファー、メニュー項目及び事実の記述が含まれますが、これらに限られません。)、及び、(ii)Uber Eatsアプリのユーザーが貴店のメニュー項目に関しコンテンツを作成できるようになる機能を導入することに同意したことになります。
e. Term, audience, and location. If approved by Uber Eats Japan, Content will only be displayed to Followers in your delivery radius for the specified period of time. Uber Eats Japan reserves the right to modify the period of time for which Content is displayed to Followers. Content will be displayed in dynamic in-app cards located in the in-app home feed and/or in any other surface or location of the Uber Eats App as decided by Uber Eats Japan in its sole discretion. Uber Eats Japan reserves the right to choose the size, design, format, and general visual and functional requirements of the surfaces, and/or the locations in which the Content will be displayed.
期間、オーディエンス及び場所 Uber Eats Japanが承認した場合、コンテンツは、特定の期間中に貴店の配送範囲のフォロワーのみに表示されます。Uber Eats Japanは、コンテンツがフォロワーに表示される期間を変更する権利を留保します。コンテンツは、アプリ内のホームフィードに配置される動的アプリ内カード及び/又はUber Eats Japanがその単独の裁量により決定するその他のサーフェス若しくは場所に表示されます。Uber Eats Japanは、コンテンツが表示されるサーフェス及び/又は場所のサイズ、デザイン、フォーマット、全体的なビジュアル及び機能要件を選択する権利を留保します。
f. Promotional Content. If the Content contains information about any kind of promotional campaign, You will create terms and conditions for it, and You will share them with your Followers. You agree that You are solely responsible for fulfilling the terms of any promotional campaign, including the funding of any promotion, that You offer to your Followers.
プロモーションコンテンツ コンテンツが何らかの種類のプロモーションキャンペーン情報を含む場合、貴店は、その諸条件を作成し、これを貴店のフォロワーに共有します。貴店は、自己のフォロワーに対して提供するプロモーションキャンペーンの条件を履行すること（プロモーションの資金調達を含む。）について単独で責任を負うことに同意します。
g. License. By displaying Content, You grant Uber Portier, Uber Eats Japan and/or their Affiliates a limited, non-exclusive, non-transferable, worldwide limited license for no charge to use, adapt, modify, delete from, add to, publicly perform, display, reproduce and translate such Content, in the Uber Eats App.
ライセンス 貴店は、コンテンツを表示することにより、Uber Eatsアプリ内で当該コンテンツを使用、適合、変更、削除、追加、公に実行、表示、複製及び翻訳するための限定的、非独占的、譲渡不能、全世界的な限定ライセンスをUber Portier、Uber Eats Japan及び/又はそれらの関連会社に無償で付与します。
2. Fees.
料金
a. Content Creation Tool. Unless otherwise informed by Uber Portier, your Use of the Content Creation Tool is free of charge.
コンテンツ作成ツール Uber Portierが別段通知する場合を除き、貴店によるコンテンツ作成ツールの使用は、無料です。
b. Content advertisement fee. Uber Eats Japan reserves the right to introduce a Content advertisement fee, which may be separate from any existing sponsored listing products. The fee, if introduced, will be exclusive of any Consumption Tax. If applicable, Consumption Tax shall be charged and collected in the same manner as the Content advertisement fee.
コンテンツ広告料 Uber Eats Japanは、コンテンツ広告料を導入する権利を留保し、コンテンツ広告料は、既存のスポンサーリスティング商品とは区別される場合があります。導入された場合、料金は、消費税を含みません。該当する場合、消費税は、コンテンツ広告料と同様に請求及び回収されるものとします。
c. Notice. Uber Eats Japan will provide you with at least thirty (30) days’ notice before the Content advertisement fee is introduced and any updates to these Terms. Continued use of the Content Creation Tool after the expiration of the notice term shall constitute your consent to the Content advertisement fee and updates to these Terms. If you do not agree with the Content advertisement fee or updates to these Terms, You can stop using the Content Creation Tool at your sole discretion.
通知 Uber Eats Japanは、コンテンツ広告料の導入及び本条件の更新を、少なくとも当該更新の30日前までに貴店に通知します。通知期間の満了後にコンテンツ作成ツールを継続的に使用した場合、貴店は、コンテンツ広告料及び本条件の更新に同意したものとみなします。コンテンツ広告料又は本条件の更新に同意しない場合、貴店は、その単独の裁量によりコンテンツ作成ツールの使用を中止することができます。
3. Support.
In case You face issues using the Content Creation Tool and/or have complaints about these Terms, You can contact Uber Eats Japan via the ‘Help’ section of Uber Eats Manager or by visiting https://help.uber.com/restaurants. Uber Eats Japan will respond to You within a reasonable period of time.
サポート コンテンツ作成ツールの使用に問題が生じた場合及び/又は本条件に不満を持たれた場合、貴店は、Uber Eatsマネージャーの「ヘルプ」セクションを介して又はhttps://help.uber.com/restaurantsを訪問することにより、Uber Eats Japanに連絡することができます。Uber Eats Japanは、合理的な期間内に、貴店に回答します。
