CALIFORNIA UBER PRO TERMS AND CONDITIONS
The Uber Pro Program (the “Program”) is brought to you by Uber Technologies, Inc., or its respective subsidiaries, licensees and affiliated companies (collectively “Uber” or “we”). Participation in the Program is subject to these terms and conditions and your Platform Access Agreement and our Privacy Notice, which are incorporated herein (collectively, the “Program Terms”). By participating in this Program you are agreeing to these Program Terms. These Program Terms apply to you if you are an active driver using the Uber platform in a market in California. If you are an active driver using the Uber platform in a market outside of California, please see the “Non-California Uber Pro Terms and Conditions.”
Uber is a technology company that provides mobile applications for users to arrange and schedule transportation and/or delivery services. Uber is not a provider of transportation services, as such, all “Rewards” (defined below) offered under the Program are offered on an "as available" basis, contingent upon requests from riders for transportation services and other contingencies that may impact availability of some rewards at certain times and places.
You understand that all federal, state and local taxes on the Rewards that you accept are your sole responsibility as the reward recipient. You also understand that Uber may issue an IRS Form 1099 indicating the approximate retail value of certain Rewards to relevant taxing authorities for tax reporting purposes.
ELIGIBILITY
All participants in the Program are “Program Members.” To participate in the Program, you must (1) reside in the United States, (2) meet all eligibility requirements to be a driver (a “Driver”) as set by applicable law and Uber; (3) have a Driver account in active standing; and (4) have set your home city within the Uber app to any active service area in the United States (each, a “Participating Location”). All Drivers meeting this criteria may be automatically enrolled in the Program. Once you are enrolled, there is no additional action required to participate in the Program. Drivers who complete a high percentage of Uber Eats Trips (as defined in the Eats Pro Program terms and conditions) may be switched to the Uber Eats Pro program in select Participating Locations and enrolled into that Program subject to the Eats Pro Program terms and conditions.
Your rewards program account (“Program Account”) will automatically be linked to your Driver account. You may not share your Program Account or have multiple membership accounts.
PROGRAM POINTS & PROGRAM PERIODS
You can earn points (“Points”) to access the different “Tiers” (defined below) and the rewards offered in each Tier. You will earn 1 Point for every “Uber Trip” you complete, including but not limited to the following trip types: UberX, UberX Share, UberXL, Uber Comfort, UberSelect, UberWAV, Uber Connect, UberBlack, UberSUV, Uber Eats, and Uber Direct. Each trip of those trip types will count as one Uber Trip for the purposes of this Program.
You may earn additional Point(s) when you complete an Uber Trip that either begins or ends
- during the times (displayed in the local time zone) listed in the Uber Pro section of the Uber app under “How to Earn Points”; or
- in certain areas as displayed in the Uber Pro section of the Uber app under “How to Earn Points”.
Uber reserves the right to offer additional Points and/or additional Point multipliers to certain Program Members and/or in certain Participating Locations, in its sole discretion, subject to the terms specified in the offer, and subject to modification and cessation at any time.
You earn Points in fixed three month periods (each a “Program Period”) as shown below:
- Program Period 1: November 1 - January 31
- Program Period 2: February 1 - April 30
- Program Period 3: May 1 - July 31
- Program Period 4: August 1 - October 31
Points reset to zero at the end of each Program Period. Points do not accumulate across multiple Program Periods. Points will accumulate in the Program Period in which Uber processes the point (which may be the next Program Period). You do not earn any Points for taking rides as a rider or orders you submit on Uber Eats. Points have no cash value and are used solely to determine your Program Tier. Points may be revoked if an Uber Trip for which Points were earned is refunded or if Uber believes, in its sole discretion, that Points were earned through or in connection with any fraud, abuse of the platform, or in violation of your Platform Access Agreement.
If you are solely an Uber Eats courier (each independent provider of Uber Eats meal delivery services, a “Courier”) and do not have an active Driver account, you are not eligible to participate in the Program and cannot earn any rewards from the Program; however, you may be able to access rewards through the Uber Eats Pro program, subject to availability and the Uber Eats Pro terms and conditions.
PROGRAM TIERS
The Program offers four membership Tiers: Blue, Gold, Platinum, and Diamond (“Tiers”). Tiers unlock access to certain rewards (“Rewards”). Each successive Tier includes its own Rewards as well as the Rewards of the preceding Tiers.
The Points you earn in one Program Period will determine your Tier in the next Program Period. Tiers are not permanent and must be earned for every Program Period.
The number of Points necessary to reach each Tier may vary by Participating Location. See the “Your Rewards” section in the “How Uber Pro Works” section of your Uber app under “Uber Pro” for the applicable Points thresholds for the Gold, Diamond, and Platinum Tiers for your Participating Location. For each Participating Location, Drivers who do not meet the requirements for Gold, Platinum, or Diamond Tiers are placed into the Blue Tier.
There are no additional requirements for the Blue Tier other than as set forth in the “Eligibility” section above. To obtain Gold, Platinum, and Diamond Tiers, in addition to the required number of Points for your Participating Location, you must also have at the beginning of the Program Period: (1) at least a 4.85 driver star rating average over the past 500 trips (or all lifetime trips if you have completed less than 500 trips), and (2) no greater than a 4% cancellation rate (number of requests you canceled over the last 200 accepted requests received in the last 3 years).
You can move to a higher Tier during the current Program Period if you meet the Points and requirements described above. Once you obtain the required number of Points for the higher Tier, you will automatically be moved to that Tier if you meet the additional requirements above. You will stay in that Tier for the remainder of the current Program Period and for the next Program Period, provided that you meet the “Program Standards” (defined below).
Once you obtain a higher Tier, you may be able to immediately access some Rewards for the higher Tier, but not all Rewards may be available immediately.
MAINTAINING YOUR TIER & PROGRAM STANDARDS
In order to maintain your Gold, Platinum or Diamond Tier status during the entire applicable Program Period, you must maintain, at all times (1) a minimum star rating of 4.75 and (2) no greater than a 10% cancellation rate (collectively, “Program Standards”).
If you fail to meet Program Standards, you will be moved to Blue Tier. You will lose access to Rewards available only to higher Tiers, but will maintain access to Blue Tier Rewards as long as you remain in the Uber Pro Program. Your former Tier can be reinstated if all Program Standards are met during the current Program Period.
HOW TO VIEW POINTS BALANCES
You can view your current Points balances within the settings of the Uber App. Any errors or omissions on transactions posted to your Program Account must be reported within one month by contacting Uber as noted in the “Contact Us” section below. Failure to supply necessary documentation may result in an inability to award Points or adjust Tier status. For verification, you should retain all receipts and documentation until your Points are credited to your Program Account.
It may take approximately 72 hours for your cancellation rate to refresh. In the event of an outage of the Uber systems, your Points may be delayed in displaying in your Program Account. Additionally, if the outage occurs near the end of a Program Period, it is possible the Points will not be applied until the next Program Period.
ACCOUNT TERMINATION
Uber may suspend, revoke, or terminate your Program Account at any time by us for any reason. If your Program membership is terminated, all Points associated with your Program membership and any Rewards may be forfeited immediately upon termination, in accordance with the terms of the specific Reward, as detailed below. If your Program membership is terminated due to fraudulent activity or noncompliance with these Program Terms, in addition to forfeiting all Points and Rewards associated with your Program membership immediately, you cannot participate in or rejoin the Program.
PROGRAM CHANGES AND PROGRAM TERMINATION
We reserve the right to modify, suspend or discontinue the Program, or any part thereof, at any time without notice and without further obligations to you or any other Program Members, including, but not limited to modifications that: (1) govern how Points are earned on and after the date of change; (2) change the number of Points required to access a Tier; (3) change the specific Rewards offered in each Tier; (4) change any other requirements necessary to obtain Rewards within a Tier; or (5) change the Rewards available. No Points will be earned after the effective date of termination. Any and all changes and/or amendments to these Program Terms will become binding upon all Program Members immediately upon being updated.
TRANSFER OF RIGHTS
Uber’s rights and obligations under the Program may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances will be the responsibility of that entity.
INTERPRETATION OF PROGRAM TERMS
All interpretations of these Program Terms will be in Uber’s sole discretion and Uber’s decisions will be final.

The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions or errors of the Program, its features or any Rewards. The Program and all the information accessible through it are provided for informational purposes only on an “as is” and “as available” basis. We, our affiliated entities and third party Rewards providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Once you obtain the required number of Points for the higher Tier, you will automatically be moved to that Tier if you meet the additional requirements above. You will stay in that Tier for the remainder of the current Program Period and for the next Program Period, provided that you meet the “Program Standards” (defined below).

Calculation of Cancellation & Acceptance Rates:
With the exception of Drivers in markets listed below, your cancellation rate will be calculated taking the number of requests you canceled over the last 200 accepted requests, including matched trip radar requests, received in the last 3 years and your acceptance rate will be calculated taking the number of requests you accepted over the last 200 exclusive requests received in the last 3 years.
For Drivers in Sarasota, FL: As of July 1, 2024, your cancellation rate will be calculated taking the number of requests you canceled over the last 100 accepted requests, including matched trip radar requests, received in the last 3 years and your acceptance rate will be calculated taking the number of requests you accepted over the last 100 exclusive requests received in the last 3 years. Your Uber Pro status as of July 1, 2024 will be maintained through July 31, 2024 even if your acceptance rate or cancellation rate no longer meet the program standard with the 100-request lookback period described in this paragraph. Through July 31, 2024, you will be able to upgrade status, but will not be moved to Blue status due to not meeting the acceptance rate or cancellation rate program standards. This Uber Pro status protection ends on July 31, 2024; as of August 1, 2024, you will have to qualify for Gold, Platinum, and/or Diamond status and maintain acceptance and cancellation rates calculated using the 100-request lookback period.
For Drivers in Austin, TX; Charlotte, NC; Columbus, OH; Kansas City; Miami, FL; Nashville, TN; Phoenix, AZ; and Tampa, FL: As of July 8, 2024, your cancellation rate will be calculated taking the number of requests you canceled over the last 100 accepted requests, including matched trip radar requests, received in the last 3 years and your acceptance rate will be calculated taking the number of requests you accepted over the last 100 exclusive requests received in the last 3 years. Your Uber Pro status as of July 8, 2024 will be maintained through July 31, 2024 even if your acceptance rate or cancellation rate no longer meet the program standard with the 100-request lookback period described in this paragraph. Through July 31, 2024, you will be able to upgrade status, but will not be moved to Blue status due to not meeting the acceptance rate or cancellation rate program standards. This Uber Pro status protection ends on July 31, 2024; as of August 1, 2024, you will have to qualify for Gold, Platinum, and/or Diamond status and maintain acceptance and cancellation rates calculated using the 100-request lookback period.
For Drivers in New Jersey; Philadelphia; Richmond; El Paso; Upstate NY; Oklahoma City; Piedmont Triad; Denver; Atlanta; Savannah-Hilton Head; NYC Suburbs; Pittsburgh; New Orleans; Las Vegas; Louisville; Indianapolis; Central Atlantic Coast, FL; Cincinnati; Memphis; Houston; Jacksonville; Charleston; Orlando; Fort Myers-Naples; Dallas; Raleigh-Durham; San Antonio; St Louis; Cleveland; Salt Lake City: As of September 16, 2024, your cancellation rate will be calculated taking the number of requests you canceled over the last 100 accepted requests, including matched trip radar requests, received in the last 3 years and your acceptance rate will be calculated taking the number of requests you accepted over the last 100 exclusive requests received in the last 3 years. Your Uber Pro status as of September 16, 2024 will be maintained through September 30, 2024 even if your acceptance rate or cancellation rate no longer meet the program standard with the 100-request lookback period described in this paragraph. Through September 30, 2024, you will be able to upgrade status, but will not be moved to Blue status due to not meeting the acceptance rate or cancellation rate program standards. This Uber Pro status protection ends on September 30, 2024; as of October 1, 2024, you will have to qualify for Gold, Platinum, and/or Diamond status and maintain acceptance and cancellation rates calculated using the 100-request lookback period.
MAINTAINING YOUR TIER & PROGRAM STANDARDS
In order to maintain your Gold, Platinum or Diamond Tier status during the entire applicable Program Period, you must maintain, at all times (1) a minimum star rating of 4.75, (2) no greater than a 10% cancellation rate and (3) a minimum acceptance rate of 75%, except where otherwise noted in Table 1 below for certain Participating Locations (collectively, “Program Standards”).

APPENDIX: REWARDS DETAILS AND ADDITIONAL TERMS FOR CALIFORNIA AND NON-CALIFORNIA UBER PRO TERMS & CONDITIONS
Rewards are not redeemable for Points or cash and have no cash value. Rewards may also only be available in certain Participating Locations and to some Program Members. Rewards may not be exclusive to the Program and may be made available under separate terms. Certain Reward details, terms and limitations are described below and are hereby incorporated into these Program Terms. Additional Rewards may be offered. Additional Rewards may be communicated to Program Members via email or other forms of communication from time to time without being added to the Program Terms. All Rewards may be modified or discontinued at any time in Uber’s sole discretion.
Rewards provided by third parties may require additional action by you, including, without limitation, agreeing to additional terms or creating an account with such third party. Drivers are responsible for all taxes that may be owed as a result of receiving the Rewards. UBER IS NOT RESPONSIBLE FOR THE PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES.
To ensure the success of the Program, Uber may collect information on such third party Rewards-based transactions for information and reporting purposes, in each case, subject to the terms to which you and the third party Reward provider have agreed.
THE FOLLOWING LIST INCLUDES DETAILS ON THE CURRENT REWARDS. CERTAIN REWARDS ARE PROVIDED BY PARTICIPATING THIRD PARTIES. PLEASE NOTE THAT OFFERS FROM THIRD PARTIES, INCLUDING BUT NOT LIMITED TO THE QUALIFICATIONS FOR ACCESSING THE REWARDS, AS WELL AS THE IDENTITIES OF THE THIRD PARTIES THEMSELVES, ARE SUBJECT TO CHANGE AT ANY TIME IN UBER’S SOLE DISCRETION. THE FOLLOWING LIST MAY NOT BE INCLUSIVE OF ALL REWARDS AVAILABLE TO PROGRAM MEMBERS.
Tuition Coverage at ASU
Who is Eligible: Drivers in the Gold, Platinum or Diamond Tier who have completed 2,000 lifetime trips by using the Uber platform. Drivers remain eligible for this Reward for as long as they maintain Gold, Platinum or Diamond status, and for an additional 3 month grace period if they move to the Blue Tier. Previously eligible Drivers can regain eligibility by requalifying for Gold, Platinum or Diamond status.
Details: This Reward may be used by the Program Member, or the Program Member can choose to transfer the Reward to a qualifying family member, who is a spouse or domestic partner, child, sibling, parent, legal guardian or dependent of the Program Member.
To be eligible to apply for for the 100% tuition coverage described below, Drivers, or their designated qualifying family member (each an “Eligible Enrollee”) must complete and submit to Arizona State University online (together with the Board of Regents for Arizona State University, “ASU”) a Free Application for Federal Student Aid (“FAFSA”), and complete all required documentation as requested by ASU to determine aid eligibility.
Uber may issue an IRS Form 1099 indicating the approximate retail value of this Reward to relevant taxing authorities for tax reporting purposes.
This Reward enables Eligible Enrollees to apply to ASU and enroll in (1) one of the fully online undergraduate degree programs, (2) the Earned Admission (pathway) track available at ASU, or (3) the CareerCatalyst certificate programs (English Language Learning or Entrepreneurship), for which a FAFSA is not required (together, the “Education Program”), with 100% tuition coverage, as described below.
The 100% tuition coverage applies to the following fees:
- “Tuition Fees” means Base Tuition plus Program Fees and Student Fees.
- “Base Tuition” means the list price for ASU online baccalaureate degree and non-degree courses, certificates, CPE and Earned Admission pathway courses, as determined by ASU annually. Degree program Base Tuition is posted online at https://tuition.asu.edu/cost-calculator/tuition-fees/fee-descriptions(website location subject to change). To the extent that an Eligible Enrollee qualifies for other scholarships, grants or other financial aid related to their enrollment in the Education Program, the value of such scholarships and/or grants will be deducted from the list price when calculating this Base Tuition amount.
- “Student Fees” means admissions, technology, financial aid trust, pathway, verification and other fees charged to students and learners, as determined by ASU annually. - “Program Fees” means additional tuition list price fees (also referred to as program tuition or differential tuition, and other similar college or departmental fees) charged by ASU in addition to Base Tuition for certain ASU Online degree programs, as determined by ASU annually. Program Fees are posted online at https://catalog.asu.edu/tuitionandfees/ (website location subject to change)
Eligible Enrollees are responsible for the cost of textbooks, taxes associated with this Reward, and any computers or technology services (e.g., a reliable internet connection and course-related software requirements) they may need. A computer or laptop is essential in order to be successful with online courses.
THE ENROLLMENT DESCRIBED ABOVE DEPENDS UPON THE ELIGIBLE ENROLLEE GAINING ADMISSION INTO THE EDUCATION PROGRAM. SUCH ADMISSION IS NOT ASSURED. ADMISSIONS DECISIONS WILL BE MADE BY ASU IN ASU’S SOLE DISCRETION.
The lifetime value of this education Reward is capped at 135 enrolled credit hours for ASU Online (i.e. undergraduate degree program) and $3,000 for CareerCatalyst and Earned Admission (amount is post-scholarship, post-financial aid. Caps are tied to an individual Program Member and do not reset if transferred to a qualifying family member or if the student switches between programs. The Reward may be transferred to a qualifying family member a maximum of two times.
Urgently: 24/7 Roadside Assistance
Who is Eligible: Drivers in the Blue, Gold, Platinum or Diamond Tiers. Drivers in the Blue Tier are eligible for 20% off of the cost of 24/7 roadside assistance through Urgently. Drivers in the Gold, Platinum, and Diamond Tiers are eligible for free 24/7 roadside assistance through Urgently.
Details: To qualify for this Reward, a Driver must book Urgently services through the Uber Pro Hub by clicking “Get Help Now”. For Gold, Platinum, and Diamond Tiers, free 24/7 roadside assistance includes rescues like towing, lock outs, and battery jumps for up to 4 events each year. Rosetta Stone
Who is Eligible: Drivers in the Gold, Platinum, or Diamond Tiers.

Priority Queue Access
Who is Eligible: Drivers in the Diamond Tier.
Details: Diamond drivers who are not rematched when dropping off a passenger at a participating airport (see list below) will be given Priority Queue Access, which will be automatically redeemed upon entering the FIFO queue. Diamond drivers must enter the FIFO queue before the time specified on the in-app pop-up notification. Diamond drivers who enter the FIFO queue will be moved to the front of the line and should expect shorter waiting times for trips. Priority Queue Access is only available at the following airport locations: Ronald Reagan Washington National Airport (DCA), Nashville International Airport (BNA), Dulles International (IAD), Los Angeles International (LAX), San Francisco International (SFO), Houston George Bush Intercontinental (IAH) and Minneapolis−Saint Paul International Airport (MSP).

Direction and Estimated Time on Trip Request
Who is Eligible: Drivers in the Gold, Platinum, or Diamond Tier in certain Participating Locations only.
Details: In certain Participating Locations only, estimated time on trip and/or trip direction information may be available on the offer card for eligible Drivers. To qualify for this Reward, a Driver must be in the Gold, Platinum, or Diamond Tier and must be located in a Participating Location. When an eligible Driver qualifies for this Reward and is located in a Participating Location, this Reward automatically applies to the offer card for all Rides trips through the Driver app, subject to change in Uber’s sole discretion, but does not apply to Uber Eats deliveries.
Restore Uber Pro Status
Who is Eligible: Drivers who have achieved either Platinum or Diamond Tier for two consecutive Program Program periods (“Qualifying Status Streak”) are awarded a Restore Uber Pro Status pass (“pass”). The pass can be redeemed to restore the lowest status (Platinum or Diamond) that was part of the Qualifying Status Streak. The pass can only be redeemed if the Driver is currently in Blue or Gold Tiers and meets all requirements for the higher Tier other than Points.
Details: Your restored Uber Pro Tier will be in effect from the date you activate the pass until the end of the Program Period in which you activate it. You may need to refresh your app for the restored Tier to become active.
GetUpside: Cash Back on Fuel
Who is Eligible: All Drivers in the Uber Pro Program are eligible for this Reward, subject to the terms on the GetUpside website.

Area Preferences
Who is Eligible: Drivers who have achieved either Platinum or Diamond Tier. Area Preferences is only available in certain Participating Locations, which are subject to change at Uber’s sole discretion without notice.*
Details: Area Preferences allows Drivers to select areas in their city that they would like to drive in. Drivers will only receive trips where the pick-up and drop-off destinations are within the boundaries of the areas they have selected within the Driver app. Feature is redeemable for up to 2 hours per day. While using Area Preferences, Drivers will not receive Airport pick-up requests. In order to be added to Airport queues, Drivers must first have Area Preferences turned off and be located at a Staging lot. Area Preferences will only filter Rides trips (UberX, UberX Share, Connect, Black) by destination. Area Preferences is not compatible with Eats deliveries.

Extra Destination Filter
Who is Eligible: Drivers who have achieved either Platinum or Diamond Tiers.
Details: Drivers who take long trips to areas where there are low trip requests may receive an Extra Destination at the bottom of the request screen. When the trip ends, Drivers will be able to set one Extra Destination to any location. This Extra Destination must be redeemed within a limited time after the trip ends. Extra Destination works the same as Destination Filter, but doesn’t count towards daily total. Uber reserves the right to determine which trips meet the eligibility criteria for Extra Destination.
Stride Health
Who is Eligible: Drivers in the Blue, Gold, Platinum, and Diamond Tiers.
Details: Stride is a third-party provider that makes it easy to search available health insurance plans, including plans sold on healthcare.gov. Drivers, through Stride Health, will be able to check whether they qualify for financial assistance, access year-round customer support, and enroll in a plan through their phone. Who is Eligible: Drivers who have achieved either Platinum or Diamond Tiers.

**Uber Pro drivers earn an Everyday Fuel Discount which is a cent per gallon discount based on the Uber Pro Tier. Drivers maintain that discount until the Uber Pro Driver Tier changes -- at this time the Everyday Fuel Discount will adjust to the new Tier after the first transaction in the new Tier. Who is Eligible: Drivers in the Blue, Gold, Platinum and Diamond Tiers.
Details: In order to be eligible to receive the $1,000 (the “Driver Incentive”) from the TrueCar / Uber 2024 EV Promotion (“EV Promotion”), drivers must:
- Use TrueCar for Drivers on Uber (at https://uber.truecar.com/) to receive an offer on a battery electric vehicle (an “Eligible Vehicle of Interest”) from a TrueCar Certified Dealer and subsequently purchase an Eligible Vehicle of Interest from that dealer within 90 days of receiving the offer and between April 1, 2024 and December 31, 2024 (the “Eligible Purchase”),
- The driver must report the Eligible Purchase to TrueCar within 45 days of purchase at https://uber.truecar.com/report-purchase/, and

This TrueCar / Uber 2024 EV Promotion is only redeemable one-time and is available for a limited time and while supplies last.
