Uber Direct – Shopify Order Form
This order form (the “Order Form”) is entered into pursuant to the General Terms available at https://www.uber.com/legal/en/document/?name=uber-direct-api-terms-and-conditions&country=france lang=en-gb (the “General Terms”) between the Merchant accessing the Uber Direct Services via an Aggregator Platform (also referred to as “you”), UBER PORTIER B.V. and UBER EATS FRANCE SAS (together, “Uber”). This Order Form replaces all existing order forms between the parties in connection with the Uber Direct Services (if any). Capitalised terms in this order form have the meaning given in the General Terms and Service Terms (as relevant), unless otherwise specified.
The General Terms and Service Terms will apply to you for accessing the Uber Direct Services via an Aggregator Platform. Further, to the extent you are offering any Restricted Items, the Addendum in this Order Form will apply to you. By agreeing to this Order Form, you represent having read, understood and agreed to the terms and conditions set forth in this Order Form, the General Terms and the Service Terms.

In the event that the Customer is unavailable to accept the delivery and the Courier Partner makes a return trip at the request of the Merchant, the return trip will be charged 50% of the initial Delivery Fee. | |||||
Merchant Cancellation Fee 2€ triggered when (i) Merchant submits a request for Delivery Services, (ii) a Courier Partner is matched with the Request, and (iii) following Courier Partner’s acceptance, Merchant cancels the request. For the avoidance of doubt, in the event Merchant cancels the request after the Order has been picked up by the Courier Partner, Merchant will be charged the full Delivery Fee associated with the request. | |||||
Wait Time Fee 0.50€ per minute for each minute that a Courier Partner waits for Merchant to provide an Order beyond the first 10 minutes after arrival at the pickup location. | |||||
| 2.Delivery Restrictions | Merchant shall establish on the Merchant Platform a maximum basket size weight of 12 kg and maximum order volume of 70 liters. | |||

Addendum to the General Terms – Restricted Products
1.REPRESENTATIONS AND WARRANTIES
(a)You represent and warrant at all times that you:
(i)have and will maintain all valid and up to date licences and permits required to sell and deliver Restricted Products; and
(ii)will comply with all applicable Laws, regulations, and rules applicable to the sale, supply and delivery of Restricted Products, including, without limitation, time restrictions and legal age.
(b)You warrant that you will comply with any applicable Laws relating to the time and location you may lawfully sell and deliver Restricted Products. In addition, you acknowledge that the hours for the provision of Delivery Services may be restricted by regulatory requirements and/or Uber's operational requirements.
2.LICENCES AND PERMITS
(a)If any licence or permit allowing you to sell, supply and deliver Restricted Products is suspended or cancelled at any time, you must immediately notify Uber in writing of this and cease to deliver any Restricted Products via the Uber Direct Services that cannot lawfully be sold, supplied or delivered from your location(s) without that licence or permit being in place and current. You must also promptly provide Uber with any new or updated licence.
(b)Upon Uber's request, you must promptly provide Uber with a copy of your current licence or permit that allows for the sale, supply and delivery of Restricted Products.
3.DELIVERY
3.1Proof of Delivery
(a)You acknowledge that a Courier Partner may be required to return a Restricted Product to the originating location where it was initially picked up in the event that the supply of the Restricted Product is prohibited by applicable Law (for example, due to the age or sobriety of the recipient). You agree to accept the return of Restricted Product in these cases and you agree to pay the Return Trip Fee in accordance with section 4 of these terms.
(b)You acknowledge and agree that Courier Partners can verify the age and identity of recipients of Restricted Products. Uber shall provide in-app screens and tools for the Courier Partner to help complete recipient identity verifications.
Unless otherwise agreed in writing with Uber, if you request Uber to provide Delivery Services for an Order containing Restricted Product(s), you must instruct Uber to deliver the Order to the same adult person who placed the Order.
Without limiting section [3] (Fees and Payment) of the General Terms, if a Courier Partner is unable to deliver an Order containing Restricted Product(s) due to an act or omission of the Customer, then you agree to be charged a Return Trip Fee.
