Terms and Conditions for Renewable Passes (Uber One)

These terms and conditions for Renewable Passes govern your purchase and use of a Renewable Pass, which is (the “Program” or “Renewable Pass”) offered by Uber Eats Poland sp. z o.o. (“Uber” or “we”). Participation in the Program is subject to these terms and conditions for Renewable Passes, which are expressly incorporated into and made a part of the general Terms of Use, (collectively, the "Renewable Pass Terms"). Capitalized terms in these Renewable Pass Terms will have the meaning set forth in the Terms of Use unless stated otherwise.

The Renewable Pass is a paid subscription programme which allows you to use the services provided by us with discounted delivery services and promotions (“Pass Benefits”), as specified in these Renewable Pass Terms, Uber Eats App or any other reliable Uber source of information. The following Pass Benefits are included in the Renewable Pass:

1. 0 PLN Delivery Fee of the order when the minimum order value is 40 PLN;
2. 0 PLN Service Fees and Marketplace Fee of the order when the minimum order value is 40 PLN;
3. Access to exclusive Renewable Pass offers as offered in the Uber Eats App from time to time.

The Pass Benefits are only applicable to the orders of the specified minimum order amount, from the Third Party Provider participating in the Renewable Pass scheme and containing only eligible products, which are products that are legally allowed to be sold through the Uber Eats App, and towards which it is legally possible to apply Benefits (“Eligible Orders”). You may review the Third Party Providers participating in the Renewable Pass scheme in the Uber Eats App. The Third Party Providers that will allow you to use your Pass Benefits are marked with “U1” icon in the Uber Eats App. The Third Party Providers not marked with “U1” icon do not participate in the Program, and you will not be able to use your Pass Benefits for orders with such Third Party Providers.

Pass Benefits are limited to the country in which you purchase your Renewable Pass (your “Membership Country”). If you travel outside your Membership Country, your Pass Benefits may not apply to any Uber App purchases made while outside of your Membership Country.

To use the Renewable Pass, you must pay the fee for Renewable Pass (“Pass Rate”), which currently amounts to: (i) 12.99 PLN if you wish to incur payments on a monthly basis (“Monthly Plan”) or; (ii) 129.99 PLN if you wish to incur payments on an annual basis (“Annual Plan”). The specified Pass Rates include VAT and other applicable taxes.  

Prior to your participation in the Program, you will be obliged to review and accept these Renewable Pass Terms.

If you purchase a Renewable Pass, Uber Eats Poland sp. z o.o. will provide you with Pass Benefits. Provision of benefits other than Pass Benefits are intended only as ancillary benefits to promote the Renewable Pass and increase provision of delivery services by Uber Eats Poland sp. z o.o.. Uber and/or its affiliates do not provide passenger transportation services, or supply goods. Where ancillary Pass Benefits include such services or goods, Uber Eats Poland sp. z o.o. will provide a promotion on these, provided always such benefits and promotions offered under the Program are offered on an "as available" basis, contingent upon Third Party Providers’ availability to provide the transportation services or goods and other contingencies which may impact availability of some benefits at certain times and places.

1. How Renewable Passes Work 

You may receive an offer in-app or by email for specific monthly renewable benefits and discounts that can be applied on Uber App purchases (“Offer”). Each Offer will include important details and terms, such as where and when a Renewable Pass may be used, the Pass Benefits conferred by the Renewable Pass, the cost of the Renewable Pass (“Pass Rate”), and the billing interval (“Billing Cycle”). Please refer to your Offer for details before purchasing the Renewable Pass. When you buy a Renewable Pass you agree to have your selected payment method charged every Billing Cycle on a recurring basis (either monthly basis in the case of Monthly Plan, or annual basis in the case of Annual Plan). The Pass Rate includes value added tax.

2. Duration and Frequency of Charges 

When you purchase a Renewable Pass, you authorize Uber and its affiliates to charge the Pass Rate for your first Billing Cycle to your selected payment method on the date of purchase, which will activate your Pass. By default (and with prior notice), Renewable Passes will automatically renew at the beginning of each Billing Cycle, and you authorize Uber and its affiliates on a continuing basis to automatically charge the Pass Rate to your selected payment method for such Billing Cycle. If you do not want your Renewable Pass to automatically renew, you can cancel your Renewable Pass in accordance with Section 3 herein. Uber Cash is not accepted as a payment method for auto renewals. As a rule, charges made pursuant to this clause are non-refundable, except where: (i) Uber has failed to provide you with the service within Renewable Pass; (ii) we are obliged to refund you under provisions of applicable law. In such case, we will reimburse you accordingly, either in prolongation of your Renewable Pass for a specified period of time or return the appropriate fees. The price of Renewable Passes includes value added tax.

If your selected payment method is declined, Uber will prompt you for a new payment method but reserves the right to terminate any unpaid periods in your Renewable Pass with no further charges to you. You agree that Uber may also automatically retry your selected payment method periodically over the course of your billing cycle to help get you back to enjoying the benefits of your Renewable Pass, and you authorize Uber to attempt to charge another payment method in your Uber Wallet in the event your selected payment method has insufficient funds. Uber and/or its parent, subsidiaries and/or affiliates are not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank. Any charges made to your selected payment method will be done in your local currency.

3. Canceling Your Renewable Pass

You may cancel your Renewable Pass to avoid further charges, in accordance with the following rules: (i) within the applicable Uber App in the Membership Hub section, up to 48 hours prior to your next scheduled payment with regards to Monthly Plan or up to 7 days prior to your next scheduled payment with regards to Annual Plan, or; (ii) anytime by contacting Uber support with request to cancel your Renewable Pass.

If you cancel your Renewable Pass, you will still have access to your Pass Benefits until the end of the current Billing Cycle. Please use help.uber.com to report any unauthorized charges.

4. Combining Promotions

Unless otherwise specified in the terms and conditions of other promotions offered by Uber or third parties, Uber (in its sole discretion) may permit Pass Benefits to be combined with other promotions. To the extent Uber has permitted Pass Benefits to combine with other promotions, you can view which promotions apply in the checkout screen for an order prior to placing such order.

5. Free Trial

Uber and/or third parties on behalf of Uber may offer some users a free trial or other promotions in relation to a Renewable Pass. Such trial or promotions are subject to these Renewable Pass Terms except as otherwise stated in your Offer. Only one trial or promotion is available per user. Uber may limit eligibility or duration of free trial to prevent free trial abuse, such as, but not limited to, multi-accounts creation for free trial. Certain limitations may exist with respect to combining a free trial with any other offers. If you have a free trial and you cancel your free trial, your access to Pass Benefits will end upon cancellation.

For some trials or promotions, we require you to provide your payment details to start the trial or promotion. Upon subscribing to the Free Trial we might issue a temporary authorization on your payment method in order to verify that your payment method is valid. BY PROVIDING SUCH DETAILS YOU AGREE THAT AT THE END OF YOUR APPLICABLE FREE TRIAL OR PROMOTION PERIOD, YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE PASS RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING CYCLE UNTIL YOU CANCEL YOUR RENEWABLE PASS. IF YOU DO NOT WANT THIS CHARGE, YOU MUST CANCEL THE APPLICABLE TRIAL OR PROMOTION BEFORE THE END OF THE TRIAL OR PROMOTION IN ACCORDANCE WITH SECTION 3 ABOVE.

6. Changes to Renewable Passes

Uber reserves the right to stop offering Renewable Passes at any time in its sole discretion.

Uber may increase your applicable Pass Rate only upon your acceptance thereof (e.g. in the situation of change of Pass Benefits scope or rules). In the event Uber increases the Pass Rate of a Renewable Pass, we will provide you with thirty (30) days prior notice via email before such changes take effect, and request your acceptance of the increased Pass Rate. All changes will be effective upon your next Billing Cycle. If you do not agree with the increase of the Pass Rate you may cancel your Renewable Pass. Your failure to explicitly accept an increase of the Pass Rate within the prescribed deadline, will be deemed as your cancellation of the Renewable Pass in accordance with Section 3 above, and your access to the Renewable Pass will end upon your next Billing Cycle. 

Uber may terminate your Renewable Pass without notice, if any of the following circumstances arise: (i) you have acted in contradiction to these Renewable Pass Terms; (ii) you have used your Renewable Pass in contradiction to applicable provisions of law (e.g. involves fraud, or misuse of the Renewable Pass; (iii) you are abusing the Renewable Pass to the detriment of Uber and its reputation, or to the detriment of Uber’s Third Party Providers and their reputation; (iv) Uber was not able to charge you with the Pass Rate, as specified in Section 2. If that happens, we will not give any refund for termination

7. Changes to Renewable Pass Terms

Uber reserves the right to modify these Renewable Pass Terms only if any of the following circumstances arise:

1. Uber decides to significantly expand the scope of the Program, including, but not limited to, involving to the Program benefits of Uber associated companies;
2. Due to changes in the applicable laws, the amendment of the Renewable Pass Terms becomes necessary;
3. Public authorities, state courts or European Union courts or institutions imposing upon Uber obligations, requirements or requests that have a direct impact on the contents of these Terms; this would not, however, concern any change of the provisions that are unfair for consumer under Article 385(1) § 1 of the Act of April 23, 1964. - Civil Code
4. New functionalities will be introduced to the Uber’s mobile applications and/or websites, which will not entail any additional costs to you;
5. Technological adjustments will be introduced with regard to the functioning of the Uber’s mobile applications and/or websites, which will not entail any additional costs to you;
6. The introduction of new personal data protections, or the adjustment or improvement of existing personal data protections that do not entail additional costs to you;
7. Any editorial changes, including changes of address and contact details, names, identification numbers, electronic addresses or links..

The modified Renewable Pass Terms shall only be valid towards you if you explicitly accept such modified Renewable Pass Terms. We will inform you of any changes made at least forty-five (45) days prior to its implementation.

8. Transfer of Rights

Uber's rights and obligations under the Program may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity. We guarantee that your rights to use the Renewable Pass will not be affected by any such transfer of rights.
