Uber Direct Agreement - Service Terms

本サービス条件は、<https://www.uber.com/legal/ja/document/?name=uber-direct---general-terms&country=japan&lang=ja>(又はそれに代わるURL)から入手可能な一般取引条件及び(適用ある場合には)貴社の申込書及び貴社が選択し又は貴社の申込書において特定された付属書に加えて、貴社、Uber Portier B.V.(以下｢Uber Portier｣という。)及びUber Eats Japan合同会社(以下｢Eats JP｣という。)(合わせて以下｢当事者ら｣という。)の合意に基づき適用される。

These Service Terms apply in addition to the General Terms available at <https://www.uber.com/legal/ja/document/?name=uber-direct---general-terms&country=japan&lang=en> (or a replacement URL) and (if applicable) your Order Form and any Addendums, depending on the services that you have chosen or as specified in your Order Form, under the agreement between you, Uber Portier B.V. (“Uber Portier”) and Uber Eats Japan Inc (“Eats JP”) (together, the “Parties”).

Uber Portier及びEats JPは、サービス又は機能を拡張又は導入するために、申込書第9条(サービス条件)及び一般取引条件第22.2条(本契約の変更)又は当事者らの書面による別段の合意に基づき、随時、本サービス条件を変更し又は追加のサービス条件を含めることができる。なお、本サービス条件における用語は、別段の定めがある場合を除き、一般取引条件において付与される意味を有する。

Uber Portier and Eats JP may amend these Service Terms, or include additional Service Terms for the expansion or introduction of services or functionalities, from time to time in accordance with Section 9 (Service Terms) of the Order Form and Section 22.2 (Modifications to the Agreement) of the General Terms or as otherwise agreed in writing by the Parties. Capitalised terms in these Service Terms have the meaning given in the General Terms, unless otherwise specified.

貴社が選択した特定のサービスについては、異なるサービス条件が適用されることがある。特定のサービスに係るサービス条件は、貴社が当該サービスを利用しない限り適用されない。

Different Service Terms may apply to the specific services you choose. The Service Terms for a particular service will not apply to you unless you use that service.

サービス条件 - Uber Direct API / Service Terms - Uber Direct API

1. 本サービス条件の適用 / APPLICATION OF THESE SERVICE TERMS

本サービス条件に規定される条件は、貴社がUber Directへアクセスすることを選択した場合又はUber Direct APIを介して配達サービスをリクエストした場合に適用される。

The terms and conditions set out in these Service Terms will apply if you choose to access Uber Direct or request Delivery Services via the Uber Direct API.

2. UBER DIRECT API / UBER DIRECT API

2.1 サービスの範囲 / Scope of Service

Uber Portierは、一般取引条件第4条(ダッシュボード及びコーポレートアカウント)に基づく自己の義務に加え、マーチャントにUber Direct APIを介したUber Directへのアクセスを与えるよう、商業的に合理的な努力を払うものとする。Uber Direct APIを介したUber Directへのアクセスは、Uber Portierがマーチャントに対して無料で提供する。Uber Portierは、Uber Direct APIの特徴及び機能をいつでも追加、削除及び更新できる権利を留保する。

In addition to its obligations under Section 4 (Dashboard and Corporate Account) of the General Terms, Uber Portier will use commercially reasonable efforts to provide Merchant with access to Uber Direct via the Uber Direct API. Access to Uber Direct via the Uber Direct API is provided to Merchant by Uber Portier for no charge. Uber Portier reserves the right to add, remove and update features and functionality of the Uber Direct API at any time.

Uber Direct APIは、マーチャントが以下を行うことを可能にする。

The Uber Direct API will enable Merchant to:

(a) Eats JPに配送サービスをリクエストすること。
request Delivery Services from Eats JP;

(b)Uber Direct APIを介してマーチャントデータ及びUberデータをやりとりすること。
exchange Merchant Data and Uber Data via the Uber Direct API; and

(c)随時Uber Direct APIに追加された追加的な特徴又は機能を利用すること。
use additional features or functionality added to the Uber Direct API from time to time.

2.2 Uber Direct APIの使用に関する責任 / Responsibility for use of Uber Direct API

マーチャントは、マーチャントが料金を許可したか否かにかかわらず、マーチャントがUber Direct APIの使用を介して発生する全ての負担につき責任を負う。マーチャントは、Uber Direct APIの使用による不正行為又はその他の許可されていない行為により発生した負担について責任を負う。Uber Direct APIへのマーチャントによるアクセスを介して不正行為又はその他の許可されていない行為が発生したことを発見した場合は、マーチャントは速やかにUber Portierに通知しなければならない。

Merchant is responsible for all charges incurred by Merchant via the use of the Uber Direct API, regardless of whether or not a charge was authorised by Merchant. Merchant will be responsible for charges incurred due to fraudulent or other unpermitted activity on the part of use of the Uber Direct API. Merchant must notify Uber Portier promptly upon discovery of fraudulent or other unpermitted activity occurring via the Merchant's access to the Uber Direct API.

2.3 制約事項 / Restrictions

(a)マーチャントは、一般取引条件第4.4条(制約事項)がUber Direct APIにも準用されることに同意する。
Merchant agrees that Section 4.4 (Restrictions) of the Generals Terms shall also apply mutatis mutandis to Uber Direct API.

3. 配送サービス / DELIVERY SERVICES

3.1 サービスの範囲 / Scope of Service

一般取引条件第4.1条(サービスの範囲)を制限することなく、マーチャントは、本サービス条件第4条に従ってUber Direct APIが実装された後、Uber Direct API又はダッシュボードを介して配送サービスをリクエストすることができる。

Without limiting Section 4.1 (Scope of Service) of the General Terms, following implementation of the Uber Direct API in accordance with Section 4 of the Service Terms, Merchant will be able to request Delivery Services via the Uber Direct API or via the Dashboard.

4. マーチャントの権利義務 / MERCHANT RIGHTS AND OBLIGATIONS

4.1 費用及び経費 / Cost and Expenses

マーチャントは、マーチャントプラットフォームにおけるUber Direct APIの統合に関連する全ての費用及び経費につき責任を負う。

Merchant is responsible for all costs and expenses related to the integration of the Uber Direct API in the Merchant Platform.

4.2 起動 / Launch

(a)マーチャントは、当事者らが書面により別途合意する実装期限に従って、マーチャントプラットフォームにおいてUber Direct APIを実装し、マーチャントプラットフォームでテスト及び起動することに同意する。当事者らは、Uber Direct APIを含むマーチャントプラットフォームのリリース前のバージョンのレビュー及びテストに協力して取り組むことに合意する。
Merchant agrees to implement the Uber Direct API in the Merchant Platform and test and launch in the Merchant Platform in accordance with an implementation timeframe that is separately agreed by the parties in writing. The parties agree to work together on review and testing of pre-release versions of the Merchant Platform that include the Uber Direct API.

(b)マーチャントは、Uber APIを使用する場合には、Uberの指示に従ってUber APIを実装すること、及び新たな機能がローンチされた場合のテストを含めて、適切にアップデートを実装することに合意する。
To the extent utilized, Marchant agrees to implement any Uber APIs as directed by Uber and implement updates accordingly, including testing of new features when launched.

4.3 Uber API規約 / Uber API Terms

本契約のいずれの規定をも制限することなく、マーチャントは、Uber Portierが提供するあらゆるAPI(Uber Direct APIを含む。)へのマーチャントによるアクセスに関して、https://developer.uber.com/docs/businesses/terms-of-use-eu (又はそれに代わるURL)から入手可能な｢アプリケーションプログラミングインターフェース利用規約｣(以下｢API規約｣という。)を遵守することに同意する。Uber Portierは、本サービス条件第12.1条に従って、API規約を随時更新することができる。本サービス条件とAPI規約の間に齟齬がある場合、その齟齬に関しては、本サービス条件が適用される。

Without limiting anything else in the Agreement, Merchant agrees to comply with the "Application Programming Interface Terms of Use" (API Terms) available at https://developer.uber.com/docs/businesses/terms-of-use-eu(or a replacement URL) in relation to Merchant's access to any API provided by Uber Portier, including the Uber Direct API. Uber Portier may update the API Terms from time to time in accordance with Section ‎12.1 of the Service Terms. If there is a conflict between the Service Terms and the API Terms, the Service Terms will control with respect to that conflict.

5. Uber Portierの権利義務 / UBER PORTIER RIGHTS AND OBLIGATIONS

5.1 サービスの可用性 / Availability of Services

Uber Portierは、通常の営業時間中Uber Direct APIをマーチャントに提供するよう、商業的に合理的な努力を払うものとする。
Uber Portier will use commercially reasonable efforts to provide the Uber Direct API to Merchant during normal business hours.

5.2 プロモーション / Promotion

(a) マーチャントは、Uber Portier及びEats JPが、プレスリリースその他のパブリックコミュニケーションにおいて、マーチャント、マーチャントプラットフォーム、並びにマーチャントによるUber Direct API及び配送サービスの利用を宣伝できることに同意する。ただし、マーチャントが当該使用に先立ちレビュー及び承認を行う権利を有することを条件とし、当該事前承認は合理的な理由なく拒否又は遅延されないものとする。
Merchant agrees that Uber Portier and Eats JP may feature Merchant, the Merchant Platform and the Merchant’s use of the Uber Direct API and Delivery Services in press releases or other public communications, provided that Merchant will have the right to review and approve prior to any such use, such prior approval not to be unreasonable withheld or delayed.

(b) 一般取引条件第14条(パブリシティ)にかかわらず、マーチャントは、マーチャントプラットフォームにおいて、Uberのブランドガイドラインに従って、｢Delivered with Uber Eats｣というメッセージ(以下｢スローガン｣という。)を表示することができる。ブランドガイドライン及びスローガンは、Uberの単独の裁量により、随時修正されることがある。Eats JPがマーチャントにスローガンの変更を通知した場合には、マーチャントは適時に必要な変更を行うものとする。マーチャントは、スローガンをマーチャントプラットフォームにおいて表示することを希望する場合には、スローガンのデザイン及びレイアウトをEats JPに提供しなければならず、Eats JPが書面により最終承認するまで、スローガンのデザイン及びレイアウトの案を実装してはならない。マーチャントは、スローガンの実装に関連する費用につき単独で責任を負う。
Notwithstanding Section 14 (Publicity) of the General Terms, Merchant may showcase the message “Delivered with Uber Eats” (the Slogan) in the Merchant Platform in compliance with Uber’s brand guideline. The brand guideline and slogan may be modified from time to time by Uber at its sole discretion. In the case where Eats JP notify Merchant of the modification, Merchant will make necessary changes in a timely manner. If Merchant desires to showcase the Slogan in the Merchant Platform, Merchant must provide to Eats JP the design and layout of the Slogan, and must not implement the proposed design and layout of the Slogan until Eats JP provides its final approval in writing. Merchant will be solely responsible for the costs associated with the implementation of the Slogan.

6. 知的財産権 / INTELLECTUAL PROPERTY RIGHTS

6.1 Uber素材 / Uber Materials

(a)一般取引条件第1条(Uber素材)にかかわらず、｢Uber素材｣の定義を、ダッシュボード、Uber Direct API、並びに全ての関連する素材及びデータ(知的財産権を含む。)を含むよう変更する。
Notwithstanding Section 9.1 (Uber Materials) of the General Terms, the definition of "Uber Materials" is amended to include the Dashboard, the Uber Direct API and all related materials and data (including Intellectual Property Rights).

(b)貴社が本契約の条件に従うことを前提として、Uber Portierは、有効期間中、Uber Direct API(その他のUber APIではない。)を本契約で定められた目的でのみ使用するための非独占的、移転不能、サブライセンス不能、かつ譲渡不能なライセンスを無償で貴社に付与する。
Subject to you complying with the terms of this Agreement, Uber Portier grants to you for no charge a non-exclusive, non-transferable, non-sublicensable, non-assignable licence to use the Uber Direct API (and no other Uber API) for the Term solely for the purposes set forth in this Agreement.

(c)貴社は、本契約に基づく配送サービスの利用との関係においてのみ、Uber Direct APIを使用することができる。
You may only use the Uber Direct API in connection with your use of the Delivery Services under this Agreement.

7. データの利用 / USE OF DATA

7.1 Uberデータ及びマーチャントデータ / Uber Data and Merchant Data

(a) 一般取引条件第10.1条(Uberデータ)第(a)項にかかわらず、当事者らは、Uberデータ(これは個人データに該当する場合がある。)が、配送サービスの提供のために、ダッシュボード及びUber Direct APIを介してマーチャントに送信されることを確認する。Notwithstanding Section 10.1(a) (Uber Data) of the General Terms, the parties acknowledge that Uber Data (which may qualify as Personal Data) will be sent via the Dashboard and the Uber Direct API to Merchant for the provision of Delivery Services.

(b) 一般取引条件第10.3条(マーチャントデータ)第(a)項にかかわらず、当事者らは、マーチャントデータ(これは個人データに該当する場合がある。)が、配送サービスの提供を促進するために、ダッシュボード及びUber Direct APIを介してUber Portierに送信されることを確認する。
Notwithstanding Section 10.3(a) (Merchant Data) of the General Terms, the parties acknowledge that Merchant Data (which may qualify as Personal Data) will be sent via the Dashboard and the Uber Direct API to Uber Portier to facilitate the provision of Delivery Services.

8. 秘密保持 / CONFIDENTIALITY

8.1 配送サービスに関する情報 / Information relating to Delivery Services

一般取引条件第12.2条(配送サービスに関する情報)にかかわらず、当事者らは、ダッシュボード、Uber Direct API、配送サービスに関する情報及びUberデータが全てUber Portier及び/又はEats JPの秘密情報とみなされることを確認する。疑義を避けるために付言すると、マーチャントデータはマーチャントの秘密情報とみなされる。本契約のいずれの規定も、マーチャントデータから情報を収集、利用及び保存するマーチャントの能力を制限するものではない。ただし以下を条件とする。

Notwithstanding Section 12.2 (Information relating to Delivery Services) of the General Terms, the parties acknowledge that the Dashboard, the Uber Direct API, the information relating to Delivery Services and the Uber Data are all considered the Confidential Information of Uber Portier and/or Eats JP. For the avoidance of doubt, Merchant Data is considered Confidential Information of Merchant. Nothing in this Agreement limits Merchant's ability to collect, use and store information from Merchant Data provided:

(a)当該情報がUberデータでないこと、及び
the information is not Uber Data; and

(b)マーチャントが配送サービス、ダッシュボードの利用又はUber Direct APIに関連して当該情報を得たのではないこと。
Merchant did not gain the information in connection with the Delivery Services, use of the Dashboard or Uber Direct API.

9. 表明保証 / REPRESENTATIONS AND WARRANTIES

(a) 各当事者は、自己が(i)Uber Direct APIを介して不正コードを意図的に取り込まないこと、及び(ii)一般に認められた業界慣行に従って、不正コードの自己のプラットフォームへの取り込みを検知及び保護するために合理的に設計及び実装された物理的、技術的及び管理的な安全措置を維持するべく、商業的に合理的な努力を払うことを表明し保証する。
Each party represents and warrants that it: (i) will not intentionally include Unauthorised Code via the Uber Direct API; and (ii) will use commercially reasonable efforts to maintain physical, technical, and administrative safeguards reasonably designed and implemented to detect and protect against the introduction of Unauthorised Code into its platform in accordance with generally-accepted industry practices.

(b)一般取引条件第15条第(c)項(表明保証)を制限することなく、本契約に別途明示的に定める場合を除き、Uber Portierは何らの表明をするものでもなく、Uber Direct API又はその一部に関する明示又は黙示の一切の保証(市販可能性又は特定目的への適合性の黙示の保証、及び取引の過程又は履行の過程から生じる黙示の保証を含む。)をここに明示的に否認する。Uber Portierは、Uber Direct APIが中断又は遅延なく提供されることをいかなる形でも保証しない。貴社は、予定された保守、ネットワークの故障若しくは制限、遅延、その他インターネット及び電子通信の利用に固有の問題により、Uber Direct APIを利用できない場合があることを確認する。本条における制限及び否認は、適用ある法令等に基づき除外することのできない責任を制限し、又は適用ある法令等に基づき除外することのできない貴社の権利を改変することを意図するものではない。
Without limiting Section 15(c) (Representations and Warranties) of the General Terms, except as otherwise expressly set out in this Agreement, Uber Portier makes no representations, and expressly disclaims all warranties, express or implied, regarding the Uber Direct API or any portion of it, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Uber Portier does not guarantee in any way that the Uber Direct API will be provided without interruptions or delays. You acknowledge that the Uber Direct API may be unavailable due to scheduled maintenance, network failure or limitations, delays and other problems inherent in the use of the internet and electronic communications. The limitations and disclaimers in this section do not purport to limit liability or alter your rights that cannot be excluded under applicable Law.

10. 補償 / INDEMNIFICATION

10.1 Uber Direct APIに関する補償 / Indemnity for Uber Direct API

一般取引条件第16.1条(補償)に定める補償に加えて、マーチャント(補償当事者)は、本サービス条件に基づく義務のマーチャントによる違反、又は本サービス条件に基づき許可されていない態様でのUber Direct APIの利用に起因し又は関連する第三者の申立てに関する一切の損失等について、Uber Portier(被補償当事者)、その関連会社並びにそれらそれぞれの取締役、役員、従業員、代理人及び請負人に対して補償し、防御し(Uber Portierのオプションによる)、免責する。
In addition to the indemnities set out in Section 16.1 (Indemnities) of the General Terms, the Merchant (as Indemnifying Party) will indemnify, defend (at Uber Portier's option) and hold harmless Uber Portier (as Indemnified Party), its Affiliates and their respective directors, officers, employees, agents and contractors from and against any Losses with respect to any third party claim arising out of or related to a breach by the Merchant of its obligations under the Service Terms, or any use of the Uber Direct API in a manner not permitted under the Service Terms.

サービス条件 - キャッシュオーダー / Service Terms - Cash Orders

1.キャッシュオーダー / Cash Orders

当事者らは、マーチャントの顧客による注文に関して、配達パートナーが、マーチャントの指示により現金での支払いを受けること(以下｢キャッシュオーダー｣という。)につき合意する。
The parties agree for cash payment to be accepted by Delivery Partners at the instruction of the Merchant for Orders made by Merchant’s Customers (the “Cash Order”).

2. マーチャントの責任 / Merchant’s Responsibility

(a)マーチャントは、以下の条件を満たすキャッシュオーダーの配送サービスに関するリクエストのみを行うことを保証する。Merchant undertakes to only send requests for Delivery Services of Cash Orders that meet the following conditions:

(i)キャッシュオーダー1件につき、合計金額が日本円で10,000円を超えないこと。
The total value of a single Cash Order does not exceed JPY10,000.

(ii)キャッシュオーダーの本件商品に、規制品目のリストに記載されるものが含まれていないこと。
The Items of the Cash Order does not contain any Items set out in the list of Restricted Items.

(iii)マーチャントのシステムにアカウントを登録していない顧客によるキャッシュオーダーは、認められないこと。
Cash Orders for Customers who do not have a registered account in Merchant’s system shall not be permitted.

(iv)キャッシュオーダーについて、顧客が、顧客の不在時にドロップオフ地点における顧客の住所の玄関先に置くことを要求していないこと。これは、注文が、｢玄関先に置く｣機能を有効にすることが要求されないものであることを意味する。
Customers have not requested Cash Orders to be left at the door of the Customer’s address at delivery drop off location in the absence of the Consumer, which means Orders which do not require activation of the “leave at door” feature.

(b)マーチャントは、全てのキャッシュオーダーについて、以下の運用手順を遵守することを保証する。
Merchant undertakes to comply with the following operating procedures for all Cash Orders:

(i)キャッシュオーダーに関する配送サービスのリクエストを、適切かつ正確なチャンネル及び方法で、ダッシュボード又はUber Direct APIを介して送信すること。
Send the Delivery Services requests for the Cash Orders in an appropriate and accurate channel and manner via Dashboard or Uber Direct API.

(ii)参加店舗において自らの従業員、請負人及び代理人を教育し、これらがUber Directにおけるキャッシュオーダーの手順を理解することを保証すること。
Train its employees, contractors, and agents in the participating stores and ensure that they understand the process of a Cash Order under Uber Direct.

(iii)Uberの注文追跡・顧客へのメッセージ送受信用のシステム(SMSメッセージによる送受信を含むがこれに限定されない。)を使用するか、又は同じ結果をもたらす、前記のシステムと同様の注文追跡・顧客へのメッセージ送受信用のシステムを社内で操作できるようにすること。
Either opt-in to use Uber’s order tracking and customer messaging system (including, but not limited to, SMS messaging) or be able to internally operate an equivalent order tracking and customer messaging system that achieves the same result.

(iv)自らの顧客に以下を伝え、開示すること。
Communicate and disclose to its Customers that:

(A)顧客は、配達パートナーがその顧客に本件商品を引き渡すためにドロップオフ地点に到着した時に、配達パートナーに注文額を支払うための正確な金額を現金で所持していなければならないこと。すなわち、
when the Delivery Partner arrives at the drop-off location to hand over the Item(s) to its Customer, the Customer must have the exact amount of money in cash ready to pay the Delivery Partners for the Order amount, such that:

a. 顧客がキャッシュオーダーの支払いを行うための正確な金額を所持していなかった場合には、配達パートナーは釣銭を渡すことを要求されないこと。
Delivery Partners are not required to provide change if the Customer does not have the exact amount of cash to pay for the Cash Order,

b.顧客において、配達パートナーにキャッシュオーダーの正確な金額支払うための現金が不足している場合、当該キャッシュオーダーはキャンセルされ、本件商品は、マーチャントの指示に従って、廃棄され又はマーチャントに返却されること。
if Customer has insufficient cash to pay the exact Cash Order amount to the Delivery Partner, their Cash Order will be cancelled and the Items will be discarded or returned to the Merchant, as directed by Merchant,

c.顧客が、正確な金額の現金を有しておらず、超過する金額を支払った場合は、顧客は、マーチャントの店舗又はカスタマーサポートに連絡して、当該超過額について払戻すことをリクエストをすることができること。
if Customer does not have the exact amount of cash and instead provides an excess amount, Customers may contact Merchant’s store or customer service, and request to refund the excess amounts.

(B)(Uberでも配達パートナーでもなく)マーチャントが、顧客と契約を締結している契約当事者であり、キャッシュオーダーの販売及び配達につき責任を負うこと
Merchant (not Uber nor Delivery Partners) is the contracting party with the Customer and is responsible for the sale and delivery of the Cash Order.

(C)(Uberでも配達パートナーでもなく)マーチャントが、キャッシュオーダーの配達(顧客がドロップオフの際に配達パートナーに支払う正確な金額の現金を所持していなかったためにキャンセルされる配達を含む。)に起因する自らの顧客による苦情や質問の対処につき全面的に責任を負うこと
Merchant (not Uber nor Delivery Partners) is fully responsible for handling complaints or queries from its Customers arising from the delivery of Cash Orders (including deliveries that are cancelled due to Customer not having exact cash amount to pay to Delivery Partners at drop off).

(c)全てのキャッシュオーダーについて、マーチャントは以下に同意する。
For all Cash Orders, Merchant agrees:

(i)Uberでも配達パートナーでもなく)マーチャントが、キャッシュオーダーの販売及び配達について顧客と契約を締結している主たる契約当事者である。
it (not Uber nor Delivery Partners) is the primary contracting party with the Customer for the sale and delivery of the Cash Order,

(ii)Uberでも配達パートナーでもなく)マーチャントが、キャッシュオーダーの配達(顧客がドロップオフの際に配達パートナーに支払う正確な金額の現金を所持していなかったためにキャンセルされる配達を含む。)に起因する自らの顧客による苦情や質問の対処につき全面的に責任を負う。
it (not Uber nor Delivery Partners) is fully responsible for handling complaints or queries from its Customers arising from the delivery of Cash Orders (including deliveries that are cancelled due to Customer not having exact cash amount to pay to Delivery Partners upon drop off),

(iii)配達が、顧客がドロップオフの際に配達パートナーに支払う正確な金額の現金を所持していなかったためにキャンセルされ、マーチャントが、本件商品を返却するよう配達パートナーに指示した場合、返却配送には、返却配送手数料が適用される。
if deliveries that are cancelled due to Customer not having exact cash amount to pay to Delivery Partners upon drop off and Merchant instructs Delivery Partners to return the Item(s), Return Trip Fees will be applied to the return trip,

(iv)マーチャントは、Eats JPを、自らに代わりキャッシュオーダーに関して顧客から現金による支払いを回収するための支払代理人として指名し、Eats JPに対して、自らの顧客からキャッシュオーダーに関する現金による支払いを受領するために配達パートナーを指名する権限を与える。
it appoints Eats JP as its payment agent to collect cash payments from Customers for Cash Orders on its behalf and it authorises Eats JP to appoint Delivery Partners to receive cash payments for Cash Orders from its Customers,

(v)マーチャントの顧客がEats JPに対して行った支払いは、マーチャントの顧客がマーチャントに対して直接行った支払いと同じであるとみなされるものとする。
payment made by its Customers to Eats JP shall be considered the same as a payment made directly by its Customer to Merchant,

(vi)Uberは、請求書及びマーチャントの顧客からのキャッシュオーダーに関する支払いに係る誤りや間違いにつき責任を負わない。Uber is not responsible for any errors or inaccuracies in the Invoice and payment for Cash Orders from its Customers.

(vii)Uberは、顧客がキャッシュオーダーについて現金での支払を拒否した場合又は正確な金額の現金を有しておらず当該キャッシュオーダーがキャンセルされた場合、マーチャントに対して本件商品の代金及びそれにかかる手数料(配達手数料、返却配送手数料、キャッシュオーダー手数料(第3条a.において定義される。)を含む。)の払い戻しは行わない。
Uber will not refund any sales price of Items and corresponding Fees, including Delivery Fee, Return Trip Fee and Cash Order Fee (defined in Section 3.a. below), to Merchant if a Customer refuses to pay for the Cash Order by cash or Customer does not have the exact amount of cash and the Cash Order is canceled.

(d)配達パートナーを2名以上リクエストするキャッシュオーダーについて、マーチャントは以下に同意する。
For Cash Orders that Merchant requests two or more Delivery Partners, Merchant agrees:

(i)ピックアップ時に配達パートナーに対して、2以上に分割されたキャッシュオーダーであることを伝えることにマーチャントが全ての責任を負うこと。
Merchant is fully responsible for informing Delivery Partners at pick up that it is a Cash Order split into two or more.

(ii)最初にリクエストした配達パートナーに対して、顧客が配達パートナーに対して支払う必要のある現金を全額回収することが予定されている旨、及び、追加の各配達パートナーに対して、現金を回収することは予定されていないことから、最初にリクエストした配達パートナーより早く到着した場合でも、現金を回収しないで配達を完了できること旨を伝えることについて、マーチャントが全ての責任を負うこと。
Merchant is fully responsible for informing the original Delivery Partner that he/she is supposed to collect all the cash amount the Customer has to pay to Delivery Partners and for informing each additional Delivery Partner(s) that he/she is able to complete the delivery without collecting the cash from the Customer since he/she is not supposed to collect cash amount from the Customer even if he/she arrive before the original Delivery Partner.

(iii)ピックアップ時に、関与する全ての配達パートナーに対して、この注文は分割されていることを配達時に顧客に伝えるよう勧めること。
At pick up, Merchant suggests all involved Delivery Partners to inform the Customer upon delivery that the order was split.

(iv)ダッシュボードを介して追加の配達パートナーをリクエストする際、リマインドを送付するためにドロップオフノートを活用すること。
When requesting additional Delivery Partner(s) via the Dashboard, Merchant leverages the drop off notes to send reminders.

(v)自らの顧客に対して、以下を伝え、開示すること。
Merchant communicates and discloses to its Customers that:

(A)注文量が多いことから分割して配達されること。
The delivery for the order may be split due to large volumes

(B)一人の配達パートナーのみに全額を支払うこと。
Only pay one Delivery Partner the entire amount

(C)顧客は最初に到着した配達パートナーに支払いをするとは限らないこと; 誰に支払うべきかはSMSを確認すること。もし誤った配達パートナーに支払いをすると、二重払いしなければならなくなる可能性があること。
Customers are not supposed to always pay the first Delivery Partner that arrives at the drop off location; check your SMS to understand who to pay to. The Customer may end up making double payments if he/she pays the wrong Delivery Partner.

(D)顧客は、当該キャッシュオーダーの本件商品全てを受領する前であっても、支払いをすべき配達パートナーがドロップオフ地点に到着した場合には、現金で当該キャッシュオーダーの支払いをする必要があること。
Customers are required to make the cash payment for the Cash Order if the Delivery Partner who is supposed to receive it arrives at drop off location, even before receiving all the Items in the Cash Order.

3.Uberの責任 / Uber’s Responsibility

(a)Uberは、キャッシュオーダー(但し、配達が完了したキャッシュオーダーに限る。)ごとに申込書記載の手数料(以下｢キャッシュオーダー手数料｣という。)をマーチャントに請求し、マーチャントはこれを支払うことに同意する。キャッシュオーダー手数料は、本契約一般条件第6.2条に基づく条件付手数料の一部を構成するものとする。
Uber will charge Merchant and Merchant agrees to pay a fee pursuant to the table in Order Form per Cash Order (limited to Cash Orders that have been completed to deliver) (“Cash Order Fee”) and Cash Order Fee shall form part of the Conditional Fees under Section 6.2 of General Terms of the Agreement.

(b)Uberは、本サービス条件第2条(マーチャントの責任)に定める要件を遵守しないキャッシュオーダーのリクエストを合理的に行動して拒絶することができる。
Uber may, acting reasonably, reject any Cash Order request that does not comply with the requirements set out under Section 2 (Merchant Responsibility) of the Service Terms.

(c)送金
Remittance.

(i)Uberは毎週、マーチャントに、キャッシュオーダーの額(以下｢キャッシュオーダー収入｣という。)を送金するものとする。
Uber shall remit to Merchant the amount of the Cash Orders (“Cash Order Revenue”) on a weekly basis.

(ii)Uberは、マーチャントに書面による通知(電子メールによる通知を含むが、これに限定されない。以下同じ)を行うことにより、貴社が負担する手数料からキャッシュオーダー収入を差し引くことができる。マーチャントがUberに送金する手数料は、キャッシュオーダー収入を差し引いた額であるものとする。マーチャントが負担している手数料が、キャッシュオーダー収入を全額差し引くのに不足している場合、Uberは毎週、超過分のキャッシュオーダー収入をマーチャントに送金するものとする。
Upon written notice (including but not limited to notice by email, the same applied hereinafter) by Uber to Merchant, Uber may transition to net off the Cash Order Revenue from the Fees owed by you. The Fees Merchant remits to Uber shall be less the Cash Order Revenue. On a weekly basis, if there are insufficient Fees owed by Merchant to completely net off the Cash Order Revenue, Uber shall remit the excess Cash Order Revenue to Merchant.
