This U4B Travel Product Addendum (“Product Addendum”) to the Uber for Business General Terms and Conditions (“General Terms”) is entered into by and between the company identified within this sign-up page (“Company”) and Uber Japan Co. Ltd., a private limited liability company incorporated under the laws of Japan with registered address of Ark Hills Sengokuyama Mori Tower, 1-9-10 Roppongi, Minato-ku, Tokyo (“Uber"). Undefined, capitalised terms used herein shall have the meaning ascribed to them in the General Terms. In the event of any conflict between the terms of the General Terms, and this Product Addendum, the terms of this Product Addendum shall govern. This Product Addendum sets forth the terms under which a Company may utilise the Dashboard to enable U4B Travel. Company’s use of U4B Travel is subject to this Product Addendum, as may be modified or updated as set forth in the General Terms.

本ビジネス用 Uber 一般条件 (以下「本一般条件」という) に関する U4B 交通サービスについての付属書 (以下「本サービス付属書」という) は、本登録ページ内で特定する会社 (以下「本会社」という) と Uber Japan 株式会社 (日本国の法律に基づき設立され、登録住所を東京都港区六本木1-9-10アークヒルズ仙石山森タワーとする非公開有限責任会社) (以下「Uber」という) との間で締結されます。本書で使用されている頭文字が大文字の用語のうち、定義のないものは、本一般条件で定める意味を有するものとします。本一般条件と本サービス付属書の条件の間に矛盾がある場合、本サービス付属書の条件が優先するものとします。本サービス付属書は、本会社が U4B 交通を使用可能にするためダッシュボードを利用する場合の条件を定めたものです。本会社による U4B 交通の使用は、本サービス付属書に従うものとします。本サービス付属書は、本一般条件で定めるとおり、変更または更新される場合があります。

1. Definitions / 定義

The following terms, as may be used only in this Product Addendum, shall have the meanings set forth below:

本サービス付属書においてのみ使用される以下の用語は、以下に定める意味を有するものとします。

1.1. “Active Account” shall mean an Uber account in which the owner of the account has: (i) installed the Uber App on a compatible mobile device, (ii) registered for and currently maintains an active personal user account for the Uber Service, which requires the entry of certain Personal Data and a personal credit card number, (ii) currently complies with the End User Terms, and (iv) confirmed the mobile number provided during the registration process. Uber's collection and use of any Personal Data and credit card or other authorised payment method information to establish an Active Account shall be as set forth on the Uber Privacy Notice, available at https://www.uber.com/legal/privacy-notice/japan, as may be updated by Uber from time to time.

1.1. 「有効なアカウント」とは、アカウントの所有者が (i) 互換性のあるモバイル機器に Uber アプリをインストールし、(ii) Uber サービスの個人ユーザー アカウント (特定の個人データと個人のクレジット カード番号を入力する必要があります) に登録し、有効なそのアカウントを現在保持し、(iii) エンド ユーザー向け利用規約に現在準拠しており、(iv) 登録手続き中に提供された携帯電話番号を確認済みである Uber アカウントを意味するものとします。有効なアカウントを開設するための Uber による個人データおよびクレジット カード、またはその他の承認済みの支払い方法に関する情報の収集および使用は、Uber が随時更新する Uber のプライバシー通知 (https://www.uber.com/legal/privacy-notice/japan で閲覧可能) で定めるとおりとします。

1.2. “Provisioning Tool” shall mean the technology that utilizes Linking Data to authorize Authorised Users to establish an Enterprise Profile.

1.2. 「プロビジョニング ツール」とは、紐付け用データを使用して、認定ユーザーが企業ユーザー設定を開設できるようにするテクノロジーを意味するものとします。

1.3. “U4B Travel” means the Uber for Business product that, in connection with Uber’s technology platform systems, enables Company’s employees with an Active Account to, among other things, request on-demand ground transportation from independent third party providers, which an entity can manage through the Dashboard.

1.3. 「U4B 交通」とは、Uber のテクノロジー プラットフォーム システムに関連して、有効なアカウントを保有する本会社の従業員が、特に、法人がダッシュボードを使って管理できるオンデマンドの地上交通手段を独立した第三者プロバイダーに依頼できるようにするビジネス用 Uber サービスを意味します。

2. Provision of Services / サービスの提供

2.1 Access to Services / サービスの利用

Upon execution of this Product Addendum, Uber will use commercially reasonable efforts to enable Company to access U4B Travel via the Dashboard. In addition to the Dashboard features described in Section 4 of the General Terms, the Dashboard will enable Company to (a) view a current list of all Authorised Users who have been authorised to establish, and Authorised Users who have established Enterprise Profiles, (b) utilize the Provisioning Tool to add Linking Data to maintain an up-to-date list of Authorised Users, (c) add and remove Authorised Users, (d) view trip information and prepare and review activity reports using such travel order information, and (e) disable any or all current Authorised Users from their Enterprise Profile. Company may permit Authorised Users with an Uber Account to establish a billing option within their Active Account (an “Enterprise Profile”) that will allow Authorised Users to bill travel costs incurred via U4B Travel to one of the following options: (i) a central Company corporate payment card, (ii) a Company-issued individual payment card, (iii) a personal payment card or, (iv) in Uber’s sole discretion, Monthly Billing. User Charges and any Service Fees, if applicable, that are incurred on such Enterprise Profiles will be transmitted to Company via the Dashboard in accordance with the terms and conditions of this Product Addendum and the General Terms.

本サービス付属書の締結をもって、Uber は、本会社がダッシュボードを使って U4B 交通を利用できるように商業上合理的な努力をするものとします。本会社は、本一般条件の第 4 条で記載されているダッシュボード機能以外にも、ダッシュボードで次のことを行うことができます。(a) 企業ユーザー設定の開設を許可されたおよび企業ユーザー設定を開設したすべての認定ユーザーについての現在のリストを表示する。(b) プロビジョニング ツールを利用して紐付け用データを追加し、認定ユーザーの最新リストを維持する。(c) 認定ユーザーを追加および削除する。(d) 運送情報を表示し、かかる運送の注文情報を使用してアクティビティ レポートを作成および確認する。(e) 現在の認定ユーザーの企業ユーザー設定を一部またはすべて無効にする。本会社は、Uber アカウントを保有する認定ユーザーが、その有効なアカウント内で請求オプション (以下「企業ユーザー設定」という) を開設することを許可できます。これにより、認定ユーザーは U4B 交通で発生した交通費を次のいずれかの支払い方法に請求できます。(i) 本会社の法人支払いカード、(ii) 本会社が発行した個人用支払いカード、(iii) 個人の支払いカード、(iv) Uber の独自の裁量による、月々の請求。かかる企業ユーザー設定で発生した場合のユーザー課金およびサービス料は、本サービス付属書および本一般条件の条件に従って、ダッシュボードを介して本会社に送信されます。

2.2 Active Account Required / 有効なアカウントの必要性。

2.2.1. Active Account / 有効なアカウント

In addition to all Company obligations regarding Authorised Users in the General Terms, Company further acknowledges and agrees that in order for an individual to be considered an Authorised User under this Product Addendum, such individual must have an Active Account at all times in which they intend to use U4B Travel.

本会社は、本一般条件における認定ユーザーに関する本会社のすべての義務に加えて、個人が本サービス付属書に基づく認定ユーザーとみなされるためには、かかる個人が、U4B 交通の使用を意図したすべての時点で、有効なアカウントを保有している必要があることを認め、これに同意します。

2.2.2. Violations / 違反

Company acknowledges that certain Authorised Users may be suspended or banned from use of the Uber Service due to future or past violations of the End User Terms (“Violations”), and that Uber shall have no obligation or liability related to an Authorised User that is unable to obtain or maintain an Active Account due to Violations. In the event that an Authorised User’s Active Account is suspended or terminated pursuant to the End User Terms, such Authorised User’s access to the Enterprise Profile shall also be suspended. Furthermore, Uber and its Affiliates reserves the right to immediately suspend any or all access to the Enterprise Profile of any Authorised User that has an invalid payment card on their Enterprise Profile, or a rejected Company payment card transaction that was initiated through their Enterprise Profile.

本会社は、特定の認定ユーザーが、エンド ユーザー向け利用規約に対する将来または過去の違反 (以下「本違反」という) により、Uber サービスの利用を停止または禁止される場合があること、および Uber が有効なアカウントを本違反のために取得または維持できない認定ユーザーに関して責任を負わないことに同意します。認定ユーザーの有効なアカウントが、エンド ユーザー向け利用規約に基づき停止または削除された場合、かかる認定ユーザーの企業ユーザー設定へのアクセスも停止されるものとします。さらに、Uber およびその関連会社は、認定ユーザーに関して、無効な支払いカードが登録されているか、企業ユーザー設定を通じたカード取引が拒絶された場合、当該認定ユーザーによる企業ユーザー設定へのアクセスの、一部またはすべてをただちに停止させる権利を有します。

2.3 Enterprise Profile Linking / 企業ユーザー設定への紐付け

2.3.1. Linking Mechanics / 紐付けの仕組み

To enable a proposed Authorised User to securely establish an Enterprise Profile, Company must provide Uber with such Authorised User’s: (i) full name, (ii) Company-issued email address, and (iii) other information the parties may mutually agree upon (“Linking Data”), which is necessary for authentication and verification purposes. Upon establishing an Enterprise Profile linked to an Active Account, such Authorised User shall be provided the option to apply User Charges to either (A) such Authorised User’s personal profile or (B) the Authorised User’s Enterprise Profile.

提案された認定ユーザーが企業ユーザー設定を安全に開設できるようにするため、本会社は Uber に対し、かかる認定ユーザーの (i) 氏名、(ii) 本会社が発行したメール アドレス、(iii) 両当事者が相互に合意した、認証と検証のために必要なその他の情報 (以下「紐付け用データ」という) を提供する必要があります。有効なアカウントに紐付けられた企業ユーザー設定を開設する際、かかる認定ユーザーは、ユーザー課金を (A) 本人の個人用プロフィールと (B) 本人の企業ユーザー設定のどちらに適用するか選択肢を提示されるものとします。

2.3.2. Accuracy / 正確性

Company shall ensure that Linking Data is accurate and complete, and Uber shall not be liable to Company, an Authorised User, a proposed Authorised User or any other party with respect to inaccurate or incomplete Linking Data supplied by Company.

本会社は、紐付け用データが正確かつ完全であることを保証するものとし、Uber は、本会社から提供された紐付け用データが不正確または不完全だった場合、本会社、認定ユーザー、提案された認定ユーザー、またはその他の関係者に対してその責任を負わないものとします。

2.3.3. Unlinking / 紐付けの解除

Authorised User’s Enterprise Profile may be unlinked from any such Active Account at any time by (i) Company unlinking such Authorised User through the Dashboard, or (ii) the Authorised User deleting the Enterprise Profile option from his or her Active Account.

認定ユーザーの企業ユーザー設定では、(i) 本会社がダッシュボードでかかる認定ユーザーとの紐付けを解除するか、(ii) 認定ユーザーが自分の有効なアカウントから企業ユーザー設定のオプションを削除することにより、かかる有効なアカウントとの紐付けをいつでも解除できます。

2.3.4. Restrictions / 制限

Company agrees to use the Corporate Account and shall cause each Authorised User to, use their Enterprise Profile solely as set forth in this Product Addendum, the General Terms, and the End User Terms.

本会社は、法人アカウントを使用することに同意し、各認定ユーザーに対し、本サービス付属書、一般利用規約、およびエンド ユーザー向け利用規約で定められたとおりにのみ企業ユーザー設定を使用させるものとします。

2.4 Responsibility for User Activity / ユーザーの行動に対する責任

Uber reserves the right to suspend participation in U4B Travel and/or Uber for Business to Company and/or any Authorised Users for violations of this Product Addendum, the General Terms or the End User Terms. In the event that an Authorised User’s Uber account is suspended or terminated pursuant to the End User Terms, such Authorised User’s access to U4B Travel and/or Uber for Business shall also be suspended.

Uber は、本会社および/または認定ユーザーに対し、本サービス付属書、一般利用規約、またはエンド ユーザー向け利用規約への違反を理由として、U4B 交通および/またはビジネス用 Uber への参加を停止させる権利を有します。認定ユーザーの Uber アカウントが、エンド ユーザー向け利用規約に基づき停止または終了された場合、かかる認定ユーザーによる U4B 交通および/またはビジネス用 Uber へのアクセスも停止されるものとします。

3. Fees and Payments / 料金および支払い

3.1 Service Fee / サービス料金

Company will pay a monthly fee for the use of U4B Travel (“Service Fee”), which shall equal the amount set forth during the account creation or as otherwise assed by Uber after providing at least thirty (30) days’ prior written notice of such fee to Company.

本会社は、U4B 交通の月額使用料 (以下「サービス料金」という) を支払うものとします。サービス料金は、アカウントの作成時に定められた金額か、Uber が別途査定して 30 日前までに書面で本会社に通知する金額と同額とします。

3.2. User Charges / ユーザー手数料

All User Charges shall be paid in the ordinary course of use of the Uber Service through the payment card associated with the applicable Enterprise Profile, unless Company participates in Monthly Billing, in which case Company shall pay such User Charges in accordance with Section 5 of the General Terms.

本会社が月々の請求を設定していない限り、すべてのユーザー手数料は、該当する企業ユーザー設定に関連付けられた支払いカードによって、Uber サービスの通常の利用過程において支払われるものとします。本会社が月々の請求による支払いを設定している場合、本会社は、かかるユーザー手数料を本一般条件の第 5 条に従って支払うものとします。

3.3 Billing Options / 請求オプション

3.3.1 Pursuant to Section 5 of the General Terms, Uber may, in its sole discretion, elect to qualify Company to participate in Monthly Billing.

3.3.1 本一般条件の第 5 条に従い、Uber は独自の裁量により、本会社に月々の請求の設定資格を与える場合があります。

3.3.2. If Company does not participate in Monthly Billing: (i) User Charges incurred through Enterprise Profiles shall be paid in the ordinary course of business, as stated above in Section 3.1, and (ii) Uber shall charge Company for Service Fees incurred during each calendar month of the Term in which Monthly Billing was not utilized (each a “Service Fee Invoice”). All fees under each Service Fee Invoice shall be paid in full by Company within thirty (30) days of receipt of such Service Fee Invoice.

3.3.2. 本会社が月々の請求を設定しない場合、(i) 企業ユーザー設定で発生したユーザー手数料は、上記の第 3.1 条で記載する通常の業務過程において支払われるものとし、(ii) Uber は、月々の請求が利用されなかった契約期間の各暦月に発生したサービス料を本会社に請求するものとします (以下、それぞれ「サービス料金請求書」という)。各サービス料請求書に基づく料金はすべて、本会社が、かかるサービス料請求書を受領してから 30 日以内に全額を支払うものとします。

3.4. Account Suspension / アカウントの停止

Uber and/or its Affiliates reserves the right to immediately suspend Company’s Dashboard and suspend any or all access to an Enterprise Profile by all Authorised Users for U4BTravel in the event of any unpaid Service Fees or User Charges by Company due on any past Monthly Statements or Service Fee Invoice. Uber further reserves the right to pursue any and all remedies available to it under applicable law, including reporting Company to applicable credit reporting agencies, in the event of any unpaid Service Fees or User Charges hereunder. Reestablishing a Company’s Dashboard after full payment of late Service Fees or User Charges shall be at Uber and/its Affiliates’ sole discretion. All late payments shall accrue simple interest on the sum due from the date such payment was originally due until the date of actual payment, at the lower of 3% per month or the maximum allowed by applicable law.

Uber および/またはその関連会社は、過去の月次明細書またはサービス料請求書に基づき本会社が支払うべきサービス料またはユーザー課金が未払いである場合、ただちに本会社のダッシュボードを停止し、すべての認定ユーザーによる U4B 交通を目的とした企業ユーザー設定へのアクセスを一部またはすべて停止する権利を有します。Uber はさらに、本書に基づくサービス料またはユーザー課金が未払いである場合、適切な信用調査機関に本会社を報告することを含め、適用法令に基づき利用可能なあらゆる救済措置を追及する権利を有します。延滞したサービス料またはユーザー課金が全額支払われた後に本会社のダッシュボードを再開するかどうかは、Uber および/またはその関連会社の独自の裁量によるものとします。支払いの延滞にはすべて、支払われるべきその合計金額に対し、かかる支払いの当初の期日から実際の支払日まで、1 か月あたり 3% または適用法令で認められる最大割合 (いずれか低い方) で単利が生じるものとします。

4. Privacy and Data Security / プライバシーとデータ セキュリティ

4.1. Lawfulness / 合法性

Company acknowledges that the linking process described in Section 2.3, above, requires a verification email to be sent to each Authorised User using the Linking Data, and Company agrees, where necessary, to have a legal basis for such Processing and inform the Authorised Users.Company consents to Uber emailing such Authorised Users for the purpose of linking and establishing the Enterprise Profile within the Authorised Users’ Active Account.

本会社は、上記の第 2.3 条で記載する紐付け処理において、紐付け用データを使用して各認定ユーザーに確認メールを送信する必要があることを認め、また、必要に応じて、かかる処理の法的根拠を有し、これらの認定ユーザーに通知することに同意します。本会社は、これらの認定ユーザーの有効なアカウント内で企業ユーザー設定を紐付けおよび設定する目的で、Uber がこれらの認定ユーザーにメールを送信することに同意します。

4.2. Data Restrictions / データに関する制限事項

Uber agrees to only process the Linking Data for the purposes described in this Product Addendum.

Uber は、本サービス付属書で記載する目的に限って紐付け用データを処理することに同意します。

4.3. Security / セキュリティ

Uber shall promptly notify Company in the event that Uber learns or has reason to believe that an Information Security Incident has occurred in relation to the Linking Data. The notification will include at least: (1) the nature of the breach of security measures; (2) the types of potentially compromised Linking Data; (3) the duration and expected consequences of the Information Security Incident; and (4) any mitigation or remediation measures taken or planned in response to the Information Security Incident. Upon any such discovery, Uber will (a) take all reasonable steps to investigate, remediate, and mitigate the effects of the Information Security Incident, and (b) provide Company with assurances reasonably satisfactory to Company that such Information Security Incident will not recur. Additionally, if and to the extent any Information Security Breach occurs as a result of an act or omission of Uber, and if Company determines that notices (whether in Uber’s or Company’s name) or other remedial measures are warranted, Uber will, at Company’s request and at Uber’s cost and expense, undertake the aforementioned remedial actions.

Uber は、紐付け用データに関連して情報セキュリティ インシデントが発生したことを知り、または発生したと判断すべき理由がある場合、すみやかに本会社に通知するものとします。この通知は、少なくとも次の情報を含むものとします。(1) セキュリティ対策への違反の性質。(2) 侵害された可能性のある紐付け用データの種類。(3) その情報セキュリティ インシデントの期間と予想される結果。(4) その情報セキュリティ インシデントに対応して講じた、または計画した緩和策または是正策。かかる発見があった場合、Uber は、(a) その情報セキュリティ インシデントを調査し、是正し、その影響を軽減するためにあらゆる合理的な措置を講じ、(b) このような情報セキュリティ インシデントが再発しないことについて、本会社が合理的に見て満足できる保証を本会社に提供するものとします。さらに、Uber の作為または不作為の結果として情報セキュリティ違反が発生した事例において、本会社が通知 (その名義が Uber か本会社かを問わない) またはその他の是正措置が正当であると判断した場合、Uber は、本会社の要求に応じて、Uber の費用負担にて前述の是正措置を講じるものとします。

4.4. Damages / 損害

Damages arising from Company’s breach of this “Privacy and Data Security” section shall not be subject to the limits of liability set forth in the General Terms.

本会社による本条「プライバシーとデータ セキュリティ」への違反に起因する損害には、本一般条件で定める責任の制限は適用されないものとします。

5. Effect of Termination / 契約終了の効果

All outstanding payment obligations under this Product Addendum and Sections 1 , 3, 5 and 6 shall survive the termination of this Product Addendum.

本サービス付属書に基づく全ての未払金の支払義務、ならびに第 1 条、第 3 条、第 5 条、および第 6 条は、本サービス付属書の失効後も存続するものとします。

6. Warranty / 保証

In addition to the warranties set forth in the General Terms, Company represents and warrants that: (a) Company has all rights and permissions necessary to provide Uber with the Linking Data and any other information provided to Uber hereunder in connection with the Uber Service; (b) Company has obtained legally-adequate consent from Authorised Users as necessary to provide Uber with any Personal Data in connection with the Uber Service, (c) Company has notified, and obtained legally adequate consent from, proposed Authorised Users and Authorised Users that Uber will provide Company with detailed trip information for the rides charged to such Authorised User’s Enterprise Profile.

本一般条件で定める保証に加えて、本会社は以下を表明し、保証するものとします。(a) 紐付け用データ、および Uber サービスに関連して本書に基づき Uber に提供されるその他の情報については、本会社が Uber にそれを提供するために必要な権利および許可をすべて有していること。(b) Uber サービスに関連して Uber に個人データを提供する必要に応じて、本会社が認定ユーザーから法的に十分な同意を得ていること。(c) 認定ユーザーの企業ユーザー設定に請求された配車に関する詳細な乗車情報を Uber が本会社に提供することについて、本会社が提案された認定ユーザーおよび認定ユーザーに通知し、それらのユーザーから法的に十分な同意を得たこと。
