Terms and Conditions for Renewable Passes (Eats Pass)
リニューアブルパス(Eats Pass)に関する契約条件
These terms and conditions for Renewable Passes govern your purchase and use of a Renewable Pass in Japan, which is a Uber Eats subscription service that renews automatically (the "Program" or "Renewable Pass"), launched by Uber Portier B.V., its parent, subsidiaries and/or affiliates including Uber B.V. and Uber Eats Japan, Inc. ("Uber" or "we"), whereby you shall have, under the Offer (as defined below), access to certain promotions which give certain deduction off the order of food and/or delivery (where applicable) via the Uber Eats app ("Uber App"). Participation in the Program is subject to these terms and conditions for Renewable Passes and the general Japan Users Terms of Use ( https://www.uber.com/legal/ja/document/?name=uber-eats-consumer-terms-of-use&country=japan&lang=ja ) , Privacy Notice ( https://www.uber.com/legal/ja/document/?name=privacy-notice&country=japan&lang=ja ), and Uber's Community Guidelines ( https://www.uber.com/legal/ja/document/?name=uber-eats-community-guidelines&country=japan&lang=ja , https://www.uber.com/legal/ja/document/?name=general-community-guidelines&country=japan&lang=ja ) which are incorporated herein (collectively, the "Renewable Pass Terms").
リニューアブルパスに関する本契約条件は、お客様による日本におけるリニューアブルパスの購入および使用に適用されます。リニューアブルパスは、Uber Eatsのサブスクリプションサービスであり、自動的に更新されます(以下｢本プログラム｣または｢リニューアブルパス｣といいます。)。リニューアブルパスは、Uber Portier B.V.ならびにその親会社、子会社および/または関連会社(Uber B.V. およびUber Eats Japan合同会社を含みます。)(以下｢Uber｣または｢当社｣といいます。)が導入したサービスであり、リニューアブルパスにより、お客様は、本件オファー(以下に定義します。)に基づき、一定のプロモーションへのアクセスを得ることができます。このプロモーションは、Uber Eatsアプリ(以下｢Uberアプリ｣といいます。)による食品の注文および/または配達(該当する場合)の際に一定の割引を付与するものです。本プログラムへの参加はリニューアブルパスに関する本契約条件、ならびに一般的な日本のユーザーのための諸条件( https://www.uber.com/legal/ja/document/?name=uber-eats-consumer-terms-of-use&country=japan&lang=ja )、プライバシー通知( https://www.uber.com/legal/ja/document/?name=privacy-notice&country=japan&lang=ja )、およびUberのコミュニティガイドライン( https://www.uber.com/legal/ja/document/?name=uber-eats-community-guidelines&country=japan&lang=ja 、 https://www.uber.com/legal/ja/document/?name=general-community-guidelines&country=japan&lang=ja )に従うことが条件となり、これらの各条件は本契約条件の一部となります(総称して、以下｢リニューアブルパス条件｣といいます。)。
Uber provides a technology platform which connects you to restaurant partners to order items, including but not limited to food and beverages for delivery and/or pick-up, and allows restaurant partners to contract with independent delivery partners to provide delivery services on the restaurant’s behalf. Uber is not a provider of food, transportation, or delivery services, as such all benefits offered under the Program are offered on an "as available" basis, contingent upon third-parties' availability to provide food, transportation, or delivery services and other contingencies which may impact availability of some benefits at certain times and places. Renewable Passes are provided in connection with use of the Uber App. For the avoidance of doubt, the restaurant partners and independent delivery partners shall remain responsible for complying with all applicable regulations and guidelines in Japan, including but not limited to, food safety, food handling and/or delivery requirements.
Uberは、配達および/または集荷の対象となる飲食物を含むがこれらに限定されない商品を注文できるようにお客様とレストランパートナーとをつなげるための技術プラットフォームを提供するとともに、レストランパートナーが独立した配達パートナーとの間で、配達パートナーがレストランに代わって配達サービスの提供を行うことを内容とする契約を締結することを可能にします。Uberは、食品サービス、輸送サービス、または配達サービスの提供者ではありません。そのため、本プログラムに基づいてオファーされる全ての特典は、各第三者が食品サービス、輸送サービス、または配達サービスを提供できるかどうか、ならびに、特定の時点および場所において何らかの特典を利用できるかどうかに影響し得るその他の偶発的状況に応じて｢提供可能な範囲で｣オファーされます。リニューアブルパスは、Uberアプリの利用に関連して提供されるものです。念のために申し上げますと、食品の安全性、食品の取扱い、および/または配達に関する要件を含むがこれらに限定されない、日本で適用される全ての規制およびガイドラインを遵守する責任は引き続きレストランパートナーおよび独立した配達パートナーが負うものとします。
1. How Renewable Passes Work.
リニューアブルパスの仕組み
You may receive an offer in-app for specific renewable benefits that can be applied on Uber App purchases ("Offer"). Each Offer will include important details and terms, such as where and when a Renewable Pass may be used, the benefit(s) conferred by the Renewable Pass ("Pass Benefits"), the cost of the Renewable Pass ("Pass Rate"), and the billing interval ("Billing Cycle"). Please refer to your Offer for details before purchasing the Renewable Pass.
お客様は、Uberアプリでの購入時に適用することができる、更新可能な特定の特典に関するオファーを、アプリ内で受領することができます(以下｢本件オファー｣といいます。)。各本件オファーには、リニューアブルパスが、いつ、どこで利用できるかについて、また、リニューアブルパスによって付与される特典(以下｢パス特典｣といいます。)、リニューアブルパスの費用(以下｢パス料金｣といいます。)、および料金請求の間隔(以下｢請求サイクル｣といいます。)等の重要な詳細および条件が記載されています。詳細につきましては、リニューアブルパスをご購入になる前にお客様への本件オファーをご参照下さい。
When you buy a Renewable Pass you acknowledge that (i) you are 20 years of age (if you buy a Renewable Pass on or after 1 April 2022, 18 years of age) or older, and (ii) you are a holder of a valid credit card. You agree to have your credit card charged every Billing Cycle on a recurring basis and agree to these Renewable Pass Terms, as well as the specific terms of the Offer. Offers are limited and subject to change.
リニューアブルパスを購入する際には、お客様は、(i)お客様が20歳（2022年4月1日以降にリニューアブルパスを購入する場合は18歳）以上であり、かつ、(ii)有効なクレジットカードの保有者であることを確認します。お客様は、お客様のクレジットカードに対して請求サイクル毎に継続的に課金されることに同意し、かつ、リニューアブルパス条件および本件オファーにおいて明記された条件に同意します。本件オファーには制限が付されており、また、変更される場合があります。
By participating in this Program you are agreeing to these Renewable Pass Terms. If you do not agree to these Renewable Pass Terms, please do not participate in the Program.
本プログラムに参加することにより、お客様はリニューアブルパス条件に同意したことになります。お客様がリニューアブルパス条件に同意しない場合は、本プログラムに参加しないでください。
2. Duration and Frequency of Charges.
課金の期間および頻度
When you buy a Renewable Pass, you'll be charged the Pass Rate for your first Billing Cycle on the date of purchase, which activates the Renewable Pass for the term set forth in your Offer. Unless you cancel in accordance with Section 3 below, you'll be charged at the Billing Cycle stated in your Renewable Pass Offer based on the initial purchase date on your selected payment method. BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND THE PASS RATE WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD. If you do not want your Renewable Pass to automatically renew, you can cancel your subscription in accordance with Section 3 below.
お客様がリニューアブルパスを購入された場合、購入日においてお客様の最初の請求サイクルに係るパス料金が課金され、それにより、お客様への本件オファーに記載されている期間にわたりリニューアブルパスが有効になります。お客様が下記第3項に従ってキャンセルしない限り、お客様は、最初の購入日に基づきリニューアブルパスに係るお客様への本件オファーに記載された、請求サイクルに従って、お客様が選択した支払方法により課金されます。初期設定として、(かつ、適用法で義務づけられている範囲内で事前通知を行うことにより、)お客様のリニューアブルパスは各請求サイクルの開始時に自動的に更新され、お客様が選択した支払方法に対して自動的にパス料金が課金されます。お客様がリニューアブルパスの自動更新を希望しない場合は、下記第3項に従ってお客様のサブスクリプションをキャンセルすることができます。
The charges for the Renewable Pass are inclusive of Japan consumption tax. If any deductions or withholdings are required by law to be made from any amounts payable by or on behalf of one party to the other party under these Renewable Pass Terms, the paying party shall be obligated to pay to the receiving party such amount as will, after the deduction or withholding has been made, leave the other party with the same amount as it would have been entitled to receive in the absence of any such requirement to make a deduction or withholding.
リニューアブルパスの料金には、日本の消費税が含まれています。リニューアブルパス条件に基づいて一方の当事者またはその代理人が他方の当事者に支払うべき金額から何らかの控除または源泉徴収を行うことが法令で義務づけられている場合、支払当事者は、当該控除または源泉徴収が行われた後に、かかる控除または源泉徴収が義務づけられていなかった場合に他方の当事者が受領する権利を有していたであろう金額と同一の金額が他方の当事者の手元に残るような金額を受領当事者に対して支払う義務を負うものとします。
If your selected payment method is declined, Uber will prompt you for a new payment method but reserves the right to terminate any unpaid periods in your Renewable Pass with no further charges to you. Uber and/or its parent, subsidiaries and/or affiliates are not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank.
お客様によって選択された支払方法が拒否された場合、Uberはお客様に対して新たな支払方法の入力を促しますが、Uberは、お客様に対して以後の課金を行うことなく、お客様のリニューアブルパスの未払の期間に関する部分を終了させる権利を留保します。Uberならびに/またはその親会社、子会社および/もしくは関連会社は、カード保有者の銀行から請求される手数料(当座貸越手数料、資金不足手数料、支払利息、外国為替手数料、クロスボーダー手数料、およびカード保有者の銀行から課せられるその他の違約金等を含みますがこれらに限定されません。)については一切責任を負いません。
3. Cancelling Your Renewable Pass (Refusing Renewal).
お客様のリニューアブルパスのキャンセル(更新拒否)
You may cancel your Renewable Pass within the applicable Uber App up to 48 hours prior to your next scheduled payment to avoid further charges. To do this, go to the applicable Renewable Pass section in the Uber App that you purchased your Renewable Pass in and select “Manage Membership”. Select the option for “End membership”, and then confirm you wish to cancel your subscription. If you are less than 48 hours prior to your next scheduled payment, contact support to cancel.
リニューアブルパスのキャンセルは、お客様の次回のお支払予定時刻の48時間前までに限り、該当するUberアプリ内で行うことができます。キャンセルした場合、その後の課金は回避することができます。キャンセルを行うには、お客様のリニューアブルパスを購入したUberアプリ内のリニューアブルパスのセクションに行き、｢メンバーシップを管理する｣を選択してください。「メンバーシップを停止する」を選択し、サブスクリプションの解約を希望することを確認してください。次回のお支払予定時刻の48時間以内になっている場合は、サポートまでキャンセルのご連絡をください。
If you cancel your Renewable Pass, you will still have access to your Pass Benefits until the end of the current Billing Cycle. All payments are non-refundable and non-transferable, and will not be refunded on a pro-rata basis for any cancellation initiated during a Billing Cycle. Please use help.uber.com to report any unauthorized charges within 60 days. Uber is not responsible for overdraft fees that may be incurred.
リニューアブルパスをキャンセルした場合でも、その時点において有効な請求サイクルが終了するまでは引き続きパス特典を利用することができます。全てのお支払いは返金不可かつ移転不可であり、いずれかの請求サイクルの途中でなされたキャンセルについて日割計算による返金はなされません。不正な課金があった場合はhelp.uber.com を使用して、60日以内に報告して下さい。Uberは、当座貸越手数料が発生した場合であっても、当該手数料について責任を負いません。
4. Combining Promotions.
特典の組み合わせ
Notwithstanding the terms and conditions of other promotions offered by Uber or third parties, Uber may permit Pass Benefits to be combined with other promotions.
Uberまたは第三者によってオファーされるその他の特典の諸条件にかかわらず、Uberはパス特典をその他の特典と組み合わせることを許可する場合があります。
5. Free Trial.
無料トライアル
Uber and/or third parties on behalf of Uber may offer some users a free trial or other promotional subscriptions to a Renewable Pass. Such trial or promotional subscriptions are subject to these Renewable Pass Terms except as otherwise stated in your Offer. Only one trial or promotional subscription is available per user. Free trial eligibility is determined by Uber and Uber may limit such eligibility or duration to prevent free trial abuse. Certain limitations may exist with respect to combining a free trial with any other offers.
Uberおよび/またはUberに代わって第三者が、一部のユーザーに対して、リニューアブルパスの無料トライアルまたはその他のプロモーション用サブスクリプションをオファーする場合があります。このようなトライアルまたはプロモーション用サブスクリプションは、お客様への本件オファーに別段の記載がある場合を除き、リニューアブルパス条件に従うことを条件とします。トライアルまたはプロモーション用サブスクリプションは、1ユーザーにつき1度限り利用可能です。無料トライアルに係る適格性はUberによって決定され、Uberは無料トライアルの乱用を防ぐためにかかる適格性または期間を制限することがあります。無料トライアルをその他のオファーと組み合わせることに関しては、一定の制限が存在する場合があります。
AT THE END OF YOUR APPLICABLE FREE TRIAL PERIOD, YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE PASS RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING CYCLE UNLESS YOU CANCEL AT LEAST 48 HOURS PRIOR TO THE EXPIRY OF THE TRIAL PERIOD ACCORDING TO THIS RENEWABLE PASS TERMS SECTION 3 ABOVE.
お客様に適用される無料トライアル期間の終了時に、お客様のリニューアブルパスは自動的に更新され、お客様がリニューアブルパス条件上記第3項に従ってトライアル期間の満了の48時間前までにキャンセルしない限り、各請求サイクルの開始時にお客様への本件オファーに記載されているパス料金が課金されます。
6. Changes to Renewable Passes.
リニューアブルパスの変更
Uber reserves the right to modify or stop offering Renewable Passes or change Pass Rates, Pass Benefits, etc. In the event Uber modifies part or all of these terms and conditions for Renewable Passes, including Uber increasing the Pass Rate of a Renewable Pass, such modification will be disseminated in an appropriate way, such as email and posting them on our website, in accordance with the provisions of Article 548-4 of the Civil Code. All changes will be effective upon your next Billing Cycle, but you may avoid these changes by cancelling your Renewable Pass according to Section 3 above.
Uberは、リニューアブルパスを変更し、もしくはリニューアブルパスの提供を中止し、または、パス料金、パス特典等を変更する権利を留保します。本契約条件の一部または全部を変更する場合（Uberがリニューアブルパスのパス料金を増額する場合を含みます。）には、民法第548条の4の規定に従い、電子メールまたはウェブサイトへの掲示等適切な方法で周知します。全ての変更はお客様の次回の請求サイクルから有効となりますが、お客様は、上記第3項の手続に従ってお客様のリニューアブルパスをキャンセルすることで、これらの変更を回避することができます。
Uber may terminate your Renewable Pass. If that happens, Uber will give you a pro-rated refund based on charges already applied to your current billing period. We will not give any refund for termination related to conduct that we consider to be a violation of these Renewable Pass Terms, any applicable law, or involving fraud or misuse of the Renewable Pass.
Uberは、お客様のリニューアブルパスを終了させることができます。その場合、Uberはその時点において有効なお客様の請求期間に対して既に適用された料金に基づいて日割計算による返金を行います。当社は、リニューアブルパス条件もしくは適用法に違反する、またはリニューアブルパスに係る不正行為もしくは不正使用を伴うと、当社が判断した行為に関連する終了の場合はいかなる返金も行いません。
7. Changes to Renewable Pass Terms
リニューアブルパス条件の変更
Uber reserves the right to modify these Renewable Pass Terms. If we make material changes to the Renewable Pass Terms while you have an active Renewable Pass, we will provide you with seven (7) days’ prior notice either in the Renewable Pass section of the applicable Uber App and/or via email. Revised Renewable Pass Terms become effective at the beginning of the next Billing Cycle and your continued use of a Renewable Pass constitutes your acceptance of the revised Renewable Pass Terms. If you are not willing to agree to the revisions, you may cancel your Renewable Pass in accordance with Section 3 above.
Uberは、リニューアブルパス条件を変更する権利を留保します。お客様が有効なリニューアブルパスをお持ちの間に当社がリニューアブルパス条件に重大な変更を加えた場合、当社は、適用されるUberアプリのリニューアブルパスのセクションにおいて、および/または、電子メールにより、7日前までにお客様に通知します。変更されたリニューアブルパス条件は次回の請求サイクルの開始時に有効となり、お客様がリニューアブルパスの使用を継続した場合は、変更されたリニューアブルパス条件を承諾したことになります。変更への同意を希望されない場合は、お客様は上記の第3項に従ってリニューアブルパスをキャンセルすることができます。
8. Transfer of Rights.
権利の移転
Uber's rights and obligations under the Program may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity. Your Renewable Pass may not be transferred or assigned.
Uberは本プログラムに基づく自らの権利および義務を、関連するまたは関連しない他の事業体に対していつでも譲渡または移転することができ、その行使および履行は当該事業体の責任においてなされるものとします。お客様のリニューアブルパスは、移転または譲渡することはできません。
9. Interpretation of Renewable Pass Terms.
リニューアブルパス条件の解釈
To the fullest extent permitted by applicable law, all interpretations of these Renewable Pass Terms will be at Uber's discretion and Uber's decisions will be final.
適用法によって許容される限りにおいて最大限、リニューアブルパス条件の全ての解釈はUberの裁量によるものとし、Uberの決定を終局的決定とします。
10. Disclaimer.
免責事項
The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. We are not responsible for any unavailability, interruptions or errors of the Program or its features. Uber may from time to time request information from you to confirm your identity before renewing your Renewable Pass. Uber may delay your access to Renewable Pass until you comply with this information request. The Program and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness of the operation of the Program, the information, materials, content, availability, and products. Renewable Passes and these Renewable Pass Terms are provided by Uber and do not modify the contractual relationships among or between the individuals and entities that use Uber’s technology to offer goods or services, and Uber or any Uber affiliates (including without limitation Rasier, LLC and Portier, LLC), except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

These terms and conditions for Renewable Memberships govern your purchase and use of a Renewable Membership in Japan, which is a subscription service offered by Uber Eats Japan, Inc. and/or affiliates (“Uber” or “we”) that renews automatically (the "Program" or "Renewable Membership". You shall have, under the Offer (as defined below), access to certain promotions which provide certain benefits on the purchase via the Uber Eats app or Uber app (collectively, "Uber App"). Uber B.V. provides a technology platform which connects you to merchants to order food, beverages, groceries or other items and applications which enables you to request transportation services provided by third party transportation providers. Uber is not a provider of food or transportation services, as such all benefits offered under the Program are offered on an "as available" basis, contingent upon third-parties' availability to provide food or transportation services and other contingencies which may impact availability of some benefits at certain times and places. Renewable Memberships are provided in connection with use of the Uber App. For the avoidance of doubt, the merchants, independent delivery partners and transportation providers shall remain responsible for complying with all applicable regulations and guidelines in Japan, including but not limited to, food safety, food handling, delivery and/or transportation requirements.

1. How Renewable Memberships Work.
リニューアブルメンバーシップの仕組み
You may receive an offer in-app for specific renewable benefits that can be applied on Uber App purchases ("Offer"). Each Offer will include important details and terms, such as where and when a Renewable Membership may be used, the benefit(s) conferred by the Renewable Membership ("Membership Benefits"), the cost of the Renewable Membership ("Membership Rate"), and the billing interval ("Billing Cycle"). Please refer to your Offer for details before purchasing the Renewable Membership.
お客様は、Uberアプリでの購入時に適用することができる、更新可能な特定の特典に関するオファーを、アプリ内で受領することができます(以下｢本件オファー｣といいます。)。各本件オファーには、リニューアブルメンバーシップが、いつ、どこで利用できるかについて、また、リニューアブルメンバーシップによって付与される特典(以下｢メンバーシップ特典｣といいます。)、リニューアブルメンバーシップの費用(以下｢メンバーシップ料金｣といいます。)、および料金請求の間隔(以下｢請求サイクル｣といいます。)等の重要な詳細および条件が記載されています。詳細につきましては、リニューアブルメンバーシップをご購入になる前にお客様への本件オファーをご参照下さい。
When you buy a Renewable Membership you acknowledge that (i) you are 18 years of age or older, and (ii) you are a holder of a valid credit card. You agree to have your credit card charged every Billing Cycle on a recurring basis and agree to these Renewable Membership Terms, as well as the specific terms of the Offer. Offers are limited and subject to change made by Uber at its discretion. Renewable Membership Benefits: (a) do not cover optional gratuities; (b) are subject to third party service provider or Uber’s affiliate availability and acceptance of requests for food or transportation services in your geographic area; and (c) may not be useable with all services on the Uber App.
リニューアブルメンバーシップを購入する際には、お客様は、(i)お客様が18歳以上であり、かつ、(ii)有効なクレジットカードの保有者であることを確認します。お客様は、お客様のクレジットカードに対して請求サイクル毎に継続的に課金されることに同意し、かつ、リニューアブルメンバーシップ条件および本件オファーにおいて明記された条件に同意します。本件オファーには制限が付されており、また、Uberの裁量により変更される場合があります。リニューアブルメンバーシップ特典は、(a) 任意のチップには適用されず、(b) 第三者であるサービス提供者またはUberの関連会社の利用可能性の有無およびお客様の地理的エリアにおける食品サービスまたは輸送サービスのリクエストの承諾の有無次第であり、(c) Uberアプリ上の全てのサービスでは利用できない可能性があります。
By participating in this Program you are agreeing to these Renewable Membership Terms. If you do not agree to these Renewable Membership Terms, please do not participate in the Program.
本プログラムに参加することにより、お客様はリニューアブルメンバーシップ条件に同意したことになります。お客様がリニューアブルメンバーシップ条件に同意しない場合は、本プログラムに参加しないでください。
2. Duration and Frequency of Charges.

When you buy a Renewable Membership, you'll be charged the Membership Rate for your first Billing Cycle on the date of purchase, which activates the Renewable Membership for the term set forth in your Offer. Unless you cancel in accordance with Section 3 below, you'll be charged at the Billing Cycle stated in your Renewable Membership Offer based on the initial purchase date on your selected payment method. BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR RENEWABLE MEMBERSHIP WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND THE MEMBERSHIP RATE WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD. If you do not want your Renewable Membership to automatically renew, you can cancel your subscription in accordance with Section 3 below. Uber Vouchers and Gift Cards are not accepted as payment methods for your Renewable Membership.
お客様がリニューアブルメンバーシップを購入された場合、購入日においてお客様の最初の請求サイクルに係るメンバーシップ料金が課金され、それにより、お客様への本件オファーに記載されている期間にわたりリニューアブルメンバーシップが有効になります。お客様が下記第3項に従ってキャンセルしない限り、お客様は、最初の購入日に基づきリニューアブルメンバーシップに係るお客様への本件オファーに記載された、請求サイクルに従って、お客様が選択した支払方法により課金されます。初期設定として、(かつ、適用法で義務づけられている範囲内で事前通知を行うことにより、)お客様のリニューアブルメンバーシップは各請求サイクルの開始時に自動的に更新され、お客様が選択した支払方法に対して自動的にメンバーシップ料金が課金されます。お客様がリニューアブルメンバーシップの自動更新を希望しない場合は、下記第3項に従ってお客様のサブスクリプションをキャンセルすることができます。なお、Uberクーポン又はギフトカードは、リニューアブルメンバーシップの支払方法として受け付けていません。
The charges for the Renewable Membership are inclusive of Japan consumption tax. If any deductions or withholdings are required by law to be made from any amounts payable by or on behalf of one party to the other party under these Renewable Membership Terms, the paying party shall be obligated to pay to the receiving party such amount as will, after the deduction or withholding has been made, leave the other party with the same amount as it would have been entitled to receive in the absence of any such requirement to make a deduction or withholding.
リニューアブルメンバーシップの料金には、日本の消費税が含まれています。リニューアブルメンバーシップ条件に基づいて一方の当事者またはその代理人が他方の当事者に支払うべき金額から何らかの控除または源泉徴収を行うことが法令で義務づけられている場合、支払当事者は、当該控除または源泉徴収が行われた後に、かかる控除または源泉徴収が義務づけられていなかった場合に他方の当事者が受領する権利を有していたであろう金額と同一の金額が他方の当事者の手元に残るような金額を受領当事者に対して支払う義務を負うものとします。
If your selected payment method is declined, Uber will prompt you for a new payment method but reserves the right to terminate any unpaid periods in your Renewable Membership with no further charges to you. Uber and/or its parent, subsidiaries and/or affiliates are not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank.
お客様によって選択された支払方法が拒否された場合、Uberはお客様に対して新たな支払方法の入力を促しますが、Uberは、お客様に対して以後の課金を行うことなく、お客様のリニューアブルメンバーシップの未払の期間に関する部分を終了させる権利を留保します。Uberならびに/またはその親会社、子会社および/もしくは関連会社は、カード保有者の銀行から請求される手数料(当座貸越手数料、資金不足手数料、支払利息、外国為替手数料、クロスボーダー手数料、およびカード保有者の銀行から課せられるその他の違約金等を含みますがこれらに限定されません。)については一切責任を負いません。
3. Cancelling Your Renewable Membership (Refusing Renewal).
お客様のリニューアブルメンバーシップのキャンセル(更新拒否)
You may cancel your Renewable Membership within the applicable Uber App up to 48 hours prior to your next scheduled payment to avoid further charges. To do this, go to the applicable Renewable Membership section in the Uber App that you purchased your Renewable Membership in and select “Manage Membership”. Select the option for “End membership”, and then confirm you wish to cancel your subscription. If you are less than 48 hours prior to your next scheduled payment, contact support to cancel.
リニューアブルメンバーシップのキャンセルは、お客様の次回のお支払予定時刻の48時間前までに限り、該当するUberアプリ内で行うことができます。キャンセルした場合、その後の課金は回避することができます。キャンセルを行うには、お客様のリニューアブルメンバーシップを購入したUberアプリ内のリニューアブルメンバーシップのセクションに行き、｢メンバーシップを管理する｣を選択してください。「メンバーシップを停止する」を選択し、サブスクリプションの解約を希望することを確認してください。次回のお支払予定時刻の48時間以内になっている場合は、サポートまでキャンセルのご連絡をください。
If you cancel your Renewable Membership, you will still have access to your Membership Benefits until the end of the current Billing Cycle. All payments are non-refundable and non-transferable, and will not be refunded on a pro-rata basis for any cancellation initiated during a Billing Cycle. Please use help.uber.com to report any unauthorized charges within 60 days. Uber is not responsible for overdraft fees that may be incurred.
リニューアブルメンバーシップをキャンセルした場合でも、その時点において有効な請求サイクルが終了するまでは引き続きメンバーシップ特典を利用することができます。全てのお支払いは返金不可かつ移転不可であり、いずれかの請求サイクルの途中でなされたキャンセルについて日割計算による返金はなされません。不正な課金があった場合はhelp.uber.com を使用して、60日以内に報告して下さい。Uberは、当座貸越手数料が発生した場合であっても、当該手数料について責任を負いません。
4. Combining Promotions.

Notwithstanding the terms and conditions of other promotions offered by Uber or third parties, Uber may permit Membership Benefits to be combined with other promotions. You should refer to the terms and conditions that apply to such other Benefits.

5. Geographic Scope of Promotions.

Membership Benefits are limited to the country in which you purchase your Renewable Membership (your “Membership Country”). If you travel outside of your Membership Country, your Membership Benefits may not apply to any Uber App purchases made while outside of your Membership Country.
メンバーシップ特典は、お客様がリニューアブルメンバーシップを購入した国(以下「メンバーシップ適用国」といいます。)にのみ適用されます。お客様がメンバーシップ適用国外を旅行している場合、メンバーシップ特典は、メンバーシップ適用国外でのUberアプリの利用には適用されない可能性があります。
6. Free Trial.

Uber and/or third parties on behalf of Uber may offer some users a free trial or other promotional subscriptions to a Renewable Membership. Such trial or promotional subscriptions are subject to these Renewable Membership Terms except as otherwise stated in your Offer. Only one trial or promotional subscription is available per user. Free trial eligibility is determined by Uber and Uber may limit such eligibility or duration to prevent free trial abuse. Certain limitations may exist with respect to combining a free trial with any other offers.
Uberおよび/またはUberに代わって第三者が、一部のユーザーに対して、リニューアブルメンバーシップの無料トライアルまたはその他のプロモーション用サブスクリプションをオファーする場合があります。このようなトライアルまたはプロモーション用サブスクリプションは、お客様への本件オファーに別段の記載がある場合を除き、リニューアブルメンバーシップ条件に従うことを条件とします。トライアルまたはプロモーション用サブスクリプションは、1ユーザーにつき1度限り利用可能です。無料トライアルに係る適格性はUberによって決定され、Uberは無料トライアルの乱用を防ぐためにかかる適格性または期間を制限することがあります。無料トライアルをその他のオファーと組み合わせることに関しては、一定の制限が存在する場合があります。
AT THE END OF YOUR APPLICABLE FREE TRIAL PERIOD, YOUR RENEWABLE MEMBERSHIP WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE MEMBERSHIP RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING CYCLE UNLESS YOU CANCEL AT LEAST 48 HOURS PRIOR TO THE EXPIRY OF THE TRIAL PERIOD ACCORDING TO THIS RENEWABLE MEMBERSHIP TERMS SECTION 3 ABOVE.
お客様に適用される無料トライアル期間の終了時に、お客様のリニューアブルメンバーシップは自動的に更新され、お客様がリニューアブルメンバーシップ条件上記第3項に従ってトライアル期間の満了の48時間前までにキャンセルしない限り、各請求サイクルの開始時にお客様への本件オファーに記載されているメンバーシップ料金が課金されます。
7. Changes to Renewable Memberships.
リニューアブルメンバーシップの変更
Uber reserves the right to modify or stop offering Renewable Memberships or change Membership Rates, Membership Benefits, etc. In the event Uber modifies part or all of these terms and conditions for Renewable Memberships, including Uber increasing the Membership Rate of a Renewable Membership, such modification will be disseminated in an appropriate way, such as email and posting them on our website, in accordance with the provisions of Article 548-4 of the Civil Code. All changes will be effective upon your next Billing Cycle, but you may avoid these changes by cancelling your Renewable Membership according to Section 3 above.
Uberは、リニューアブルメンバーシップを変更し、もしくはリニューアブルメンバーシップの提供を中止し、または、メンバーシップ料金、メンバーシップ特典等を変更する権利を留保します。本契約条件の一部または全部を変更する場合（Uberがリニューアブルメンバーシップのメンバーシップ料金を増額する場合を含みます。）には、民法第548条の4の規定に従い、電子メールまたはウェブサイトへの掲示等適切な方法で周知します。全ての変更はお客様の次回の請求サイクルから有効となりますが、お客様は、上記第3項の手続に従ってお客様のリニューアブルメンバーシップをキャンセルすることで、これらの変更を回避することができます。
Uber may terminate your Renewable Membership. If that happens, Uber will give you a pro-rated refund based on charges already applied to your current billing period. We will not give any refund for termination related to conduct that we consider to be a violation of these Renewable Membership Terms, any applicable law, or involving fraud or misuse of the Renewable Membership.

8. Changes to Renewable Membership Terms.

Uber reserves the right to modify these Renewable Membership Terms. If we make material changes to the Renewable Membership Terms while you have an active Renewable Membership, we will provide you with seven (7) days’ prior notice either in the Renewable Membership section of the applicable Uber App and/or via email. Revised Renewable Membership Terms become effective upon posting of such updated Renewable Membership Terms at this location or such date specified in the prior notice (as the case may be). Your continued use of a Renewable Membership constitutes your acceptance of the revised Renewable Membership Terms. If you are not willing to agree to the revisions, you may cancel your Renewable Membership at any time during the prior notice period.

9. Transfer of Rights.
権利の移転
Uber's rights and obligations under the Program may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity. Your Renewable Membership may not be transferred or assigned.
Uberは本プログラムに基づく自らの権利および義務を、関連するまたは関連しない他の事業体に対していつでも譲渡または移転することができ、その行使および履行は当該事業体の責任においてなされるものとします。お客様のリニューアブルメンバーシップは、移転または譲渡することはできません。
10. Interpretation of Renewable Membership Terms.
リニューアブルメンバーシップ条件の解釈
To the fullest extent permitted by applicable law, all interpretations of these Renewable Membership Terms will be at Uber's discretion and Uber's decisions will be final.
適用法によって許容される限りにおいて最大限、リニューアブルメンバーシップ条件の全ての解釈はUberの裁量によるものとし、Uberの決定を終局的決定とします。
11. Disclaimer.

The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. We are not responsible for any unavailability, interruptions or errors of the Program or its features. Uber may from time to time request information from you to confirm your identity before renewing your Renewable Membership. Uber may delay your access to Renewable Membership until you comply with this information request. The Program and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness of the operation of the Program, the information, materials, content, availability, and products. Renewable Memberships and these Renewable Membership Terms are provided by Uber and do not modify the contractual relationships among or between the individuals and entities that use Uber’s technology to offer goods or services, and Uber or any Uber affiliates, except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
