DRIVER SERVICES AGREEMENT
This Addendum is incorporated into and forms a part of the Uber India Systems Private Limited Services Agreement (the "Agreement") between Uber India Systems Private Limited ("Uber") and the individual or entity driver who has executed the Agreement ("Driver"). This Addendum applies solely to the Auto software-as-a-service(“Auto Service”). In the event of any conflict between the terms of this Addendum and the Agreement, the terms of this Addendum will apply.

Uber provides a technology-based platform and mobile application "Uber Driver App" ("Driver App") that merely connects transportation services providers (“Drivers”) with customers. Uber does not provide transportation services itself. Uber’s role is limited to facilitating this connection. The Driver App enables an authorized transportation provider to seek and receive requests for transportation services from an authorized Customer of Uber’s mobile application. On the basis of the representations and warranties provided by the Driver, the Company has agreed to list the transportation services on the Uber App (“Platform”) to enable the Driver to connect with Customers in accordance with the terms and conditions as hereinafter provided ("Terms of Service").
Uber reserves the right, at its sole discretion, to change, modify, add or remove these Driver Terms of Service, in part or in whole, at any time, without prior notice to you. It is Your responsibility and duty to check the Driver Terms of Service periodically for changes. Your continued use of the Driver App following the posting of changes will mean that you accept and agree to the changes.
- DEFINITIONS
All the defined and capitalized terms in these Driver Terms of Service will have the meanings assigned below.
- “Applicable Laws” means all relevant laws, statutes, rules, regulations, guidelines, ordinances, orders, and directives issued by any governmental authority, tribunal, board, or court in India, including but not limited to the Information Technology Act, 2000, and the Motor Vehicles Act, 1988.
- “Auto Service” means the Software as a Service model for auto, where Uber provides the Driver App for the Drivers merely to connect with the Customer.
- "Company" refers to Uber India Systems Private Limited, a private limited liability company incorporated in India
- “Customer” refers to a person who wishes to avail transportation provided by a Driver who is using the Driver App.
- “Driver” means an individual who is registered on the Uber Platform and provides transportation services to Customers using the Driver App
- "Driver App" refers to the mobile application provided by Uber that enables Drivers to provide transportation services and seek, receive, and fulfill ride requests from Customers.
- “Platform" refers to Uber’s technology-based system, including the Uber App, Driver App, and any associated website or software, connecting Drivers and Customers.
- “Suggested Fare” means the amount or charges suggested by Uber merely as a reference for the Driver and the Customer without any binding effect.
- “Driver Service” means the service provided by a Driver to the Customer of picking the Customer from the pick-up point and dropping the Customer at the drop point as agreed with the Customer.
- “Service Request” means a request placed by the Customer to connect with a Driver on the Uber App to avail transportation/ Driver Service.
- "Uber App" refers to the mobile application provided by Uber that allows Customers to connect with Drivers willing to provide Driver Service.
- YOUR ACCOUNT AND REGISTRATION OBLIGATIONS
In order to use the Driver App, you must register and maintain an active account on the Driver App. For creating your account, and on-boarding as a Driver on the Platform, you must complete the registration process on the Driver App. For completing your on-boarding process, the Company shall collect your information i.e., your personal information including name, vehicle number, driver’s license, mobile number, residential address, date of birth, your identification proofs like PAN, canceled cheque, photo etc. For use of the Platform, you will be required to submit copies of valid government-issued vehicle registration certificate, vehicle number, vehicle insurance copy, driving license and any other information or document that the Company may be required to collect in conformity with Applicable Laws. Uber may appoint third parties to conduct background checks and for verification of documents during the onboarding process. You authorize Uber to verify your submitted details and acknowledge that providing false or misleading information may result in rejection, suspension, or termination of your account. The Company securely stores and processes your Information, including any sensitive financial information, in accordance with the Information Technology Act, 2000 and the Rules made thereunder, as well as the Privacy Policy of the Company.
In the course of your use of the Driver App, you agree to furnish your details and information as requested by us from time to time. You agree to maintain accurate, complete and up-to-date information in your Account. You agree that if you provide any information which is untrue, inaccurate, not current, or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with these Terms of Service, we shall have the right to suspend or terminate your account on the Driver App or indefinitely block you from accessing the Driver App. You are solely responsible for all activity that occurs under your account. You must maintain the confidentiality of your credentials and notify Uber immediately of any suspected unauthorized access. Unless otherwise permitted by the Company in writing, you may only possess one account. The Company may under its sole discretion or in compliance with applicable laws of the country offer safety and support services to you for the Auto Service.
- OBLIGATIONS OF DRIVER
- The Driver must be at least 18 years of age, or the age of legal majority as per Indian Contract Act, 1872, to be able to provide Driver Services.
- The Driver shall ensure registration of the vehicle at all times and shall hold and keep updated, renewed all licenses, insurance and permits necessary for the use of the vehicle on the Platform.
- The Driver shall at all times operate the vehicle which is registered with the Company’s platform for provisioning Driver Services.
- The Driver shall not undertake any unlawful or illegal activity while performing Services.
- The Driver shall not allow unauthorized persons to drive the vehicle and shall ensure that the vehicle is in a safe and roadworthy condition.
- The Driver shall immediately bring to the notice of Uber any deviation from the provision of the Driver Services as required under the terms of these Terms of Service, including but not limited to any accidents, damage to life or property.
- The Driver shall ensure that vehicle has valid and up-to-date insurance, including third-party liability coverage, as required by Applicable Laws, and the Customer and/or Uber shall not be liable for taking insurance or paying premium thereof in respect of the vehicle or any liability arising out of plying of such vehicle.
- The Driver shall ensure and confirm that he understands the language of the Driver App and shall ensure that he/she chooses the best language known to him among the options displayed on the Driver App.
- The Driver will have a functioning mobile number and also have the ability to read text messages sent by Uber, regarding the Customer details and to convey Customer feedback.
- The vehicle shall be the sole responsibility of the Drivers and the Driver shall be liable or responsible for any loss or damage to the vehicle caused by a Customer or any other third party for any reason whatsoever.
- The Driver shall be solely responsible and liable for:
- any failure to complete a Service Request accepted by the Driver;
- any failure to pick up Customer(s) at the allotted time and/or place;
- any act or omission including any rash and negligent driving, verbal, physical or harassment of any nature;
- any violation or non-adherence to the Applicable Law by the Driver;
- any physical and/or mortal danger caused to the Customers while using or in connection with the Driver Service;
- charging amounts from the Customer that are different from the suggested fare.
- providing the Driver Service in his capacity as an independent service provider
- The Driver hereby agrees that Uber shall not be responsible in any manner for any complaint/s by Customers regarding the vehicle or the Driver Service.
- If there is any serious complaint regarding any particular vehicle and/or Driver, Uber may, in its sole discretion, immediately terminate the Account of such Driver, by providing a notice to Driver to this effect.
- In relation to the Driver App, the Driver agrees to not authorize any other person to use his Account on the Driver App or authorize others to drive the vehicle for any Service Request;
- The Driver shall not copy, or distribute any content on the Driver App without written permission from the Company.
- The Driver agrees that he is responsible for the remission of all amounts collected from the Customer that are unrelated to the trip, such as Uber One membership fee, insurance fees, arrears of a non Auto Service trip, airport fees or any other fees. The collection of such fees is not linked to or dependent on the provision of actual passenger transportation services rendered by the Drivers directly to the riders. Collection of such fees by the Driver shall in no way be construed as a principal agent relationship with Uber.
- The Driver shall be responsible for handling all taxes related to the rides provided or any transactions made by him using the Uber platform with respect to the payments directly collected by him.
OBLIGATIONS OF UBER
- Uber shall not be responsible for any cancellation by the Customer or refusal of availment of Transportation Services by the Customer.
- Uber merely facilitates connections between Drivers and Customers on the Uber Platform and does not provide transportation services directly.
- Uber is not liable for the operational execution or completion of any ride.
- Uber may provide safety and support services to Drivers at its sole discretion or in compliance with Applicable Laws.
- Uber does not control or interfere with the actual provision of Driver Services, including the quality of the ride, vehicle condition, or Driver conduct or settlement or negotiation of the fare actually paid/payable.
- The Driver is required to collect the agreed-upon fare and any applicable tolls, taxes, or fees from the Customer in cash/through UPI. However, on request, Uber may facilitate collection of digital payments from riders on behalf of the Driver based on suggested fare displayed on the app. Any difference in the suggested fare and mutually agreed fare between the Rider and the Driver shall be settled directly to the Driver by the Rider in cash or any other mode agreed upon by both the parties.
- Uber is not liable for any short payment, underpayment, or fare disputes between the Driver and Customer. Any disputes regarding payment must be resolved directly between the Driver and the Customer.
- Uber does not assume responsibility for any loss, damage, or liability arising from the use of the Uber Platform or Driver Services.
- PAYMENT
Uber has the discretion to charge software usage or subscription fees, including applicable taxes, from the Driver, as updated on the Platform from time to time. Uber does not control or interfere with the actual provision of Driver Services and is not responsible for setting, collecting, negotiating, fixing or enforcing fares. The Uber App may display a Suggested Fare based on typical market rates for a given route as well as applicable laws, which serves only as a guideline for the Driver and Customer to negotiate and agree upon the final fare. The Driver is responsible for collecting the fare directly from the Customer, whether at the Suggested Fare displayed on the Uber App or at a mutually agreed-upon rate. The Driver may charge the Customer for any applicable tolls, taxes, or additional fees incurred during the ride, provided these are communicated transparently to the Customer. Uber does not assume responsibility for fare collection, short payments, or disputes regarding payment. Any disagreements between the Driver and Customer concerning fares must be resolved directly between them. Uber is not liable for any underpayment, overpayment, or non-payment by the Customer, and the Driver acknowledges that all earnings from rides are their sole responsibility.
- REPRESENTATIONS AND WARRANTIES
The Driver hereby represents that:
- The Driver represents that they have not been convicted by any court in India or any other country of any crimes including but not limited to involving moral turpitude.
- The Driver confirms that they have the requisite authority or assignment to drive the vehicle and there are no restrictions with respect to the use of the vehicle that will hinder them from the performance of the Driver Services using the Driver App.
- The Driver certifies that they have all rights, licenses and permits as may be required by Applicable Laws to perform the Driver Service(s) in accordance with the terms of these Terms of Service and will ensure that these remain valid and up to date at all times.
- The Driver agrees that they shall be solely responsible and liable for any violation of any law, rule or regulation in the performance of its obligations under these Terms of Service.
- The Driver agrees that they shall not carry any weapons, firearms, ammunition, explosive devices and dangerous substances during performance of the Services.
- The Driver confirms that they are of sound health conditions including requisite level of eyesight to effectively discharge the required duties
- LIMITATION OF LIABILITY
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THE TERMS OF SERVICE, EVEN IF COMPANY HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall Company be liable for any condition, suitability, quality, merchantability and fitness for any purposes in respect of the Driver App or the Services provided to the Driver. The Company is not responsible for the behavior, actions or inactions of the Driver or quality of the vehicle. Any contract for the provision of transportation services is exclusively between the Customer and the Driver and the Company is not a party to the same. Uber shall not be liable for any personal injury, property damage, lost earnings, or other losses resulting from the Driver’s use of the Platform or the provision of Driver Services. To the maximum extent permitted by Applicable Laws, Uber’s total liability, whether in contract, tort, or otherwise, shall not exceed the total subscription fees paid by the Driver to Uber, if any, in the six (6) months preceding the claim. Uber shall not be liable for any taxes that may be payable under the Applicable Laws in relation to the Driver Services or actual passenger transportation services.
You acknowledge and agree that any and all claims you have or purport to have against Uber and/or its Affiliates should be notified to Uber and/or its Affiliates within one (1) year after the event(s) that gave rise to such claim and that you forfeit all rights in respect of that claim if you fail to do so. These limitations do not purport to limit liability that cannot be excluded by applicable law.
- RELATIONSHIP BETWEEN THE PARTIES
The Driver shall operate as and have the status of an independent contractor. The relationship between the Company and the Driver is on a principal-to-principal basis and nothing in these Terms of Service will be construed to create a partnership, joint venture, an association of persons, agency (disclosed or undisclosed), franchise, sales representative, or employment relationship between the Company and the Driver. It is clarified that the Driver will not have any right to conclude any contract for and / or on the behalf of the Company. The Driver shall not be deemed for any purpose to be an employee of Uber or any of its Affiliates. Uber shall not be responsible to the Driver or any governing body for any payroll-related taxes related to the performance of Driver Services hereunder, including but not limited to withholding or other taxes related to central or state income tax, social security benefits or unemployment compensation.
The driver acknowledges and agrees that by registering on the Uber platform and utilizing the Uber App to offer transportation services, they are engaging in commercial activity. As such, the driver expressly agrees that they are not a 'consumer' under the Consumer Protection Act, 2019, and shall not be entitled to any rights or remedies available to consumers under the said Act. The Driver understands that Uber provides technology services connecting the Driver with the Customer and does not provide transportation services itself. Uber’s role ends on such a connection. The relationship between Uber and the Driver is that of independent contracting parties, and the driver shall have no claim against Uber under consumer protection laws.
- GOVERNING LAWS AND DISPUTE RESOLUTION
Any disputes relating to the Auto Service shall be governed by the laws of India and resolved in the manner outlined in the Agreement..
By clicking “I accept”, you expressly acknowledge that you have read, understood, and taken steps to thoughtfully consider the consequences of this Agreement, that you agree to be bound by the terms and conditions of this Agreement, and that you are legally competent to enter into this Agreement with Uber.
