Section 1 / 第 1 條

Contractual Relationship / 合約關係

These Terms and Conditions ("Terms") govern your access to and participation in the Uber Hero Referral Program (“Program”) made available by Uber Formosa Co. Ltd. and/or its Affiliates (“Uber”), which allows a referrer like you (“Hero” or “you”) to grow a driver-partner community in Taiwan (the “Territory”) on behalf of fleet partners of Uber in consideration for earning referral payments, to be communicated to you from time to time by Uber. You will be eligible for a referral payment for each new driver-partner that you successfully refer to a fleet partner of Uber, and that fulfills the requirements set forth in these Terms and by Uber and its fleet partners. PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING AND PARTICIPATING IN THE PROGRAM. In these Terms, the words "including" and "include" mean "including, but not limited to."“Affiliate” means an entity that, directly or indirectly, controls, is under the control of, or is under common control with a party.

這些條款與細則 (「條款」) 會約束您存取和參與優步福爾摩沙股份有限公司及/或其關係企業 (「Uber」) 提供的 Hero 推薦客推薦方案 (「方案」)，該方案允許像您一樣的推薦人 (「Hero 推薦客」或「您」) 代表Uber 的合作車隊在台灣 (「地區」) 發展職業駕駛社群，以賺取推薦獎勵，且該推薦獎勵由 Uber 會不時與您溝通。每向 Uber 的合作車隊成功推薦一位新的職業駕駛並符合本條款及 Uber 和其合作車隊所述的要求，您即有資格獲得推薦獎勵。在存取及參與此方案之前，請先詳閱本條款。本條款中，「包括」和「包含」係指「包括但不限於」。「關係企業」是指直接或間接控制、受控制或受特定方共同控制的實體。

Your access to and participation in the Program constitutes your agreement to be bound by these Terms, which establishes a non-exclusive contractual relationship between you and Uber. If you do not agree to these Terms, you may not access or participate in the Program. These Terms expressly supersede prior agreements or arrangements with you, other than with respect to any other agreement where Uber rendered payment as consideration for referrals to the extent that such agreement is inconsistent with these Terms. Your participation in the Program may also be governed by additional terms and conditions provided in any separate agreement relating to referral programs with Uber (each a “Hero Agreement”).

若您存取並參與此方案，即表示您同意遵守這些條款，並在您與 Uber 之間建立非獨家合約關係。如果您不同意本條款，則不得存取或參與此方案。本條款明確取代先前 Uber 與您之間達成的任何協議或約定，但不包括 Uber 提供款項作為推薦獎勵且協議規定與這些條款不一致的其他協議。您參與此方案的行為還可能另受有關 Uber 推薦方案之個別協議 (各稱為「Hero 推薦客協議」) 的其他條款與細則約束。

Access to the Program also includes: (i) access to the distinctive business format and method developed and implemented by Uber in connection with the Program utilizing and comprising the Proprietary Marks (as defined below), and certain standard operating procedures, plans, directions, specifications, methods, management and advertising techniques and identification schemes (the “System”), part of which are contained in these Terms ; and (ii) access to confidential information obtained by Uber including but not limited to trip data, information relating to drivers, vehicles, riders, settings and backend control (“Uber Data”).

存取此方案亦包括：(i) 存取由 Uber 與此方案相關所開發及實施的、使用和包含「專有標誌」(定義見下文)獨特業務格式和方法，以及特定的標準作業程序、計畫、指示、規格、方法、管理和廣告技術及識別方案(「系統」) ，其中部分已包含在本條款 中；以及 (ii) 存取 Uber 取得的機密資訊，包含但不限於行程資料，以及與職業駕駛、車輛、乘客、設定和後端控制相關的資訊 (「Uber 資料」)。

Term and Termination / 有效期與終止

These Terms shall apply on the date that the Terms are accepted and shall remain effective until terminated as set forth herein (the “Term”).

本條款應自接受條款之日起適用，並持續有效至條款所述方式的終止為止 (以下稱「有效期」)。

Either Party may terminate these Terms (a) without cause at any time upon two (2) calendar days’ prior notice to the other Party; or (b) immediately, without notice, for the other Party’s material breach of these Terms. Uber reserves the right to terminate these Terms or all or any part of the Program with respect to you, or generally cease offering or deny access to the Program or any portion thereof at its sole discretion, and also immediately at any time without prior notice if (i) it is impractical to give such notice in the circumstances, or (ii) in Uber’s opinion, any delay in such termination would expose Uber, its fleet partners or a third party to significant risk of harm or damage.

任一方得以下列方式終止本條款：(a) 隨時提前兩 (2) 個日曆日通知他方終止，無須任何理由；或 (b) 如他方嚴重違反本條款，可立即終止且無須通知。如有下列情況，Uber 有權隨時對您立即終止本條款或此方案的全部或任何部分，或自行決定立即全面停止提供或拒絕您存取此方案之全部或部分，恕不事先另行通知：(i) 根據當時實際情況無法發出此類通知，或 (ii) Uber 認為，延後終止將會使 Uber、其合作車隊或第三方承受重大的傷害或損害風險。

Upon termination of these Terms, you shall: (a) promptly return to Uber any and all materials (including but not limited to the Confidential Information and the Proprietary Marks) that may have been provided and/or loaned to you during the Term; and (b) immediately delete and fully remove the Program Tool (as defined below) from any devices you own, manage, or otherwise control. Outstanding payment obligations shall survive the termination of these Terms.

本條款終止後，您應：(a) 立即向 Uber 歸還在有效期內曾經提供和/或出借予您的所有資料 (包括但不限於機密資訊和專有標誌)；和 (b) 立即從您擁有、管理或以其他方式控制的任何裝置刪除並完全移除方案工具 (定義見下文)。未付清款項的付款義務在條款終止後仍繼續有效。

Supplemental terms may apply to all or certain part of the Program, such as policies for a particular event, program, activity or promotion, and such supplemental terms will be disclosed to you in separate disclosures (e.g., a particular promotional webpage) or in connection with the applicable part of the Program. Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable part of the Program. Supplemental terms shall prevail over these Terms in the event of a conflict with respect to the applicable part of the Program.

補充條款可能適用於方案之全部或部分，例如特定事件、計畫、活動或獎勵的政策，且該補充條款將以另行揭露的方式 (例如特定的推廣網頁) 或在適用的部分方案中告知您。就適用的部分方案而言，補充條款是本條款的補充並應視為本條款的一部分。如果有關適用的部分方案之補充條款與本條款相衝突，應優先適用補充條款。

Uber may amend the Terms related to the Program from time to time at its sole discretion. Amendments will be effective upon Uber's posting of such updated Terms to this website and/or the Program Tool. Your continued access to or participation in the Program after such posting constitutes your consent to be bound by the Terms, as amended.

Uber 可自行決定不時修訂與本方案相關的條款。一旦 Uber 在本網站和/或方案工具發布更新後的條款，修訂內容即刻生效。若您於修訂內容發布後繼續存取或參與此方案，即表示您同意遵守本條款暨其修訂內容。

Section 2 / 第 2 條

License / 授權

Subject to your compliance with these Terms (including Section 5), UBER B.V. (“UBV”) grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable and free-of-charge license to access and use Uber’s websites and mobile applications related to the Program (“Program Tool”). Any rights not expressly granted herein are reserved by (a) UBV, (b) its Affiliates, and (c) UBV's licensors.

在您遵守本條款 (包括第 5 條) 的前提下，UBER B.V. (「UBV」) 授予您有限、非專屬、不可再授權、可撤銷、不可轉讓且免費的權限，以存取和使用此方案相關之 Uber 網站及移動應用程式 (「方案工具」)。(a) UBV、(b) 其關係企業 和 (c) UBV 的授權人特此保留未明確授予的任何權利。

Restrictions / 限制

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Program Tool; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Program Tool except as expressly permitted by UBV; (iii) decompile, reverse engineer or disassemble the Program Tool except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Program Tool; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Program Tool, or unduly burdening or hindering the operation and/or functionality of any aspect of the Program Tool; or (vi) attempt to gain unauthorized access to or impair any aspect of the Program Tool or their related systems or networks.

您不得：(i) 刪除方案工具中任何部分的任何著作權、商標或其他所有權聲明；(ii) 複製、修改、據此製作為衍生作品、散布、授權、出租、出售、轉售、轉讓、公開展示、公開演出、傳輸、串流、廣播或以其他方式利用方案工具，除非經 Uber 明確許可；(iii) 反編譯、逆向工程或反彙編方案工具，但適用法律允許的情況除外；(iv) 連結、鏡像或架構方案工具的任何部分；(v) 促使或啟動任何程式或指令碼，以截取、索引、測量方案工具的任何部分，或以其他方式探勘相關網站任何部分的數據，或妨礙方案工具任何方面的運作及/或功能或過分加重其負擔；或 (vi) 嘗試以未授權的方式存取或損害方案工具或其相關系統或網路的任何層面。

In addition, you shall not nor cause any other party to access or use the Program Tool to: (i) design or develop a competitive or substantially similar website, mobile applications, product or service; (ii) copy or extract any features, functionality, or content thereof; or (iii) attempt to gain unauthorized access to the Program Tool or related systems or networks, except to the extent such actions which are allowed under Taiwan law. This restriction shall apply to all iterations of the Program Tool and all other Uber-related applications.

此外，您不得自行或容許任何其他方基於下列目的而存取或使用方案工具：(i) 設計或開發具競爭性或實質相似的網站、行動應用程式、產品或服務；(ii) 複製或擷取其中任何特徵、功能或內容；(iii) 未經授權而企圖存取方案工具或相關系統或網路，若經台灣法律允許，則不在此限。本條限制適用於方案工具和所有其他與 Uber 相關的應用程式之所有迭代。

Ownership / 所有權

The Program Tool and all rights therein are and shall remain UBV's property or the property of UBV's licensors. Neither these Terms or your use of the Program Tool convey or grant to you any rights: (i) in or related to the Program Tool except for the limited license granted above; or (ii) to use or reference in any manner UBV's patents, slogans, symbols, design details, company names, logos, product and service names, trademarks or services marks or those of UBV's licensors, whether or not registered or capable of registration, and all other proprietary rights whatsoever owned by or available to UBV or designated now or at any time hereafter by UBV for use in connection with the Program (“Proprietary Marks”) except as provided below.

方案工具及相關的所有權利均為且仍為 UBV 的財產或 UBV 授權人的財產。本條款及您使用方案工具的行為不會轉讓或授予您下列任何權利：(i) 除上述授予的有限授權外，方案工具中或與方案工具相關之權利；或 (ii) 以任何方式使用或引用 UBV 或 UBV 授權人的專利、標語、符號、設計細節、公司名稱、標誌、產品和服務名稱、商標或服務標章之權利 (無論是否或能否註冊)，以及 UBV 擁有或可使用或 UBV 目前或以後隨時指定用於此方案之其他專有權利 (以下稱「專有標誌」)，但下文所述情況除外。

You shall submit for UBV’s prior written approval, all advertising and promotional material referencing or using Uber’s name or any Proprietary Marks. If you fail to submit such advertising or marketing materials or fail to comply with UBV’s conditions, you shall pay damages to UBV and indemnify UBV pursuant to Section 3 of these Terms.

您應事先提交所有引用或使用 Uber 名稱或任何專有標誌的廣告和推廣資料，以取得 UBV 書面核准。如果您未能提交此類廣告或行銷資料，或未遵守 UBV 的條件，則應根據本條款第 3 條向 UBV 支付損害賠償金並補償 UBV。

Section 3 / 第 3 條

Representations and Warranties / 聲明與保證

You hereby represent and warrant that:

(a) You have full power and authority to enter into these Terms and perform your obligations hereunder;

(b) You have not entered into, and during the pendency of the Term of these Terms will not enter into, any agreement that would prevent you from complying with these Terms;

(c) You will comply with all applicable laws and regulations in your performance of these Terms, including holding and complying with all permits, licenses, registrations, and other governmental authorizations necessary to participate in the Program pursuant to these Terms; and

(d) You shall require all third parties working with you, or on your behalf, to comply with all applicable terms and conditions set forth in these Terms and all applicable laws and regulations.

您在此聲明並保證：

(a) 您擁有完整的權力與權限，可簽署本條款並履行其中所述義務；

(b) 您未曾簽署任何會導致您無法遵守本條款的協議，且在本條款的有效期未定期間內亦不會簽署此類協議；

(c) 您在履行本條款時將遵守適用的所有法律和法規，包括持有並遵守所有許可、授權、登記及其他必要的政府授權，以根據本條款參加此方案；以及

(d) 您應要求與您合作或代表您行事的第三方遵守本條款所述之所有適用的條款與細則，以及所有適用的法律和法規。

Disclaimer / 免責聲明

The Program is provided “as is” and “as available”. Uber disclaims, to the maximum extent permitted by applicable law, all representations and warranties, express, implied, or statutory, not expressly set out in these Terms. In addition, Uber makes no representation, warranty, or guarantee that the Program and its Program Tool will be uninterrupted or error-free. You agree that the entire risk arising out of your participation in the Program and your use of the Program Tool, remains solely with you.

此方案按「現況」和「現有」情形提供。在適用法律允許的最大範圍內，Uber 拒絕承擔任何明示、默示、法定或未在條款中載明的聲明和保證。此外，Uber 並未聲明、擔保或保證此方案及其方案工具不會中斷或沒有錯誤。您同意由您自行承擔因參與此方案和使用方案工具而產生的全部風險。

Limitation of Liability / 責任限制

Uber shall not be liable for loss, damage or liability, whether direct, indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from your participation in the Program, even if Uber has been intimated or advised of the possibility of such loss, damages or liability. Further, Uber shall not be liable for any damages, liability or losses arising out of your participation in or reliance on the Program or your inability to access or participate in the Program. Uber shall not be liable for delay or failure in performance resulting from causes beyond Uber’s reasonable control. In the event where Uber’s liability cannot be excluded, then Uber’s total liability to you in connection with the Program for any all damages, losses howsoever arising, and causes of action shall be limited to the full extent permitted by the law.

對於因您參與此方案而導致的任何直接、間接、偶然、特殊、懲戒性、懲罰性或結果性損失、損害或責任，包括利潤損失、資料遺失、人身傷害或財產損害，Uber 概不負責，即使 Uber 經暗示或已得知此類損失、損害或責任的可能性亦然。此外，對於因參與或依賴此方案或無法存取或參與此方案所引起的任何損害、責任或損失，Uber 概不負責。若因超出 Uber 合理控制範圍外的因素而導致之延遲或無法執行，Uber 概不負責。在 Uber 無法免責的情況下，對於您因此方案而引發的任何所有損害、損失和訴訟原因，Uber 承擔的全部責任應以法律允許的最大範圍為限。

Indemnity / 補償

You agree to indemnify and hold Uber and its officers, directors, employees and agents, harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees), arising out of or in connection with (i) your participation in the Program; (ii) your breach or violation of these Terms and any other applicable terms, conditions, policies or regulations; (iii) your sharing of User Information with Uber; (iv) Uber’s use of User Information, (v) your use of advertising and marketing materials; or (vi) your violation of the rights of any third party.

對於 (i) 您參與此方案、(ii) 您違反或違背本條款及其他任何適用條款、條件、政策或法規、、(iii) 您與 Uber 分享使用者資訊、(iv) Uber 使用使用者資訊、(v) 您使用廣告和推廣資料、或 (vi) 您侵犯任何第三方的權利，而導致或與之相關的任何及所有申索、索償、損失、責任及支出 (包括律師費)，您同意對 Uber 及其高級人員、董事、僱員及代理作出補償，並使其免於承擔責任。

UBER DOES NOT CONTROL, ENDORSE OR TAKE RESPONSIBILITY FOR ANY HERO CONTENT OR THIRD-PARTY CONTENT AVAILABLE ON OR LINKED TO BY THE PROGRAM. UBER CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE PROGRAM, ITS PROGRAM TOOL OR SERVERS ARE FREE OF FAULT, VIRUSES OR OTHER HARMFUL COMPONENTS.

UBER 未控制此方案所提供或連結的任何 HERO 推薦客內容或第三方內容，亦未對此類內容背書或承擔任何責任。UBER 無法且並未聲明或保證此方案及其方案工具或伺服器無故障且不受病毒感染或無其他有害元件。

Section 4 / 第 4 條

Governing Law and Arbitration / 準據法和仲裁

Except as otherwise set forth in these Terms, these Terms shall be exclusively governed by and construed in accordance with the laws of Taiwan, excluding its rules on conflicts of laws. In the event of any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Program or these Terms, including those relating to its validity, its construction or its enforceability (any "Dispute"), either party may file an action in the courts of Taiwan or pursue final and binding arbitration or other alternative dispute resolution as agreed upon by the parties.

除非本條款另有規定，否則本條款應完全受台灣法律約束並依其解釋，但其衝突法規則除外。若因本方案或本條款引起或與之相關的任何爭議、衝突、索賠或糾紛，包括與其有效性、解釋或強制執行力相關的爭議、衝突、索賠或糾紛 (任何「爭議」)，任何一方可向台灣法院提起訴訟，或尋求各方同意之具有約束力的最終仲裁或其他替代性爭議解決。

Any proceedings, including documents and briefs submitted by the parties, correspondence from a mediator, and correspondence, order and awards issued by an arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation set out in these Terms.

任何訴訟，包括雙方提交的文件和案情摘要、調解員的信函，以及仲裁員發出的信函、命令和裁決，均應嚴格保密，未經其他方明確書面同意，不得透露給任何第三方，除非：(i) 在進行調解或仲裁程序的情況下，合理要求向第三方揭露；并且(ii) 第三方以書面形式無條件同意遵守本條款規定的保密義務。

Section 5 / 第 5 條

Referral Program and the System / 推薦方案和系統

The Program enables Heros to grow the community of driver-partners (“Users”) for fleet partners of Uber. Any information about a User made available to you in connection with User’s desire to join a collaborating fleet partner and to use Uber’s mobile application or internet system in connection therewith, including any personal data, shall be considered “User Information”.

透過此方案，Hero 推薦客可以為 Uber 的合作車隊發展職業駕駛 (「使用者」) 社群。與使用者有意加入合作車隊或使用 Uber 行動應用程式或相關網絡系統有關，而向您提供的使用者相關資訊，均應視為「使用者資訊」。

YOU ACKNOWLEDGE THAT UBER DOES NOT PROVIDE TRANSPORTATION SERVICES OR FUNCTION AS A TRANSPORTATION PROVIDER AND THAT ALL SUCH TRANSPORTATION SERVICES ARE PROVIDED BY FLEET PARTNERS THAT COLLABORATE WITH UBER.

您確認 UBER 不提供交通服務或作為交通服務提供者身份運作，且所有該等交通服務均由與 UBER 合作的合作車隊提供。

Uber shall provide you with the System, including advice, know-how and guidance in connection with the Program, Uber Data, along with any reasonable assistance, each as determined by Uber in its sole discretion. You shall ensure that your participation in the Program conforms with the System in particular with regard to quality of User outreach.

Uber 應自行決定向您提供系統 (包括與此方案相關的建議、技術訣竅和指引)、使用者資訊，以及任何合理協助。您應確保您以符合系統的方式參與此方案，尤其是在使用者對外推廣的品質方面。

You shall diligently provide Uber with all information/reports relating to your participation in the Program including User Information. In respect of User Information, you shall inform such Users about any material information regarding the purpose of the collection, use and disclosure of User Information, which is required under the law. Parties agree that the User Information provided by you to Uber shall be deemed to have been in compliance with all relevant laws, including the Taiwan Personal Data Protection Act (“PDPA”). You shall comply with all relevant laws (including the PDPA) when collecting, using or disclosing any User Information or Uber Data for purposes of the Program. You shall notify and obtain consent from the Users for the collection, use and disclosure of User Information as described in these Terms. In the event of breach of any of the relevant requirements, you shall be solely liable and shall hold Uber, its Affiliates, its directors and its officers harmless from any claims from any person, entity, department or agency. Uber shall have the right to disclose, use or transfer any of such User Information to any of its Affiliates, both within and outside the Territory.

您應積極向 Uber 提供與您參與此方案有關的所有資訊/報告，包括使用者資訊。在使用者資訊方面，您應根據法律規定，將有關收集、使用和揭露使用者資訊之目的相關的任何重要資訊告知該使用者。雙方同意，您提供給 Uber 的使用者資訊應視為已符合所有相關法律，包括台灣個人資料保護法（「個人資料保護法」）。為此方案的目的收集、使用或揭露任何使用者資訊或Uber 資料時，您應遵守所有相關法律（包括 個人資料保護法）。您應告知使用者並取得使用者的同意，才能如本條款所述收集、使用和揭露使用者資訊。如果違反任何相關要求，您應承擔全部責任，並維護 Uber、其關係企業、其董事和主管免受任何個人、實體、部門或機構的索賠或承擔任何責任。Uber 有權在地區境內和境外揭露、使用或轉讓該等使用者資訊予其關係企業。

You shall:

(a) Verify the identity of the Users;

(b) Maintain the numbers and verified copies of the applicable government ID and driving licenses of the Users;

(c) Procure any additional information or documents from Users as required by Uber and/or its fleet partners; and

(d) Provide any information or documents to Uber and/or its fleet partners in respect of the above.

您應：

(a) 驗證使用者的身分；

(b) 保留適用的使用者身分證和駕照的編號及經查驗副本；

(c) 根據 Uber 和/或其合作車隊的指示，向使用者索取任何其他資訊或文件；以及

(d) 向 Uber 和/或其合作車隊提供與上述相關之任何資訊或文件。

Eligible User and Referral Incentive / 符合資格的使用者和推薦獎勵

You will be eligible for a referral incentive payment for each new User that you successfully refer to a fleet partner of Uber, and that fulfills the requirements set forth in these Terms and by Uber and/or its fleet partners, as long as you are in compliance with these Terms and you have an active Hero account.

只要您遵守本條款並且擁有有效的 Hero 推薦客帳戶，每向 Uber 的合作車隊成功推薦一位新的使用者，並符合本條款及 Uber 和/或其合作車隊所述的要求，即有資格獲得推薦獎勵。

Your referred User must (a) meet the eligibility criteria specified by Uber and the fleet partners; (b) meet all the conditions the fleet partners of Uber have for becoming a driver-partner; (c) use your referral link when they sign up with a collaborating fleet partner of Uber and use Uber’s mobile application or internet system in connection therewith; (d) complete the specific number of trips in the Territory within the time period specified by Uber and/or the fleet partners; (e) take any other actions required by Uber and/or its fleet partners; and (f) unless otherwise indicated by Uber and/or the fleet partners, sign up or activate the offer within 14 days of the referral invitation being sent. Your referred User can only be referred once, so if someone else has referred them and they have accepted that invitation and completed the sign-up, they will not be able to accept yours. In addition, please note that fleet partners and their responsible persons, managers, and employees cannot earn referral incentives for inviting or referring driver partners to join their fleet.

您所推薦之使用者必須 (a) 符合 Uber 和合作車隊規定的資格條件；(b) 符合 Uber 合作車隊規定之成為職業駕駛的所有條件；(c) 在註冊加入合作車隊和使用 Uber 行動應用程式或相關網絡系統時，使用您的推薦連結；(d) 在 Uber 和/或其合作車隊規定的時間範圍內，在地區完成指定數目的行程；(e) 採取 Uber 和/或其合作車隊要求的任何其他行動；并且(f) 除非 Uber 和/或其合作車隊另有說明，否則應在推薦邀請傳送後 14 天內註冊或啟用邀請。每位推薦之使用者僅可獲推薦一次，因此若他們已獲得別人推薦並接受對方邀請且完成注冊，就不能再接受您的邀請。另外請注意，合作車隊及其負責人、經理和員工無法透過邀請或推薦職業駕駛加入車隊，藉此賺取推薦獎勵。

Uber reserves the right to set a limit on the number of times you may use your referral link or code. The requirements for receiving, and the amounts of, referral incentives are subject to change at Uber's sole discretion. Referral incentives in the form of Uber Cash (if any) are not transferable or redeemable, have no cash value and may expire.

Uber 保留限制您推薦連結或代碼使用次數的權利。Uber 有權自行變更推薦獎勵所需達成的要求與獎勵金額。以 Uber Cash 點數形式發放的推薦獎勵（若有）不可轉讓或兌換、不具現金價值，且可能會過期。

Tax / 稅金

Except as may be expressly agreed in these Terms, each party shall be responsible for its tax obligations, costs and expenses associated with its performance hereunder. Neither party shall be obligated to pay any additional amounts to the other party as a result of any withholding or deduction for, or on account of, any present or future taxes, duties, assessments or governmental charges.

除本條款明示規定外，各方應自行承擔因履行本協議所產生之稅金、成本與費用。任何一方均無義務因扣繳或扣除任何當前或未來的稅金、關稅、評估費或政府收費，而向其他方支付任何其他金額。

Notwithstanding the foregoing and in accordance with the Taiwan tax laws and related regulations, if the Hero is an individual and the cumulative incentive payment to the Hero exceeds NTD1,000 (or the prevailing relevant threshold as stipulated under the Taiwan tax laws), the incentive payment will be treated as part of such Hero’s taxable income and such Hero shall provide all necessary information and documents to Uber for the purpose of income withholding and/or filing.

儘管有上述規定，但依台灣稅法及其相關法令規定，若 Hero 推薦客為個人并且於本公司累積取得之推薦獎勵金額超過新臺幣 1,000 元者（或台灣稅法規定的現行相關金額門檻），推薦獎勵金額將構成該 Hero 推薦客個人年度所得計算的一部分，該 Hero 推薦客應向 Uber 須提供所有必要資訊和文件，Uber將依規定進行收入扣繳和/或申報。

If the Hero is a business, provides such referral services through a legal entity, and is required to issue Government Uniform Invoices (GUIs) under the Taiwan tax law, the Hero should issue a GUI to Uber Formosa Co., Ltd (tax ID: 83118125).

如果 Hero 推薦客是一家企業，透過法人實體提供此類推薦服務，並且根據台灣稅法需要開立政府統一發票 (GUIs)，則英雄應向優步福爾摩沙股份有限公司（稅號： 83118125）開立政府統一發票。

Hero Account / Hero 推薦客帳戶

In order to participate in the Program, you must be a resident of Taiwan, and register for and maintain an active Hero account (“Account”) in accordance with the terms and conditions stated herein. You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account. You shall provide to Uber any and all information required in respect of Account registration. You agree that you will maintain your Account details accurate at all times, and in confidence and not share such Account details with any third party. You understand that your failure to maintain accurate, complete and up-to-date Account information may result in Uber suspending your access and use of your Account, or termination of these Terms by Uber. You shall be responsible for all activity that occurs on your Account, and agree to immediately notify Uber of any actual or suspected breach or improper use of your Account or of any unwarranted disclosure of your Account details. You shall follow all applicable laws and regulations that apply to you and in respect of the Program. Unless otherwise permitted by Uber in writing, you may only possess one Account. You should provide your own bank account to Uber in connection with your participation in the Program.

您必須是台灣居民，並依照此處所述的條款與細則註冊並維持有效的 Hero 推薦客帳戶 (「帳戶」)，才能參與此方案。您必須年滿 18 歲，或達到所在司法管轄區的法定成年年齡 (若非 18 歲) 方可取得帳戶。您必須向 Uber 提供有關帳戶註冊所需的各項資訊。您同意您將維持準確的帳戶資訊，不會公開或與第三方共享此類帳戶資訊。您瞭解如果您未能維持準確、完整且最新的帳戶資訊，Uber 將可能暫停您存取和使用您的帳戶，或者由 Uber 終止條款。您必須對您帳戶發生的所有活動負責，並同意立即向 Uber 通知，任何實際或疑似違規或不當使用您帳戶或任何未經授權而揭露您帳戶資訊的行為。您必須遵守您因此方案而適用的所有相關法律和法規。除非取得 Uber 書面許可，否則您僅能擁有一個帳戶。您應向 Uber 提供您自身的銀行帳戶，以參與此方案。

You must provide Uber and/or its fleet partners any documentation, data and/or information it requires to complete all Know Your Customer Verification Processes applicable to either Uber, its fleet partners or any party engaged by any of them to facilitate the processing of payments to you (including but not limited to agents, delegates, contractors, vendors or service providers, that may include banks, card scheme associations, payment gateway providers and other payment processors). “Know Your Customer Verification Processes” means any identification verification processes and/or due diligence Uber, its fleet partners or any party engaged by any of them deems necessary. 

您必須向 Uber 和/或其合作車隊提供完成Uber 、其合作車隊、或其所聘請之向您處理付款之第三方（包括但不限於代理商、代表、承包商、供應商或服務提供商，可能包括銀行、信用卡國際組織、支付閘道商和其他付款處理方）之所有瞭解客戶（Know Your Customer）驗證流程所需之任何文件、數據和/或資訊。「瞭解客戶（Know Your Customer）驗證流程」是指Uber、其合作車隊、或其聘請之任何第三方認為必要之任何身份驗證過程和/或盡職調查。

Emails, Messaging and Telephone Calls / 電子郵件、訊息和電話聯絡

By creating an account, you agree that Uber may contact you by email, telephone, text (SMS) messages, Whatsapp or other messaging services at any of the email addresses and phone numbers provided by you or on your behalf, as part of the normal business operation of your participation in the Program. You also understand that you may opt out of receiving marketing emails and text (SMS) messages from Uber at any time by following the directions found at uber.com/unsubscribe.

建立帳戶，即表示您同意 Uber 可利用由您自己或代表您提供的電子郵件地址和電話號碼，透過電子郵件、電話、簡訊 (SMS)、WhatsApp 或其他訊息服務與您聯絡，此為您參與此方案的正常業務運作方式。您亦瞭解您可按照 uber.com/unsubscribe 的指示，隨時選擇不接收 Uber 的行銷電子郵件和文字訊息 (SMS)。

Hero Conduct / Hero 推薦客守則

You may not assign or otherwise transfer your Account to any other person or entity without permission. You agree to comply with all applicable laws when participating in the Program, and you may only use the Program for lawful purposes. You will not, in your participation in the Program, cause nuisance, annoyance, inconvenience, or property damage. In certain instances you may be asked to provide proof of identity to access or participate in the Program, and you agree that you may be denied access to the Program if you refuse to provide proof of identity.

如未經許可，您不得將您的帳戶讓與或以其他方式轉讓予其他個人或實體。您同意在參與此方案時遵循所有適用法律，並且僅能將此方案用於合法用途。您在參與此方案時不得造成騷擾、妨害、不便等行為或財產損失。在某些情況下，您可能需要提供身分證明以便存取或參與此方案，而您同意，如果您拒絕提供身分證明，我們可拒絕您存取此方案。

You cannot create duplicate or multiple Hero accounts, claim false incentives, manipulate referral details, or do anything else prohibited by or in violation of Uber's Community Guidelines, which may be updated from time to time and can be found here.

您不得建立重複或多個 Hero 推薦客帳戶、索取虛假獎勵、篡改推薦資訊，或做出 Uber 社群指引所禁止的或違反 Uber 社群指引的任何其他行為，社群指引可能會不時更新，可在此處查看。

You agree that you will not do the following without prior express permission from Uber:

• Duplicate, sell, or transfer your referral link or code in any manner or make it available to the general public;
• Try to get referees/invitees by spamming, bulk emailing or sending large numbers of unsolicited emails;
• Distribute, post or otherwise share your referral link or code in any way that is untrue, defamatory, abusive, offensive, aggressive, against public policy or morals, criminal or otherwise illegal, inappropriate or unauthorized;
• Use, display or manipulate Uber intellectual property in any way, except to identify yourself as an Uber user or Uber Hero;
• Create or register any (i) businesses, (ii) URLs, (iii) domain names, (iv) software application names or titles, or (v) social media handles or profiles that include the word "Uber" or any of Uber's other trademarks or any words that are confusingly similar to Uber's trademarks;
• Use Uber's trademarks as your social media profile picture or wallpaper or otherwise in an improper or unauthorized manner, or use any of Uber's copyright-protected works (such as graphics, photos, images, drawings and screenshots from Uber's website or app);
• Purchase keywords (including but not limited to Google AdWords) that contain any of Uber's trademarks;
• Use automated systems or bots through any channel to distribute, post or otherwise share your referral link or code;
• Use scripts or programmed or automatic diallers to send invites or otherwise share your referral link or code;
• Make misleading or disparaging claims about Uber, use offensive/abusive content, create fake websites/webpages/social media profiles/apps, misrepresent your connection to Uber, or otherwise make any false or misleading statements to get a referee/invitee to use your link or code;
• Use your referral link or code in any manner that violates the law or the rights of anyone else；
• Use User Information or Uber Data outside of the permitted purposes described in these Terms;
• Enter into any agreement or arrangement, written or otherwise, with Users or potential Users except expressly permitted by these Terms.
• Contact Users or potential Users for purposes other than the Program; or
• Engage in anti-competitive behavior during your participation or involvement in the Program.

您同意，未經 Uber 事先明確許可，您不會做出以下行為：

• 以任何方式複製、出售或轉讓您的推薦連結或代碼，或向公眾公開；
• 嘗試透過傳送垃圾郵件、大批電子郵件或大量來路不明電子郵件以獲得推薦/邀請對象；
• 以任何不實、誹謗、侮辱、具威脅性、攻擊性、侵略性、違背公序良俗、引人犯罪或其他不法、不適當、或未獲得授權之方式發佈、張貼或以其他方式分享您的推薦連結或代碼；
• 以任何方式使用、展示或操弄 Uber 智慧財產，除非目的是為了表明自己是 Uber 使用者或 Hero 推薦客；
• 建立或註冊任何包含「Uber」字樣、其他任何 Uber 商標或任何易與 Uber 商標混淆之相似字樣的 (i) 公司、(ii) 網址、(iii) 網域名稱、(iv) 軟體應用程式名稱或標題，或是 (v) 社群媒體使用者名稱或帳號；
• 使用 Uber 商標作為您的社群媒體帳號相片或桌布、以不當或未獲授權之方式使用 Uber 商標，或是使用任何 Uber 受版權保護的作品 (例如，圖片、相片、影像、圖樣和 Uber 網站或 App 的截圖)；
• 購買包含任何 Uber 商標的關鍵字 (包含但不限於 Google AdWords)；
• 透過任何管道使用自動系統或機器人程式 (Bot) 發佈、張貼或以其他方式分享您的推薦連結或代碼；
• 使用指令碼、程式設定或自動撥號的方式傳送邀請，或以其他方式分享您的推薦連結或代碼；
• 發出關於 Uber 的誤導或貶低的言論、使用冒犯他人/不雅的內容、建立假造的網站/網頁/社群媒體基本資料/App、不實描述您與 Uber 的關係，或做出任何虛假或誤導性質的陳述，藉此讓推薦/邀請對象使用您的連結或代碼；
• 以任何違反法律或侵犯他人權利的方式使用您的推薦連結或代碼；
• 在本條款所述之許可的目的外，使用使用者資訊或 Uber 資料；
• 與使用者或潛在使用者訂立任何書面或其他協議或做出安排，本條款明確允許的除外；
• 就此方案以外的其他目的聯絡使用者或潛在使用者；或是
• 在您參與或涉及此方案期間，從事反競爭行為。

Relationship with Uber / 與 Uber 的關係

You acknowledge and agree that: (a) these Terms do not constitute an employment agreement, nor does it create an employment, independent contractor or worker relationship between Uber or its fleet partners and you; and (b) no joint venture, partnership, or agency relationship exists between Uber or its fleet partners and you. You have no authority to bind Uber or its fleet partners and you undertake not to hold yourself out as an employee, independent contractor, worker, agent or authorized representative of Uber or its fleet partners.

您知悉並同意：(a) 本條款不構成任何雇用協議，也不會在 Uber 或其合作車隊與您之間建立雇用、承攬或員工關係；(b) Uber 或其合作車隊與您之間不存在合資、合夥或代理關係。 您無權約束 Uber 或其合作車隊，且您承諾不會自稱是 Uber 或其合作車隊的員工、承攬人士、工作人員、代理或授權代表。

Section 6 / 第 6 條

Confidential Information / 機密資訊

For the purposes of these Terms, “Confidential Information” means any and all information provided by Uber to you in relation to the Program, including but not limited to these Terms, any Hero Agreement, Uber Data and User Information. You agree not to use any Confidential Information disclosed to you by Uber for your own use or for any other purpose other than to carry out your obligations as a Hero. You shall not disclose or permit disclosure of any Confidential Information to any persons or entities, other than directors, officers, employees, consultants and agents of yours who are required to have such information in order for you to participate in the Program. You agree that you shall take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information in order to prevent it from falling into the public domain or the possession of persons other than those authorized under these Terms to have any such information. You agree to immediately notify Uber in writing of any actual or suspected misuse, misappropriation or unauthorized disclosure of Confidential Information which may come to your attention. Notwithstanding any of the foregoing, Uber may authorize, in its sole discretion, the transfer of Confidential Information, including information relating to Uber, the Uber Data, the User Information or the provision of the Program to you, to and between branches and subsidiaries of the Hero and third parties selected by Uber (including Heroes), whether within or outside the Territory, for confidential use in connection with the provision of the Program (including for data processing purposes) and for monitoring and analyzing use of the Program Tool.

就本條款而言，「機密資訊」是指 Uber 向您提供的所有方案相關資訊，包括但不限於本條款、任何 Hero 推薦客協議、Uber 資料和使用者資訊。您同意不基於自身用途或履行 Hero 推薦客義務以外的其他目的，使用 Uber 向您揭露的任何機密資訊。您不得自行或允許他人向任何人士或實體揭露機密資訊，但不包括必須擁有此類資訊方能由您參與此方案的您的董事、主管、員工、顧問和代理。您同意您應採取一切合理措施，保密機密資訊並避免其遭到洩露或利用，以防止機密資訊成為公共財或被未經條款授權取得此類資訊而由個人持有。您同意您若察覺任何實際或疑似濫用、盜用或未經授權揭露機密資訊的行為，應立即以書面通知 Uber。儘管有上述規定，Uber 可自行判斷，在地區境內或境外，授權將機密資訊 (包括 Uber 相關資訊、Uber 資料、使用者資訊或向您提供的方案) 轉讓予 Hero 推薦客的分支機構和子公司及 Uber 遴選的第三方 (包括 Hero 推薦客)，以及在各該方間移轉此等資訊，以供在提供方案 (包括基於資料處理目的) 時保密使用，以及監控和分析方案工具的使用情形。

You shall at all times perform and discharge your obligations and responsibilities in accordance with (i) the System, (ii) applicable laws, (iii) and the terms, conditions and covenants of these Terms (including instruction given by Uber from time to time). You agree and covenant that in participating in the Program and the System you shall not breach any of your duties, obligations or covenants under applicable law. Your failure to participate in the Program in accordance with foregoing standards shall constitute a material breach of your obligations under these Terms. You hereby acknowledge that in order to ensure that you are complying with all the aforementioned standards, Uber shall, at all times, have the right to undertake compliance audit, including but not limited to monitoring and inspection of records, investigation, requiring independent audit review and all other powers deemed necessary by Uber.

您應始終根據 (i) 系統、(ii) 適用的法律，(iii) 以及條款的規定、條件和承諾 (包括 Uber 不定時給予的指示)，履行您的義務和責任。您同意並承諾您在參與此方案和使用系統時，不會違反適用的法律所定之任何職責、義務或要求。若您未能根據上述標準參與此方案，即構成對本條款義務的重大違約。您特此確認，為確保您遵守上述所有標準，Uber 有權隨時進行法規遵循稽核，包括但不限於監控和檢查紀錄、進行調查、取得獨立稽核審查以及 Uber 認為必要的其他權限。

Hero Provided Content / Hero 推薦客提供的內容

Uber may, in Uber’s sole discretion, permit you from time to time to submit, upload, publish or otherwise make available to Uber or third parties through the Program textual, audio, and/or visual content and information, including commentary and feedback related to Uber, Uber’s websites／applications, the Program, ratings and reviews of facilities, initiation of support requests, and submission of entries for competitions and promotions ("Hero Content"). Any Hero Content provided by you remains your property. However, by providing Hero Content to Uber, you grant Uber a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such Hero Content in all formats and distribution channels now known or hereafter devised (including in connection with the Program and Uber’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

Uber 可自行決定是否允許您不定時透過此方案提交、上傳、發布或以其他方式向 Uber 或第三方提供文字、音訊和/或視覺內容及資訊，包括與 Uber、Uber 網站/移動應用程式、此方案相關的評論和意見回饋、設施的評分和評論、發出客服支援，以及提交參與競賽和獎勵的項目 (「Hero 推薦客內容」)。您提供的任何 Hero 推薦客內容仍屬於您的財產。然而，向 Uber 提供 Hero 推薦客內容即表示您授予 Uber 全球性、永久性、不可撤銷、可轉讓、免權利金授權，並有權再授權、使用、複製、修改、製作衍生作品、散布、公開展示、公開演出及以任何方式利用目前已知或日後設立的各種格式和散布通路 (包括與此方案和 Uber 業務及第三方網站和服務有關) 的 Hero 推薦客內容，且無須另行通知您或取得您的同意，亦無須向您或其他人或實體付費。

You represent and warrant that: (i) you either are the sole and exclusive owner of all Hero Content or you have all rights, licenses, consents and releases necessary to grant Uber the license to the Hero Content as set forth above; and (ii) neither the Hero Content, nor your submission, uploading, publishing or otherwise making available of such Hero Content, nor Uber’s use of the Hero Content as permitted herein will infringe, misappropriate or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

您聲明並保證：(i) 您是所有Hero 推薦客內容的唯一和專屬擁有者，或您擁有向 Uber 授予上述Hero 推薦客內容權限所需的所有權利、授權、同意及發布權；以及 (ii)Hero 推薦客內容本身或您提交、上傳、發行或以其他方式提供此類Hero 推薦客內容的行為，或 Uber 在條款中允許的Hero 推薦客內容使用方式，均不會侵犯、盜用或違反第三方的智慧財產權或所有權、公開權或隱私權，或導致違反任何適用的法律或法規。

You agree to not provide or publish Hero Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, or disparaging of Uber, as determined by Uber in its sole discretion, whether or not such material may be protected by law. Uber may, but shall not be obligated to, review, monitor, or remove Hero Content, at Uber’s sole discretion and at any time and for any reason, without notice to you. Upon Uber’s request to remove any Hero Content, you should immediately do so.

您同意不提供或發布任何依 Uber 自行判斷為誣蔑、誹謗、仇恨、暴力、淫穢、色情、非法或其他冒犯性或貶低 Uber的 Hero 推薦客內容，無論該內容是否受法律保護。Uber 可以 (但無義務) 審查、監督或刪除Hero 推薦客內容，此類行為皆由 Uber 自行決定並隨時得以任何理由進行，恕不另行通知。若 Uber 要求刪除任何 Hero 推薦客內容，您應立即刪除。

Network Access and Devices / 網路存取權和裝置

You are responsible for obtaining the data network access necessary to access the Program Tool. Your mobile network's data and messaging rates and fees may apply if you access or use the Program Tool from your device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Program Tool and any updates thereto. Uber does not guarantee that the Program Tool , or any portion thereof, will function on any particular hardware or devices. In addition, the Program Tool may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

您須自行負責取得存取方案工具所需的數據網路存取權。如果您透過您的裝置存取或使用方案工具，則可能產生行動網路數據與簡訊費率和費用。您須自行負責取得和更新存取、使用及更新方案工具時所需的相容硬體或裝置。Uber 不保證方案工具或其任何部分可在特定硬體或裝置上使用。此外，方案工具可能受到網際網路和電子通訊影響而發生故障和延遲。

Claims of Copyright Infringement / 著作權侵害聲明

Claims of copyright infringement should be sent to Uber's designated agent. Please visit Uber’s web page at https://www.uber.com/legal for the designated address and additional information.

Notice / 通知

Any notice delivered under these Terms will be delivered by email to your email address in your Account, or by written communication sent to your address as set forth in your Account. You may give notice to Uber by written communication to Uber’s address at 8F., No. 367, Fuxing N. Rd., Songshan Dist., Taipei City, Taiwan.

根據本條款傳送的任何通知，都會透過電子郵件傳送至您帳戶中的電子郵件地址，或將書面通知寄到您帳戶中登記的地址。您可以書面形式通知 Uber，Uber 的地址為台北市松山區復興北路 367 號 8 樓。

Privacy / 隱私

Uber’s Privacy Notice located here applies to the Program, and is an integral part of these Terms by this reference, notwithstanding any contrary statements in the Privacy Notice.

此處所載的 Uber 隱私權聲明適用於此方案，且在此成為本條款不可分割的一部分，即使該隱私權聲明中有任何相悖的陳述。

Section 7 / 第 7 條

General / 一般事項

You may not assign these Terms in whole or in part without Uber's prior written approval. Uber may assign these Terms without your consent to: (i) a subsidiary or Affiliate; (ii) an acquirer of Uber's equity, business or assets; or (iii) a successor by merger. Any purported assignment in violation of this section shall be void. No joint venture, partnership, employment, or agency relationship exists between you, Uber or any third party as a result of these Terms or participation in the Program.

如未事先取得 Uber 書面許可，您不得轉讓條款所列載的全部或部分權利和義務。Uber 可在未取得您同意的情況下將條款所列載的權利和義務轉讓予：(i) 子公司或關係企業；(ii) Uber 股權、業務或資產的收購方；或 (iii) 合併後的繼受者。任何違反本條規定的聲稱轉讓均為無效。您、Uber 或任何第三方之間不因本條款或參與此方案而存在任何合資、合夥、雇用或代理關係。

If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision of part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. Other than provided herein, these Terms constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. Uber's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Uber in writing.

根據法律規定，如果條款中任一規定的全部或部分經認定為違法、無效或不可執行，該部分規定應視為不屬於條款的一部分，且條款其餘規定的合法性、有效性和可執行性不受影響。除本條款另有規定外，本條款構成當事各方之間有關標的事項的整體協議和協定，並會取代及替代所有先前或同時有關該標的事項的協議和協定。若 Uber 未能行使條款中的任何權利或未能執行其中規定，並不表示 Uber 放棄此類權利或規定，然經 Uber 以書面確認並同意者不在此限。
