Capitalised terms in these Uber Direct Agreement API terms (“Uber Direct API Terms”) that are not otherwise defined shall bear the meaning ascribed to them in the Order Form and General Terms (available at https://www.uber.com/legal/en/document/?name=uber-direct---general-terms&country=taiwan&lang=en as may be updated from time to time). Section 2.1 of the General Terms applies to any conflict between these Uber Direct API Terms and any other document forming part of the Agreement. Nothing in these Uber Direct API Terms terminates, discharges, or rescinds the Agreement, or affects the validity or enforceability of the Agreement.

本Uber Direct 協議書 API條款（「Uber Direct API條款」）未另行定義的大寫術語應具有訂購單及一般條款（可至 https://www.uber.com/legal/en/document/?name=uber-direct---general-terms&country=taiwan&lang=zh-tw 獲得相關資訊，並可能隨時更新）賦予他們的含義。一般條款第 2.1 節適用於本Uber Direct API條款與構成協議一部分任何其他文件之間之任何衝突。本Uber Direct API條款的任何內容均不終止、解除或撤銷協議，或影響協議的有效性或可執行性。

1. TERM OF THESE UBER DIRECT API TERMS

本UBER DIRECT API條款期間

These Uber Direct API Terms will start on the Effective Date. The Agreement (including these Uber Direct API Terms) will continue for the Initial Term and any Renewal Term set out in section 3 (Term of the Agreement) of the General Terms. These Uber Direct API Terms may end earlier, if it is terminated by you, Portier Taiwan, or Uber Portier in connection with the Agreement.

本Uber Direct API條款將於生效日期開始。協議（包括本Uber Direct API條款）將在初始期間和一般條款第3節（協議期間）中約定之任何續訂期限內繼續有效。若您、優食台灣或 Uber Portier 因協議而終止本Uber Direct API條款，本Uber Direct API條款可能會提前結束。

2. UBER DIRECT API

Uber Direct API

2.1 Scope of Service

In addition to its obligations under section 4 (Dashboard and Corporate Account) of the General Terms, Uber Portier will use commercially reasonable efforts to provide Merchant and/or Merchant Associate with access to Uber Direct via the Uber Direct API. Access to Uber Direct via the Uber Direct API is provided to Merchants and/or Merchant Associate by Uber Portier for no charge. Uber Portier reserves the right to add, remove and update features and functionality of the Uber Direct API at any time.

除其在一般條款第 4 節（控制面板和公司帳戶）下之義務外，Uber Portier 將盡商業上合理的努力，透過 Uber Direct API 向商家及／或商家夥伴提供對 Uber Direct 之使用。Uber Portier 向商家及／或商家夥伴免費提供透過 Uber Direct API 使用 Uber Direct。Uber Portier 保留隨時添加、刪除和更新 Uber Direct API 特性和功能之權利。

The Uber Direct API will enable Merchant and/or Merchant Associate to:

(a) request Delivery Services from Portier Taiwan;

(b) exchange Merchant Data and Uber Data via the Uber Direct API; and

透過Uber Direct API 交換商家資料及Uber資料；及

(c) use additional features or functionality added to the Uber Direct API from time to time.

使用不定時被新增至Uber Direct API之額外的特色或功能。

2.2 Responsibility for use of Uber Direct API

使用Uber Direct API之義務

Merchant is responsible for all charges incurred by Merchant via the use of the Uber Direct API, regardless of whether or not a charge was authorised by Merchant. Merchant will be responsible for charges incurred due to fraudulent or other unpermitted activity on the part of use of the Uber Direct API. Merchant must notify Uber Portier promptly upon discovery of fraudulent or unpermitted activity occurring via the Merchant's access to the Uber Direct API.

商家應對商家透過使用 Uber Direct API 所產生之所有費用負責，無論費用是否獲得商家授權。商家將負責因使用 Uber Direct API 之欺詐或其他未經許可活動而產生之費用。在發現透過使用 商家Uber Direct API 使用權發生欺詐或未經許可活動時，商家必須立即通知 Uber Portier。

2.3 Restrictions

Merchant agrees that section 4.4 (Restrictions) of the Generals Terms shall also apply mutatis mutandis to Uber Direct API.

3. DELIVERY SERVICES

3.1 Scope of Service

Without limiting section 4.1 (Scope of Service) of the General Terms, following implementation of the Uber Direct API in accordance with section ‎4.1 of these Uber Direct API Terms, Merchant will be able to request Delivery Services via the Uber Direct API or via the Dashboard.

於不限制一般條款第4.1節（服務範圍），依據本Uber Direct API條款第 4.1 節實施 Uber Direct API 後，商家將能夠透過 Uber Direct API 或控制面板請求外送服務。

4. MERCHANT RIGHTS AND OBLIGATIONS

商家之權利和義務

4.1 Implementation

Merchant must ensure that the Uber Direct API is interfaced with the Merchant Platform in a manner consistent with Uber’s reasonable instructions and the information provided by Uber, including but not limited to testing of new features when launched, as may be updated from time to time. Uber is not responsible, nor obliged to pay or compensate Merchant for the costs, expenses and fees incurred for the implementation.

商家必須確保 Uber Direct API 與商家平台的對接方式符合Uber的合理指示和Uber所提供的資訊，包括但不限於在推出新功能時進行測試，這些資訊可能會不時更新。Uber不負責，也沒有義務支付或補償商戶因實施而產生的成本、開支和費用。

4.2 Launch

Merchant agrees to implement the Uber Direct API in the Merchant Platform and test and launch in the Merchant Platform in accordance with an implementation timeframe that is separately agreed by the parties in writing. The parties agree to work together on review and testing of pre-release versions of the Merchant Platform that include the Uber Direct API.

商家同意在商家平台中實施Uber Direct API，並按照各方單獨書面約定之實施時間表在商家平台中進行測試和上線。 各方同意共同審查和測試包含 Uber Direct API 之商家平台之預先發布版本。

4.3 Uber API Terms

Without limiting anything else in the Agreement, Merchant agrees to comply with the "Application Programming Interface Terms of Use" (“Uber API Terms”) available at https://developer.uber.com/docs/riders/terms-of-use (or a replacement URL) in relation to Merchant's access to any API provided by Uber Portier, including the Uber Direct API. Uber Portier may update the Uber API Terms from time to time in accordance with section ‎12.1 of these Uber Direct API Terms. If there is a conflict between these Uber Direct API Terms and the Uber API Terms, these Uber Direct API Terms will control with respect to that conflict.

在不限制協議中之任何其他內容的情況下，對於商家對 Uber Portier 提供之任何 API（包括 Uber Direct API）之使用有關事項，商家同意遵守 https://developer.uber.com/docs/riders/terms-of-use（或一個更換的URL連結）所載之應用程式介面使用條款 （「Uber API條款」）。Uber Portier 可能會根據本Uber Direct API條款第 12.1 節不時更新 Uber API 條款。 若本Uber Direct API條款與 Uber API 條款間存在衝突，本Uber Direct API條款將控制該衝突。

4.4 Merchant Associates / Decentralised Merchant Associates

商家夥伴 / 去中心化商家夥伴

Merchant agrees that section 4.5 (Merchant Associates) and section 4.6 (Decentralised Merchant Associates) of the Generals Terms shall also apply mutatis mutandis to Uber Direct API.

商家同意，一般條款第 4.5 節（商家夥伴）和第 4.6 節（去中心化商家夥伴）也應比照適用於 Uber Direct API。

5. UBER PORTIER RIGHTS AND OBLIGATIONS

Uber Porter之權利與義務

5.1 Availability of Services

Uber Portier will use commercially reasonable efforts to provide the Uber Direct API to Merchant during normal business hours.

Uber Portier 將盡商業上合理的努力，在正常工作時間內向商家提供 Uber Direct API。

5.2 Promotion

行銷

(a) Merchant acknowledges and agrees that Portier Taiwan may refer to Merchant as a customer of Uber Direct and feature Merchant, the Merchant Platform and the Merchant’s use of the Uber Direct API and Delivery Services through various promotional activities (e.g., Uber’s social media channels, websites, advertisements or blogs), in press releases or other public communications.

商家瞭解並同意，優食台灣可透過各種行銷活動（例如Uber的社交媒體管道、網站、廣告或部落格）、在新聞稿或其他公共通訊中將商家稱為Uber Direct之客戶、介紹商家、商家平台以及商家對 Uber Direct API 和外送服務之使用。

(b) Notwithstanding section 14 (Publicity) of the General Terms, when the delivery of an Order is requested in connection with the Uber Direct API and using the Delivery Services, Merchant may showcase the message “Powered by Uber Eats” (or any other message agreed by the parties) (the Slogan) in the Merchant Platform for Customers to see. Merchant must provide to Portier Taiwan the design and layout of the Slogan, and must not implement the proposed design and layout of the Slogan until Portier Taiwan provides its final approval in writing. Merchant will be solely responsible for the costs associated with the implementation of the Slogan.

儘管有一般條款第 14 條（公開）之約定，當外送訂單之請求與Uber Direct API相關，並使用外送服務時，商家得展示「由 Uber Eats 提供」之訊息（或任何其他由各方同意之訊息）（以下稱「標語」）在商家平台供客戶查看。商家必須向優食台灣提供標語之設計和佈局，並且在優食台灣以書面形式提供最終批准前不得實施標語之提議設計和佈局。 商家將全權負責與實施標語相關之費用。

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Uber Materials

(a) Notwithstanding section 9.1 (Uber Materials) of the General Terms, the definition of "Uber Materials" is amended to include the Dashboard, the Uber Direct API and all related materials and data (including Intellectual Property Rights).

儘管有一般條款第 9.1 節（Uber材料）之約定，「Uber材料」之定義已修改為包括控制面板、Uber Direct API 以及所有相關材料和數據（包括智慧財產權）。

(b) Subject to you complying with the terms of this Agreement, Uber Portier grants to you for no charge a non-exclusive, non-transferable, non-sublicensable, non-assignable licence to use the Uber Direct API (and no other Uber API) for the Term solely for the purposes set forth in this Agreement.

在您遵守本協議條款前提下，Uber Portier 向您免費授予非排他性、不可轉讓、不可再許可、不可轉讓的許可，以使用 Uber Direct API（而非其他 Uber API）僅用於本協議約定之目的。

(c) You may only use the Uber Direct API in connection with your use of the Delivery Services under this Agreement.

7. USE OF DATA

7.1 Uber Data and Merchant Data

(a) Notwithstanding section 10.1(a) (Uber Data) of the General Terms, the parties acknowledge, and Merchant must ensure that each Merchant Associate acknowledges, that Uber Data (which may qualify as Personal Data) will be sent via the Dashboard and the Uber Direct API to Merchant for the provision of Delivery Services.

儘管一般條款第 10.1(a) 條（Uber數據）之約定，雙方承認且商家必須確保每個商家夥伴承認，Uber數據（可能符合個人資料）將透過控制面板儀表板和Uber Direct API 發送給商家，以提供外送服務。

(b) Notwithstanding section 10.3(a) (Merchant Data) of the General Terms, the parties acknowledge, and Merchant must ensure that each Merchant Associate acknowledges, that Merchant Data (which may qualify as Personal Data) will be sent via the Dashboard and the Uber Direct API to Uber Portier to facilitate the provision of Delivery Services.

儘管有一般條款第 10.3(a) 條（商戶資料）之約定，各方瞭解且商家必須確保每個商家夥伴瞭解，商家資料（可能符合個人資料）將透過控制面板和 Uber Direct API 發送到 Uber Portier，以促進外送服務之提供。

8. CONFIDENTIALITY

8.1 Information relating to Delivery Services

Notwithstanding section 12.2 (Information relating to Delivery Services) of the General Terms, the parties acknowledge that the Dashboard, the Uber Direct API, the information relating to Delivery Services and the Uber Data are all considered the Confidential Information of Uber Portier and/or Portier Taiwan. For the avoidance of doubt, Merchant Data is considered Confidential Information of Merchant. Nothing in this Agreement limits Merchant's ability to collect, use and store information from Merchant Data provided:

儘管一般條款第 12.2 條（與外送服務相關之資訊），雙方瞭解控制面板、Uber Direct API、與外送服務相關之資訊和 Uber 數據均被視為 Uber Portier 和/或 優食台灣之機密資訊。為免疑義，商家資料被視為商家之機密資訊。 本協議之任何內容均不限制商家自商家資料中收集、使用和儲存資訊之能力，前提是：

(a) the information is not Uber Data; and

(b) Merchant did not gain the information in connection with the Delivery Services, use of the Dashboard or Uber Direct API

9. REPRESENTATIONS AND WARRANTIES

聲明和保證

(a) Each party represents and warrants that it: (i) will not intentionally include Unauthorised Code via the Uber Direct API; and (ii) will use commercially reasonable efforts to maintain physical, technical, and administrative safeguards reasonably designed and implemented to detect and protect against the introduction of Unauthorised Code into its platform in accordance with generally-accepted industry practices.

各方聲明並保證其：(i) 不會通過 Uber Direct API 故意包含未經授權的代碼； 和(ii) 將依據普遍接受之行業慣例，採取商業上合理努力來物理、技術和管理保障措施，以檢測和防止未經授權的代碼引入其平台。

(b) Without limiting section 15(c) (Representations and Warranties) of the General Terms, except as required of Uber Portier under the Civil Law, or as otherwise expressly set out in this Agreement, Uber Portier makes no representations, and expressly disclaims all warranties, express or implied, regarding the Uber Direct API or any portion of it, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Uber Portier does not guarantee in any way that the Uber Direct API will be provided without interruptions or delays. You acknowledge that the Uber Direct API may be unavailable due to scheduled maintenance, network failure or limitations, delays and other problems inherent in the use of the internet and electronic communications. The limitations and disclaimers in this section do not purport to limit liability or alter your rights that cannot be excluded under applicable Law.

於不限制一般條款第 15(c) 條（聲明和保證）之情況下，除 Uber Portier 依據民法要求或本協議另有明確約定外，否則 Uber Portier 不作任何聲明，並明確否認所有 明示或暗示關於 Uber Direct API 或其任何部分之保證，包括對適銷性或特定用途適用性之任何暗示保證，以及交易過程或性能過程中所產生之暗示保證。Uber Portier 不以任何方式保證 Uber Direct API 之提供不會中斷或延遲。您瞭解Uber Direct API 可能因定期維護、網絡故障或限制、延遲以及網路和電子通信使用中固有之其他問題而無法使用。本節中之限制和免責聲明旨並不在限制責任或改變您根據適用法律不能排除的權利。

10. INDEMNIFICATION

10.1 Indemnity for Uber Direct API

In addition to the indemnities set out in section 16.1 (Indemnities) of the General Terms, the Merchant (as Indemnifying Party) will indemnify, defend (at Uber Portier's option) and hold harmless Uber Portier (as Indemnified Party), its Affiliates and their respective directors, officers, employees, agents and contractors from and against any Losses with respect to any third party claim arising out of or related to a breach by the Merchant of its obligations under these Uber Direct API Terms, or any use of the Uber Direct API in a manner not permitted under these Uber Direct API Terms.

除一般條款第 16.1 節（補償）中約定之補償外，商家（作為補償方）將補償、辯護（由 Uber Portier 選擇）並使 Uber Portier（作為被補償方）、其關聯企業及其相應的董事、官員、受僱人、代理人和承包商免受 因商家違反本Uber Direct API條款約定之義務，或在任何情況下以本Uber Direct API條款不允許之方式使用 Uber Direct API 而引起或與之相關的任何第三方索賠而遭受之損失。

11. TERMINATION

11.1 Termination or Suspension by Uber Portier or Portier Taiwan

由Uber Portier或優食臺灣終止或暫停

Without limiting section 19.2 (Termination or Suspension by Uber Portier or Portier Taiwan) of the General Terms:

於不限制一般條款第 19.2 條（Uber Portier或優食台灣終止或暫停）之情況下：

(a) Uber Portier may restrict or deactivate your access to the Uber Direct API, for any legitimate business, legal or regulatory reason, immediately.

Uber Portier 可能會出於任何合法業務、法律或監管原因立即限制或停用您對 Uber Direct API 之使用。

(b) Uber Portier may also immediately restrict or deactivate your access to the Uber Direct API, and Portier Taiwan may immediately cease providing Delivery Services to you, if:

若出現以下情況，Uber Portier 也可能會立即限制或停用您對 Uber Direct API 之使用，且優食台灣可能會立即停止向您提供外送服務：

(i) you or any Merchant Associate commit a material breach of this Agreement;

您或任何商家夥伴嚴重違反本協議；

(ii) in Uber Portier’s reasonable judgement, a temporary restriction or deactivation of your access to the Uber Direct API is appropriate: (A) while Uber Portier investigates a serious complaint that you, any Merchant Associate, or any of your or their respective employees, agents or contractors have violated the Community Guidelines; or (B) because Uber Portier has a material reasonable security or legal concern caused by your use or your Merchant Associate’s use of the Uber Direct API;

依據 Uber Portier 之合理判斷，暫時限制或停用您對 Uber Direct API 之使用是適當的：(A) 當 Uber Portier 調查您、任何商家夥伴或任何您的或他們分別的受僱人、代理人或承包商違反社群指引之嚴重投訴時； 或者(B) 因 Uber Portier 有因您使用或您的商家夥伴使用 Uber Direct API 而引起之重大合理安全或法律問題；

(iii) in Portier Taiwan’s reasonable judgement, you, any Merchant Associate, or any of your or their respective employees, agents or contractors have violated the Community Guidelines; or

依據優食台灣之合理判斷，您、任何商家夥伴或您的或他們分別的受僱人、代理人或承包商違反了社群指引； 或

(iv) in Uber Portier’s or Portier Taiwan’s reasonable judgement (as the case may be), an act or omission by you, any Merchant Associate, or any of your or their respective employees, agents or contractors has the potential to cause a Brand Matter.

依據 Uber Portier 或優食台灣之合理判斷（視情況而定），您、任何商家夥伴或任何您的或他們分別的受僱人、代理人或承包商的作為或不作為有可能導致品牌問題。

(c) Portier Taiwan may also procure Uber Portier to restrict or deactivate your access to the Uber Direct API or any service if your Corporate Account is in arrears, by giving you 7 days prior written notice and if you fail to remedy such issue within that time.

若您的公司帳戶欠債，優食台灣得透過提前 7 天向您發出書面通知，且若您未能在該時間內糾正前開問題，優食台灣還得從而促使 Uber Portier 限制或停用您對 Uber Direct API 或任何服務之使用。

12. GENERAL PROVISIONS

一般條款

12.1 Modifications to these Uber Direct API Terms

本Uber Direct API條款之修改

Without limiting section 21.2 (Modifications to this Agreement) of the General Terms, you will be deemed to have consented to any modifications to these Uber Direct API Terms, the Community Guidelines, Uber API Terms or Restricted Items made by Uber Portier or Portier Taiwan, as applicable, in accordance with that section 21.2 if you continue to use the Delivery Services and/or the Dashboard or the Uber Direct API after the modifications have come into effect.

於不限制一般條款第 21.2 條（協議之修改）的情況下，若您在修改生效後繼續使用外送服務和/或控制面板或 Uber Direct API，依據第 21.2 節，您將被視為已同意 Uber Portier 或優食台灣對本Uber Direct API條款、社群指引、Uber API 條款或限制商品（如適用）。
