After a thorough review of our existing products, we have decided to discontinue Uber Eats Stories function. From 2022/9/23, you will no longer be able to use the Uber Eats Stories function to create, edit or view any Content. This Stories Terms and conditions (Merchant) will also be terminated on 2022/9/23.

The following terms have the respective meanings given to them below:

以下術語具有以下各自的含意:

“Affiliates” means an entity that owns or controls, is owned or controlled by or is or under common control or ownership of a party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.

「關聯公司」係指，企業所擁有或控制，由一方擁有或控制之實體，或受一方共同控制或擁有之實體。此處控制之定義係指，直接或間接擁有指導或決定實體管理、政策方向的權力，無論是透過有表決權股份、契約或其他方式。

“Content” means customized data, text, and information that You create, submit for approval, and display for Followers on the Uber Eats App.

「內容」指您所創作、提交供審核並於Uber Eats App上為關注者展示之客製化數據、文字和資訊。

“Content Creation Tool” means a website, application and/or other technology interface, made available by Uber Portier to You, for no charge, that allows You to create, submit for approval and display Content. The Content Creation Tool is an Uber Tool as defined in the Uber Eats Agreement.

「內容創作工具」是指由Uber Portier免費提供您，供您創造、提交供審核並展示內容之網站、應用程式和/或其他技術界面。內容創作工具是Uber Eats協議中定義的Uber工具。

“Community Guidelines” means the applicable Community Guidelines, currently available at https://www.uber.com/legal.

“Followers” means users of the Uber Eats App who added You to their list of favorite merchants on the Uber Eats App.

「關注者」指添加您到他們在Uber Eats App上喜歡的商家合作夥伴列表中之Uber Eats App使用者。

“Portier Taiwan” means Uber Portier Taiwan Co Ltd.

「優食台灣」指優食台灣股份有限公司。

“Uber Eats Agreement” means the agreement executed by You to access the services provided by Uber Portier and Portier Taiwan, including but not limited to displaying You in the Uber Eats App.

「Uber Eats協議」指您簽署以使用Uber Portier和優食台灣所提供的服務之協議，包括但不限於於Uber Eats App中展示您。

“Uber Eats App” means a website, application or other technology interface made available by Uber Portier and/or its Affiliates to its users, that allows them to buy products from merchants and/or request the provision of delivery services.

「Uber Eats App」是指Uber Portier和/或其關聯公司向使用者提供的網站、應用程式或其他技術界面，允許他們自商家合作夥伴購買產品和/或請求提供外送服務。

“Uber Portier” means Uber Portier B.V..

「Uber Portier」指Uber Portier B.V.。

These Stories Terms and Conditions (“Merchants Stories Terms”) govern the requirements of the Content that merchants of the Uber Eats App (“You”) create using the Content Creation Tool.

本限時動態條款與條件(「商家限時動態條款」)規範Uber Eats App商家合作夥伴(「您」)使用內容創作工具創作內容之要求。

1. Content.

內容。

a. General. You are the owner of the Content. Neither Uber Portier nor Portier Taiwan takes ownership, endorsement or responsibility over the Content. You acknowledge and agree that Content must comply with applicable laws and regulations, these Merchants Stories Terms, the Uber Eats Agreement, the Community Guidelines, and any Content creation guidelines and/or policies published on the Uber website from time to time.

一般事項。您是內容的所有者。Uber Portier和優食台灣均不對內容承擔所有權、不為內容背書，或為內容承擔責任。您承認並同意，內容必須符合適用法律與法規、本商家限時動態條款、Uber Eats協議、社群指引以及在Uber網站上不時發布的任何內容創作準則及/或政策。

b. Creation request. Portier Taiwan reserves the right to review, approve and/or reject Content before it is displayed in the Uber Eats App. You can submit Content for Portier Taiwan’s review through the Content Creation Tool. Portier Taiwan will use best efforts to provide You with information about the reasons that led to the rejection of your Content creation request as the case may be. If the Content creation request is approved, Content will be displayed in the Uber Eats App in accordance with these Merchants Stories Terms. Portier Taiwan and its Affiliates have the right to combine your Content with content created by either users of the Uber Eats App or other merchants of the Uber Eats App to improve the experience of Followers.

創作請求。優食台灣於Uber Eats App展示內容前，保留對內容進行審查、核准及/或拒絕的權利。您得透過內容創作工具將內容提交給優食台灣審核。優食台灣將盡最大努力提供您有關導致拒絕您內容創作請求原因的資訊(視情況而定)。若內容創作請求獲得核准，內容將依據本商家限時動態條款展示在Uber Eats App。優食台灣及其關聯公司有權將您的內容與其他Uber Eats App使用者或商家合作夥伴所創作的內容結合，以提升關注者使用經驗。

c. Moderation and restrictions. Portier Taiwan reserves the right to reject, and will not display, Content that negatively affects the Uber and Uber Eats brands, promotes competitors of Uber Portier or Portier Taiwan, is derogatory, illegal, inflammatory, false, inaccurate, misleading, or that in Portier Taiwan’s discretion violates applicable laws or regulations. Portier Taiwan reserves the right to take down the Content at any time and for any reason at its sole discretion. You acknowledge and agree that Portier Taiwan may impose restrictions on the frequency and quantity of Content that You can display in the Uber Eats App.

審核與限制。優食台灣保有拒絕的權利且不會展示負面影響Uber及Uber Eats品牌、助長Uber或優食台灣的競爭對手、或具有貶義、非法的、煽動性的、虛假的、不准確的、誤導的、或優食台灣自行認為違反適用法律之內容。優食台灣保留隨時因任何理由自行決定移除內容之權利。您瞭解並同意，優食台灣可能會限制您得以於Uber Eats App展示內容之頻率與數量。

d. Consent for programmatic and user-created content. By agreeing to these Merchants Stories Terms, you provide your consent for Portier Taiwan to (i) create and post programmatic content on your behalf (programmatic content includes but is not limited to your offers, menu items, and factual statements), and (ii) introduce functionality allowing other users of the Uber Eats App to create content relating to Your menu items on the Uber Eats App.

同意程序化及使用者創建內容。同意這些商家限時動態條款，即表示您同意優食台灣(i)代表您創建和發布程序化內容(程序化內容包括但不限於您的優惠、菜單商品和事實陳述)及(ii)引入允許其他 Uber Eats App使用者在Uber Eats App上創建與您的菜單商品相關的內容的功能。

e. Term, audience, and location. If approved by Portier Taiwan, Content will only be displayed to Followers in your delivery radius for the specified period of time. Portier Taiwan reserves the right to modify the period of time for which Content is displayed to Followers. Content will be displayed in dynamic in-app cards located in the in-app home feed and/or in any other surface or location of the Uber Eats App as decided by Portier Taiwan in its sole discretion. Portier Taiwan reserves the right to choose the size, design, format, and general visual and functional requirements of the surfaces, and/or the locations in which the Content will be displayed.

期限、觀眾及地點。若獲得優食台灣核准，內容只會在特定時間內向您外送範圍內的使用者展示。優食台灣保留修改展示予關注者時間之權利。內容將依優食台灣自行決定被展示在動態應用程式內位於首頁來源及/或任何其他Uber Eats App介面或地點之卡片上。優食台灣保留選擇內容將被展示的介面及/或地點之大小、設計、形式及一般視覺及功能要求之權利。

f. Promotional Content. If the Content contains information about any kind of promotional campaign, You will create terms and conditions for it, and You will share them with your Followers. You agree that You are solely responsible for fulfilling the terms of any promotional campaign, including the funding of any promotion, that You offer to your Followers.

推廣內容。若內容包含任何推廣活動類型之資訊，您將為該推廣活動製作條款與條件，且您將得與您的關注者分享前開推廣活動及條款與條件。您同意，您應全權負責履行您提供給關注者之任何推廣活動之條款，包括任何推廣活動的資金。

g. License. By displaying Content, You grant Uber Portier, Portier Taiwan and/or their Affiliates a limited, non-exclusive, non-transferable, worldwide limited license for no charge to use, adapt, modify, delete from, add to, publicly perform, display, reproduce and translate such Content, in the Uber Eats App.

許可。透過展示內容，您授予Uber Portier、優食台灣及或其關聯公司有限的、非排他性的、不可轉讓的、全球範圍內有限且無需報酬的許可，以在Uber Eats App內使用、改編、修改、刪除、添加、公開表演、展示、重製及翻譯該內容。

2. Fees.

費用。

a. Content Creation Tool. Unless otherwise informed by Uber Portier, your Use of the Content Creation Tool is free of charge.

內容創作工具。除非Uber Portier另行通知，您使用內容創作工具是免費的。

b. Content advertisement fee. Portier Taiwan reserves the right to introduce a Content advertisement fee, which may be separate from any existing sponsored listing products. The fee, if introduced, will be inclusive of any VAT. If applicable, VAT shall be charged and collected in the same manner as the Content advertisement fee.

內容廣告費用。優食台灣保留引入內容廣告費用之權利，該費用可與現有任何贊助廣告產品分開。該費用（如果引入）將包括任何加值稅。 如有適用，加值稅應按內容廣告費用相同的方式收取。

c. Notice. Portier Taiwan will provide you with at least thirty (30) days’ notice before the Content advertisement fee is introduced and any updates to these Merchants Stories Terms. Continued use of the Content Creation Tool after the expiration of the notice term shall constitute your consent to the Content advertisement fee and updates to these Merchants Stories Terms. If you do not agree with the Content advertisement fee or updates to these Merchants Stories Terms, You can stop using the Content Creation Tool at your sole discretion.

通知。在內容廣告費用被引入前以及任何本商家限時動態條款更新前，優食台灣會至少給您提前三十(30)天通知。通知期限到期後繼續使用內容創作工具，即表示您同意內容廣告費用和本商家限時動態條款的更新。如果您不同意內容廣告費用或對本商家限時動態條款的更新，您可以自行決定停止使用內容創作工具。

3. Support.

支援。

In case You face issues using the Content Creation Tool and/or have complaints about these Merchants Stories Terms, You can contact Portier Taiwan via the ‘Help’ section of Uber Eats Manager or by visiting https://help.uber.com/restaurants. Portier Taiwan will respond to You within a reasonable period of time.

如果您在使用內容創作工具時遇到問題和/或對本商家限時動態條款有投訴，您可以透過Uber Eats 管理後臺的「幫助」選項或透過https://help.uber.com/restaurants與優食台灣聯繫。優食台灣將在合理的時間內回覆您。

4. Language.

語言。

In the event of any conflict between the English version and the Chinese version of this Agreement, the English version shall prevail.

本協議之英文版本與中文版本如有任何歧義，概以英文版本為準。
