DEFINITIONS

The following terms have the respective meanings given to them below:
以下の用語は、それぞれ、それらに付与された以下の意味を有します。

“Affiliates” means an entity that owns or controls, is owned or controlled by or is or under common control or ownership of a party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.

「関連会社」とは、ある当事者を所有若しくは支配し、これに所有若しくは支配され、又はこれと共通の支配権若しくは所有権の下にある事業体を意味します。支配とは、議決権保有株式の所有権、契約又はその他の方法の如何を問わず、事業体の経営及び方針を指揮し又は指揮させる権限の直接又は間接的な所有と定義されます。

“Content” means customized data, images, text, and information that You create and submit for approval to be displayed in the Uber Eats App.
「コンテンツ」とは、ユーザーが作成し、承認のために提出し、Uber Eatsアプリ内に表示されるカスタマイズされたデータや画像、テキスト及び情報を意味します。

“Content Creation Tool” means a website, application and/or other technology interface, made available by Uber Portier B.V. to You, for no charge, that allows You to create Content.

「コンテンツ作成ツール」とは、Uber Portier B.V.が無償でユーザーに提供するウェブサイト、アプリケーション及び/又はその他の技術インターフェースを意味し、これによりユーザーは、コンテンツを作成することができます。

“Community Guidelines” means the applicable Community Guidelines, currently available at https://www.uber.com/legal.

「コミュニティガイドライン」とは、現在https://www.uber.com/legalで入手可能な、適用されるコミュニティガイドラインを意味します。

“Items” means food, beverages, or other items.
「アイテム」とは、食品、飲料又はその他の商品を意味します。

"Merchant" means any party who makes Items available for sale via the Uber Eats App.
「マーチャント」とは、Uber Eatsアプリを通じて商品の販売を行う者を意味します。

"Uber” means Uber Portier B.V., Uber Eats Japan and/or their Affiliates.
「Uber」とは、Uber Portier B.V.、Uber Eats Japan及び/又はそれらの関連会社を意味します。

“Uber Eats App” means a website, application or other technology interface made available by Uber to its users, that allows them to buy Items from Merchants and/or request the provision of delivery services.

「Uber Eatsアプリ」とは、Uber が自己のユーザーに提供するウェブサイト、アプリケーション又はその他の技術インターフェースを意味し、これによりユーザーは、マーチャントから商品を購入し、かつ/又は配送サービスの提供をリクエストすることができます。

TERMS

条件

a. General. You are the owner of the Content. Uber takes no ownership, endorsement or responsibility over the Content. You represent that (i) you own or have obtained any rights necessary to the Content, (ii) the Content is true and accurate and reflects Your experience with a particular Merchant, and (iii) the Content complies with applicable laws and regulations, these Terms, the Community Guidelines, and any Content creation guidelines and/or policies that may be provided to You by Uber from time to time. By submitting Content, You agree that Uber may publicly share such Content along with Your name and order history for promotional purposes.

一般　ユーザーは、コンテンツの所有者です。Uber は、コンテンツの所有権を取得せず、保証をせず又は責任を負いません。ユーザーは、(i)ユーザーがコンテンツに必要な権利を所有又は取得していること、(ii)コンテンツが真実かつ正確で、ユーザーの特定のマーチャントでの経験を反映していること、(iii)コンテンツが適用法令、本条件、コミュニティガイドライン、Uberが随時ユーザーに提供するコンテンツ作成ガイドライン及び/又は方針を遵守することを表明します。ユーザーは、コンテンツを提出することにより、Uberが当該コンテンツをユーザーの名前及び注文履歴とともに宣伝目的で公然と共有することに同意します。

b. Creation request. Uber Eats Japan reserves the right to review, approve and/or reject Content before it is displayed in the Uber Eats App. You can submit Content for Uber Eats Japan’s review through the Content Creation Tool. Where applicable, Uber Eats Japan will use best efforts to provide You with information about the reasons that led to the rejection of your Content creation request. If the Content creation request is approved, Content will be displayed in the Uber Eats App in accordance with these Terms. Uber has the right to combine your Content with Content created by either Merchants or other users.

作成リクエスト　Uber Eats Japanは、コンテンツがUber Eatsアプリ内に表示される前にこれを審査、承認及び/又は拒否する権利を留保します。ユーザーは、Uber Eats Japanによる審査のために、コンテンツ作成ツールを介してコンテンツを提出することができます。Uber Eats Japanは、ユーザーのコンテンツ作成リクエストが拒否された場合には、ユーザーのコンテンツ作成リクエストが拒否されるに至った理由に関する情報をユーザーに提供するよう最大限の努力を尽くします。コンテンツ作成リクエストが承認された場合、コンテンツは、本条件に従ってUber Eatsアプリ内で表示されます。Uberは、ユーザーのコンテンツをマーチャント又は他のユーザーが作成したコンテンツと組み合わせる権利を有します。

c. Moderation and restrictions. Uber Eats Japan reserves the right to reject, and will not display, Content that may negatively affect the Uber or Uber Eats brand, promotes competitors of Uber, is derogatory, illegal, inflammatory, false, inaccurate, misleading, or that in Uber Eats Japan ’s sole discretion may violate applicable laws or regulations. Uber Eats Japan reserves the right to take down the Content at any time and for any reason at its sole discretion. You acknowledge and agree that Uber Eats Japan may impose restrictions on the frequency and quantity of Content that You can submit through the Content Creation Tool.

管理及び制限　Uber Eats Japanは、Uber及びUber Eatsブランドに悪影響を及ぼすコンテンツ、Uberの競合相手を宣伝するコンテンツ、中傷的、違法、扇情的、虚偽、不正確、誤解を招くコンテンツ、又は適用法令に違反しているとUber Eats Japanが独自に判断したコンテンツを拒否する権利を留保し、かつこれらを表示しません。Uber Eats Japanは、その単独の裁量により理由の如何を問わずいつでもコンテンツを削除する権利を留保します。ユーザーは、Uber Eats Japanが、ユーザーがコンテンツ作成ツールを介して提出するコンテンツの頻度及び数量に対して制限を課すことができることを認め、これに同意します。

d. Term, audience, and location. If approved by Uber Eats Japan, Content will be displayed in dynamic in-app cards located in the in-app home feed and/or in any other surface or location of the Uber Eats App as decided by Uber Eats Japan in its sole discretion. Uber Eats Japan reserves the right to choose the size, design, format, and general visual and functional requirements of the surfaces, and/or the locations in which the Content will be displayed.

期間、オーディエンス及び場所　Uber Eats Japanが承認した場合、コンテンツは、アプリ内のホームフィードに配置される動的アプリ内カード及び/又はUber Eats Japanがその単独の裁量により決定するUber Eatsアプリのその他のサーフェス若しくは場所に表示されます。Uber Eats Japanは、コンテンツが表示されるサーフェス及び/又は場所のサイズ、デザイン、フォーマット、全体的なビジュアル及び機能要件を選択する権利を留保します。

e. License. By creating and submitting Content, You grant Uber an unlimited, non-exclusive, non-transferable, royalty-free, worldwide license to use, adapt, modify, delete from, add to, publicly perform, display, reproduce and translate such Content, in the Uber Eats App.

ライセンス　ユーザーは、コンテンツを作成し提出することにより、Uber Eatsアプリ内で当該コンテンツを使用、適合、変更、削除、追加、公に実行、表示、複製及び翻訳するための無制限、非独占的、譲渡不能、使用料無料の全世界的なライセンスをUberに付与します。

f. Support. In case You face issues using the Content Creation Tool and/or have questions about these Terms, You can contact us free of charge via the ‘Help’ section in the Uber Eats App or by visiting https://help.uber.com/ubereats so our support team can follow up. We will inform you of the outcome within a reasonable period of time.

サポート　コンテンツ作成ツールの使用に問題が生じた場合及び/又は本条件について質問がある場合、ユーザーは、Uber Eatsアプリの「ヘルプ」セクションを介して又はhttps://help.uber.com/ubereats を訪問することにより、無料でUberに連絡することができ、これによりサポートチームはフォローアップすることができます。Uberは、合理的な期間内に、その結果をユーザーに回答します。
