ピックアップ(持ち帰り)付属書

This Pickup Addendum (the “Addendum”) supplements the Agreement (defined below) and sets forth the terms and conditions governing your Non-Delivery Meals (defined in the Agreement).

このピックアップ付属書(以下｢本付属書｣という。)は、本件契約(以下で定義する。)を補足し、貴社による本件非配送食事(本件契約で定義される。)に関する条件を規定する。

This Addendum is governed by the terms of your Master Framework Agreement with Eats JP and/or its affiliates concerning Uber’s provision of services to you to facilitate your marketing, sale, and provision of items via the Uber Eats App (the “Agreement”).

本付属書には、Uber Eats Appを通じた貴社による商品のマーケティング、販売及び提供を促進するためのUberによる貴社に対するサービス提供に関連して、貴社がEats JP及び/又はその関連会社との間で締結したマスターフレームワーク契約(以下｢本件契約｣という。)の条件が適用される。

All undefined, capitalized terms in this Addendum will have the meaning set forth in the Agreement. If there is a direct conflict between this Addendum and the Agreement, the terms of this Addendum will control. In all other respects, the terms of the Agreement will remain effective and unchanged.

本付属書における定義されていない大文字で始まる用語は、本件契約において定める意味を有する。本付属書と本件契約との間で直接の矛盾がある場合、本付属書の条件が優先して適用される。その他のあらゆる点については、本件契約の条件が変更なく効力を有する。

This Addendum is effective as of the date you agreed to be bound by the terms herein by clicking “I agree”.

本付属書は、貴社が、｢同意する｣をクリックすることにより、本付属書の条件の拘束を受けることに同意した日から効力を発する。

1. Commencement of Non-Delivery Meals

本件非配送食事の開始

You agree to make Non-Delivery Meals available via the Uber Eats App.

貴社は、Uber Eats Appを通じた本件非配送食事を可能にすることに同意する。

2. Service Fee for Non-Delivery Meals

本件非配送食事のサービス手数料

You agree that the Service Fee concerning Non-Delivery Meals stipulated in the Agreement shall be amended to the new Service Fee as notified by Uber to you.

貴社は、本件契約に定める、本件非配送食事に関するサービス手数料が、Uberから貴社に通知されるとおりの新たなサービス手数料に変更されることに同意する。

3. Amendment

Eats JP may amend this Addendum and/or provide additional guidelines, rules and terms concerning this Addendum, from time to time, and Eats JP properly announces it in accordance with Article 548-4 of the Civil Code of Japan, such as hosting it on Uber’s websites (or the subsequent websites).

Eats JPは、随時、本付属書を変更すること並びに/又は本付属書に関連する追加のガイドライン、規則及び条件を規定することができるものとし、Uberのウェブサイト(又はそれらの後継ウェブサイト)に掲載する等、民法第548条の4の規定に従い、適切に公表する。

4. Termination

終了

This Addendum shall be effective until the expiration or termination of the Agreement; however, either party to the Agreement may terminate this Addendum without cause by giving the other party seven days’ prior written notice of termination.

本付属書は、本件契約が満了又は終了するまで、効力を有する。但し、本件契約のいずれの当事者も、相手方当事者に解約を7日前に書面で通知することにより、理由なく、本付属書を解約することができる。
