Manager, M&A Finance and Integration

About the Role

As part of the M&A Finance and Integration team, you’ll collaborate with partners across the business including Corporate Development, Legal, Tax, Strategic Finance, and Accounting to help evaluate and execute on acquisitions and divestitures, financing activities, capital markets transactions, and investments, and other special projects. You'll play a key role in all aspects of finance and accounting implications on transactions from origination through integration.

The Manager role within this team is responsible for independently driving and managing both (i) pre-sign financial diligence, structuring and related negotiations and (ii) post-close integration related activities of the Accounting and Finance organization.

What you will do

Financial Due Diligence

1. Identify, evaluate and solve issues throughout the deal life-cycle starting from pre-sign due diligence to post-close integration of acquired businesses
2. Analyze the financial and operational performance of target companies by reviewing accounting records and other documentation, and by conducting discussions with the target’s management team; prepare presentation decks summarizing key findings and present them to senior leaders
3. Participate in purchase agreement negotiations including providing perspectives on working capital, indebtedness, and other purchase price adjustments
4. Identify and clearly document findings in transactions regarding financial reporting, management reporting, and technical accounting implications
5. Collaborate cross-functionally with Corporate Development, Strategic Finance, Accounting, Tax, Investor Relations, and Legal teams to provide insights on transactions

Finance Integration

1. Understand business and technology integration plans, assess the impact on Uber’s finance organization and finance integration strategy
2. Manage end-to-end finance integration projects, including the development of detailed project plans and coordination of day-to-day execution activities, monitoring project progress, identifying and resolving potential risks and issues
3. Partner cross-functionally within the broader Accounting and Finance orgs, and across functions with key dependencies such as HR and Engineering
4. Prepare and deliver written and verbal communications to senior finance leaders, articulating integration strategies, tradeoffs, and financial/operational impacts
5. Apply strong understanding of accounting, finance, and tax processes to interpret technical and operational data, and assess project implications

Basic Qualifications

1. BS/BA in finance, accounting, or related field
2. Minimum of 7+ years of experience in finance, accounting, advisory, or consulting roles
3. CPA designation or equivalent

Preferred Qualifications

1. Prior experience in a Big 4 financial due diligence or deal advisory practice
2. 3+ years of experience supporting M&A transactions, including financial due diligence experience
3. Strong knowledge of US GAAP, particularly in areas such as Revenue Recognition, Business Combinations, and VIE accounting
4. Strong financial and analytical skills with advanced Excel proficiency
5. Excellent verbal and written communication skills, with the ability to distill complex issues and communicate with senior stakeholders
6. Ability and willingness to mentor and support the development of junior team members, contributing to team growth
7. Experience leading complex projects and managing multiple stakeholders
8. Familiarity with enterprise systems such as Oracle (or willingness to learn)

For New York, NY-based roles: The base salary range for this role is USD$162,000 per year - USD$180,000 per year.

For San Francisco, CA-based roles: The base salary range for this role is USD$162,000 per year - USD$180,000 per year.
