Uber Eats is simplifying the way we work together. We’re making the way we do business a smoother and a more seamless experience. Below, you will find more information about these changes.
Why do I have to sign a new contract?
We’re changing the way we do business which requires a new services agreement.
We are simplifying the delivery process for restaurants. We have received feedback from many of our restaurant partners, and the fact that restaurants must buy and sell delivery services proved to be challenging for them from a reporting and accounting perspective. So, going forward, we’re changing it.
Restaurant partners are no longer responsible for buying delivery services from independent third-party couriers and selling those services to eaters. Going forward, Uber Eats NL will sell delivery services, allowing you to focus on your products and services.
The problem is that your services agreement is written for the current way of doing business – it includes a lot of terms regarding your responsibilities with respect to delivery, and calculations related to how (a) eaters pay for delivery and (b) couriers are paid for their services. We have sent you a new services agreement that explains the new way of working together.
In addition, due to the changes that we make, our legal business entity will change to Uber Eats NL B.V.
What does it mean that I will no longer be buying and selling delivery?
Today, Uber Eats connects you with Eaters who want to buy food, and independent delivery partners who want to sell their delivery services. That means that you are currently buying delivery services from the courier, and selling both delivery services and meals to the Eater.
In the future, Uber Eats will still connect you with Eaters. However, Uber Eats will now sell delivery services. This has various benefits for you:
- Simplified invoicing: You will no longer receive invoices from couriers. Uber Eats will handle all delivery invoices directly. You will only receive one weekly invoice from Uber Eats.
- Easier accounting: You will no longer be required to report courier invoices in your VAT return.
- No responsibilities for delivery: You are no longer responsible for the courier and meals during the delivery trip and won’t be a party in the delivery anymore.
What does it mean that Uber Eats is changing the way it does business?
Uber Eats will sell delivery. This simplifies your accounting. Under the new agreement:
- You will be able to treat Uber Eats’ invoices the same way you treat other local suppliers’ invoices.
- You receive simplified weekly invoices that state the agreed marketplace fee amount, with the VAT charged on top of that. That’s it. As you are no longer buying and selling delivery services, there is no longer a need for any invoice details related to delivery.
- You will no longer receive invoices from courier partners – as you will no longer be buying delivery services. The only invoice you will be receiving will be one weekly Uber invoice. You will no longer be required to report courier invoices in your VAT return.
- You will no longer need to include delivery in your customer invoices, because you’re no longer selling delivery services.
How does this affect my payments?
Your payments won’t be affected. The frequency and conditions of your payments will remain the same: you will still be paid out weekly and charged the previously agreed Marketplace Fee.
How is my contract different from the previous contract?
We have updated the services agreement. Please study this carefully and reach out to our support team in case you have questions. The updates are in the following key aspects:
- Uber Eats will sell delivery services. You are no longer buying or selling delivery.
- Your services agreement now includes the new business entity Uber Eats NL B.V. Due to the changes that we make, our legal business entity will change to Uber Eats NL B.V.
On top of that, and if not already included in your existing contract, the new agreement specifically outlines new products that have been introduced to the platform in recent times, including ‘Bring Your Own Courier’ (also called ‘Aggregator’) and ‘Pick-up modalities’.
Please note that not all products listed in the agreement are available in all cities, but we are including them in the agreement so that when the service will be launched in your area, you will have complete freedom to opt-in if you want to. If you don’t want to use these new products, you don’t have to, and those additional terms won’t apply to you.
What happens if I don’t sign the contract in time?
After October 1st, any restaurants that haven’t signed the new agreement, will unfortunately be deactivated and can no longer receive orders through Uber Eats.
When will these changes come into effect?
These changes take effect as of October 1st ‘23. We will send you a confirmation email 14 days prior to the exact date, to enable you to plan accordingly.
How will this change affect the delivery of my food?
Operationally speaking, there won’t be any change in how to manage orders in your restaurant: you will keep receiving them through the Uber Eats Restaurant Manager, a courier will still come to your restaurant and you continue to hand them the meals in order for them to have it delivered to your customers. You will just no longer have to include delivery charge when issuing a customer invoice.
We will keep making sure to provide you with a reliable service that enables your products and meals to reach your customers in the shortest time, and we will keep offering marketing and analytics tools to help you earn more customers every day and keep track of your performance. We’re just simplifying that process.
