TERMS & CONDITIONS of Uber “December Driver Competition” Contest

| The following terms (“Contest Terms”) apply to December Driver Contest (”Contest“). Uber is a global mobility and logistics platform, which connects riders who desire to request a ride via Uber mobile application and partner-drivers available in the area. Purpose of the Contest is to attract more partner drivers, maintain and increase interest of partner drivers to the Uber platform. The Contest is organized and sponsored by Uber B.V., a private limited liability company incorporated under the laws of the Netherlands (registration number 56317441), whose registered address is Meester Treublaan 7, 1097 DP Amsterdam, the Netherlands (“Uber” or “Sponsor”). |
| In order to enter the Contest, you must meet the eligibility criteria listed below. Therefore, please read these Contest Terms prior to entry to ensure you understand and agree. If you don’t agree with the Contest Terms and wish to opt-out of the Contest, please contact us via Uber Driver app or on help.uber.com. You agree that submission of an entry in the Contest constitutes agreement to these Contest Terms. These Contest Terms form a binding legal agreement between you and Uber with respect to the Contest. |
| Eligibility |
| To be eligible to enter the Contest, a Participant must: (a) be a citizen of Czech Republic or a legal Czech resident; and (b) be at least twenty-one (21) years old; (c) have an Uber account as a partner driver, i.e. must have downloaded the Uber Driver mobile app, installed it into the smartphone and accepted the terms of use. By entering the Contest, you warrant that you satisfy these eligibility requirements. We may require the winner to provide proof of identity and proof of age. Identification considered suitable for verification is at our discretion. Employees, interns, contractors, and official office-holders of Uber, and its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, advertising and promotion agencies, representatives, and agents (“Contest Entities”), and members of the Contest Entities’ and their immediate families (parents, siblings, children, spouses, and life partners of each, regardless of where they live) and members of the households (whether related or not) of such employees, officers and directors are ineligible to participate in this Contest. Uber reserves the right to disqualify any participant from the Contest if, in Uber’s sole discretion, it reasonably believes that the participant has attempted to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants or Uber. |
| Contest Timeline |
| The Contest begins on the 5th of December 2022 00:00 Central European Time and ends on the 25th of December 2022 23:59 Central European Time Zone and will be separated into calendar weeks (Monday 00:00 – Sunday 23:59). Winners of the weekly prizes will be selected by Uber each week for the duration of the Contest. The winners will be contacted and provided with all information about how to redeem prizes through a phone call and their personal emails. |

| How to enter |
| In order to enter the Contest all the actions described below must be performed within the Contest Timeline: (a) if you don’t have an Uber account as a partner driver, download the Uber Driver mobile app, install it into the smartphone, finish all steps to become active partner-driver and accept the terms of use; (b) to qualify for the weekly prizes you have to complete at least 1 trip in Prague in a particular calendar week (Monday 0:00 – Sunday 23:59). (c) to qualify for the main prize you have to meet the conditions for weekly prizes in each week for the duration of the contest, which is between the 5th of December 2022 00:00 and 25th of December 2022 23:59. Number of entries into the Contest is limited to one per Uber user. Those who performed all the actions described above and comply with the eligibility requirements are considered to have submitted an entry to the Contest and become Participants of the Contest. Uber is entitled to suspend an entry into the Contest for any person which does not comply with the eligibility requirements specified above in the present Contest Terms. |
| How the winners are selected |
| In order to select the winners of the Contest within the time period between 5th of December 2022 and 25th of December 2022 and between 30th of December 2022 and 3rd of January 2023 Uber collects and analyzes information about all Participants and on the basis of objective criteria (number of completed trips with 5* rating) creates a list of eligible Participants. Each week 1 (one) Participant who met all the above criteria and achieved the highest number of 5* rated trips in that week will be chosen out of this list to win the weekly prize. If there are more Participant with the same highest number then that Participant shall be the winner who has the most lifetime trips. In the time period between 30th of December 2022 and 3rd of January 2023, 1 (one) Participant who met the conditions for the main prize and achieved the highest number of 5* rated trips between the 5th of December 2022 00:00 and the 25th of December 2022 23:59 will be chosen. If there are more Participant with the same highest number then that Participant shall be the winner who has the most lifetime trips. Results of selection of winners of the Contest will be fixed in the protocol which will be drafted and signed by Uber. The winners will be contacted and provided with all information about how to redeem prizes through their personal emails not later than 3rd of January 2023. |
| Prizes |
| The prizes will be assigned by Uber to the winners chosen as described above in accordance with the eligibility criteria and will be provided to the winners directly by Uber’s partners in accordance with all details provided by Uber. Each of the contest weeks, one winner is eligible to receive a reduction of service fee to 0% for 48 hours from the 31st of December 00:00 until the 1st of January 23:59. In the duration of the contest, one winner is eligible to receive the main prize of reduction of service fee to 0% for one month from 1st of January 2023 00:00 until 31st of January 2023 23:59. EACH PRIZE IS NON-TRANSFERABLE AND CANNOT BE EXCHANGED FOR CASH. Uber is fully entitled to refuse to give out a prize in case it reveals violation or non-compliance with the present Contest Terms. Uber is entitled to decide what to do with unredeemed prizes at its own discretion. |
| Taxes |
| The winner must fully understand that if s/he redeems and receives a prize, s/he is obliged to comply with tax legislation of Czech Republic and pay the income tax. Uber will inform the winner about the value of the natural prize in order for the winner to be able to calculate and pay the income tax. Uber has no obligations to safeguard that the winners of the Contest adhere to their obligation to pay any taxes. |
| Privacy |
| Participants agree and acknowledge that personal data submitted with an entry, including name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by Uber and its affiliates and transferred to partners of Uber which provide prizes for the Contest for the purposes of conducting and administering the Contest, which could include a transfer to a country with less strict data protection laws than the one you reside in, depending on the prize. Individuals submitting personal information in connection with the Contest have the right to request access, review, rectification or deletion of any personal data held by Uber in connection with the Contest by writing to Uber at the following address: Meester Treublaan 7, 1097 DP, Amsterdam, The Netherlands, attn: Privacy. |
| Publicity (Media Release) |
| By entering the Contest, you agree to participate in any media or promotional activity resulting from the Contest as reasonably requested by Uber at Uber’s expense. By entering the Contest, you irrevocably grant to Uber, its employees, agents, licensees, successors, assigns, and those acting with their permission or authority the irrevocable and unrestricted right to record, reproduce, adapt, edit, modify, summarize, publish, exhibit, distribute, broadcast, display, perform, use and otherwise exploit by any and all means and for any and all uses, and by and in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in any manner, format or context whatsoever, your appearance, image, name, likeness and/or voice, including your performance for or interview with Uber, and including any sound recordings and/or audio-visual recordings of me, as well as any information, ideas and other materials that you provide to Uber in connection therewith, that are obtained or collected by Uber for the purposes of conducting and administering the Contest. |
| Warranties and Indemnities |
| To the maximum extent permitted by law, Participant indemnifies and agrees to keep indemnified Uber at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Participant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, Participant agrees to defend, indemnify and hold harmless Uber from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from: (i) any misrepresentation made by Entrant in connection with the Contest; (ii) any non-compliance or improper understanding by Participant of these Contest Terms; (iii) acceptance, possession, misuse or use of any prize. |
