KEY PRINCIPLES

DEFINITIONS
The following terms have the respective meanings given to them below:
“Affiliates” means an entity that owns or controls, is owned or controlled by or is or under common control or ownership of a party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.
“Content” means customized data, images, text, and information that You create and submit for approval to be displayed in the Uber Eats App.
“Content Creation Tool” means a website, application and/or other technology interface, made available by Uber to You that allows You to create Content.
“Community Guidelines” means the applicable Community Guidelines, currently available at https://www.uber.com/legal/.
“Items” means food, beverages, or other items.
"Merchant" means any party who makes Items available for sale via the Uber Eats App.
“Uber Eats App” means a website, application or other technology interface made available by Uber to its users, that allows them to buy Items from Merchants and/or request the provision of delivery services.
TERMS
a. General. You are the owner of the Content. Uber takes no ownership, endorsement or responsibility over the Content. You represent that (i) you own or have obtained any rights necessary to the Content, (ii) the Content is true and accurate and reflects Your experience with a particular Merchant, and (iii) the Content complies with applicable laws and regulations, these Terms, the Community Guidelines, and any Content creation guidelines and/or policies that may be provided to You by Uber from time to time. By submitting Content, You agree that Uber may publicly share such Content along with Your name and order history for promotional purposes.
b. Creation request. Uber reserves the right to review, approve and/or reject Content before it is displayed in the Uber Eats App. You can submit Content for Uber’s review through the Content Creation Tool. Where applicable, Uber will use best efforts to provide You with information about the reasons that led to the rejection of your Content creation request. If the Content creation request is approved, Content will be displayed in the Uber Eats App in accordance with these Terms. Uber has the right to combine your Content with Content created by either Merchants or other users.
c. Moderation and restrictions. Uber reserves the right to reject, and will not display, Content that may negatively affect the Uber or Uber Eats brand, promotes competitors of Uber, is derogatory, illegal, inflammatory, false, inaccurate, misleading, or that in Uber’s sole discretion may violate applicable laws or regulations. Uber reserves the right to take down the Content at any time and for any reason at Uber’s sole discretion. You acknowledge and agree that Uber may impose restrictions on the frequency and quantity of Content that You can submit through the Content Creation Tool.
d. Term, audience, and location. If approved by Uber, Content will be displayed in dynamic in-app cards located in the in-app home feed and/or in any other surface or location of the Uber Eats App as decided by Uber in its sole discretion. Uber reserves the right to choose the size, design, format, and general visual and functional requirements of the surfaces, and/or the locations in which the Content will be displayed.
e. License. By creating and submitting Content, You grant Uber an unlimited, non-exclusive, non-transferable, royalty-free, worldwide license to use, adapt, modify, delete from, add to, publicly perform, display, reproduce and translate such Content, in the Uber Eats App.
f. Support. In case You face issues using the Content Creation Tool and/or have questions about these Terms, You can contact us free of charge via the ‘Help’ section in the Uber Eats App or by visiting https://help.uber.com/ubereats so our support team can follow up. We will inform you of the outcome within a reasonable period of time.
