ACTIVITY “SING TO WIN PROMOTION (CAR KARAOKE)”

Terms and Conditions

The “SING TO WIN PROMOTION (CAR KARAOKE)“ Activity will be governed by the following Terms and Conditions (the “Activity”). By the mere fact of participating in the Activity, participants accept these Terms and Conditions unconditionally, including those clauses that limit the responsibility of the Organizer. Likewise, they agree to submit themselves to the decisions of the Organizer in any matter related to the Activity.

The granting of any of the Gifts (as such term is defined below) will be subject to the compliance of each and every one of the applicable laws and regulations, as well as the provisions of these Terms and Conditions. The Organizer reserves the right to disqualify and/or demand the return of gifts granted to those participants who directly or indirectly fail to comply with the rules and conditions set forth herein.

1. Eligibility to participate: All individuals over 18 years of age who are members of the community of the Organizer and have an active account on the Uber Application (“Uber App”), with a valid payment method are eligible to participate in this activity.

Uber B.V., as a supportive party for the Organizer (”Uber”), will create a special in-app view called “uber951” (the “Special in-app View”) which will be visible during Fridays and Saturdays between 21:00 and 23:00 hours, Trinidad & Tobago time, from January 15th, 2018 to February 10th, 2018 (the “Timeframe”), so that users of the Uber App, interested in participating in the Activity can freely do so.

Those interested in participating must have at the time of participation a valid identification document recognized by the Government of Trinidad & Tobago.

The following people can not participate: a. Employees, executives and officials of the Organizing Company; b. Employees, executives and officials of the advertising agencies and other suppliers involved in this Activity; c. Officials of any of the Company’s co-sponsoring this Activity that, by reason of their position, may in some way influence the development of the Activity or the allocation of the gifts; and d. The relatives up to second degree by consanguinity or affinity of all the previous ones.

The Organizer and Uber accept no responsibility for submissions not received due to a force majeure event or technical fault including, but not limited to, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind.

The Organizer and Uber reserve the right to hold void, cancel, suspend, or amend the Promotion where it becomes necessary to do so.

2. Organizers: Guardian Media Ltd. (the “Organizer”) is the Organizer of the Activity and is the only responsible party for the Activity before any participant.

None of the social networks that could be used in this Activity, namely Facebook, Twitter and / or Instagram, participate in, endorse or administer this Activity in any way, nor are they associated with it and have no responsibility related to the handling and Administration of the Activity. The participant is aware that he is providing his information to the Organizer and not to any of these social networks.

3. Deadlines: This activity will be governed by the following deadlines, which are peremptory:

Deadline to participate: The deadline for participation is limited, starting on the day February 7th 2018 at 11:00 hours (time of Trinidad & Tobago) and it will end on the day February 7th 2018 at 15:00 hours (time of Trinidad & Tobago).

4. Gifts: The gift consists of reimbursing to the selected participants, the total cost amount of the ride in which they participated for the Activity (the “Gift(s)”). The winner(s) will be selected entirely by the sole and exclusive discretion of the Organizer based on their own criteria, collective beliefs and principles (the “Winner(s)”).

The Organizer and Uber reserve the right to replace the Gift(s) (or any part of it) with an alternative Gift of equal or higher value if circumstances beyond the Organizer’s or Uber’s control make it necessary to do so.

The Gift (or any part of it) are non-exchangeable, non-transferable and not for sale, and no substitution or cash alternative is offered.

The Organizer and Uber assume no responsibility whatsoever for any typographical or other errors in the management of the Activity, errors in processing entries, identifying the Winners, the announcement of the Winners or the delivery of the Gift(s).

You are deemed to have accepted and agreed to be bound by these Terms and Conditions upon opting into the Activity. The Organizer and Uber reserve the right to refuse entry or refuse to award the Gift to anyone in breach of these Terms and Conditions and/or applicable laws and regulations of the country in which you reside.

The Organizer and Uber will not, under any circumstances, be responsible or liable to compensate any individual who is unable to participate in the Activity or redeem their Gift under the Activity due to breach of these Terms and Conditions and/or failure to comply with applicable laws and regulations of the country in which you reside.

If there is any reason to believe that there has been a violation (or attempted violation) of these Terms and Conditions, the spirit of these Terms and Conditions, and/or applicable laws and regulations of the country in which you reside, the Organizer and Uber may, at their sole discretion, refuse to process your Gift and/or void your entry to the Activity.

Each Winner is solely liable for any and all taxes applicable to receipt of the Gift and the Organizer and Uber incur in no liability in respect thereof.

5. How to participate: Uber will communicate the availability of the Activity through a special view in the Uber App as well as other communication methods, through the Uber Blog and other Uber channels.

The Organizer will select the Winner(s) among the participants who comply with the abovementioned characteristics, through their selection criteria. The Organizer will determine the Winner(s) during the during the Term and Timeframe and will communicate to Uber who the Winner(s) was/were in order for Uber to communicate to the Winner(s) determined by the Organizer that they are entitled to receive the Gift(s) in accordance to these Terms and Conditions.

5. Territory: This Activity will be valid and will take effect only within Trinidad & Tobago.

6. Information of the participant: The Organizer will consider as a participant of the Activity the person who downloads the Uber app to their individual mobile devices, creates a valid Uber account, has a valid payment method and applying the code “uber951” to participate in the promotions section of the app menu.

Any inaccuracy that prevents identifying or locating the participant will imply disqualification. The same consequence will be the fact of providing false or inaccurate information. Any communication related to the Activity will be made according to the consigned data. By including your data, the participant declares and guarantees that he has sufficient authorization to participate in a personal capacity and enjoy the gift.

Any dispute of the participant with third parties regarding the ownership of the gift will be a matter unrelated to the Organizer, regardless of the origin or cause that originates it, or any other aspect related to that or any other transaction in which the participant is involved.

7. Image rights: The fact of participating in the Activity will imply the consent of the participants to have their name, voice and image used in television and radio programs, television and radio spots, publications and other advertising media, and in general in all material for dissemination purposes. Promotions that the Organizer wishes to make in relation to the Activity, either during the promotional period or once it has expired. Also, the fact of participating in the Activity will imply the consent of the participants if the delivery of the Gift were to be made during air-time on any media, that can be transmitted by video recording methods or radio conversations that are made for the awarding of the Gift. This authorization does not imply any duty to remunerate or compensate the participant in any

manner, whatsoever.

8. Responsibility of the Organizer: The Organizer is responsible for the promotion, organization, award and the delivery of the Gift indicated in this Regulation and for its application. Participants who receive the Gift will be responsible for the use and enjoyment that they give to it. By registering and participating, participants release the Organizer, supporting third-parties, co-sponsors, affiliated companies, and others involved in this Activity from any responsibilities whatsoever that may arise from their involvement during the Activity, as well as their executives, employees, representatives or agents for any damage arising directly or indirectly as a result of their participation in the Activity, or that results directly or indirectly from their acceptance, withdrawal or possession of the gift, or from the fact that their identity is made public by the fact of having participated and / or have been awarded with regards to the Activity.

Notwithstanding the foregoing, the Organizer’s liability is expressly released for: a) Expenses incurred to participate in the Activity, to make the Gift effective or to enjoy it; b) Human interventions not authorized by third-parties to computer systems or similar that alter the development of the Activity; c) Damages suffered to the integrity or assets of the participants or third-parties that are caused by virtue of this Activity or during the enjoyment of the gift.

9. Suspension of the Activity: The Organizer reserves the right to suspend the Activity temporarily or definitively if the existence of assignment or claim of Gifts in a fraudulent manner is verified, as well as in cases of technical failures, or any other event outside the reasonable control of the Organizer. The alteration of documents and information about the participants, as well as deception, fraud or falsification, unauthorized manipulation that hinder the normal performance of the Activity and actions that in the opinion of the Organizer or third-parties related to the Activity are illegal and may cause any damages to the Activity or its Organizer and third-parties related to the Activity, resulting in any prosecution or claims against them, by the means provided by Law.

10. Relationship between the parties: No provision of this Activity shall be construed as creating a relationship between the parties other than that arising from normal trade in commerce. No participant of the Activity, by virtue of being such, acquires the status of employee, representative, or agent of the Organizer. With the fulfillment of the obligations established in this Regulation, the relationship between the parties as a whole will end.

Nothing in these Terms and Conditions is intended to, or must be understood to, unlawfully restrict, limit or avoid any rights or obligations, as the case may be, created for either you, the Organizer or Uber in terms of the applicable laws and regulations of the country in which you reside.

Simplified Privacy Notice: Solely and exclusively for the purposes related to the treatment and protection of personal data of the participants, the responsible entity is the one called Uber B.V., domiciled in Meester Treublaan 7, 1097 DP Amsterdam, the Netherlands, same as they will be treated with the sole purpose of registering their participation in the Activity, of contacting the participants to coordinate the delivery of the gifts and for purposes of dissemination, promotion and marketing.
