Uber Freight Reward Program for shipper platform (the "Program") is brought to You, the shipper (“You”) by Uber Freight LLC and its respective subsidiaries, licensees and affiliated companies (collectively “Uber” or “we”). These Program Terms (defined below) constitute a legal agreement between you and Uber.
Uber Freight LLC is a federally licensed freight broker as defined by 49 USC §13102(2) under authority granted by the Federal Motor Carrier Safety Administration of the U.S. Department of Transportation.
UBER FREIGHT IS NOT A MOTOR CARRIER. NO INTERPRETATION OF WRITTEN OR ORAL REMARKS IN ANY AGREEMENT OR DOCUMENT SHALL BE CONSTRUED TO IMPLY UBER FREIGHT IS A MOTOR CARRIER.
All rewards offered under the program are offered on an "as available" basis, contingent upon requests for the arrangement of transportation services and other contingencies which may impact availability of some rewards at certain times and places.
THE PROGRAM IS CURRENTLY BEING OFFERED AS A PILOT PROGRAM, WITH CERTAIN REWARDS AVAILABLE IN CERTAIN LOCATIONS. YOU UNDERSTAND THAT UBER MAY TERMINATE OR MODIFY THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WHAT THE REWARDS ARE, HOW YOU EARN THEM, THE DURATION OF THE PROGRAM) AT ANY TIME IN UBER’S SOLE DISCRETION.
You understand that all federal, state, and local taxes on the Rewards (as defined below) that you accept are your sole responsibility as the Benefit recipient. You also understand that Uber may issue an IRS Form 1099 indicating the approximate retail value of certain Benefits to the IRS for tax reporting purposes.
To participate in the Program, you must (1) meet all eligibility requirements to be an Uber Freight shipper platform user (a “Shipper Platform User”) as set by applicable law and Uber; (2) have an Uber Freight shipper platform account in good standing; and (3) book shipments on the Uber Freight shipper platform that ship and deliver within the participating locations listed in Table 2 below (each, a “Participating Location”). All eligible participants in the Program referred to as "Program Members."
All Program Members in the Participating Locations must request to enroll in the Program. Once you are enrolled in the Program, there are no additional actions required to participate in the Program.
Once your request to enroll in the program is granted, you will receive a rewards program account ("Program Account") that will automatically be linked to your Uber Freight shipper platform shipper account (“Uber Freight Shipper Platform Account”) . You may not share your Program Account or have multiple memberships/Program Accounts. Each Shipper Platform User for a shipper may use their Program Account to earn Points for the shipper.
HOW YOUR TIER IS DETERMINED
You must earn points ("Points") to access the different Tiers (defined below) and the rewards offered in each Tier. You will earn 1 Point for every ten dollars ($10) you spend as a Program Member for every completed shipment that is booked on the Uber Freight shipper platform in the Participating Locations for which the underlying transportation services are actually performed and completed by a motor carrier (a “Shipper Platform Load”). Every user of your Uber Freight Shipper Platform Account will earn Points toward your total Points in your Program Account. Each shipment shall count as an “Point Earning Shipment” for the purposes of this Program. If a shipment is canceled, no Points will be earned.
You earn Points in fixed three month periods. The fixed three month periods (each a "Program Period") for this pilot are currently set as follows:
Program Period 1: Tuesday, October 1st, 2019 [Customers start their first Earning Window on the day that they enroll in the loyalty program. All Customers will receive Points for each Shipper Platform Load that had been booked and completed from October 1st, 2019, even though that was before the launch of the Program, until December 31, 2019]
Program Period 2: Wednesday, January 1, 2020 [The second Earning Window begins on the last day of the first Earning Window]
(Uber may, in its sole discretion, elect to extend the pilot beyond the periods set forth above).
Points expire and reset to zero at the end of every Program Period. They do not carry over to the next Program Period. Points will count in the Program Period in which Uber processes the point (which may be the next Program Period). Points have no cash value and are used solely to determine your Program Tier. Points may be revoked if a Shipper Platform Load, for which Points were earned, is refunded, cancelled, or if Uber believes, in its sole discretion, that Points were earned through or in connection with any fraud, abuse of the platform, or in violation of Uber’s Uber Freight Shipper Dashboard Terms and Conditions of Service.
A Program Members’ Tier status shall be determined by the Points earned in the previous Period and Points earned in the current Period. Tiers are not permanent and must be earned for every Program Period.
We reserve the right to change or terminate the Program, or any part thereof, at any time without notice and without further obligations to you or any other Program Members, including, but not limited to modifications which: a) govern how Points are earned on and after the date of change; b) change the number of Points required to access a Tier; c) the specific Rewards provided in each Tier; or d) any other requirements necessary to obtain Rewards within a Tier,
No Points will be earned after the effective date of termination. Any and all changes and/or amendments to these Program Terms will become binding upon all members immediately.
PROGRAM TIERS AND WINDOWS
The Program offers four membership Tiers: Blue, Gold, Platinum, Diamond ("Tiers"). Tiers unlock access to certain benefits (“Benefits”) offered by Uber and/or third parties. Each successive Tier includes its own Benefits as well as the Benefits of the preceding Tiers. Benefits are listed in Table 1 below.
The Point amounts necessary to reach each Tier vary by market. The left hand column of Table 2 below identifies the applicable points thresholds for Blue, Gold, Platinum and Diamond status, for each Participating Location listed in the corresponding right hand column. For each Participating Location, a Shipper Platform User who does not meet the requirements for Gold, Platinum or Diamond Tiers are placed into the Partner Tier. There are no additional requirements for the Partner Tier other than as set forth in the "Eligibility" section above.

You can move to a higher Tier during the current Program Period if you meet the Points requirements described above. In that case, you will automatically be moved to the next Tier and you will stay in that Tier for the current Program Period and the next Program Period.
Once you obtain a higher Tier, you may be able to immediately access some Rewards for the higher Tier, but not all Rewards may be available immediately.
HOW TO VIEW POINTS BALANCES
You can view your current Points balances within the settings of your the Shipper Platform dashboard. If you think there has been an errors or omissions on transactions posted to your Program Account, you must report it to us within one month by contacting Uber as noted in the Contact Us section below. Failure to supply necessary documentation may result in an inability to award Points or adjust Tier status. For verification, you should retain all receipts and documentation until your Points are credited to your Program Account. Uber reserves the right to decline to make any adjustment if there is not sufficient documentation to justify the adjustment.
In the event of an outage of the Uber systems, your Points may be delayed in displaying in your Program Account. Additionally, if the outage occurs near the end of a Program Period, it is possible the Points will not be applied until the next Program Period.
Participation in the Program is a privilege granted to Shipper Platform Customers, and as such can be suspended, revoked, or terminated at any time by us for any reason. If your Program membership is terminated, all Points associated with your Program Membership and any Rewards may be forfeited immediately upon termination, in accordance with the terms of the specific Reward, as detailed below. If your Program membership is terminated due to fraudulent activity or noncompliance with these Program Terms, in addition to forfeiting all Points and Rewards associated with your Program Membership immediately, you cannot participate in or rejoin the Program.
TRANSFER OF RIGHTS
Uber’s rights and obligations under the Program may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity.
INTERPRETATION OF PROGRAM TERMS.
All interpretations of these Program Terms will be at Uber’s sole discretion and Uber’s decisions will be final.
The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions or errors of the Program, its features or any Rewards. We may modify, suspend, or discontinue the Program or any feature at any time without notice. The Program and all the information accessible through it are provided for informational purposes only on an "as is" and “as available” basis. We, our affiliated entities and third party Rewards providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
REWARDS DETAILS AND ADDITIONAL TERMS
Rewards are privileges granted to you. Rewards are granted at the discretion of Uber, may change or be canceled at any time, are not redeemable for Points and have no cash value. Reward details, terms and limitations may be found below. Rewards provided by third parties may require additional action by you, including, without limitation, agreeing to additional terms or creating an account with such third party. Shipper Platform Users are responsible for all taxes that may be owed in the receipt of Rewards. Uber is not responsible for the products or services offered by third parties.
THE FOLLOWING LIST INCLUDES DETAILS ON THE CURRENT OFFERS IN THE UBER FREIGHT REWARDS LOYALTY PROGRAM, PROVIDED BY PARTICIPATING PARTNERS OR UBER. PLEASE NOTE THAT OFFERS FROM EXTERNAL PARTICIPATING PARTNERS, INCLUDING BUT NOT LIMITED TO THE QUALIFICATIONS FOR ACCESSING THE REWARDS, AS WELL AS THE IDENTITIES OF THE PARTNERS THEMSELVES, ARE SUBJECT TO CHANGE AT ANY TIME IN UBER’S DISCRETION.
