About the Role
As a Paralegal, Corporate you will be responsible for managing a wide variety of corporate matters from SEC compliance, corporate governance, entity management and investor related matters to supporting acquisitions, financings and other strategic transactions globally.
What You’ll Do
Work collaboratively with and help grow an expanding global corporate paralegal team
Assist with the Company’s ongoing SEC compliance, including Section 16 filings, SEC periodic reports, investor communications and related matters
Work with a talented global corporate paralegal team to maintain Uber’s expansive portfolio of domestic and international legal entities
Provide legal support to finance, treasury, tax and other internal legal, G&A and operations teams to ensure proper compliance and corporate governance guidelines are met
Assist attorneys in preparing for and closing a wide range of corporate transactions, both domestic and international, including coordinating data rooms and diligence process
Manage domestic foreign corporation filings and annual reports
Regularly draft subsidiary board and shareholder resolutions, meeting minutes, powers of attorney, disclosure schedules, officer certificates, and incorporation documents
Collaborate with Finance and People on employee equity and related matters, including drafting transfer, repurchase and related agreements
Lead in establishing internal corporate processes and maintaining corporate databases
What You’ll Need
4+ years of corporate paralegal experience in either big firm or a sophisticated in-house legal department focusing on corporate work
General corporate experience, including experience with entity maintenance, cap table and equity matters and an understanding of corporate governance best practices
Bachelor’s degree or paralegal certificate
Proficient with Word, Excel, Powerpoint, G-Suite apps and e-signing tools.
About the Team
The Corporate Legal team is responsible for all corporate matters globally, encompassing corporate governance, SEC reporting, M&A and similar strategic transactions, debt/equity financings, Board and shareholder/investor matters, executive/employee stock compensation and global entity management, among other things.
