About the Role

We are currently searching for a Senior Counsel, M&A, with substantial and broad expertise in M&A, strategic investments, joint ventures and other corporate transactions to join the Uber Legal Team. You will be part of the M&A subteam within the broader Corporate Legal team and report to the Director, M&A and be based at Uber’s HQ in San Francisco.

What You’ll Do

  • Actively manage domestic and cross-border M&A, divestitures, strategic investments, joint ventures, and other corporate transactions
  • Work closely with Uber’s Corporate Development team and other legal and cross-functional teams (e.g. HR, tax, accounting, treasury, operations) through each phase of the deal life cycle from NDA to integration
  • Structure, draft and negotiate term sheets, letters of intent and definitive acquisition and ancillary agreements under tight deadlines
  • Actively oversee and manage outside counsel and junior members of the team
  • Collaborate with the Corporate Governance team to advise on corporate governance, executive/equity compensation, securities compliance and investor/board matters arising in connection with M&A and other corporate transactions
  • Help develop and implement standardized templates and processes for repeatable transactions, with an eye towards enhancing the efficiency of Uber’s M&A and deal processes

What You'll Need

  • A minimum of 5 years of diverse M&A and corporate transaction experience at a top-tier law firm; in-house experience is a plus
  • Experience working with late-stage / high-growth private companies in a fast-paced environment is desired
  • Ability to manage and lead cross-functional teams/projects with a diverse group of stakeholders across organizational lines
  • Strong business acumen and judgment with a strong understanding of financial metrics and fundamentals
  • Strong work ethic and ability to juggle and successfully prioritize competing and voluminous work streams simultaneously
  • High degree of organization and efficiency with demonstrated attention to detail
  • Excellent communication (written and verbal) and interpersonal skills
  • Enthusiastic about Uber!


About the Team

As a critical business partner to the Executive, Finance, Corporate Development, Operations and HR teams, the Corporate Legal Team is responsible for facilitating all of the Company’s corporate governance activities and initiatives, ongoing SEC/securities laws compliance, global M&A and other strategic transactions, board and stockholder matters and other day-to-day general corporate affairs.   M&A is a major growth driver for the company and the M&A subteam plays a vital role in shaping the strategic direction of the company by executing transactions that have an immediate business impact on the company.
